Should a company wish to buy another company with its shares, would the shareholders of the company be better off if it pays $280mm(to use your example) based upon a $.14pps or a $2.00?
Before you answer you may wish to think REALLY long and hard. I would like to think logic hasn't completely left the room.
The bigger concern for me, since these accounts are prepaid....is how will they keep track of all these prepaid sales and A/R payments.
With all the money coming in it's going to be tough to keep track of everything! Does Harvard have an accounting school or is this the only 'accredited program'?

There are always those that want to buy for less or cover their shorts as low as possible. They will do anything to ply their trade, whether it be legal or merely immoral.
I know that SM has had it with the unethical and illegal practices used against SPNG. Those of us that have invested here will, imvho, reap the rewards of our choice to back the company.

Sorry about the layout. The point is Penson had $38,825,000 in cash as of 12/31/2008.
I hope we as shareholders and the Company get every blessed dollar of that from them for their BS in handling the clearing of SPNG stock. Look and see who clears trades for BMAS....it's Penson. That jives perfectly with what we have continued to hear, that the company can't get their certs. They have tried for months!
So, shorters clearing through Penson have had their way with the SPNG stock to date. They can't deliver certs because they have let others short against the shares that SPNG bought on the open market to retire.
This crap should make every shareholder livid!!! Imagine if Penson followed SEC rules and delivered those certs!! We wouldn't be under two cents, that is for sure.
There should be a shareholder class action suit filed against them. As I have said before, just the discovery process would be revealing.....and embarassing for Penson and the SEC.
Oh! If you were a shorter, you would jump for joy with Penson's ability to have accounts in the US and OFFSHORE(Canada). FYI, they are the largest clearing firm in Canada....now, what does that tell you?
Penson.......I would hope that if we get to the 10k and the shorts have not covered that there is a whole paragraph about the Company's attempts to get Penson to deliver the shares.
They should have filed a lawsuit, imo, if this is the case. Wouldn't discovery be interesting???

RD Here's a suggestion for your SPNG profits. Next time you want to go to the Caribbean I would highly recommend a stay at Caneel Bay, just across the bay in St. John. 160 acres of private enclave including private beaches.

If there is a 'going private' plan, from their selfish point of view it would behoove the buyer(s) to do it prior to the influx of all the orders coming in. This would only serve to raise their cost, imho.
Talk of Spongebob, suntan application, household cleaner and others mean only one thing.....sales are going way up....and with it the cost of buying shares to go private.
Part of me wants a quick sale and part of me says 'just a little longer' and the price will go up, up, up!!

FLA Please be correct in your statements. RME can't sell in the open market because they have given put rights to SPNG. They can't sell in the open market without violating that.
Also, didn't you state that SPNG would report a loss in the second quarter of FY 2009? If my memory serves me, they posted a net income profit of $2.3 million.
I really don't have time to go around correcting your statements; would you please be kind enough to exercise at least a tad bit of accuracy in your postings??!!

Walmart--- The advertising and promotion expenses were 36% of revenue for the first six months of the fiscal year. With Walmart, those expenses will be far, far less. Just being in their stores is enough of a draw.
So, yes they may trim us on margins, but we should make up for it with reduced advertising expenses.

Now....Your estimates for when investors would sell are far too low, in my opinion.
1) 13g filers are presumably in the know as to what revenue projections SPNG will expect in the next 1-2 years.
2) Fair value should be 15-20X projected earnings for the next 12 month period. With the growth trend, 20X may even be low.
3) 13g filers will want the fair value or more in order to sell to a short.
4) My modeling estimates EPS after taxes to be 18% of Revenue.
Revenue: FY 2009 Rev of $50MM, EPS of $9MM
FY 2010 Rev of $130MM, EPS of $23.4MM
Capitalized value: FY 2010 23.4 X 15 P/E = $351MM
5) Now here's the kicker! O/S shares of 150MM means the share price(fair value) should be approximating $351/150, or
$2.34 per share. Don't expect this to show up in the price until the market can see the annualized run rate of $130MM.
This, my friends, may be as close as three quarters away, with the share price building until the 2010K. (all my opinion)
6) So, using this model, the 13g filers will have to decide on a time/value for selling. $.15-.20 per share is far and away too low for this performance. Most of these investors(as would I)have to pay 40% or more in taxes to sell out in the very near future. My money says wait to sell when the Revenue stream has been realized, when the long term capital gains tax rate is 15%, plus State. MORE GAIN WITH LESS TAXES!
Many in the know realize what this company will become and are out to maximize their investment. I have heard those exact words from some of them.
Yes, it will be a miserable time for the prime brokerage account holder and the B/D....................
