Cyclone Power Technologies, Q2Power, & Phoenix Power Sign Agreement Transferring Fuel & Waste Heat License to Phoenix
Pompano Beach, FL, August 15, 2017.
Cyclone Power Technologies (Pink Sheets: CYPW), developer of the all-fuel, clean-tech Cyclone Engine, announced today that it has signed an agreement with Q2Power Technologies And Phoenix Power Group based in West Palm Beach, Florida and Memphis, Tennessee respectively, allowing for Q2Power to transfer their exclusive License agreement from Cyclone Power to Phoenix Power Group. On the transfer, the license transforms from an exclusive to a non-exclusive license and allowing Phoenix and Cyclone with advantageous modifications and payments for Cyclone. Phoenix will then be authorized to produce the Waste Heat Engine.
The transfer of the license of Q2 Power (formerly WHE Generation) will allow Phoenix Power Group to continue its manufacturing and development of their engine based on Cyclone Technology and integrates it into the Phoenix proprietary waste fuel steam generating furnace. Cyclone will now also have the right to manufacture engines for the waste fuel and waste heat markets. Phoenix Power had a license agreement with Cyclone prior to the WHE spin off. Because of the nature of waste oil the license was transferred with the spinoff of WHE from Cyclone. Q2Power has transitioned its business to the manufacturing of compost and sustainable soils.

Updates on Audits,Manufacturing, and Strategic Partners Progress to Investors
POMPANO BEACH, FL, May 23, 2017, Cyclone Power Technologies (OTCPK: CYPW) Auditor, Soles, Hynes & Company have been of engaged to complete the fiscal year end 2016 audit, as well as, review the first three quarters of 2016 and the first quarter of fiscal 2017. We anticipate being completed with this work by the end of July 2017. This will then bring the Company up to date and will comply with the reporting requirements of the governing bodies. "We realize that that there were unforeseen events that set the Company back significantly on the previous audits, however, we are confident that the audit will go more smoothly with the engagement of Soles, Hayes & Company. A Brief Update to Cyclone Shareholders:
Cyclone is moving forward with the manufacturing. This is including visiting our off the shelf component vendors and our three US manufacturers. Cyclone engineers are meeting with the engineers that provide our bearings, pistons, condensers, and heat exchangers. These components will all be provided to the manufacturers for integration with the engine then shipped to our OEM's. The primary OEM will be TAW Power system who will then integrate the engine into generator systems from 3Kw to 18Kw using all liquid and vapor fuels. All sales from TAW Power System to the Distributors will be invoiced thru Cyclone Power. Cyclone currently has purchase orders in house for over two hundred generator sets just to one OEM. We are working on a delivery schedules and final pricing for distributors.
Native One financial's partner N1 Solutions and Cyclone have signed a teaming agreement. Kyle Hoffman and Dennis Smith said, "We see the advantages of the Cyclone Technology for much needed applications for Native Tribe communities both in the U.S. and Canada. N1 will be providing assistance in securing business opportunities in and around Native lands and the business community. This is an exciting product to service the remote areas of the Native communities and we are proud to be involved."
Harry Schoell has been invited to speak at the Engine Expo 2017 in Messe Stuttgart, Germany on June 21, 2017. This Expo is in conjunction with Stuttgart Automotive Industry Expo Week.
After the Engine Expo Harry will be in Denmark to assist Falck Schmidt Defense Systems in enhancing the S2 Engine progress to a robust militarization levels.. They will be taking the engine generator system to a TRL-8 status. Militarization and TRL (Technology readiness level) is a requirement from any product used in combat military worldwide. The subsystems and engine have to go thru extreme conditions. FSDS has stated that the engine and subsystems are currently at a TRL-5. The project for militarization is being funded additionally by the Denmark military.
The engineering staff is visiting two industrial sites in Tennessee next week for the first of the Thermal Storage Unit based Solar 24 Hour power plants using Cyclone Engines. As we progress into the manufacturing of the 3Kw to 18Kw, the Mark 7 (160 Kw) for industrial solar power with the Cyclone's Thermal Storage Unit will be the next project. The Solar project in the 1Mw range will be our next main focus to be manufactured. The interest in this storage of free solar heat to run an engine after the sun goes down is there. The industrial sites, office buildings, and malls can reduce their power consumption and in turn lowering their utility bills. The utility companies can regulate their peaks on a 24 hour basis and reduce their brown outs.

Cyclone Power Technologies Receives Purchase Order form I.B.E.S. a UAE Corporation & Update on Cyclone

Cyclone Power Technologies (Pink Sheets: CYPW), developer of the all-fuel, clean-tech Cyclone Engine, announced today that it has signed an agreement with IBES FZ-LLC, based in Dubai Science Park Free Zone in United Arab Emirates, to manufacture and integrate Cyclone's Heat Regenerative External Combustion engines with their wood furnaces to produce electrical power.
IBES has merged with 3R group and has become the surviving entity and IBES has taken over all the rights and responsibilities. IBES has accepted the engine that was delivered to Denmark this year under the 3R agreement. They have agreed to pay the remaining balance on the contract after successfully integrating it into the 3R furnace system and two months of testing. In addition IBES FZ-LLC has issued the first purchase order for 5 production engines for immediate delivery to Dubai where final assembly takes place.

Update on Cyclone
FSDS Contract: Cyclone is proud to announce that we will be delivering the S2 engine generator system to FSDS the first week of October. The system will be exhibited as their new Auxiliary Power Unit (APU) for military use at their booth at the AUSA show in Washington DC. They will also be exhibiting the "Cyclone Genie APU System" The Genie is a .5 kW lightweight unit for troops to carry in the field to recharge batteries. Audited Financials: Cyclone is still working diligently on getting the financials brought up to date, audited and filed, there have been some unforeseen delays due to reporting requirements associated with derivatives accounting and inventory aging. Combilift Forklift engine: Robert Moffett and his partner visited Cyclone's facility a couple of months ago to see the final beta engines that was finishing testing for delivery. They also viewed the updated pre-production versions of the Mark 1 and Mark 3 engines and want to incorporate the upgrades to the Mark 5 engine. This upgrade has a lower parts count and easier to maintain, which is important in this type of work vehicle.

FALCK SCHMIDT DEFENSE SYSTEMS
POMPANO BEACH, FL June 23, 2016 Cyclone Power Technologies Inc. (OTC:CYPW), developer of the all-fuel clean-tech Cyclone Engine, announced that Falck Schmidt Defense Systems ("FSDS") of Denmark has signed an exclusive Engineering Development Agreement with Cyclone Power Technologies. This agreement provides for the development over the next 6 months, of a militarized 10 Kw auxiliary power unit (APU) for worldwide military applications. FSDS will be the exclusive worldwide distributor for both military and aerospace power applications.
The exclusive Engineering Development Agreement calls for an initial engineering fee of $225,000. Other license fees will be agreed upon within the next 90 days. Work has commenced with FSDS mechanical and electrical engineers arriving at Cyclone on June 21, 2016. The statement of design work and critical path calls for the building of two systems to be built at Cyclone's offices. These will then be taken to FSDS for militarized testing. FSDS engineers will assist Cyclone in the necessary changes to the basic Cyclone 10 Kw system to make it applicable to military standards. The exclusive Engineering Development Agreement allows FSDS the rights to build and sell the Cyclone powered systems exclusive to all military and aerospace worldwide as our representative and pay cyclone a license or royalty fee.

("G2E") has signed a Systems Application Agreement and an Engineering Development Agreement with Cyclone Power Technologies. These agreements will formulate over the next 6 months a beta Solar site that will be developed using Cyclone's solar panels, Cyclone's Thermal Storage Unit and the Cyclone engine to produce 24/7 electrical power from the energy of Solar.
The Engineering Development Agreement starts with Harry Schoell, Cyclone's inventor and Chief Technical Officer, going to Mexico City in August, with the Mark 1 ( 5.5 HP) Engine. He will assist the engineers at G2E, located on the site of Mexico's leading institution, the Universidad Nacional Autónoma de México (UNAM) in the design of a portable system using Cyclone Solar Panels, Engine, and Thermal Storage Unit for remote area power generation. Cyclone Power Technologies (Pink Sheets: CYPW), developer of the all-fuel, clean-tech Cyclone Engine, announced today that it has signed an agreement with Nextra Technologies Europe B.V. and their partner Yakamoz Energy Solutions B.V. ,based in and incorporated under the laws of The Netherlands to manufacture and integrate Cyclone's Heat Regenerative engines, Cyclone's solar trough, and Cyclone's Thermal Storage Units with their electrical technology to produce electrical power in Turkey, Europe (with head office In Holland) , and the Caribbean.
Nextra Technologies Europe B.V. (NTE) whose purpose of business is consulting, oversees, and arrange for total renewable energy projects (EPC). The company has completed/designed Solar, wind, biomass, and other renewable energy solutions for their clients. With a Caribbean branch, Nextra Technologies Caribbean N.V., and daughter company "Yakamoz Tr Enerji Cözümleri a.s",., the group engages in international renewable energy projects in, but not limited to, Europe, the Caribbean and Turkey, with a current client portfolio and potential of 175+MW.
A formal contract of the Agreement will be worked out over the next 60 days, while Nextra will collaborate with Cyclone to develop a pilot demonstration unit in Turkey while plans for manufacturing at their facilities in Holland and Turkey are finalized. Cyclone will retrain exclusivity for Solar systems sales outside of Nextra's three exclusive territories and will receive royalties based on the total system manufactured by Nextra. This agreement will give Cyclone a manufacturing partner and integrator that currently have customers, located in Turkey, Europe and the Caribbean with an estimated portfolio of 175 megawatt diversified solar plants to be constructed on private land for localized power use.

This is the formalization of the binding letter of intent.
The Systems Application/Distributor/Manufacture Agreement enables 3R to manufacture, sell, and distribute worldwide the Cyclone Power Engines for the specific uses of fuel to power in their unique boiler system being manufactured in China. The agreement also calls for a separate development agreement of a Mark 7 Cyclone engine. The 3R group traveled from Denmark to the Cyclone office February 14th to finalize the Development Agreement for the Mark 7 and accepted their first Mark 3 engine for integration into their boiler system. Cyclone's engineers will assist in that integration. 3R's facility in China is producing the boiler and their transition to the combined heat and power systems is expected by August for the 40KW units and December for the 300KW boiler.

Item 1.01: Entry into a Material Definitive Agreement.
Effective March 12, 2015, Asia Properties, Inc. (the “Company”) reports an update to our Form 8-K filed January 19, 2015.
On January 19, 2015 Asia Properties, Inc. (the “Company”) reported that it had signed a Sale and Purchase Agreement between the Company and Asia Innovation Technology Limited, a Hong Kong corporation (“AITL”) and disclosed that Asia Properties had issued a total of 950 million restricted common shares of the Company in the names of the shareholders of AITL in payment of US$1.9 billion reflecting the reported value of the rights, titles and interests in the business assets and all attendant or related assets of AITL. This share issuance would constitute a change of control. (See Form 8-K filed January 19, 2015).
Previously, on January 6, 2015, Asia Properties, Inc. reported via a Form 8-K that the Company had executed the above noted Sale and Purchase Agreement to acquire 100% of the shares and assets of Asia Innovation Technology Limited, a Hong Kong corporation (“AITL”). Pursuant to the Agreement, Asia Properties, Inc. agreed to issue 950 million restricted common shares of the Company to the shareholders of AITL in payment of the US$1.9 billion reflecting the reported value of the rights, titles and interests in the business assets and all attendant or related assets of AITL. The Sale and Purchase Agreement was filed with the Form 8-K and marked as Exhibit 10.8. (See Form 8-K dated January 6, 2015).
Pursuant to the above noted Sale and Purchase Agreement, on or before January 15, 2015, AITL was to deliver to ASPZ, duly authorized, properly and fully executed documents in English, evidencing and confirming the sale of 100% of the shares of AITL and its assets specifically detailing the assets and an asset valuation by a third-party valuator.
Additionally, the Agreement stated that both Parties agreed that all shares issued, pursuant to the terms and conditions of this agreement, shall be issued as soon as practicable following the signing of this agreement, but all shares so issued SHALL BE HELD IN ESCROW and shall be deemed to be in the full control of Asia Properties, Inc. until the Closing.
As of the date of this filing, Asia Properties has not received the required third-party valuation. Therefore, the share certificates representing the shares issued in the names of the AITL shareholders remain in escrow and in the control of Asia Properties.
AITL is also required to provide the Company with audited financial statements prepared by a qualified PCAOB auditor. However, the Company has not yet received the required audited financial statements from AITL. The Company is assisting AITL and the required audit is being conducted.
Due to the delay in receiving the final required third-party valuation and the audited financial statements for AITL, the Sale and Purchase Agreement between the Company and Asia Innovation Technology Limited has not closed and a change of control has not yet been affected.

Team On-Track for Gen 1 Engine Production and Sales in 2014
LANCASTER, OH, March 12, 2014. Cyclone Power Technologies Inc. (OTCQB: CYPW), developer of the all-fuel clean-tech Cyclone Engine,announced today that its Ohio subsidiary, Cyclone-WHE LLC, has signed a new agreement for testing/special services with The Ohio State University's prestigious Center for Automotive Research (CAR). Under this agreement and accompanying work order, CAR will play a key role in the next stages of commercialization and manufacturing of Cyclone's compact Waste Heat Engine (the WHE-DR).
The project will be broken into several phases over a twenty month period. Phase I involves the current modeling, analysis and testing to help place into limited production a 22 horsepower Generation 1 WHE-DR for sale to early adapter customers in 2014. In Phases II and III which are anticipated to commence in Q3 2014, CAR will support the development of a Generation 2 engine for mass production in 2015 with significantly reduced manufacturing costs, increased durability validation and maintenance predictability. All modeling and data developed from this project will belong to Cyclone-WHE.
Christopher Nelson, Managing Director of Cyclone-WHE, stated: "This important new contract establishes the budget, schedule, framework and incentives to assure success of the WHE commercialization project over the following year and a half. Dr. Kim is a nuclear physicist who has authored or co-authored over 200 scientific journal publications during his career. He received his Ph.D. in 1963 from the University of California, Berkeley, followed by a postdoctoral position at Oak Ridge National Laboratory. Dr. Kim is currently Director of Purdue Center for Sensing Science and Technology (CSST), Group Leader of Purdue Nuclear and Many-Body Theory Group, and Professor of Physics at Purdue University. His main area of research has been theoretical nuclear physics, including the practical achievability of low energy nuclear reactions (LENR), or cold fusion. Dr. Kim has published widely on this subject, as well as condensed matter physics, atomic, molecular and optical physics, nuclear astrophysics, and quantum statistical mechanics. Since 1978, he served on advisory committees for numerous government agencies and international conferences covering diverse topics of nuclear physics. He has been a Fellow of the American Physical Society since 1977.

Quarterly Progress Letter
Dear Shareholders:
Warm greetings from South Florida! Through the third quarter of 2013, Cyclone has made substantial advancements in our core technology, added key partners to assist in the commercialization of our engines, and continued to generate revenue and decrease operating expenses. Our Quarterly Report on Form 10-Q was filed with the Securities & Exchange Commission this week, and we urge our shareholders to review it. Notable achievements during the period and additional forward looking information are highlighted below:
Continued Revenue & Decreased Expenses
Cyclone generated $715,382 of revenue during the nine month period ended September 30, 2013, which was slightly less than the same period in 2012 of $882,490. However, operating expenses for the 2013 period decreased approximately 23% and net loss decreased approximately 12% over the same period in 2012. Management has made a sincere effort to cut costs and focus resources on revenue-producing projects that are most likely to result in widely marketable products. We are extremely encouraged by this positive trend which will form the foundation for future growth, including the commencement of engine sales in 2014.
Technology and Business Advancements
The Company has made considerable progress towards the commercialization of our Waste Heat Engine (the WHE™). This summer we commenced work with The Ohio State University's Center for Automotive Research (CAR), and in just a few months they conducted extensive internal dynamic analysis and, in conjunction with Cyclone's engineering team, assisted in updating the design and completing the re-build of this compact external heat engine. The resulting model - labeled the WHE-DR, which stands for "delta" (3 cylinders) and "rotary" valve - has now demonstrated increased durability, decreased noise and vibration, and the elimination of over 60% of its moving parts. This is expected to cut manufacturing costs in half, thereby greatly increasing overall marketability of this product.
Based on these advancements, our plan is to start transitioning the WHE-DR to limited scale manufacturing by the end of this year and have our first-release engines delivered to customers in Q1/Q2 of 2014. It is important to understand that these engines will not be available for widespread commercial sales just yet. Rather, these engines will be sold to our "vertical technology" partners - companies including Phoenix Power that integrate our engines with waste motor oil furnaces, B&W Constructors that builds methane digesters and flares for small pig farms, and Clean Carbon that works with technologies like biochar kilns to convert agricultural waste to usable byproducts.
These three customers have already provided letters of interest for the first 300 engines we produce, and Phoenix has committed to a minimum of 6,000 engines over the first five years in order to maintain its full licensing rights. There are also hundreds of other companies that manufacture heat producing equipment for which our WHE-DR will provide a material "value-add" to the end-user in the generation of shaft power from otherwise wasted heat. Our sales projections for the first-release WHE-DR are approximately $2 million in 2014 - revenue which will support the mass manufacturing phase of product development.
We believe that the team we have compiled over the last few months, including CAR and our manufacturer Precision CNC, provide greater credence to our forecasts for product readiness. These partners significantly increase our collective skills, knowledge and resources in technology commercialization. Management hopes that our shareholders realize how important this team-building is to the success of our growing business, and how we have made great strides in these pursuits over the last year.
Our focus this year has been to bring products to market as efficiently as possible. Because of these strategic choices, there are some projects that will not be completed in 2013 as previously discussed. The delivery date of our U.S. Army contract has been bi-laterally extended until April 2014, in part due to government delays outside of our control. Additionally, we have not had the resources to devote to our Land Speed Record attempt, and therefore, have put it on hold this year. Similarly, our Combilift project will be extended into 2014. Both the LSR streamliner and the Combilift equipment will utilize the Mark 5 model engine, which is truly a remarkable product that we will finish prototyping in 2014. These announcements should not disappoint, but rather reassure our shareholders that we are focused on completing our first product (the WHE) that will provide significant sales revenue starting next year.
Capital Markets and Funding
We have seen continued pressure on the public stock market side of our business. Admittedly, this is partly because our development has taken longer than previously anticipated, which is addressed above. It is also a result of certain promissory notes being converted to common stock and sold into the market over the last few quarters. Like many other micro-cap entities, Cyclone issued these convertible notes over the last year to fund a material portion of our operational and R&D shortfall. The Company is grateful to these funding groups, and understands that liquidating their positions at note maturity is a standard investment strategy.
As a long term stock holder, one should not correlate these selling activities with the progress of our business model and the viability of our technology. Further, some positive consequences have resulted from our reduced market capitalization; namely, at our current valuation we now fit the models of many more strategic long-term investor groups. To these clean-tech and green-energy funding sources we believe that our story is quite compelling, as Cyclone has demonstrated:

Cyclone Secures Agreement to Manufacture Engines
For Phoenix Power Group's Proprietary Waste Oil to Power Systems
POMPANO BEACH, FL, October 8, 2013. Cyclone Power Technologies Inc. (OTCQB: CYPW), developer of the all-fuel clean-tech Cyclone Engine,announced today that it has signed a revised and restated License Agreement with Phoenix Power Group LLC. Under this agreement, Cyclone and its waste-to-power operating subsidiary, Cyclone-WHE LLC, will manufacture and supply Phoenix with a minimum of 6,500 engines over the next five years.
Phoenix is Cyclone's exclusive, worldwide licensee with rights to utilize Cyclone engines to produce power from the clean combustion of used motor oil, as well as other waste fuels and engine lubricants. Phoenix's distributors currently control 70% of the used motor oil furnace market, with more than 150,000 such heat-producing units beings sold over the last several decades.
Under the terms of this new agreement, Phoenix will purchase engines for a period of at least five years from Cyclone-WHE at prices to be determined at a future date. In order to maintain its exclusivity under the ten-year license, Phoenix must purchase at least 6,500 engines during the initial five-year period after delivery of the first running prototypes. The 10hp Waste Heat Engine (WHE) model will be the first engine to be provided; however, all Cyclone engines are covered under the license. Upon completing certain engine development milestones, the agreement will be transferred to Cyclone-WHE to execute the production phase of this program.
"This is an important agreement for Cyclone and its shareholders, as it provides Cyclone-WHE with its first committed customer to purchase engines over an extended period of time for a solid and proven distribution pipeline. We expect this will generate substantial product sales revenue, as opposed to license royalties, and a firm base to ramp up our manufacturing operations.
