I would think, and as any sensible and knowledgeable corp does as standard practice, they would file the Form 10 under Section 12(g) or Section 15(d). As they have recrutied Colletti, I would assume, due to his background, and particularly as he has obviously done this before, he would be aware of this and this would be the normal and his expected approach.

Lem, FYI on the Maryland findings. The final judgement was that the public offering was to cease and that is was not to be undertaken further in the State. There was a fine impossed on Preston but other than refernce to ceasation of the offering, can't find any other refernce to Duncan or action taken. But good find and interesting.

Specifically, TRXX the public company is owned by Stem Cell Assurance, and depending on oyur view so do the shareholders which I assume is you. Specifically and legaly TRXX is not a shell, there is an SEC definition whcih does nto fit TRXX. Absolutley there is no factual evidence of promotion, pumping or dumping of TRXX. What you have is a group of individuals on iHub who have bought stock in TRXX and are happy because the general progression of the stock is upward and it is trading well.
The fundamentals are solid and irrelevant unless you are a longer term investor and are looking for TRXX to become reporting. Then and only then do the fundamentals become relevant. As a Pinky, trading patterns and progression are the only keys.

FYI, one of the things you hate is development companies starting off and reversing and stock splits and name changes. Unfortunately in this market, most compnaies start this way. Fortunately this gives all of us a chnace to make some money.

Not really. It's a bit like your favourite restaurant bieng closed down because or mice or vermin. If no-one dies, it is a mishap but they still get the usual suits and claims. They clean up their act and then get a clean bill of health. Same as wiht an MD or Hospital except that it is closer to home as it invplves patients. Look at the Califonia situation when they had a blood drive targeted at San Francisco. There were suddenly a lot of infections passed on but they technically didn't do anything wrong.
If a Doctor is found to have caused death through their actions then you are 100% correct. Look at the number of HAI's around the world. They happen, poeple die but it is a fact of life, no-one can do anything about it and no-one is direclty resposnible. But you wouldn't expect the hospital to be clsied down. This is excalty the same principle.

Pump, I still don't see it. Awareness yes, increasing pps and interest yes. Pump no not at all.
You talk about the money getting into the hands of the investors, I don't understand. Several posts have pointed out that if you invest wisely in any stock whatever the story, if there is up-lift, and there is with TRXX, the profit made from trading the stock goes into your own pocket so you should be pleased, as it appears most poeple on the board are. If you don't trade or even buy the stock, you don't make any money even if it is Google.
This is a good stock with a good story and moving in the right direction for all investors.

Competition is great, it keeps the company fresh and on their toes, good post.
The thing your missing with this, that others have picked up, is the associations. Virtually the company's entire board will set up Stem Cell Assuance Centers and will feed their own exisiting patients through the sstyem. Remeber Dr Haimes's center and voice mail to hsi clients? They are creating their own market thorugh their exisiting, and if you like "captured" patients. That is a great and eminently successful marketing strategy and is what others do in acquiring or buying market share, but these guys already have it.

I don't know when the PR will come out, but I would suggest as with your DD, you ask the company. I feel that there will be a PR soon and I think it will be about the plans, but that's just my opinion.
IMHO, I can't see a pump or dump and having reviewed the business plan and financials, they are nothing lke the Rexam projections, unless we are drawing the conclusion that becasue they are both spread sheets and have figures, they are the same. In which case, the company should have issued Googles financials in the business plan, as they are a spread sheet predicting future performance and would make good reading.
Anyway, good luck I am still long and confident that TRXX will be proven to be one of the best picks of 2009.

In respnse to your question about TRXX, just want to point one thing out.
Last week everyone one was complaining that the stock was bought up and pumped, rapid rise on news before you guys heard about it. Maybe their "Boca buddy's" did buy it all up, hence the rise, and if they did, then they would know what's coming which is why no sell off or dumping. Think about it?

Stock, with regrads to TRXX, to me it is simple and irrelevant.
There has to be a formal handover with any merger acquisition and it is typical of any business not to release any information until the new managemnt team are in place and ready. My guess is this is exaclty that case and is normal.
From what I can pick up there are two massive opportunities with this stock. Firstly they are recruting more and more MD's to run clinics - remember, the MD's have their own patient lists - existing customers! - and remember SCA only needs 455 appointments to hit year one targets. Will be a breeze
The more important fact is, and I know you have issues, but look at the MD's associated. Imagine one of them discussing the company through their books or even better on national TV. Wouldn't you promote your own company if you had the chance, especially if you could do it across all national media?
So no dumping, no paid for promotion from what I can see, trading like a low float and potentially massive upside. Works for me

Think your right. This stock is breathing on it's own and creating it's own market which as you know takes time and real investors and a real opporutnity. What makes me laugh is the supposed pump and dump that is going on. NOT.

Lem TRXX is one opportunity in a million that does have a proven chance of being a major winner.
The point has been stated many times, these companies come to the Pink Sheets as development companies. Some suceed some fail, that is the risk and gamble with Pinks.
Every now and then, some Pinkies have a real chance and TRXX with Stem Cell has a real chance purley by the fact of the individuals associated with it.
Now I believe that SCA has a real chance because of that very reason. There is one key ingredient to this that has been pointed out but it seems is being missed. The key to success is a product, news and awareness. Now if you read at least one of the PR's, there is a statement that gives TRXX an opportunity above any stock I have invested in and that is public awareness at the highest level.
I am not concerned with where the pps is now or next week, but what I do belive is that this awareness will be reality, the stock will fly and I hope you had the good sense to take advantage.

I did belive in all the companies you mention like yourself. My only contention is that those who said they were holding long term positions or inherited positions, we're actualy selling. But that is part of the risk and challenge of Pinkies.
From an initial stand point of a no "cost entry", investing into any Pink Sheet company is always risky but less so than the founders and originators of any business who have invested time and money.
It is up to the indivual to chose which stock they invest in, how they invest and at what level and that decision is based on DD, association, and all manner of other factors.

TRXX last two PR's didn't hit the major news wires.
The recent PR's were not released to the main wires due to a mix up in the name associtation between Traxxec and Stem Cell Assurance.
According to them this will be recitfied tonight
So with no news the the stock held it's own. IMHO that says a lot about the potential. Interested in your view. If you call the PR wire issuer they will tell you. Surprised this wasn't picked up.

Not as far as I am aware. The TRXX deal was done directly between the companies. Why do you ask?
Stock, not sure where your coming from but all companies begin their life as a start up. Some make it some don't.
Stem Cell Assurance is a new entity that has it's own angle. That angle is the MD's. For clairfication these are the Doctors who are Board members and Advisors to Stem Cell Assurance and they all have Centers which will deliver the collections. They also have cosmetics products and therapeutic solutions.
They do have a unique angle but I suggest rather than cast doubt and mis leading information, call the compnay, I am sure they will tell you themselves.
With regards to posting, you know better than most about the why's and wherefore's. No news, no posting. Having spoken to the company there is no paid for activity, but I can tell you that they are intent on employing a professional relations company to undertake professional IR services. Not individuals paid in free trading stock to pump the boards as you have experienced and have knowledge of yourself.
Again, I would suggest you ask the company directly.
