first look, I'm intrigued .. time to get up to speed.
I think the SEC will be the ultimate ruler and Cetek is required to report due to excess of 10 million in assets as of early 2013 (1st quarter, thus the reinstatement the end of the 2nd) WC and I were talking earlier about the capacity to inventory and ship product on demand now. Add the additional furnaces and other equipment they needed to ramp up to that capacity.
The discussion the last couple days has often turned to speculating this is the reason for the reinstatement .... I think the lot of you are right.
many of us think the CEO (Fayiz Halil) quit reporting for a few reasons; chief among them was to save money as the business was in dire shape 01-02 and he knew he was going to need capital from the market to survive (and eventually thrive) and it's lot easier to dilute on the pinks in the dark... a secondary and purely theoretical theory is that he has been setting a trap for the MM(s) - primarily Knight he feels death spiraled the company stock in that era (supposedly naked shorts; I do not subscribe to the NSS conspiracy itself, but IF Fayiz believes it, it matters...) He filed reports and PRs to keep some semblance of a share price while he sold shares - going from 750 million post split to 4.3B by '07. Possibly the 6.1B if the convertibles actually became shares.
A 500 mil share buyback was approved by CTKH's board early to mid 2000's ... we have no idea as to status. My personal belief is that it is complete because Fayiz doesn't want egg on his face when they start reporting again. This would put the OS at 3.8 - 3.9 billion. D&B and Hoovers and Ref.USA are showing revs in 2012 of about 8.5m for Cetek itself 3m for Hybrid-Tek unknown for Belanger and any other subsidaries --- joesdata.com recently listed them in the 20-50 million annual rev. category from 10-20 previously. I do not know where they get their info nor when the change occurred (and frankly was unfamiliar with joesdata until one of the guys on the board provided a link to that update)

OS = unknown. No new REG D's since '07... maximum OS is 6.1 B - there were REG D's in '05,'06,'07 that were used to finance the acquisitions of Belanger and Hybrid-Tek subsidiaries. Those of us on the board have not been able to track any registration of those shares for sale, so it is strongly believed the OS DID NOT go from
4.3 range to the 6.1 Billion reported for a couple years. They were convertibles that apparently (hopefully?) paid off instead of issuing shares.
market cap = unknown due to unknown share structure
Cetek itself manufactures ceramics and related materials. The subsidiaries manufacture hybrid circuits ( http://www.hybrid-tek.com ) and Belanger does machining of the materials. Since the "dark period" began in 06-'07 we have been finding numerous research papers, gov. grants, etc.. pointing to a thriving company whose CEO has forsaken communication with shareholders --- why is unknown, but many suspect he has it for the MM's who he feels drove the companies stock to the ground in the early 2000's after a deal with Motorola on CNT flat screen technology fell through.
After years of dormancy ( no bid or .0001 bid ) the stock has suddenly awoken the last couple months. The fact the company reinstated it's NV business license last June is the likely driver for renewed interest.

You guys should check out the CTKH board -- some great DD .. there are about a half dozen of us that have been accumulating shares for years... this company is solid (just quiet and non-reporting) Among about 10-12 board members we've locked up 1/3-1/2 the float (approximately 2 billion owned by about 10 of us) When this starts to move it will go fast --- most of us believe the PPS would be valued fairly at .01-.10 based on publically available info on OS,revenues and the sector they occupy.
that makes me wonder about motivation to remove it ... demand too high to keep up with random orders coming through the site?

even if it weren't... the publically available information tells us even with 6.1 billion OS...with revenues at $10 mill+ base rev/share is 0.0016393442622951 . Lets assume a very low overall profitability for this/these sectors of 10%
EPS = roughly .00016
average materials sector PE ratio in the 20's = $ .003
average semiconductor/high tech PE usually 40's = $ .006
The revenues are likely higher, the OS likely smaller and the margins likely better and with the growth rate we're likely to see... this is going to go far.

with one qualifier -- most of us hold out. There are a few locked in for years that are likely to dump good portions a lot earlier than others.... A PR with financials would eliminate that as the price is likely to shoot up in an instant to a fair valuation.
I'm young (38) enough that I'm in no big hurry. My plan is to sell roughly 6 million at .005+ to ride out 111 million "free shares" in perpetuity.
I have a suspicion that we're going to build a base at 6-7 tomorrow and maybe test .001. If we see some 5's early tomorrow, this is going to start to leg up day by day. When we do break .001, I think we're going to fly quickly as Danny just said, the float here is locked up solid.
and it looks like it might actually start to happen this week. More and more seems to keep popping up on various websites about Cetek's activities and "something" has definitely changed since the beginning of the year... I believe 2014 is going to be our year.

I think I misunderstood your post... it is definitely shareholders of record if we're talking about the 500 requirement.
I don't know Doc ... that verbage looks like pretty solid legalese for "if either of these happen you must report"
"your company has fewer than 500 shareholders of record of the class of securities offered and less than $10 million in total assets for each of its last three fiscal years" -- per SEC website
'and less than' ... I think it does't matter once you hit 10 million in assets for three years and that's exactly why the revival and the high likelihood Cetek will be returning to reporting status ( 2013 annual report by end of March?)
It appears that other large holders here are comfortable with sharing their shares as well. I'm at 117 and change. We should compile a list like we did back in 06 -07. The measly couple hundred million we all held then is going to pale in comparison. My guess is that those of us that have been around have at least a quarter of the float locked down. Those of you new guys that are doing some promotion on the boards and Twitter. You can make a strong case about the float in your promotions. Even if the outstanding is 6.1 billion, it would not surprise me if we're approaching a third.

The range you'll see guestimated here is anywhere from 2-6.1 billion.
I personally believe we'll find the OS to be just under 3.9 billion when/if we get confirmation. (4.39 billion listed prior to convertible debt -that most here do not believe were issued and would have gotten the float to the 6.1 billion listed on the Cetek website several years back) I believe Fayiz will have completed the board approved 500 mil share buyback before pulling back the curtain for credibility's sake and we'll be at that figure. (possibly less if the buyback went beyond 500m)
it's all relative as to "sooner".

At least a billion. How many of us are approaching or are over 100 mil. Your half dozen plus another half dozen lurkers probably. I think no way any of the estimates of the shares out being under a billion are realistic. In all likelihood the 4.1 posted on pink sheets is pretty close. 3.6 to 4.1 B (500m buyback). The 6.1 posted on the site reflected the convertibles that were never converted.
Reinstated as an active corp. in Nevada last June ... to reinstate it cost them the 46k in current and past fees.

I'm interested in seeing what tomorrow brings after Friday's renewed volume surge, the huge drop of 50m at .0001; the lack of 100 whacks and a few very strong hits at the ask in the afternoon... I was hoping this would hold off while I transfer an account to Fidelity, but I suspect this isn't going to hold off more than a few days and if I want more, it's not going to be at .0002. As they say at the meetings "one is too many and a thousand is never enough" , except make that 10's of millions is never enough.
