Another concern for public companies is the interaction of social media with the obligations of Regulation Fair Disclosure (“Reg FD”). This issue has arisen with particular prominence when companies disclose information via Twitter. Generally, companies will fulfill the Reg FD requirements where 1) the information is published in a recognized channel of distribution and 2) the information is disseminated in a manner intended to reach the general public. As a safe harbor, companies are advised to make information public through the SEC’s EDGAR website. In fact, once the information has been divulged on the EDGAR platform, companies are then free to distribute and disseminate the information without any constraint.
Unfortunately, recent institutional guidance still does not clarify whether a single tweet may implicate Reg FD. As Nancy Flynn points out in The Social Media Handbook, whether Twitter constitutes a “recognized channel” depends on the efforts made by the company to disclose to its investors the use of Twitter as a channel for the release of financial information. Information is disseminated where the data is readily accessible and attracts the investors’ attention. Accessibility and ease of reference are a concern for heavily tweeted accounts, in which case the company is often advised to create multiple accounts with one account devoted exclusively to the dissemination of corporate information (as has been done for example by Dell). Companies should also attempt to syndicate their tweets on other websites such as search engines, finance pages, and media platforms.
Similarly, a corporate website can be used to satisfy public reporting requirements where the website is a “recognized channel of distribution” (a consideration of whether the website was “reasonably designed to provide broad, non-exclusionary distribution of information to the public”) and if the information was posted in a readily accessible manner according to SEC Release No. 34-58288. At the recent PLI Conference discussing Social Media implications, Google Inc, was reported as being the sole company which used its website to disclose its corporate earnings.

Yes agreed. The only challenge we have is being a subpenny company as operated by blue chip philosophy. What's wrong with this you ask-- nothing for those of us smart enough to get in down here and grow with the company, BUT- many shareholders here- even the ones rooting for 'long-term' success are still not getting the play here. I would bet my stake in this company there will be no PR over the weekend, if even next week. Maybe not even this month. I'll leave it at that for us that know what we have here, but the CEO hit it on the head in his interview with STT/KOP when he critiqued both CEOs and Shareholders alike for mutually perpetuating both a sense of entitlement and instant gratification. I think he's rid himself of that and we need to as well-- We're all gambling anyway, why not gamble on that? Because IF that gamble pays off - we're not even close to getting started here- in a good way-- and the MOMO? you've got to have a bird's eye view to see that because it will be spread like beautiful green moss over the next several months into years. No I'm not drinking and if I were, it's not Kool-Aid. Yeah, I'm adding all the way- It's easy to get sucked in to the typical pinkie attitude (especially on ihub) but this is pennies, no question, save the CEO doing a 180 to the negative. I don't see that happening after the reassurances from KOP and the actions themselves of late.

I'm curious as to your take on this as I see you are only interested in pump/promo plays (and I see why - it's a great philosophy as a trader if you play them right)- but why show up here? You looking to get in low or just feel like giving sage advice? This one just might pay off, but I would NEVER bank on stock at this level with 'retirement' money. IMO there are worse things you could do, but I'd use your play money for now then plan on retirement when they uplist and put out some movies. That's when you're talking DSN or LGF numbers down the road.

Now, now-- we're all excited, but let's not let this grow artificially- the way they've done this so far is MAGIC-- every CEO should be working with KOP at this point..... This is a big step for all of us today, but the higher it grows artificially, the bigger the chance we have it to be deflated, but slow and steady and we build a brick wall under each price increase- yes, blade? If not, you're in the wrong room/wrong stock. I mean that with all due respect.
I am thrilled with this-- wasn't sure we'd break .001 today but here we are! Also, given what I know about the entertainment biz, I wouldn't expect their financials to knock your socks off-- Selling music and movies is one thing-- collecting on them is another...but the prospects here long term are incredible IMO-- just keep doing this the right way KOP and Mark!
I think 'Mark and Co.' could not do one more thing to the share structure and this thing could still fly-- so long as they don't bloat it out-- Just keep it where it is and go with it-- keep reducing debt and, sure if you want to pick up more shares, Markie, go for it--- but I've seen stocks with much larger share structures perform very well-- It all depends on what you have to offer and I think this company has a lot to offer-- It's just a delicious meal that will take awhile to prepare- and well worth the wait IMO
