Can someone explain the derivative liability? Are they counting the shares outstanding as a liability?

Well, to be fair, from January they're doing doing pretty good.
I looked at some other companies statements that have done this, seems usually typical. Atleast the ones I saw.
Re reading the PR and got a question.
It says they are purchasing 20.7 mil shares of GMER and warrants up to 20.7mil at .15c.
Am I correct that this means they are guaranteed $3.1 mil for exchange of 20.7 mil shares and the institutional investors can purchase up to an additional 20.7 mil shares at 15c and cannot sell them for less than .20c but are able to sell immediately assuming the price is > 20c.
So a total of $3.1 and up to a total of $6.2 mil for 41.4mil shares total?
Can someone smarter than me clarify?
I'm not sure what the problem is, yes there are new shares, but they also just got $3.1million to help propel the company forward.
Fluxty has nothing to do with this deal as far as I know, he is a developer not the CEO.
David has created numerous companies and taken each one to multi mil revenues, I am putting my faith in him that he knows what he's doing, and will use the cash to expand this company.
Remember, David has 16mil shares here, if he was going to do something that would hurt the company don't you think we would have seen a filing hit showing he sold a lot of shares prior to the institutional investment.

That's a good way to out it. Honestly I'd prefer it this way if they're going to raise funds.
I'd rather a in your face here it is announcement then a slow spiral.
This could be very very very good for the company. If they use the money well.
I can't imagine that the whole $3.1 million is to be used for advertising and microbuddies seeing as its almost completed.
They still have $600k + in ethereum in their piggy bank.
I wonder if an aquisition or another product is going to be announced in the coming weeks.

I agree it's good but obviously dilutive, about 33% more shares in the supply now and an offering under the 200ma long term support.
If the team uses the money wisely it could be a huge boost to the shareprice in the coming months.
David had better be more yippity yappaty on the PR front though and let us know what this money is being used for and show us some results from this.

Bob, honestly, it's the same as 5 years ago. It's what Alex does.
But the PPS did have a nice pop from 5 years ago.
It's a catch 22, prices of buddies on secondary will adjust for fiat $ compared to ETH. It's harder to demand .10eth for an NFT when the price has almost 3x'd.
But there monetary cut is still 5% of total sales no matter the ETH value.
It just adjusts how much ETH they will get per sale.
If ETH drops then NFTs will cost more ETH but less fiat dollars.
If ETH rises it will cost less ETH but more fiat dollars.
All in all they still get 5%
Was just looking at their website and product.
GMER should contact them and inquire about an aquisition. That's a prime target that fits the GMER philosophy and profile.
Nows the time to acquire them before they launch, get the product, get the team behind it onboarded and we just gained a new product and more talent to join the team in one swoop.
Something else to keep in mind on this one, they have a low share structure that still has roughly 120mil shares available. AS minus OS.
They could easily use some of those shares to acquire a smaller studio in return for shares of GMER.
Hypothetically, if they were to acquire a smaller but already performing studio with talented workers in place for 8million shares ($2,000,000) roughly, they could have a whole new team and operation in place to increase revenues.
Lots of negotiating power here when it comes to M&A.

The other interesting point, if anyone is following the NFT market, is that people are becoming bored with the standard profile picture collections of 8-10k NFTs per collection.
They're looking for something more, something different and a lot are saying how there needs to be a change in what NFTs bring to the table.
This change of thought is lining up well with Microbuddies potential release dates.
Another thing people are complaining about is the Ethereum gas prices being high, often costing over $100 per transaction nowadays. They're discussing how NFTs may need to move to a other platform like SOL or Polygon to reduce gas costs.
Microbuddies is launching on Polygon and it's a simple process for ETH consumers to bridge their ETH into Wrapped ETH (WETH) which is used on Polygon.
Microbuddies is literally solving the problems of NFTs before anyone even knew they had a problem.
We are about to launch MicroBuddies into a multi billion dollar market that's looking for something exactly like, you guessed it! Microbuddies!

Yep, most of the code can be replicated (microbuddies reference :D) into another game. Change the character designs, tweak some game play mechanics to keep things fresh, and they have a new game ready to go.
That's the thing a lot of people are overlooking. Microbuddies is just the beginning. MB will prove the concept and bring in, in my opinion, quite a bit of revenue, but the idea and the code is now in place to produce more games at a quicker pace with less of a learning curve for everybody involved.
It's a ecosystem the company can build out quote a bit.
David stated before in a PR that they want to do $50 million in revenues within 24 month period. We are already underway and the countdown has started.
The amount of money and oversight needed to keep these games operational and raking in revenue is low due to being hosted on the blockchain.
If they can extrapolate this idea out further they could easily blow past their $50 million goal.
Looking forward to volume coming in one day and wiping these peanut manipulators out. It's obvious that the ask stacks are there to induce selling. Been going on for months.

GMER has all the ingredients to go multi dollar, seems like the bidders realize this and are loading anything that hits the bid. 300% move puts this at $1 and a less than $80,000,000 market cap.

Yep, nice volume today and price holding this range well. Sellers gonna run out shares sooner or later. Hope strong hands are buying in and holding for multi dollars with us.
Volume has been increasing lately.
Lack of selling with that ask wall up shows how strong the hands are in this one now at this range. They've pushed out everyone who was willing to sell on the bid already. Time to move up and take that wall down.
Better lower it then. Apparently all the available information out there and their current revenue increasing to over 300k last quarter and pushing 600k total since Microbuddies was announced isn't working for you. When they start generating international interest and revenues from secondary sales of the NFTs from OpenSea it will be all the better.
Or the fact they've kept their share structure shareholder friendly for years upon years while they build out a plan get in the way of a good bear story. This company has done everything correct and that's why they've seen their share price grow so much here over the past few months.
Dapper Labs and Axie are the only others in this space with a game version of NFTs similar to Microbuddies. They're both doing revenues in the billions.

2) You seem to be overlooking the S8 filing when it comes to the debt. Much of the debt is tied to that S8 filing which is a positive for the company and its employees.
For anyone unsure. Let this sink in, up 27% on a little over a million in volume.
If that doesn't tell you the confidence shareholders have I don't know what will. Shareholders here aren't selling.
ASCM came to play, last time they got themselves in a bit of a predicament and helped this run from .02 > .75c.
Let's hope they make the same decisions and run it up the same percentage gain!

Yes, that's huge for playability and overall revenue generation. Players spending less $ on gas means they have more $ to spend on acquiring new microbuddies or GMER shares.
Moving to polygon prior to official launch was a great move!
That would also be an acceptable merger. Lol, I'm good with GMER by itself doing their thing. If they have a good merger candidate that's just icing on the cake!

I still wonder if at some point will David decide to take ViaOne as a whole through GMER.
He owns ViaOne and ViaOne owns GMER.
David owns 16 mil shares of GMER and he has been very responsible with the share structure and keeping the filings up to date and is working on creating value in GMER.
If he decided to take ViaOne public through GMER at some point, with them doing over $140mil a year this stock could go $5-7 easily just on that news. Assuming around 10% profit on revenue.
That would net David a $80-100 million valuation on his shares.
He's mentioned mergers and aquistions before and that they have "big hairy audacious goals"
Seems like a logical merger candidate and keep the family of companies together under one public umbrella.
Pure speculation though. GMER is making waves in its own right and could achieve that $5-7 price by itself here shortly.
