Good find, Adonis. I am positive that Premium was added because it was profitable. Hopefully we see something soon with some info about Premium and maybe some plans for Heartland in 2011.

The deal for the shares for canceled debt was dated November 1, 2010. The 10Q states:
As of November 2, 2010, there were 23,308,191 shares of common stock, $.0001 par value per share, outstanding.
Therefore the TOTAL shares after the deal was 23,308,191. It only makes sense that this includes the shares given to Terry and Gary. Also explains why the company wanted the share price at these levels - they have been buying shares in order to make the deal.
Do not surrender your shares, do not be persuaded that the company is in a nosedive, do not sell for a loss. HTLJ will be up in 2011 - BIG.
I checked the Form 4 from Nov 1st - Terry holds 10,649,949. It seems that Gary Lee holds another 5,555,556 shares. I don't believe he has to report because he is not with Heartland, but rather with Lee Holdings. The numbers are the same, but I don't believe Terry holds 15+ million.

On November 1, 2010, the Company entered into and closed a Shares for Debt Agreement (the “Debt Agreement”) with Gary Lee (a relative of Terry Lee, the Company’s Chief Executive Officer) and Lee Holding Company, L.P. (“Lee Holding Company” and collectively, the “Creditors”).
They were given shares, which I believe the company had bought, valued at .18. In return, they canceled 2 million in debt - each "lost" one million. If they sell these shares at .50 each (conservative) they make 1.5 million profit each. Good deal for them, good deal for Heartland, good deal for us.
That is only one of the many reasons to like/hold this stock. We also know that Ihubbers hold at least 1.5 million of the remaining shares.

The Company currently manages its business as three operational segments and files as a consolidated entity. Operating segments are defined as components of an enterprise about which separate financial information is available that is evaluated regularly by the chief operating decision makers. Mound – Steel Fabrication – Primarily focused on the fabrication of metal products including structural steel, steel stairs and railings, bar joists, metal decks, and other miscellaneous steel products.
Lee Oil – Oil Distribution – Primarily focused on the wholesale and retail distribution of petroleum products including those sold to the motoring public through our retail locations.

I believe that HTLJ is a winning stock. I am excited about the upcoming fourth quarter numbers and the plan going forward for 2011.

I couldn't really say what they have for revenues. I can only see one reason for the acquisition, though, at this point in time. They are profitable and revenue producing. My guess is Premium was added to facilitate/accelerate the loan payback. I still insist that paying off two thirds of a 3 million debt, while at the same time, acquiring a revenue producing company is pretty good business and that it points to HTLJ moving up sooner rather than later!
I would sure like to see the promised information regarding that transaction soon. I would like to see some info about Premium Homes as well.
