A Nevada corporation is a corporation incorporated under Chapter 78 of Nevada Revised Statutes of the U.S. state of Nevada.
Nevada, like the state of Delaware (see Delaware corporation), is well known as a corporate haven. Many major corporations are incorporated in Nevada, particularly corporations whose headquarters are located in California and other Western states.
Organizers of a business generally have a choice on where to incorporate the business. In the United States, corporations are generally organized pursuant to state law, rather than federal law. Moreover, a business need not establish or maintain a physical presence in a state in order to incorporate under the state's general corporation law. If the corporation transacts business in a state other than the state of incorporation, it is considered by the other state to be a foreign corporation. See NRS Chapter 80. For example, a business may be headquartered in San Jose, California but incorporated in Nevada. The corporation is a Nevada corporation and the State of California will consider it to be a foreign corporation. See California Corporations Code Section 171.
In the United States, states generally, but not invariably, follow the internal affairs doctrine. "The internal affairs doctrine is a conflict of laws principle which recognizes that only one State should have the authority to regulate a corporation's internal affairs ... because otherwise a corporation could be faced with conflicting demands."[1] Under the internal affairs doctrine, courts will generally apply the law of the state of incorporation to the "internal affairs" of the corporation.
States can derive revenues through the incorporation of businesses. These revenues include direct payments to the state in the form of filing and other fees. The state can also receive revenues indirectly through businesses (law firms, resident agents, accounts and other service providers) to corporations. The Nevada legislature has tried to make Nevada an attractive alternative to Delaware as a state for incorporation. In many instances, it has tried to "out Delaware" Delaware.
[edit] Legal benefitsNevada's laws offer flexibility to a board of directors in managing the affairs of a corporation, and permit management to put in place strong protection from hostile takeovers. It also provides extremely strong protection against piercing the corporate veil, where a corporation's owners can be held responsible for the actions of a corporation. As of 2007[update], in all of the court cases involving a corporation, in a period of twenty years, in only one case has the piercing of a corporate veil been permitted under Nevada law, and in this single case the reason was because of fraud on the part of the corporation's owners.[citation needed]
Because the provisions on "piercing the corporate veil" are corporate governance matters, if a corporation chartered in California, for example, (which has much more creditor friendly provisions permitting this) is sued anywhere, California law applies, but if a corporation chartered in Nevada, which operates only in California, is sued in a California court, the California court would use Nevada law in determining what the requirements permitting this (Note that foreign corporations, including those, for example, incorporated in Nevada, may be subject to California Corporation Code 2115). On the issue of "piercing the corporate veil," Nevada law applies (which is much more supportive of the corporation's interest), even if the corporation only operates in California and has never had any other contact with Nevada and is simply chartered there as a "flag of convenience."
Nevada (unlike other states) permits the corporation's articles of incorporation to vest authority to adopt, amend or repeal bylaws exclusively in the directors, so that shareholders would not be able to change the corporation's bylaws.
Disputes over the internal affairs of Nevada corporations are usually filed in the Nevada District Courts, from which judgments can be appealed to the Supreme Court of Nevada, the state supreme court. Because of the large number of corporations chartered in Nevada, the courts in that state are more focused on the application of corporate law than the courts of most other states. Nevada's courts are developing a strong body of case law that serves to give corporations and their counsel guidance on matters of corporate governance, although Delaware and some other states have a larger body of such case law.

It also has no corporate income tax or personal income tax.[2] While Nevada likes to promote that there are "no corporation taxes" in the state, there is an annual $200 "Business License Fee" which is paid to the Nevada Department of Taxation in some cases (but not all). Nevada and Texas are the only two states that do not have information sharing agreements with the Internal Revenue Service.[citation needed]

Maybe at .05 or higher.When they put out news of a contract etc before that could run the stock price up.
I believe there are certain factors they are considering before they would do one.

Look at each TDCP trade here on IHUB.
Right above the messages there is these words in a box. (TDCP Detailed Quote ) Click on it and it will take you to another page. Then click on the word trades and it will show you all trades and if they were buys or sells etc. Notice the colors in the middle? Tells you if there are more selling or buying IF I have that figured out right.

It has to do with volumn alert in their system nd just stuff set up through them. Just call and talk withh a knowledgable rep.
They womt charge you extra to call and place your trades. It will be the same price as online.
It wemt into affect on this stock a few weeks ago I was told, because of a certain % crease in volumn from zecco traders , Nothing at all to do with 3DICON.

Been consolidating since August 17th at .02 level on my chart.
It would be interesting to know how many shares would need to be traded to get it to .03
There are people that are out there holdingt heir shares from the pennies, all the way up to to around 10.00. Some traders will not touch part of their shares and are holding on for the days that we finally hit the big Board and possibly get splits and dividends.
Oh, there will be big swings I believe. I could of had 90 million shares IF I would have sold all I had when it was over 1.00 and bought when it was .004 and sold around .08 again. But since I'm a long, i missed some wonderful chances to increase my position greatly. Many of us now, will set aside some of our shares for trading to build a better position in the coming months and years.
I will sell some on the way up to 5.00 to get my original investment back though.

2008 meeting was at a nice large hotel meeting room in Tulsa.
Some of the people working on this project were there along with the board and officers.
2006 meeting was on the campus of OU SCHUSTERMAN CENTER in Tulsa located at 41st and Yale in a meeting room. I remember they took on an a very small tour to a couple of rooms afterwards to show us a few things they were working on. They also show us some real nanogel I think it was called and some other items.

Thanks Artsy! I haven't found out anything yet. We might not know until the next announcement. I know that there is a long drawnout process they have to go through to get a PR out to the public. They have to go through the lawyers, the board, the CTO, etc. They might have to do this process many times over until everyone ok,s it.
Update on OSU Helmerich Research Center.
I called OSU Helmerich Research Center today because I wanted to setup and take atour of the place. I talked to Kenneth Ede and told him I was a shareholder with 3DICON and wanted to see about touring the Research Center. He told me " We are no longer doing work with 3DICON". He commented that he didn't know where they were doing the work. That is all he said and I thanked him. He was very nice and didnt seem mad or upset or anything.

Made a few thousand flippin a while back and have used most of it up buying here in the low .02s.
I have a goal also that I am going to reach.
Those who believe that they will be able to pick it up at a cheaper price.

Those who are selling to get into something else to trade for fast profit. (I have a dentist friend that got into POTG at .10 and sold for 1.20 around a month ago. )

In the last 2 hours the percentages of trades going through at the ask have increased. Dont know if that means anything though.
15 minutes ago MM's had bid orders from .02 to .0211 of 970,000 shares total
MM "s had 1.1 million on the ask from the price range starting from .0214 to .026. Then it jumps to .028.
If we had a couple million more shares in volumn today it looks like we could have a nice close today.

9 MM's setting at .02

By the time the news of the agreement or agreements with top company or companies is releashed it will probably be many thousands of percent higher. Its possible that some major investors could come in and buy up the rest of the shates.
If you add the possibility that pumpers and daytraders get in also, this baby could really fly.

Tried to buy a litte yesterday before markets closed .I put in price between bid and ask. I waited and noticed some orders went through below mine at the bid . I then changed it to ask price. It wouldnt even go through at the ask. Usually instantly or within a few seconds, I get the order filled. Whats up with that? I didnt get filled. Looks to me like the MM didnt want to sell at the ask.
