I am writing to you in an effort to persuade the Board to change the direction and management of GlobeTel Communications Corp (GTEL) immediately. I am convinced that if steps are not taken GTEL will quickly cease to function. In my opinion the next few weeks are critical for the company.
The promised infusion of working capital has not materialized as per the original schedule agreed to; that being $250,000 per week. The lack of continuous funding has made it impossible to formulate a “work out” plan, let alone facilitate a recovery and growth plan. Should the company be required to restate the past eight quarters; what is the plan to handle this event? Considering that we are issuing stock to secure loans from the Peraltas and possibly from the Galindo brothers. Is future funding dependent on the stock price?
GTEL cannot pay its debts nor meet obligations when they are due, and the company’s liabilities exceed assets; whatever anyone says to the contrary; this is insolvency. Why this is not being addressed is a mystery to me as the officers become personally liable for debts incurred. The company continues to borrow money in this condition. A case in point: Amex card, and additional outside capital through the issuance of stock. As you know, I am not an accountant or lawyer, but it seems to me that we are not being truthful in disclosing our current condition before borrowing or accruing further debt. Are officers and directors liable?
We currently have a lack of leadership. I do not believe it is all Peter’s fault that this situation exists, however much of it must rest with him. Peter came in and cut salaries, moved people around, closed divisions with little to no understanding of what was necessary to take the company in a new direction. I know of no plan that takes the company from where it was three months ago when Peter began to recovery. I think much of this in due in part to the lack of timely funding; however I really don’t know where the additional money would have been spent as we still do not have any real programs on the table, with the exception of Mexico that can generate cash flow, let alone profit. It just seems that we are waiting for a miracle. This company cannot be managed from a distance of 3000 miles. We are still burning what little capital we have at an alarming rate, not paying our obligations and producing nothing.
I think it is important that all of you understand the Mexico project and some of the difficulty that surrounds it, how it came about and where it is today. The Mexico wireless project with VPN was never a GTEL project; by this I mean GTEL did not initiate it. GTEL did not hand the project over to me. I initiated the project through a friendship and business associate in Mexico by the name of Pablo Galindo. Pablo’s brother Antonio is godfather to Carlos Peralta’s children (Carlos is the sole shareholder of IUSA). Carlos Peralta and Antonio Galindo have been life long friends and do a considerable amount of business together. It was through their connection with the Peralta family that Tim was able to get a meeting with Carlos Peralta within three days. My relationship with Pablo Galindo goes back some seven years in the telecommunication industry; it is based on trust as well a strong friendship. When I asked Pablo to consider meeting with Tim there was no hesitation as I have never mislead them in any way and they trust my judgment. That trust continues today and if it weren’t for my direct involvement with the Peralta’s, supported by Antonio and Pablo; GTEL would not be in the position it is today with the possibility of signing a new contract. You may recall that our first agreement with the Peralta’s failed miserably as GTEL was unable to perform and demand was made by VPN to cancel that agreement and return their $225,000. I along with Pablo and Antonio Galindo turned that around. I know there are two sides to this story as I have heard them a thousand times, but perception is the reality.
I believe, as do others in the company that GTEL can be turned around very quickly. The re-organization that Peter began must be expanded immediately. Without a realistic plan going forward and sufficient operating capital we simply will not be able to continue in business. GTEL has most of the components necessary to build a profitable company, however those assets are quickly disappearing. Vendors are frustrated that we do not keep our word in regards to payment plans. Critical vendors and employees that are under contract to wireless have not been paid. Agreements to pay them have not been honored. Many of whom do not want to continue a relationship with GTEL. This is a serious problem in respect to the Mexico wireless network. For the past few weeks I have been reluctant to become further involved in the operation of the company as I am unable to function as a COO. Prior to the new management I was able to reconfigure and implement the companies existing operational procedures. I was responsible, as COO to investigate all payments and approve all expenditures. This included, but was not limited to, expense reports, credit card charges, etc. The new CEO circumvented this procedure after agreeing to keep it in place, thus rendering my position redundant. What is currently happening at the company in regards to payment and the review of said payments is completely unknown to me, which of course gives me further concern as I became aware that scheduled payments and settlements I made and Peter confirmed with key creditors, vendors and contracted employees were not met.
I was recruited by the former CEO to move to Florida and be part of the GTEL team. I am a stockholder of the company and am still owed a considerable amount of cash. The company’s failure to issue the stock and/or cash that I earned is now entering the third year, even though this is an irritation, it is not the reason I am writing to you. I would very much like to see the company be success and the stock value increase so that the stock I do own becomes valuable. I have also agreed to take stock in lieu of cash in respect to the balance owing to me. If this doesn’t demonstrate a strong belief in the company’s future I don’t know what does. I fully believe that I can do a better job leading the company and turning it around quickly. This would absolutely depend on key people staying with the company, whose support I believe I have. It is crucial that we keep the people necessary to do the Mexico project as we do not have time for a learning curve. Much of the problems in the past, in my opinion, have been in giving responsibility to individuals who are not capable of executing assignments without strong management. I believe we have the expertise necessary to take the company to profitability, I also believe they are dedicated to GTEL’s success but need to be focused as a team. As you all know we have no cash flow whatsoever. The burn rate is still very high despite Peter’s efforts. It’s always easy for someone to say they can do better; the real proof is in doing so. The first thing I would do is to bring the team together immediately to execute the Mexico project, I know our weaknesses and strengths. I believe in their ability to execute the project. I would immediately reduce overhead further by cutting salaries, expense accounts, outside contractors, reduce divisional and corporate rents and operational expenses by moving the company back to the original offices, negotiate with note holders and close Germany, assess Sanswire’s potential and the timeline involved and either obtain funding, sell it or close it down. I am convinced that there are a number of other areas where we can conserve operating cash. These reductions coupled with the $1.5 million remainder of the $3 million dollars pledged by Mr. Kostro will see the company to profitability.
I can’t stress enough the importance of keeping the remaining key people. Morale at GTEL is low. The same people that can turn this company around are the same people who in leaving will destroy it. I have nothing personal against Peter. I have observed his management style since he began and this company cannot be managed from a distance of 3000 miles, the situation in which GTEL finds itself must have hands on management. A twelve hour day, every day, is required to turn the company around. Peter does not inspire loyalty nor does
he generate a state of confidence in respect to the company’s future, other than to say he believes in it, yet he requires being prepaid and does not take stock in lieu of pay and requires anticipated expenses paid in advance. This does not sit well with me or others who have taken stock in lieu of payments and use personal credit cards to book travel and lodging. The company is rapidly reaching the position were key people will leave, certainly if they do not see a major turnaround soon. The company’s management expectations are grossly overstated. We need to return to fundamentals and clearly determine what we can and cannot do.
It is for all the above reasons and the relationship I have with Pablo and Antonio Galindo that I do not feel comfortable that GTEL’s current management will be able to fulfill the contract it is contemplating entering into with the Peralta family. In good conscience I must inform the Peralta’s and the Galindo’s that in my opinion their investment is at risk. In all probability this will raise serious questions and doubts with the Peralta’s who are already nervous about GTEL’s financial condition and management, as there is not much trust in GTEL’s abilities after the Mexico City failure. However, if you think I am overstating my importance to this project, I strongly suggest that either a member of the board or Mr. Kostro call Pablo Galindo directly. Pablo will clearly explain the chilling effects of my departure on the deal.
I find myself in a terrible position whereby the company’s future appears to be dependent on my participation in acquiring a contract that I know cannot be executed if I leave GTEL. I would like to see the contract consummated and the company prosper. However I cannot stay with the company under the current management and direction the company appears to be taking. I did not ask for the COO position and was extremely reluctant in accepting it. It was clear to me after a few visits to the corporate offices that the company needed the discipline and management style I could bring. These are the same strengths I will bring to the CEO position and more importantly I am here every day. When I look at the company today I am extremely frustrated and disappointed that we were not able to put together the right management team. I have never quit or refused a challenge; I have been in business for more than forty years and cannot see a short term solution other than to take this on myself. I have given this situation a great deal of thought and believe that we can be profitable within 180 days if changes are made immediately. I strongly encourage the board members to fully apprise themselves of the situation and the company’s perilous financial condition.

I find myself in a terrible position whereby the company’s future appears to be dependent on my participation in acquiring a contract that I know cannot be executed if I leave GTEL. I would like to see the contract consummated and the company prosper. However I cannot stay with the company under the current management and direction the company appears to be taking. I did not ask for the COO position and was extremely reluctant in accepting it. It was clear to me after a few visits to the corporate offices that the company needed the discipline and management style I could bring. These are the same strengths I will bring to the CEO position and more importantly I am here every day. When I look at the company today I am extremely frustrated and disappointed that we were not able to put together the right management team. I have never quit or refused a challenge; I have been in business for more than forty years and cannot see a short term solution other than to take this on myself. I have given this situation a great deal of thought and believe that we can be profitable within 180 days if changes are made immediately. I strongly encourage the board members to fully apprise themselves of the situation and the company’s perilous financial condition.

they want to put repeaters on the ground to help with weak signals.
another problem gsat has that could be solved by a high tower is atc.
satellite operators have known about high towers for years. they see them as nodes in a network with satellites as the backbone.

The agreement provides GTC with an opportunity to invest in Sanswire and calls for Sanswire to study the integration of GTC's satellite simplex data transmission systems, called "appliqués," with Sanswire's LTA platforms to allow data communications in areas of the world not yet covered by Globalstar's gateway earth stations. In this role, the Sanswire LTA platforms would act as a surrogate Globalstar ground station.
