Item 2.01 Completion of Acquisition or Disposition of Assets.
On August 25, 2005, the Company and its subsidiary, Airbee Automotive Group (d.b.a. Identity), agreed to enter into a rescission agreement with Daniel Nelson and Identity, Inc. whereby the Company agreed to rescind its acquisition of Identity, Inc. which was acquired on May 2, 2005. The Company issued Daniel Nelson 7,692,808 shares of its restricted common stock in exchange for Identity. Mr. Nelson has agreed to return all shares of common stock received from the Company. The Company has had difficulty satisfying the management and financial requirements of the Identity and as a result of such demands, agreed to enter into a rescission agreement. The management time demanded by Identity and the cash flow needs were more than anticipated by the Company at the time of the merger. Therefore, the Company has decided to concentrate its efforts on its core technology business in embedded wireless software. The stock issued to Mr. Nelson for the acquisition of Identity shall be returned to the Company. The parties have not entered into a definitive rescission agreement. The definitive rescission agreement will be filed by an amendment to this report.

On August 29, 2005, our Chief Financial Officer, Richard P. Sommerfeld, Jr. tendered his resignation. Mr. Eugene Sharer will act as interim Chief Financial Officer until a replacement is identified.

i am an abew investor, with an open mind.
i appreciate your informative posts. ive verified most.
imo, abew will reach the $2 range. thats why im here, to make money. there are those who are married to abew, and thats ok for them. they do not take kindly to negative info, even if its true. they hold hundreds of thousands of shares and are hoping to become millionares with abew. me i flipped it twice and i am happy making a few thousand here and there. like a good time with the wife, slowly but sure. so thanks for the posts, and also i verify the other side's posts. looking at both sides puts one at an advantage.
as for link plus, im still watching now and than, im not impressed, its web site is non existing for me, even with macromedia, and please dont try to get me there again, i search other areas on the company.

dan/Steve...Whoever posted that message on ihub hasn't done their homework properly. It is my understanding that Cornell isn't holding ANY SHARES of ABEW because the issuance of those shares was based upon ABEW getting off of the "Pinks" and onto the OTCBB. Therefore, no shares have been issued to Cornell yet.
Secondly, Dan Nelson holds a corporate position within Airbee Wireless and would therefore have to file a form 4 before selling any of his shares. I could be wrong, but the last time I looked at the company's filings, I did not see anything filed by Mr. Nelson.
