BCCI Baristas The series of commercials will consist of two, three-part commercials, which highlight the Baristas brand as well as promos for the previously announced reality series in development. The commercials will air nationally with an emphasis on regions where Baristas currently has or will soon have new locations, and features, among other state of the art equipment, the Arri Alexa.

The commercials utilize high end footage and will represent Baristas and its brand in a consistent and desirable manner. Having these commercials and promos airing will increase awareness, enhance the image and drive sales to Baristas locations and other branded products.

A. $150,000 cash deposit on or prior to alternative bid date
B. $1,275,000 at closing (less $150,000 cash deposit)
C. $250,000 in escrow for 120 days pending any price adjustments
D. $1,000,000 gift card liabilities
E. $200,000 in employee vacation liabilities
F. Cure costs up to $1,635,000 for contracts and leases
G. $2,500,000 in negotiable securities at market price the day of closing
to be paid to the unsecured Creditors.
H. $3,500,000 in negotiable securities at market price the day of closing
to be paid to the TCG Shareholders.
