Washington Mutual shareholders have won a battle to force the bankrupt thrift to hold a shareholder’s meeting. With the victory, WaMu shareholders can potentially unseat the majority of company’s board of directors and, in so doing, upend the trajectory of the case. Washington Mutual last held an annual shareholders meeting in April 2008.

Viewed as hopelessly out of the money, shareholders are using the gambit as a last-ditch effort to exert influence in a case that has raced along without giving equity holders much consideration.

The bankruptcy court found that nothing in the bankruptcy code or case law prevented Washington Mutual from holding its statutory annual shareholders meeting. “Companies continue to operate while they are under court protection and are not exempt from the articles of incorporation,” said an adviser to several WaMu shareholders. The case now heads to Washington State where the state court is likely to back shareholders and prescribe a timetable for WaMu to hold its meeting.

When the thrift reached its 18th month operating under bankruptcy protection, it filed a restructuring plan that hinted at settlement agreements with the Federal Deposit Insurance Corporation and JP Morgan. The FDIC has not yet signed that agreement. That settlement would be undermined if the current board is swept aside – and that’s just fine with the equity committee.

Any board, whether the current slate of directors or a new slate, would still be bound by the absolute priority rules of the bankruptcy code. Shareholders that were deemed out of the money by the current board would not suddenly be entitled to a recovery under a restructuring plan proposed by a new board. However, a new board would probably be more aggressive in pursuing litigation claims against both the FDIC and JP Morgan related to the seizure and sale of the bank in September 2008.

The equity group accused WaMu of making a deal favourable to JP Morgan and the FDIC at their expense. If the plan is approved by the bankruptcy court, WaMu shareholders will never have a chance to press claims. In its filing, the equity committee argued that without a meeting to elect new directors there is serious doubt that the global settlement reflects a fair valuation of the underlying litigation.

WaMu attempted to sweep aside the shareholder request that it have a shareholder meeting by arguing that, since the group was out of the money, it was only after bargaining power. WaMu accused shareholders of abusing the system.

The equity committee did not deny that it was at least partially motivated by a desire for more bargaining power in the negotiation of a reorganisation plan, but that desire did not constitute abuse.

Rather than hold the meeting and risk losing control of the company Washington Mutual is expected to renew negotiations with the equity committee to win their support for a settlement, according to an investment banker involved in the case. “The potential to waste time is now extraordinary,” the banker said.

Good post es1,I think I read a couple different posts that stated the SH meeting would be a non event, but I think it is the ruling that changes everything big time, that and the new lawyers on board.

Wow, what timing and I agree with you there will probably be no SH meeting as the current BOD is not sleeping well at night making their daytime hours quite miserable as well. I can picture bullets leaking out of their skin and they want this over now more than ever. The heat is on and they can not think straight at this point.

I am still in disbelief that a certain holder of commons bailed just when everything seems to be getting aligned. Maybe he doesn’t believe in justice, and wouldn’t that be ironic.

I wonder if it is at this price that some get frustrated and sell so they (mm’s) can accumulate for themselves and wait for payday. If they go much lower, the buyers will come in and they will have to unload.

Nice post allie, people seem to be forgetting about the possible fraudulent conveyance aspect, and Susman would probably love to get into that. The thought of that is where a settlement to all classes lies. IMO

Look at the time already wasted. Is this legit or is a dead rat nearby. Just looking for tricks being played. Maybe they want the pps to rocket to bring it down one more time, although I can see the reasoning if this quote is valid; settle for a little now or gamble for a lot latter.

It is (when without manipulation) a supply and demand system. If no one wants to sell and there are those that want to buy the price gets jacked up to entice the sellers.

Umaw, if that scenario has any validity and Bonderman "et al" have 51% (I think I read the 51% more than once here), where does that leave us as far as trying to rearrange the BOD. They would have the power in voting rights and the SH meeting would be pointless. I would think the EC and Susman have an idea where the big “B” stands and would realize the futile nature of the meeting, hence, why go there. Just an opinion, but that makes one think he’s still on our side.

It has been awhile since reading the article, but I don't recall any mention of stock being in the equation.

Exactly, at some point the punishment needs to be more severe than the crime to dissuade them from these acts of injustice. Up to now (hopefully this lawsuit sets a precedent) a business may as well put up a sign, “JPM take me, we will sue, but you will still profit in the end.” And so it continues…….

I would think they are already feeling the pressure knowing Solomon is calculating the figures. With the way the judge has been ruling they have to be concerned she will allow those figures, and the JPM number crunchers have a pretty good guess what it will be. JMO

Hey all, I have shares just in case so this is not a bash, but if this technology is so great why doesn't some entity like microsoft or apple just buy the company. Just curious.

The entities that hired Weil/Rosen to do a job now have their POR filed in the timeframe specified. Weil’s job is done and if the POR gets accepted the creditors are happy. Weil had a job to do probably knowing since day one that they might have to deal with an EC, but he had no choice but to do the best for those that hired him. I’m only guessing, but the judge probably knew the route he might to take also (formalities, the game).

There are a lot of questions here and the confusing one to most seems to be, why no objection to the EC intervention.

Maybe there was no objection because Weil/Rosen knew their job would be done as far as submitting the POR (which they probably knew would not fly) and that now is the time to go to work for equity as well. Just wishing as I am sure they have a lot of information lying around.

I could be thinking wrong here, (dreaming also) but now that the POR is filed, they are off the hook to keep the SJ from happening. It was their job to see that the creditors received as much as possible and if the SJ, NOL’s, et al was awarded to WMI the creditors wouldn’t get everything as in a newly reorganized company. Although delays (if they had objected to the intervention) seemed to be a priority in the past, perhaps now is the time to get on with a real settlement if the one now on the table is rejected. I hope no one falls off their chair laughing and hoping Monday is not too dismal.

Washington Mutual, Inc. (OTC: WAMUQ) said on Friday that it has reached a deal, which will bring it close to the $6 billion in needs to resolve its bankruptcy . However, the deal could leave shareholders in a lurch.
According to the deal, Washington Mutual, tied to the biggest bank failure in U.S. history, will gain ownership of a bank deposit worth $4 billion. The deposit had also been claimed by JP Morgan Chase & Co. (NYSE: JPM). The bank has also reached an agreement to split two potential tax refunds worth $5.6 billion with JP Morgan and the Federal Deposit Insurance Corp. (FDIC). The three parties have reached an agreement after an 18 month legal battle.
However, the new deal will depend upon the disallowance of billions of dollars in claims made by Washington Mutual bondholders. The bank recognizes $7 billion in unsecured claims. The deal will also face resistance from the bank’s shareholders.
Seattle based Washington Mutual was hit badly during the financial crisis. The bank filed for bankruptcy in September 2008. Worried depositors took out nearly 10% of the bank’s $188 billion in deposits in a matter of few days, which prompted regulators to seize its operations. The bank was sold by FDIC to JP Morgan for $1.9 billion.
The seizure and bankruptcy of Washington Mutual, which was founded in 1889 to help finance the rebuilding of central Seattle after a devastating fire, has been marred by controversy, with shareholders even saying that there was a conspiracy in the failure of the bank.

WMI, WMI secured creditors, Weil, JPM and FDIC arrived a private deal without consent from WMB noteholders and WMI EC. That makes the so called "settlement" poof.
Think about it, if it's not that Weil/WMI BOD are colluding with JPM and FDIC in this kind of deal, what could it be? WMI is suing JPM and FDIC, but now paying the two defendants billions to settle the case? What about the discovered items from JPM's document productions? What about the $20 B liquidated claims against JPM? What about the $14B liquidated claims against FDIC? What about the $5.6B tax refunds from NOLs? What about the likely favorable $4B SJ? What about the tight disparity between WMI's As and Ls?
WMI creditors are easily paid in full, but they don't want par only. WMI creditors with WMI BOD want to shaft WMI equities. Weil and A&M are helping them by hiding assets and compromising the unnecessary compromises. It's fraud and pathetics to their reputatioin in the industry.
$4B deposit was WMI's. FDIC wrongfully seized it and transferred it to JPM. From times to times, WMI's BK legal counsel delayed the $4B deposit SJ and intentionally left the money in the hostile party's hand. In this case, JPM is deemed to be the hostile party. Weil represents JPM in other cases. It's clear conflict of interest. How can Weil represents WMI in the litigation settlement negotiation with JPM and FDIC? Hell no.
$5.6B is WMI's. As per that WMI has received the first tax refunds from IRS proves it's legitimate ownership status to the tax refunds. Another $2.6 is forecoming. Why and how can Weil/WMI BOD voluntarily annouce that they are willing to give WMI's own tax refunds to JPM and FDIC. First, JPM bought all WMB assets and assumed little liabilities and payed only $1.9B. Now they got $4B cleear preferred trust and $2.1B tax refund cash?? What a great deal! Well done Weil. Second, FDIC said the WaMu deal cost it naught. Then what WMI gives FDIC $1.4B tax refund cash in the second part of the IRS refunds?? It's not even logical to an elementary student. They don't sum up AT ALL.
What about other claims against JPM and FDIC? All gone? So who is suing whom? JPM and FDIC are suing WMI or the opposite?
Be advised that WMI is suing JPM and FDIC for totalling $34B liquidated claims. Ladies and gentlmen, please take further notice that such a settlement annouced in court by snaky lawyer is not legally binding. He can say whatever within legal domain he wants. Without the consent of WMI EC, any settlement is void, any POR is poof.

I think JPM and the FDIC knowing that Solomon and company are crunching the numbers is another reason to quickly put up a good settlement offer.

I can think of only one word... dilution. Hope not.

FWIW, They are taking my shares @.09. Earlier Fidelity was showing the bid @.07 so I put a limit at .075 and they gave me .09, I couldn't believe it. Then it happened again. Maybe something is up....think I'll lay low for awhile.

Same story here, I have told all my close friends and family about this play. I made sure to say that it is not a sure thing as nothing is in life, but that the possibility of $1 getting you $20, $50, $100, is not out of the question. They move the discussion elsewhere. Instead of taking a couple of hours to look into it further they go on to their 10 to 20 dollar an hour job that they hate.

Could be wrong, but I don't think the FDIC can take a chance and not have a settlement in place before a SJ ruling. IMO

If that is the case, then she was putting in a time is of the essence at the last hearing by asking if they were ready for the decision.

It was like, get the settlement done or you are toast at the next hearing.
