Only holders of record of our common stock at the close of business on May 16, 2006, the record date, will be entitled to vote at, our special meeting. At the close of business on the record date, 1,998,131,227 shares of our common stock were outstanding and entitled to vote. We also have 5 million shares of preferred stock authorized, 1,000,450 shares of which are issued and outstanding. Each preferred share holds conversion rights and voting rights of 100,000 to one. Our Chairman holds 1 million of those preferred shares. and has issued his proxy in favor of the proposals suggested by the board.


So management hold about 100 billion shares worth of voting rights?

That means on the effective day, if you close @ .0015 it will open up @ $1.50...by the end of the day, you will be lucky if it is still trading @ .50 jmo. Sorry to see this happen to good honest people, but I've seen it so many times. The investor always gets the shaft in an R/S, hopefully for everyone's sake here, I am wrong.

so if you have 5,000,000 shares, the effect day you will have 5000 shares, do the math on how quick your money goes up in smoke.

Attached you will find Notice of a Special Meeting of Shareholders for Imperia Entertainment, Inc. (hereinafter the “Corporation”), which the Board of Directors has called for June 12, 2006, at 8:30 a.m., at 190 N. Canon Drive, Suite 420, Beverly Hills , CA 90210.

In connection with this upcoming meeting, I wanted to summarize recent developments in connection with the reorganization of the Corporation.
As you are probably aware, the Corporation had to raise money from a Regulation D, Rule 504 stock offering in order to fund overages in the completion of its feature film, “Say it in Russian.” The dilution that resulted was significant, in that the per share price was very low, and now there are almost 2 billion shares outstanding, which is the maximum authorized number of shares, with a per share market price of less than half a penny. In order to reorganize the outstanding share capital structure of the corporation, the board of directors has decided to recommend a reverse split of the common share capital of 1 to 1000. This will result in a reduction in the outstanding shares and a corresponding increase in market price, based on the last trade recorded by the NASDAQ Stock Market the trading day before NASDAQ effects the split. For example, every 1000 shares held would be reduced to one share, and the price, based on a hypothetical current price of .0003 per share, would be increased to .30 per share. Thereafter, regular market activity will determine what happens to the price.

I agree, hard to imagine this going any lower. Nearly 005 in April with about the same amount of o/s. A little spark of interest and we can make some easy $$$ off the momo imo.

Dilution is always such an evil word. Although if the company uses it to pay people and companies to get thier product off the ground and actually complete thier business plan without petering out like the other 98% of penny stocks, then dilution is necessary if you can not get financial backing. Did SIRI not dilute? I'm sure they didn't have over 1.3 billion o/s when they started up. It takes money to make money, and I don't think dilution is going to affect us in the long run. I just posted the share info, because it was more recent than the Ibox. We will prosper. :)

Yeah, I have a nice chunk of funds clearing tomorrow. I'll be closing in on a million soon. ATWEC has just about bought all my shares for me, I've sold half at 007 2 different times and have been able to load up again near the 004 range, I'm looking forward to this again in the coming days. One of the very few penny stocks I would not lose any sleep over as long term hold. I will add @ 004 or under every time. This is going places IMO. When is the last time you had to work with the government or an insurance company to resolve an issue? They are so bureaucratic. Imagine what Atwec must be dealing with.

Since this does involve life and death situations, I think you will need to excercise a good amount of patience.
