Snackman (& other voids) have claimed up to $40 million in 2005 revenues & have also noted how very easy it is to get a credit line, yet many of these same voids are doing a hard sell to get the printing press proposal passed?
why?
& why push so hard if it is SO certain to pass w/a huge majority as some voids claim?
& why is teamsprague so reluctant to take on any debt when they supposedly have SO many contracts w/all of the various "gorillas" that are already inked?
is it b/c the super-secret NDAs (which these same voids claim exist & supposedly explain away SO much poor performance) somehow prohibit wave from going to a bank & demonstrating the existence of those contracts to a lender in exchange for financing operations?
if these revenues are SO certain, why doesn't wave just obtain some short-term revolving credit facility instead of floating an endless number of PIPEs & diluting the common stock?

On April 28, 2005, Wave Systems Corp. received notification from The Nasdaq Stock Market indicating that for the last 30 consecutive business days, the bid price of Wave’s common stock has closed below the minimum $1.00 per share requirement for continued inclusion under Marketplace Rule 4450(b)(4) (the “Rule”). The Nasdaq notice indicated that in accordance with Marketplace Rule 4450(e)(2), Wave will be provided 180 calendar days, or until October 25, 2005, to regain compliance by having its shares close above $1.00 for a minimum of 10 consecutive trading days. If Wave has not regained compliance with the Rule by October 25, 2005, Nasdaq will issue a letter notifying Wave that its common stock will be delisted. At that time, Wave may appeal the determination to delist its common stock to a Listings Qualifications Panel. Alternatively, Wave may apply to have its common stock transferred to The Nasdaq SmallCap Market if it otherwise satisfies the applicable initial listing requirements for such market. If such application is approved, Wave will be afforded the remainder of this market’s second 180 calendar day compliance period in order to regain compliance while on The Nasdaq SmallCap Market.
Wave has determined that no specific action is warranted at this time.

if yer predicted revs really are such a sure thing, a credit line could be paid off easily w/only minimal interest costs, versus the bloated share structure proposed in the proxy.

while i agree w/ya that NSS does exist & those you call "hedge hogs" can & do decimate shareholder equity via NSS, i can't agree that the scenario in that filing is necessarily "proof" of NSS.
until you can rule out the fact that the company (who has an "E" & isn't timely w/their reporting requirements), has not surreptitiously bloated its share structure to the extent that the sock drawer guy's position is no longer 100% of the total O/S.
example: stock has 100 O/S as of last report.
company increases O/S to 1000, but fails to report it.
sock drawer guy buys 100 shares & puts 'em in the drawer, thinking he owns 100%.
next guy comes along & buys 15 shares & thinks he owns 15% of company's O/S.
another guy buys another 15 shares, also thinking he owns 15% of O/S.
however, when reality sets in & the company reports the tenfold O/S hike, guys 1+2+3 really own a total of 13% of the total O/S, not 130%.

Billy was lookin for some ticker symbols & so i introduced him to your fave flavor. you might want to embrace him, especially considering the Spragues will need to crank up the well oiled printing press again in the not too distant future --- even Snackman admits that!
just as w/CMKX, there will be far more McCoys selling their wife's car to cover margin calls, etc., than there will be smart investors/traders who buy jags w/profits.
you are among the latter (as you well know) & i respect the fact that you maintain some semblance of sanity & sometimes even serve as a voice of reason among the voids (when yer not chucking out a year+ old German PDF as if it were some kind of burning bush!).
& if Wave was everything you claim, then why is it trading @ approx. the same price it was 2 years ago (a few different biz models later & w/about 50% more shares)?

for 5500 shares of CMKX you can get 1 share of WAVX!
they're also a family run biz under SEC investigation. the volume is a little lower than you might be used to though.
insiders own horse farms & stuff --- while it's a bit more sedate than nitro funny cars, it's not all that different IMO.
they claim to have the "holy grail" of computer security, but nobody seems to wanna buy anything they sell... 'cept stock of course.

PS as i recall, someone issued a phony PR a few years ago using janice shell's name. she was found to have no involvement, if memory serves.

sometimes a company uses S-8 in lieu of cash & a lot of micros are strapped (or growing) & needs services their cash flow cannot accomodate.
dilution in moderation isn't always the end of the world, provided it generates positive fundamental results down the road & isn't just about printing shares to pay cronies, etc.
your shares might be worth less on a relative basis, but in some instances, the company grows its revenues and eventually can turn a profit, eliminating the need for future dilution.
depends on the company & its management IMO.

just the use of S-8s in general, pros&cons. not in any relation to CMKX at all. maybe not the right time to raise general topics for discussion --- or maybe it's the perfect time (until St. Pat's day) to talk about other stuff for a while.
btw, i don't think S-8s can be used for merger currency, Mach. Drillbit, yep you are correct, big diff b/tw S-8 & 8K.
S-8 is a short form quickie registration statement, typically to pay employees & independent contractors for various services (usually lawyers, accountants, marketing, sales, websites, etc., but not for stock promotion or financing).
it is often a totally legitimate way to compensate people when a company is short on cash, but being a short form & almost no disclosure required, it gets abused sometimes, especially by microcaps. fyi - don't know anything about UC's use of S-8 at all, good or bad, fwiw.
8K is a report for material events (hirings, resignations, material contracts, etc.). IMO anyone looking at microcaps should try to learn more about S-8s, Reg D, Rules 144, etc.

in edit: this is CMKX related: interesting m&a theory Mach. it could be one way to shed much of the stuff from the past & avoid the SEC pulling registration in 60 days +/-. could also convert s/hs stock into another issue. if UC is holding legit hard assets desired by others, it could make sense. & having HH's former lieutenant steering the ship, heck, who knows?

What in your opinion makes S-8 a good thing? Beyond the obvious, how is the almost un-regulated use of a short form registration, that requires scant disclosure, ever a good thing for investors?
From what I've seen, S-8 distribution schemes seem to be one of the most abused "loopholes" there are in the market. Except that when companies use S-8s to dump stock and there really was never any bona fide services provided, that isn't exactly a "loophole."
And NO, to anyone possibly thinking I'm accusing Urbie of that, I am NOT! Just interested in what Mach thinks are positives about S-8, strictly in the abstract.
