NIR, gets the shares from CYBL at a huge discount (40% of lowest pps in last 20 days). They sell them to the MM's for whatever they are willing to pay. The MM's sell to whoever is willing to buy. The MM's only need to sell a percentage of what they get from NIR to bank money.
IMO, my guess for reason MM's keep buying from NIR.
I was just watching for the outcome of the litigation. I already made the mistake with another company trapped by one of NIR's convertibles. In that case though, the shareholders were able to stop the share increase by vote. We'll see what happens.

Yes, when Ribotsky/NIR buys in and gets screwed, their contract gets upheld in court and the private investor/shareholders get screwed by the dilution. What gives that group a rite to recover their investment and not us, the private investors without big money contracts and lawyers? That's the pitiful part of it all, the individual investor gets screwed because we have no power.
The only way to combat the convertible debt from NIR is to not buy into companies with the loans, check first.

No long term prospects anymore. NIR has control. Now they need new pigeons to recover their money under the convertible notes.
If the company can't make payments on the convertible notes, then private investors will through the conversion process.

Take a look at the basher on Yahoo's board and look at his 500 posts, the companies he followed and what happened around the timing of his postings. I wouldn't make any decisions off it, but it's something interesting to look at whilst we sit here in the dark.

Who's the holder of the convertible debt notes, NIR? They are asking to go from 100m to 300m AS to comply with the terms of the notes, investors should worry, as they will be paying off old debt with the shares they buy, and diluting the crap out of the stock, not funding new growth.

Does anybody know what the resolution was with the Ribotsky/NIR litigation? Apparently Cyberlux had a convertible loan with them?
I'm in KWBT and we stopped a request to increase AS in order to keep NIR from converting and destroying pps. If Cyberlux has not stopped paying NIR with shares, you will get endless dilution and a pps near zero. Ribotsky/NIR destroy start up companies pps with convertible loans.
Anybody know if this is a similar situation here?

On January 5th Cyberlux Corporation announced that it has resolved it’s litigation with the NIR Group and its affiliates.
The Chairman of the NIR Group, Corey Ribotsky, explained that, “Litigation is a last resort for our family of funds. We are encouraged by the progress that Mr. Schmidt (CEO of Cyberlux) and the Cyberlux team have made and we support their efforts to develop Cyberlux’s business.”
Mark Schmidt, the Chief Executive Officer of Cyberlux remarked, “We are pleased to conclude the litigation. Cyberlux will now be able to devote its full resources to developing and marketing its state-of-the-art lighting solutions.”
Cyberlux is a major provider of LED lighting solutions and technologies.
They have definitely increased their marketing exposure from what I've seen searching. There are job ads. There are also other bio-tech websites that now have Kiwa's contact info. on them that weren't there a month or two ago. China's winter has been much like ours this year and it's not the peak season for fertilizer sales yet. I believe their sales revenue will be better than last quarter (which was better than the 2nd quarter), despite the above. The profit margins will increase as the market opens up more towards spring, according to China's fertilizer industry projections I've read.
Do your own due diligence and you may come to the same conclusion.
If they don't have money, how are they increasing their marketing exposure?

How are they hiring overhead, if they can't be paid?

I think that page changed since I seen it yesterday. The wording made reference to the 10 million they raised during the IPO and now it does not.
I think it's the drop in volume/trades lately. No demand=No turnover= no money to be made. My L2 is gone, so I haven't been watching, but I'd bet they'll be around if demand picks up.

I would think that any gov't. or private financing would be restricted in its' use, unless it was specifically stated and accepted to replace the convertible debt from NIR, hence the difficulty obtaining it.

I would expect that they should also do this formally, not soley via 2nd/3rd party e-mails and IHUB boards.
The way I understood was that if you voted "withhold", you would have to show up to vote against as "against" wasn't an option. Is this some kind of way to supress "against" votes? Or, did Ribotsky have some say here so that he could threaten people that show up to vote against.

IMO, I don't think we'll have much of anything but the sound of crickets until the vote is near as far as trades go. Seems like the selling has subsided, but there are no new buyers. MM's won't drop (take loss on shares taken at a higher price). MM's won't raise bid either(cautious).
The anticipation of it all....
If you look at sales revenue the last two quarters from the two reports, you'll see the increase, and that was going into the winter season when sales are lowest. If you just read the last report, they only compare to '08, which looks bad. If the 4th quarter surpasses the third in sales revenue, I think that will be a really good sign things have/are improving.
IMO, the bottom has passed.
Judging by the increase in chatter and sales info. about Kiwa, their products and direction on the web, I would assume their marketing has increased substantially in the last couple of months. That should bring in more and more sales revenue as we head towards spring. OS is maxxed out, so I wouldn't expect Kiwa to dump money on a direct press release about anything. There's no incoming capital from zero shares to sell. Their money is better spent on product marketing right now.
