Ironically according to my analysis...
If there was a sale of everything in Panama, (which I do not expect), the numbers work out to $0.04 to $0.03 to shareholders after needs for Spain, and bills are paid, along with attorneys fees and finder's fees with a selling price @$0.65. There would then be about a four year wait until a small plant was built, one ball mill instead of the four in Panama, and we would process the very high grade ore at LP. Just for the fun of it my analyst did a very thorough job of actually looking at this prospect. If someone has a different result please explain how you get to it. No, I am not posting the details because I paid for the work. But I have confidence the numbers are good.
So all of you clamoring for a buy out, three or four cents a share, plus you interest in Spain is all you are going to see. I trust you will be satisfied in getting your desires met. The prospects in Spain look very good and I am sure you will see a good return by 2018 or 2019.
On the other hand, the loan/JV deal some of the rest of us are counting on makes us profitable once again in six months.

I have not heard or seen anything that would indicate any money going to stockholders of more than perhaps a token dividend of a couple of cents per share. Any money received from a sale of some sort would go to expansion and honoring the contracts now outstanding. With all the macro problems, I do not see any great returns for four or five more years. Then I think they will be excellent for those with the patience to remain and increase their holdings.
If Molejon would be sold, it would take $160MM cap/ex. to bring Spain into production, and probably four years at best. Portugal another $40MM since it is "free" gold. This is not a good time to sell IMO and I am not convinced that it will happen. I think we shall see some sort of a JV/loan combination and management will remain. Q1 production will have been very, very low, but I don't think we lost more than $0.10/share. Q2 should be back to normal about 18,000oz. and then Q3 & Q4 big improvements.
I understand you do not like Richard's Chairmanship.
As I posted in #22331 talking about the 'reality of command', I am not questioning your interpretation of history or competency. My point is that the record seems to indicate that he and the BOD are not going anywhere. As I asked you before:

Please share your perception with all of us. Richard and the entire BOD are running unopposed, and no one is stepping up with another slate.

Although I believe it is a JV and some financing combined that will close by then, one before the other. That is why stock is starting its climb and there is a lot more news to come in mid-February after the warrants are all gone.

RMB did not like the fleet of government planes as too old and poorly maintained when he became President. So he bought a new fleet himself. He is of course a Director of that huge bank in Panama. He and Richard are founders of CD.
Richards ties in the government go back at least four or five elections and through each of the major parties. Ernesto Pérez Balladare Democratic Revolutionary Party, Mireya Moscoso Panameñista, Martín Torrijos, Democratic Revolutionary Party, Ricardo Martinelli, Democratic Change.
Look at the background of Laz, our COO. Look at the background of almost everyone at Molejon from supervisor upward.
You may find a curious pattern and lots of money sources.
I understand the reasonable points made.
However, I would add that FQM has been all over our Iberian holdings recently and would in fact love to have Lomero-Poyatos and San Telmo. Remember FQM has a multibillion operation right down the road, and we have huge assets they can use immediately.
Having said that, I believe from my own instincts three very important points that I believe trumps the total buyout of Petaquilla. I want to choose my words very carefully, but think about it, and understand:
1. This is Latin America...not North America, Europe or Australia...perhaps a little closer to Africa!
2. Go back and review everything surrounding the Law #8.
3. Seriously, "Petaquilla es Panama!!"
Those points are not 'inter' or 'intra' related, but of equal importance, coming from three separate rationalities, and a gut feeling from being involved in Latin America for 30 Yrs. capice, capicé, capiche, capeesh, capisch!!!
Perhaps I am wrong, either way anything above $0.50 and we make a lot of money!!! $7.50 a few more years down the road would be nicer than $0.50-$0.60 today.
No question things could have gone better.
My point was that the BOD and Chairman are going nowhere unless Progafa can convince me otherwise. I still buy regularly, although right at the moment my FCF sucks. But next month I'll be back in the game aggressively.
As I see it, no sale and we are fine long term, a sale for value would also be profitable from this level. No way is the company not going to be able to continue based on their profitability and balance sheet as I read it. Therefore I see very little downside from here.
Yet that is the reality of command.
If you are inside either company or have close contacts with some of upper management, then you should know that the entire BOD and the Chairman will be re-elected on December 10th as they are once again without opposition.
This group has been together for many years in the majority, and the addition of Cristobal Colon, also a Caballero de Guadalupe, only strengthens the position of the Chairman and his standing with the board.
I do not believe that FQM is planning to nominate a new group of candidates and recent canvassing of large stockholders seems to indicate very strong support also.
Therefore it begs the question, who is supposed to be exerting influence and 'controlling' Mr Fifer??? I know from personal communications and relationships that it is not the Panamanian Banking Industry, nor the current CD Administration. My personal interaction is really outside PTQ as my son and Richard were educated at Tulane's A.B. Freeman. Our families generally do not even discuss Petaquilla, or anything about other business for that matter. Such things are frowned upon in social settings.

I do remember a long time ago someone was talking about a very small dividend to shareholders of under a nickle and then some sort of Amalgamation with FQM, (like we had joked about with Inmet), consisting of a share swap that brought a total of less than $0.30/share to stockholders and had a hold of several years which was then expected to bring a lot of value. But I understood that that was not a serious offer under consideration. I am a strong supporter of management and not really concerned about their ability to move the company forward until economic factors turn in our favor. I was in Miami and heard Pascalls say very clearly that FQM was a copper company and had no interest whatsoever in acquiring Petaquilla. Perhaps things have changed. So give us more than a couple of cryptic words about your information. Thanks again...and I hope you are on the right side of the curve and do well. You don't strike me as someone who would just sit and lose their investment like a deer in the headlights.

1. Okke Ornstein is a fugitive from justice in Panama. Please check with Don Winner of Panama-Guide if you want more information. The "conviction" you talk about was another person with the same name and the story was retracted by the original source, after it was published. All of that information is covered in the old posts here on IH and can be verified there or by our moderator Lojiko.
YOU MUST KNOW THAT THIS WAS A PHONY STORY AND THAT FACT WAS WELL DOCUMENTED IN THE PRESS AT THAT TIME. AN APOLOGY WAS MADE PUBLICLY BY THE WEB SITE THAT ORIGINALLY PRINTED THE STORY. YOUR ASSERTION IS A CRIMINAL ACT IN PANAMA AND PATENTLY KNOWN TO BE FALSE.
2. A prosecutor did call for a claim to be asserted as Don covered in the article you referenced. First of all it was five not fifty-five hectares or about twelve acres of the 482 square KILOMETERS of the concession. The matter was investigated and no criminal wrong doing was found. The matter was referenced in MD&A's for several years since it was a political effort to stop development by the environmentalists. The ruling opposition at that time, the same one that held up our permit to operate for over a year while seeking payments, levied a fine against the company. After the election when CD came to power and through subsequent hearings the fine was found to be improper and annulled. Although with complete transparency, it was carried in public filings until completely adjudicated. Turns out the company had done nothing wrong, and neither did Richard Fifer.
Thus by asserting criminally false accusations commonly known to be so,(1), you have revealed yourself publicly as well as your agenda. You certainly do not have to like Richard Fifer, nor the way he has run Petaquilla. However, purposeful defamation is a whole other ballgame. Please do not refer to me as your friend. I do not know you personally, nor do I have any interest in doing so.

Richard Fifer Carles (born January 23, 1957 in Panama)is a Panamanian businessman and former politician. He is called the "Father of modern mining in Panama" by Boletín El Minero .
Early life and education
Richard Fifer is the son of Richard Glen Fifer Witte (son of Anne Witte and Elzy Fifer) and a Panamanian mother, Celina Carles Montenegro (daughter of Celina Isabel Montenegro and Jorge Isaac Carles).
He attended primary school at St. Mary’s School, transferred in 9th grade to Curundu Junior High and completed in 1974 his High School education In Balboa High School.
After completing his elementary studies, Richard Fifer-Carles concluded his Bachelor of Science degree at the University of Utah. He is also participated in the Geophysical Engineering program Rice University and took advanced Finance studies at Tulane University.
Career
As President and CEO of Petaquilla Minerals Ltd, Fifer has been involved in the mining project since its commencement. He serves on the Board of Directors of Petaquilla Minerals Ltd. and has done so on more than one occasion. Petaquilla Minerals Ltd. is a Canadian-based mineral exploration company.
In 1993, he was appointed Governor of the Province of Cocle during the presidency of Mireya Moscoso. While under the Ministry of Foreign Affairs Panama, he was also the President's Plenipotentiary Ambassador-at-large from March 2002 to September 2003. He later returned to the mining industry as President and Chairman of CODEMIN (Corporación de Desarrollo Minero), Panama's State Mining Company. He also assumed the role National Security Advisor to the President of Panama from 1999 to 2002.
Fifer is the founder of Grupo GEO formed by seven companies that provided services and products to diverse industries, such as Oil, Aviation, Mining, Reforestation, and Technology. He is also currently chairman and CEO of another enterprise, Geoinfo International, S. A., a company that operates in Panama through its affiliated company, Geoinfo, S. A., founded in 1992. Its main activities are the development of mapping technologies, the integration of Geographic Information Systems and business intelligence consulting in the Republic of Panama where it enjoys a complete monopoly in government contracts.
Fifer created the Castilla Del Oro Foundation which promotes sustainable development of rural communities in the central provinces in Panama. It aims to promote projects and provide structures that will turn the region into a cultural tourism destination.
Fifer was honored with the title Caballero de Guadalupe in October 2011, one of the highest honors bestowed by the Spanish Catholic Church for his Foundation and charitable work.

Been there all day hoping run up is traders and not sustainable. Hoping company is selling out for $0.60 or so. Hoping Fifer has left the building. He and his buddy are posting about the DB loan obligations when neither are even aware of the commitments, rights, and obligations under the facility. Neat to talk about an agreement neither has read nor understands. Facts don't get in the way.
He said a while back he would sell at $0.60 and just take his losses to get out. I think his average cost is about $1.10. No matter what, he has lost another opportunity to make some serious money. But if you have no chips you surely shouldn't be at the table. Let's see if he sells and moves on as he promised if it passes $0.60 next month....permanent fixture at the end of the bar!! He is not at the St.Regis Hotel though, I can promise that for sure.
It will be interesting to see if the price holds after the news comes out. It may be a lot different than most expect, IMO.

I think Q1 was bad. Q2 looks much better already and Q3 & Q4 will be very good IMO. If you don't trust management and have a profit you should definitely pull the plug. Petaquilla has a great future I believe so I am a very happy investor and my family will be here for many more years.

Of course there is news coming. We have been discussing it on the blog for weeks. We don't have a consensus on the details that are prohibited from disclosure yet, but it is definitely very good. Richard who is "da man!" should be 'MVP'!! 'Drop dead' deadline for everything that will be released prior to the warrant expiration at the end of the year is of course December 10th. February 15th will see a great MD&A. Pull back will probably tell you how much of this was the "squeeze" volume. Serious investors are very committed and will hold their shares.
Can you imagine knowing what is happening and hoping to breakeven on an investment held for years is the best that some can hope for??? Someone else should handle the money they may receive. Of course you knew that the filing delays had nothing whatsoever to do with PTQ, and that they had indeed submitted all the required materials to E&Y on time and properly executed. That is was really an E&Y administrative problem. But you chose to report PTQ to one outfit that did not even have oversight responsibility. Then you went to the BCSC and tried to hurt the company some more. Posted with a huge "OMG!!" that they had answered you e-mail!!!
Perhaps your valiant efforts to hurt the company, along with your two clueless buddies, actually helped those of us who did know the truth make money once again. I do not trade, but my granddaughter did and she thinks you are great!!! Meh...but then again she is very young....now she wants to know when she should sell...

There are thousands of bars in New York, but very few serve drinks that cost a small fortune and offer a view that's worth millions.
Welcome to the King Cole Bar at the St. Regis New York, a place rich with history and famous patrons-from Salvador Dali, to Marilyn Monroe and Meryl Streep, to Middle Eastern royalty. Even the Jonas Brothers have knocked back a few here.
To hear bartender Robert Albright tell story, it's the birthplace of the Bloody Mary. That drink is still popular at the bar, along with Champagne and martinis.
The bar also serves Frapin Cuvee 1888, a cognac that will put you back $760 a glass. The taste is worth it, according to Albright. "If you're a cognac drinker," he said, "you're going to love this."
The cognac comes in a Baccarat crystal bottle with an elaborate top made of 24k gold. It's so rare (only 1,888 bottles) that the St. Regis keeps it locked up. A bottle will run you north of $7,000.
"This one is kept in the safe downstairs at night," Albright said. "Security comes up and brings it back and forth each day."
When asked about some of the hefty bar tabs he recalls, Albright said, "I had a gentlemen here order ... all our top cognacs, and his bill was over maybe $15,000."
More surprising, the patron didn't finish his drinks. "He kinda took a sip and went on to the next one and that was it. That was his night," Albright said.
There are no windows at the King Cole Bar, which is on the St. Regis' lobby floor, but the spot's real value is still the view: a mural above the bar that fills three 10-by-8-feet panels. It's called "Old King Cole," and John Jacob Astor IV commissioned Maxfield Parrish to paint it in 1906 for $5,000. A recent restoration of the work cost $100,000. It's now worth more than $10 million.
The mural comes with a secret. Legend has it that Parrish set out to paint something the eye cannot see. What the painting does show is Astor depicted as a nursery rhyme character "Old King Cole," sitting on a throne with a sheepish grin on his face. All the other characters are painted with odd grimaces.
Albright knows the secret but won't tell. "You have to come here and figure it out."
A hint: It's the type of joke that never gets old, and it's not quite as classy as the St. Regis.

Puzzlement: Why would a stockholder hoping to have their investment increase actually report a minor default to the BCSC because a filing that they knew would be released shortly was a few days late?? Hmmmm? At least it is in the record if you want to know who it is!!

Did you see the excellent reports on Petaquilla from Thompson Reuters Research, and ValueEngine that were published yesterday? Those with Zacks are the three I am aware of, although I understand there were several other research reports released in Canada and Germany. I'm just talking about research, not technical stuff which I don't even understand.

So I'll try to help.
By the end of FY 2014 we have a shot at being a 100,000 ounce producer as we should be processing better ore from Molejon, and very high grade ore from Spain. FY 2014 certainly will not be 100,000oz., maybe 60,000oz., but our rate of production by June 30, 2014 should be about 9,000oz. per month if gold is above $1,500. I am talking about the rate of production at that time. With the PDI revenues added we should be profitable.
The late production/payments to DB were due to management decisions to supply FQM and unbalanced production. That has been resolved with more equipment acquired. Financing will probably take out DB shortly, but in any case the amount declines substantially in a few more months.
Did not want to spend too much money having my guy research the past, but he tells me we exceeded some analysts targets in 1996,2006,2007,2008,2010,2011. He also mentioned that many of the times when we did not make the numbers, it was due to things that were not in management control, mostly delays from government entities, changes in laws, Indian problems, delays in equipment deliveries and things like that. Bottom Line: It is a difficult environment and stuff happens. Not sure if the same things will impact the future or not.
The analysts obtain information from the company, but also visit the projects, talk to third parties, are well informed and spend a lot of money in their efforts. Zacks has a very good reputation. I really don't think Steve has any "fancy titles". CPA is usually held by just an undergraduate after testing. I may call him this weekend to point out your post and tell him to ask for a raise to match his 'fancy credentials'!! He does have some very relevant experience, and of course access to top management continually, which few here have at all. He uses specific metrics which have proven successful for Zacks, based on their record.
Probably the one largest failure of management is in the area of communication to the public. My opinion is different than most here I am sure. I think they should only communicate those thing that are mandated by rules. I would prefer they just go private. They tend to over communicate and then when plans/things change people are upset. The little guys scream the loudest for they truly are mushrooms in the dark.
Looking forward one must make choices that fit their investment goal. Is it to trade and make quick money, or make a generational investment, or something in between? As the grimreaper points out, there is nothing to be gained by just crying in a beer at the bar. Annoys others and accomplishes nothing. Particularly when one makes no effort to get answers to make decisions easier.
Some of the most vitriolic attacks on the board are made by those who cannot find Molejon or even Donoso on a map and have no education, relevant experience, or insight and apparently very poor investment strategies. Anyone who has just ridden the roller coaster and not been proactive with their investment strategy and still has a very high average cost, with all the opportunities there have been, should be losers and not complain about their decisions or lack thereof.
In any case, good luck in your investment. Still some good stuff in the pipeline and warrants expire soon. There may be a lemming sell off when Q1 numbers come out so be ready!!!

When you are on the scene, and you do actually participate, and talk to management regularly, it follows you must know what is going on, and not have to invent stupid fantasies just so you can post. Some clueless have obsessed with PTQ for years, yet never attended a meeting, or actually talked with upper management, or a member of the board. The old girl up is CR is the champ.
Some more good news between now and November 15th. Looks like Richard and the BOD will be unopposed once again at the AGM. And, those pesky warrants will be gone in just a couple of months. Might be going to Spain for a holiday shopping trip. Will certainly keep you informed, and maybe have a few pictures too. I'm not very computer savvy, but I guess I can just put them in a blog e-mail. All of us have learned sharing information here is not welcomed, just denigrated, and I believe all except the good heart VB have moved on...Steve did a nice job analyzing the implications from the latest NI 43-101.
