Somewhere long ago I decided to put the crystal ball away and my life has gotten so much easier since. It's absolutely impossible to predict the future. OK. Per your request, lets take the worst case scenario. Lets say NEOM totally wipes out on the patents front. This market is projected to be in the billions of dollars for this technology. Say NEOM captures 5% to 10% of it. We're still talking a multi-million dollar revenue producing company across their entire platform with Bar Codes, Voice, Magnetic Strip, RFID, Mobile Coupons not including Check 21 and NMPR revenue potentials. Will the company completely fold over night leaving us investors penniless after what they have been through starting in the early 90's?
Think about it. CF saw way back in the late 80's what this technology was about, when we will still dealing with Fortran and Cobalt. They patent protected the Bridge. It's their time. CF & Company were here long before we were. Let it play itself out.
Its like watching and waiting. You're totally alive and in tune with whats happening around you. You're reading the water to pick the best wave you can. Once you're on the face, the water is drawing down on you and the tube is forming at your back, all you want to do is get blown out on the other side, being completely enveloped in the rush of the experience. I'm fully in with both feet. I made my decision long ago and am going with this wave.
If you were fortunate enough to have been here 18 months or even 2 years ago following the daily grind on NEOM, I think you would not be second guessing the outcomes; at the very least you'd more comfortable.

Microsoft Should Be Worried Now...

What MSFT squashed years ago by the ability to “lose control” stands now to bite them in the butt today. With Google now introducing keywords into their toolbar, they stand to generate more revenues by charging the owners of these keywords. In a sense, Google will now control your browser even more and pose even more of a threat to MSFT… and yes MSFT should be worried.
This was all tried years ago by a company named RealNames (formerly Centraal). Originally financed by Network Solutions (SAIC was the parent company at the time)idealab! Capital partners, Goldman Sachs, Hambrecht&Quist, Draper Fisher Jurvetson (just to name a few)..to the tune of $87m. What started out as an add-on to search engines, is now becoming the way search engines focus their revenue models.
RealNames was in the business of selling keywords that allowed users to travel the Web by typing in a keyword instead of a URL. RealNames substitutes keywords for complicated Internet addresses. Owners of URL’s would pay RealNames for the rights to keywords ($500/yr). The difference in this is people would be navigating instead of searching.. If you are searching you would type in books, if youre navigating (know where you want go ) you would type in Amazon. The reason Google is so good is because it navigates so well. They can understand what youre trying to look for better than most search engines. Search engines try to do both now. You will soon see how this differs and how corporations differentiate the two in their ad spending.
In June of '99' Microsoft announced a 2 year licensing and marketing agreement with Centraal (RealNames). Owners of URL’s would pay RealNames for the rights to keywords ($500/yr). RealNames would then pay MSFT to enable that keyword-to-URL translation in Internet Explorer. “With over 200m URL’s, the RealNames service is a major step in making it easier for consumers to navigate the Web andd for businesses to leverage their brands online using common language”..Keith Teare, Pres of Central (RealNames). From Rob Bennett, group product manager for Consumer and Commerce Group at MSFT…”MSN advertisers can now extend the power of their brands online using product names and advertising slogans, while consumers will be able to use familiar names instead of complex URL’s to quickly locate exactly what they are looking for.”
October '99' RealNames files to go public by raising $80.5m.
December '99' Google announces they will integrate RealNames keywords in their search ability. A keyword would put the keyword owners site at the top of their search results list…(could this be how their AdSense was started?)
March '00' Microsoft takes a page from AOL’s “keyword” system and announces they are taking a 20% stake in RealNames. Their logic is they want to make surfing the Web as easy as typing a single word. Microsoft also announces they will begin working with the Internet Engineering Task Force (IETF) to develop an Internet Keywords standard.
Interesting that MSFT is interested in creating a “standard” after they have ownership of RealNames now. Also after Google announced a deal w/RN, MSFT decides to take a stake in the company.
Oct '01' Versign (now owner of NSOL), signed a deal w/ RealNames to sell keywords through the company’s network of domain names. At the time VRSN had 32m domain names in their registries and manages the naming registry for nearly 90 global registrars.
According to Keith Teare, VRSN committed to a plan to give every .com, .net and .org customer 5 free promotional Keywords for 30 days. This would have resulted in widespread awareness and great revenue boost. Verisign’s registrar channel would have a virtual limitless number of Keywords to sell worldwide.
May '02' RealNames shuts down. Microsoft chooses not to renew their agreement. After 3 consecutive growing quarters and dramatic keyword growth, MSFT decided to end agreement.
Some prominent co's. had taken a liking to RealNames. E-Bay had hundreds of the companys keywords for individual pages within its site. Sony, which registered the keywords for all of its 10,000 pdts with RealNames. So you can see one company can offer a tremendous amout of keywords being registered.
Keith Teare, CEO of RealNames gave his explanation to the termination. MSFT’s chief motivation in not renewing with RealNames seems to be a desire for complete control over the user experience, especially to help it direct users to MSFT-owned content. He also suggests that a MSFT patent for “Flexible Keyword Searching” indicates that the company is planning a rival keywords system that it can completely control.
The “revocation rate” of sold RealNames by MSFT was a tiny 0.14% between July 01 and March 02, suggesting the user experience was good otherwise MSFT would have had more names cancelled.
Teare goes on to explain the reasons MSFT gave to him why they terminated their relationship. It wasn’t about the money, even if RN paid their obligations , MSFT wouldn’t renew. MSFT doesn’t believe in “naming” they believe in search. MSFT controls search 100% (although I think the Google gang would laugh at that), and they could never CONTROL naming. The URL and DNS are broken, but to fix would be a big job and their would never be a clear reward for MSFT. The plan to put 120m keywords out there would be their worst nightmare. It would be out of their CONTROL.
RealNames had a great idea but failed because they didn’t leverage the keyword and they were too dependant on MSFT. They failed because they stayed in the “electronic world”. Phase 1 of the Internet, is the ability for electronic devices to communicate w/ other electronic devices. Phase 2, is when everything gets connected to the Internet and becomes ubiquitous (thanks Howard Rheingold and his Smart Mobs book). PC’s and cellphones wont be the only way to retrieve info from the Internet, but every barcode, phone number, RfiD tag will offer a hyperlink to the owners site.
No longer is MSFT Explorer the only game in town. No longer is the PC the only way to surf. Google, Linux, Symbian, Palm are all offering ways to avoid the dependance on MSFT products.
RealNames sold a keyword (1 application) to one method of information retrieval (MSFT browser). Instead of selling Nike a keyword to a website, what if Nike registered the word NIKE, all of its barcodes, the spoken word NIKE and eventually the RfiD tags Nike has? So Nike could turn on every box of shoes, every Nike poster, direct the user to www.nike.com if they typed in “Nike” in their pc, cellphone or said “NIKE” and let the user be directed to wherever Nike wanted them to go.
Instead of limiting the user to the computer for info, you can now go to the physical world and retrieve data. Imagine every Sony Camcorder, in every retail store is in a sense a keyword now. If Sony was willing to register all 10,000 products to just direct a pc user to their site, how much would they pay “turn on” every one of those 10,000 products in the world? How much is this worth?? Instead of being limited to retrieving this info from a MSFT browser, every cellphone now becomes a portable dynamic information retriever..
What will happen is …PRODUCTS/OBJECTS CONTROL THE BROWSER, not browser control the products/objects..Think about that, marketing guys will have a field day with this. What brand mgr wont register their brandname or Trade Mark to have this power.

For example, if youre Nike and Google wants to charge you more for the word Nike and the direction of the user, wouldn’t you be thrilled with the idea of having a Nike barcode, typing “N-I_K-E, or saying “Nike” be an option for you instead? Every box of Nike shoes, every Nike poster, Nike T-shirt, Nike logo in any magazine, the word Nike is a Nike website and becomes a way to direct your potential customer to your site. Doesn’t that seem like a lot more effective advertising?
With Google I can direct every PC user w/ the word Nike…or with NeoMedia I can direct every PC and cellphone user with the word Nike or with every one of my products everywhere in the world at any time.
I think every brand manager will want to register barcodes, words, Trade Marks, Rfid tags for the ability to “turn-on” their products and make them interactive.
In an interview w/a German newspaper, Bill Gates said “With cell phones, we will be able to read bar codes to retrieve information about a certain product” Was Bill Gates reading Smart Mobs? He should listen to the guys in the trenches like Robert Scoble.
Is NeoMedia ready to launch a registry for this ability???
Holiday Thoughts...
I know when SEC Form 4's are filed, some have a tendency to react negatively. I used to think the same way some years ago.
The point is that "Options" were expiring for CJ & DD on 12/31/04. Next week most business will be either closed or reduced in personnel for the Holidays. It appears they wanted to excercise them or loose them before the end of next week; hence the filing taking place on 12/23/04 rather than 12/31/04.
If you read closely, you will see that WF bought and sold an identical amount of shares; 146,893. Subsequently WF realized $0.00 in profit. It was for a loan repayment. Interestingly enough, CF sold the same amount of shares for the same reason; repayment of a loan. What do the identical share counts tell you?
Additionally, JK was the only officer who did not fit the above options or loan profile. You know what, God bless him. He sold 250Mil. for a net gain of about $62k. After capital gains it's worth less. Think about this. How many years did he have to slave at his desk for a $50k bonus? Who knows if he has college educations to fund or medical expenses? Either way, I hope he enjoys it in good health.
When I co-owned a construction business in NYC, I used to loan my corp. money for all kinds of things, payroll shortages, workmens comp. (annual audit and payment increases), equipment purchases, etc. Our union and admin. payroll (not including subs) averaged about $85k/wk. Loans amoung corp. officers or themselves to their company's happen all the time.
Personally, I believe NEOM is seeking to increase their 28% ownership in their company, and for good measure. When this happens, watch out above because we will be heading North again very fast.
Thats what its all about gang. Attracting abundance and the ability to provide for our loved ones. We surely can't take it with us. And the older I get, the more I realize my personal obligation and responsibility to pass on what I have worked so had for to my survivors. Its a gift of myself to my loved ones. Its the same gift that was passed on from my parents and my Creator to me. My dad used to have a saying and it goes like this: "Money is meant tobe spent, but it's meant tobe spent wisely."
Giving to charity or the less fortunate is also cool. Call it Ying Yang, Cause and Effect, etc. Bottom line, Universal Principals will see to it that whatever we give gets multiplied and returned back to us 10-fold.

Regarding Scan Buy, it's reasuring for us to know that Scan Buy only holds copy right protection on this technology while NEOM owns the patents.
I once inquired about this situation not long ago while standing under a few palm trees. It was inferred to me that we'd buy them out if they put up a fight; and I believe exactly that.
However I don't expect it at all to come to that; at least not with a court order to cease and decest with treble damages looming overhead.
Also, we are in an acquisition phase right now with I-Point. Sony owns I-point. I-Point is streaming pay per click video.

I anticipate that Virgin will soon put an end to all this with a landmark watershed ruling; or at the very least, an OOC settlement with NEOM.

I see we have a few hours of drill down cut out for ourslves. I remember when Retired used to spread all the SEC filing sheets on the floor and go through them one at at time until he eventually saw how the pieces fit; like a big jig-saw puzzle. He'd spend the entire weekend going through them and would put out a quick email letting you know a few facts here and there. But never really enough for you to get a grip on it until he was totaly done. He kept everyone guessing. There were probably about 30 of us or so back then waiting with baited breath to hear from him. Every ones emotions were on hold until he surfaced.
What a brain child. You almost have to be a securities attorney with an emphasis in accounting to get the jist of some of these reports. Once he was totally completed, only then would he put his thoughts on the web.

Lastly, Virgins lawyers and NEOM's attorneys (B&P) have brought this motion to its maturity. Virgin can not profit from use of their in store music barcode scanner with under treble damages suit and a judge's cease and decist order. This is becoming costly for Virgin. Furthermore, no further fact finding, testimony, entries, professional witnesses, cooberation, etc. is needed from what I have seen at present. At this juncture in negotiations, a decision is usually made between one person representing each party, while all else are kept at abeyance. I believe we are at this point in the negotiation process where an offer is made and an acceptance is given.

Customers can access their current account balance and a list of the last six transactions direct to their mobile phone.
Lloyds TSB is also offering a text service to business customers.

Excellent post. Retired was spot-on with his assessment, even way back then. Also, don't forget the key word here with Triton: demographics. Who is clicking, how old are they, what are their interests, where are they, what is their income level, what products are they subscribing to, etc., etc., etc.
This information will "priceless" to the big brand partners (Proctor & Gamble, Coke, Pepsi, McDonalds, Crest, American Airlines, Wendy's, Taco Bell, etc.) seeking to streamline and target their sales via Tritons user data base on each pay-per-click registered. They have only just begun to take this thing on the road. They are hiring and advertising and taking deposits. Their technology is being sought after. Take it slow, I know the volume you carry as well as the avg. You, I and a few others who truly understand the dynamics around here are going to come on the crest of this wave.

You have a few assumptions in your post.
Firstly, LOI's are contracts.
Secondly, the PR does not mention the specifics of the agreement or collaberative effort. Here is what it does say:
"NeoMedia has said today it has agreed with Fortune® 500 company SAIC (Science Applications International Corporation) to jointly establish, launch, promote and manage the new worldwide mobile "PaperClick WordRegistry(TM)," a linking and switching platform for use on Web-enabled cell phones and PDA's."

Secondly, SAIC would not take on a hugh and daunting task of initiating, implementing and executing WORD Registry if they felt that the patents were not rock solid. Put yourself in the shoes of SAIC's President.
IMO, NEOM's most recent PR is validation that PC works and SAIC has endorsed it.

He always seems to drop in out of the blue with BS trying to confuse the issues surrounding NEOM's iron clad patents, which emphatically do include RFID.

Regarding the share price, let the profit takers take thier due on small volume if they wish. I know what I own in the Long run and am acquiring more when I can. These swings don't phase me.
Yes, I don't like to see her drop either, but I also know she is worth way more than any one can imagine at this juncture.

Welcome as well. Yes. IMO I believe Virgin will settle very very soon. I believe the attorneys are out of the loop at this juncture, i.e. meaning they have brought it to exactly where it should be, which is between 2 men speaking exclusively to one another regarding terms and conditions.
IMO, there are 3 credible key pieces of information on this board which will verify they are at the conclusion stage in the negotiation process.
