Threeflight Tulaz it seems has agreed to put your concerns and research on the dutch on a sticky if you will quit pounding the board and using up space. Now I know your very concerned with the deal so I am wondering if you can put together a comprehensive argument concerning the dutch deal
with all the points that you have into one post.. Using the best research you can come up with, so Tulaz can put it in the Sticky...
I am of the understanding that the Hub was designed to pass along information concerning a specific firm on each board. And your point is valid for sure but the pounding of it stinks of bashing.. I am also marking this post and request so in the event it continues on a day by day basis I can have a point of reference to direct Matt and the rest of the Hub management team to.. be assured that I have there respect and they mine...
I do hope you can and will build a solid factual case for us all to reference in the future. All of us have had dealings with that firm in the past and most likely will have dealing in the future.
So with your knowledge being posted in a comprehensive logical case against
them we all will have the advantage..
Thanks in advance....
Lots of Bla bla on the board today.. Anyway for those who are looking to

Sure there are issues with the pps at this time and I have no real answers for anyone we all have seen the speculation pounded on this board
day after day.. But imho I think the MOD and our Dutch person should just agree to let them make one long post with all there speculation on
the Ducth then put it on a sticky and then quit wasting time and space on the board about it.. All in favor say I..

Traders manipulating cheap US stocks -market maker 09/26 06:38 PM
* Outsized rebates in sub-dollar stocks at issue
* Big U.S. market makers discussed issue with SEC -Knight
* Practice costing Knight 'tens of thousands' per day
By Jonathan Spicer
WASHINGTON, Sept 26 (Reuters) - Some traders are manipulating U.S. stocks that are worth less than $1 by taking both sides of trades in order to earn big rebates, according to an official at Knight Capital Group Inc (KCG:$12.6200,$0.4400,3.61%) .
Knight, a top U.S. market maker for individual investors, and the other four largest market makers discussed this problem with federal securities regulators on Thursday, Jamil Nazarali, Knight's global head of electronic trading, told reporters on Friday.
"It happens for hundreds of millions of shares per day," Nazarali said, adding that this type of market manipulation is hard to prove. The gaming costs Knight "tens of thousands of dollars" per day on some days, he said on the sidelines of a Security Traders Association conference here.
Nazarali added that U.S. Securities and Exchange Commission officials "seemed empathetic" to the concerns of the five firms that execute much of the orders of individual, or retail, investors -- Knight, UBS AG (UBS:$17.8100,$0.4200,2.42%) , Citadel Investment Group, Citigroup Inc (C:$3.904,0$0.1040,2.74%) , and E*Trade Financial Corp (ETFC:$15.27,00$0.72,004.95%) .
SEC spokesman John Heine neither confirmed nor denied the meeting. He did not comment on gaming in sub-dollar stocks.
The manipulation concerns come months after the May "flash crash" stoked a debate over fairness in the mostly electronic marketplace, which has grown faster and increasingly complicated in the last decade.
At issue is whether an individual trader is using separate brokerage accounts to trade against himself, something known as a wash trade. Shares that regularly trade below $1, such as Sirius XM Radio Inc (SIRI:$1.18,00$0.02,001.72%) and Level 3 Communications Inc (LVLT:$0.965,0$0.035,03.76%) , are the typical targets, Nazarali said.
Exchanges charge fees to those that execute against standing buy and sell orders, something called a take fee, and pay rebates to those that provide standing orders that are executed against. This is known as "maker-taker" pricing.
While stocks are normally priced in penny increments, rules adopted five years ago allow exchanges to price sub-dollar stocks in one-hundredth of a cent. The fees and rebates, however, are based on penny increments for all stocks, including sub-dollar stocks -- which creates a possible loophole through which traders can earn out-sized rebates.
A trader can, for example, send a "limit order" bid through one brokerage account, and a corresponding "market order" to sell that same stock in another account. After trading with himself, the trader earns the bid's rebate and pays the smaller selling fee -- which is usually fixed at retail brokers like E*Trade -- and walks away with the difference.
In this scenario, market makers such as Knight would foot much of the bill.
For a short period earlier this year, large exchanges paid outsized fees and rebates in sub-$1 stocks, but did away with it in the spring after protests from market makers, said William Karsh, chief operating officer at exchange operator Direct Edge.
The smaller CBOE Stock Exchange, or CBSX, offers the out-sized rebates now. The exchange, run by Chicago-based CBOE Holdings Inc (CBOE:$20.61,00$0.03,000.15%) , has seen its market share rise in sub-dollar stocks this summer.
"CBOE (CBOE:$20.61,00$0.03,000.15%) takes its regulatory responsibility very seriously and does investigate unusual trading activity," a CBOE (CBOE:$20.61,00$0.03,000.15%) spokeswoman said. "However we do not comment on individual investigations."
Nazarali said Knight has reported this activity to regulators on a daily bases in recent weeks, and has brought it to the attention of the Financial Industry Regulatory Authority.
"It is really damaging to investors," Nazarali told reporters.
The SEC in recent weeks said it is probing trading and quoting activity for evidence of market fraud and manipulation.
In a comprehensive paper issued in January, the agency asked whether pricing in the market is problematic.

Tom I have watched you for some time now and I have to say i am in accord with 10 on this.. the information you bring to this board lacks any research and has for some time.. We are all aware of the pps we are all old enough to buy and sell with a push of a button.. I choose when to buy and sell according to my research and speculation and have done very well not only here but on several plays that gave me a rush that is beyond words.
All because of research.. I have found that there in this sector DDI
has made positive inroads to several large international firms to provide there product and services. I have found that DDI was on Scene as an active
participant in solving and producing needed components to help stop the larges oil spill in the gulf.. I have found the Management of DDI to be alert to investor concerns but has been unable to be transparent as they would like do to the aggressive acquisition and mergers, While do have concerns on what on my chart looks like a solid attack on the share price
due to flooding of the market with shares be them real or phantom.
I also have to knowledge that DDI has made solid gains on there bottom line
and from what I have observed with my own eyes will continue to do so...
I am also aware that when there shares need to be delivered to retail buyers
they had better be there or this will leave some sitting in the poor house.
So when the time is right imho this will hit the highs we saw some time ago. If you do not have confidence in this play or what I say I would suggest you back read VRMLQ over on Yahoo I don't know if the post are there but the CEO Gail was sweeping floors and putting out the monthly MOR's all the time I was buying as I could.. and then one sweet day. I was on the other side of the highway and did not have time to turn around to do a lookie. but maybe they have a 3rd shift going for some reason....
Be assured that if the deal was dead it would be a material event and they would have to file the proper paperwork.. no matter though to me they have a good base of operations at this time, with or with out the cumming deal..
It would be a huge thing for it to go through and we all could have a Ron party. If not then it is nose to the grindstone and I will be on the phone
about once a week asking them not to try to buy anything else but to develop what they have in place and focus... Along with that they will have to become really transparent.
Fingers Crossed for that lil pr saying the deal is done...

Thougts..?
Looking forward to your post.. Sometimes it takes a while to understand a person and how they work.. I have been busy with my family for the last two weeks going to foot ball games and practice but always take time at the end of the day to look in on this board.. I love watching the different folks pushing and pulling each direction.. I made up my mind some time ago just to keep what I have in shares and watch it grow over time as Bob and company work there business plan.. I continue to research our ceo as anyone should. found this
http://www.otcshowcase.com/?p=817
As to the other matter that has come up as far as I can tell the CFO and Price water Was named in the SEC action and then Bob and the rest of the Board in a civil action. It is not the first time Bob has been in court and I doubt it will be his last time. We all know that when you try to be successful people want what you have no matter what it takes..
I do have to say that in his dealings with USDA to have a Chief Administrative Law Judge, as written in his Decision signed August 4, 2008, stated “In many ways, the government’s case against Lorsch illustrates the maxim that ‘no good deed goes unpunished.’”
I kinda put the iggy on unknown posters on some obscure website message board.
So as for me and those who watch what I do I say just hang tight let the
business unfold. There are always risk with any investment that is why it is wise to use only money that you can afford to lose in the market.
But then again the rewards can be great if you find the right firm at the right price.

Equity Financing Strategies for Micro-Cap and Small-Cap Publicly
Traded Companies
Page 2
INTRODUCTION
While there is no question that it’s not the easiest task to obtain financing for a small-cap or microcap
company, there are many financing strategies open to small-cap and micro-cap publicly-traded
companies.
During a booming market, companies often seek to raise capital through a private placement
because it is faster than a public offering. But in a bad or mediocre market, public companies often
have nowhere else to turn, and various types of private equity financing are the only options
available. Additionally, regardless of market conditions, micro-cap and small-cap companies
usually find it extremely difficult, if not impossible to raise capital through a public offering. This is
primarily due to concerns regarding potential shorting of a company’s shares and other market
support issues.
These "private placements" are securities that are privately sold to investors and cannot be resold
until they are registered with the Securities and Exchange Commission (“SEC”), or an applicable
exemption for the resale of the securities is available.
Private placement financing strategies basically fall into four categories:
A. Private Investments in Public Equities, or “PIPE” Programs
B. “Traditional” private placements, typically with an investment banking firm as placement
agent (including “Private Investments in Equity” or “PIEs”)
C. Private placements, with strategic investors as the investors
D. Institutional placed private placements
In general there are two basic kinds of private placements, "traditional" and "structured." Traditional
private placements generally offer better terms for the companies. In a structured transaction, the
investor typically gains if the stock price rises and is protected if the stock price decreases.
The protective feature of a structured transaction is often a "reset mechanism." This allows the
investor to obtain more shares of the company's stock if the share price drops.
A. PRIVATE INVESTMENTS IN PUBLIC EQUITIES OR PIPES
In a PIPE transaction, investors typically purchase securities directly from a publicly traded
company in a private placement. Depending on the structure of the transaction, this can be done at
a premium to, or at a discount from the market price of the company's common stock. Because the
sale of the securities is not pre-registered with the Securities and Exchange Commission (SEC),
the securities are ‘restricted' and cannot be immediately resold by the investors into the public
markets. Accordingly, the company will usually agree as part of the PIPE transaction to register the
restricted securities with the SEC. Thus, the PIPE transaction can offer the company the speed
and predictability of a private placement, while providing investors with a nearly liquid security.
Page 3
A significant advantage of PIPE transactions compared to traditional public offerings is that they
can be completed rapidly - typically two to three weeks from kick-off to closing. In a typical PIPE
transaction, due diligence is limited in scope because of the compressed time frame, and generally
consists of a review of the company's filings with the SEC and press releases and investigative
conference calls with the company's management, counsel and accountants.
The documentation for a PIPE financing is relatively minimal: typically consisting of an offering
circular summarizing the terms of the financing and containing a description of the business of the
company taken directly from the company's filings with the SEC, a purchase agreement, a
registration rights agreement, an investor questionnaire, a legal opinion from company counsel
and, in the case of a convertible preferred stock offering, a certificate of designations or charter
amendment defining the rights and privileges of the preferred stock.
After the closing of the financing transaction, the company and its counsel typically prepare and file
the registration statement to register for resale by the investors the common stock issued (or
issuable on conversion of preferred stock or other securities issued) in the PIPE. Typically, the
registration statement is filed within ten days after the closing, and the company is required to use
its best efforts to have the SEC declare the registration statement effective within thirty days after
the filing. The SEC may elect to review and comment on the registration statement, which could
delay the effectiveness past this 30-day commitment. Once the SEC is satisfied with the
registration statement, it will declare it effective and resales of the PIPE securities may begin. The
company must keep the registration statement up to date during the entire time that PIPE investors
are reselling their restricted securities pursuant to the registration statement.
B. TRADITIONAL PRIVATE PLACEMENTS
When one thinks about private placement financing, what usually comes to mind is what can be
considered to be a “traditional” private placement. So called traditional private investments are
tpically arranged through investment banking firms, with the investment banking firms usually
serving as placement agent. These include Private Investments in Equity, or “PIEs”.
Simply stated PIES are equity transactions where the investor is willing to not base their
investment decision solely on trading volume, but one where they are interested in the company’s
business, and prospects for the future of the company itself. PIE® investor’s objectives are typically
a one to three year investment horizon, with transactions not requiring immediate or short-term
registration of the shares. (PIE® investors will typically invest in “144” shares, with a one year
hold).
With the reputation of the investment banking firm at stake, due diligence can be a grueling
process. The negotiations regarding price, terms and structure can be lengthy.
Advantages and Disadvantages
Advantages include sponsorship by investment banking firms, who have track-records that can be
verified. Typically, if an investment banking firm serves as a placement agent for a private
placement financing, the firm will also “get involved” in supporting the shares and share price in the
