From T/A as of 11:17 this morning:
A/S= 5,000,000,000 & O/S=4,765,100,458
MC, A brief uptick on no news. I say that could be another indication that Spooz is not diluting to raise cash at the moment.
GM, Imperial,
I would guess that today would be payday at Spooz, and it didn't look like there was a scramble to sell shares to raise cash. Also, the share price was at 0002 for most of the day yesterday and the volume was relatively low.
Not sure what it all means, but there doesn't seem to be major dilution at the moment.
I will say we have to be cautious drawing conclusions at this point, as there is so little information from the company. I guess time will tell whether Spooz has turned a corner here.

Interesting point, MC.
To continue to operate, the company needs funds for payroll and other routine expenses. They have 10+ employees and I would reckon that salaries would be at least $50,000 per month. If they have no revenues, at the current share price they would have to dilute quite heavily to raise the funds they need.
The O/S and A/S have been the same since Aug 1st.
Thanks for the report, Allie.
Hi, Allie. Yes, I'm not sure why they have the enterprise solutions section on a different domain. I don't think there have been any other pages on spooz.net to this point.
It will be interesting to find out what has been going on behind the scenes at Spooz. There have been lots of guesses, some positive, and some negative, but I think we have to wait to hear more from the company.
Try this, Zoey
http://www.spooz.net/enterprise.htm
Actually, nicehit, the PR said the financials would be released no later the 29th. So it could be before.
Thanks, phillymike.
No increase in the OS since the beginning of the Month. We haven't seen any increase in the AS since June 26 as per Nevada Secretary of State, and no R/S as some have been predicting.
I'm not sure what it all means. I don't think we can know until we hear more from the company, but I would imagine Spooz currently needs operating funds - and they don't seem to be diluting to raise those funds at the moment.
Ok, thanks very much for that information, Allie. I hadn't thought that an NDA might be involved - but I see why that might make sense.
Allie, do you think the disclosures will only be available to clients? I was hoping they might be publically available at some point.
Yes, Allie, that would be very good to see.
It was reported by someone who went to the shareholders meeting, and in a later pr that there had been tests run and that the results were "outstanding" (according the to PR). So yes, maybe we will hear about the test runs.

GM, Allie
I would guess that the Q2 financials won't show much in revenues or trading track record, since they said trading would commence in Q3 - but there may be comments on what is currently going on at the company.
Best,
Songbird
From the TA as of 9:44 this morning:
A/S: 5,000,000,000- O/S: 4,765,100,458
Strange that there are no trades for Spooz, while 141 is almost at record level.
Thanks very much for passing along this info, Allie.
Indeed. Last time they published two separate documents - the financials, and the disclosure. They showed up on pinksheets.com towards the end of the day.
Gbathat, I think Spooz has stated that their quarterly report will be published 45 days following the end of the previous quarter (at the latest). I believe I remember reading that in a disclosure document somewhere. The last report was posted exactly
45 days after q1.

We may get some kind of company update when the Q2 financials are released (due tomorrow, I think)
Bobby, I would certainly think that if Spooz has definite plan to buy back shares, they would want to do so at as low a price as possible. So you scenario could make sense, IMO. How long it would go on for would probably depend on how much they want to buy back.
Yes, I don't know of a way to tell whether they were issued as restricted or free trading shares. Could be either, I suppose.
Thanks for your thoughts.
Thanks, MC - yes it was PhillyMike who first reported the O/S. Sorry, Mike :)
It is interesting that since 08/01 there have been many millions of shares traded without the O/S increasing. I think most of the trades were at 0002 or 0001. Not sure what it means, if anything.
It looks like no increase since August 1st when Rockmek reported:

Thanks for sharing this, Allie.
My impression is that business plans are usually created to be presented to external entities. I wonder who these plans might eventually be shown to.
GM, Capn. I for one, certainly appreciate the reports you and others gave from the SHM. I guess there will always be bashers (it is the same on all other boards I've seen)- I guess you just have to be selective in the posts you take seriously.
Thanks again for your help!

Hi, Wildcard. In the current environment (no news and dilution) I would agree. If significant deals are accomplished and reported, that could change quite quickly.
GM, Allie. I think is helpful to go back to the reports of the shareholders meeting. The company reported that they are in negotiations for product sales and if I recall correctly an approximate timeframe was given of 30-60 days before they would be completed.
Now I would imagine that integrating a complex program like ST with another company's current platform would be quite difficult and time consuming and would require extensive testing. You would want to get everything right before launching the new setup.
I guess what I am saying is that it is not that surprising to me that we haven't heard anything yet (of course I would like to have heard of something by now). As you say, Spooz is in a state of transition at the moment, and it would be a mistake for them to rush things before things were ready.
Best to you,
Songbird
Here is a link to a guide published by the National Futures Associaton for CTAs about what must be included in disclosure documents. The instructions are pretty rigorous.
As we know, 141's disclosure document was recently approved.

GM, MC. I think now would be a good time for 141 to be testing their trading systems. There have been pretty wild swings in the stock and commodities markets lately. The claim is their systems work well regardless of the direction of the markets.
It will be interesting to see a track record reported for their internal trading.
MC, I have been watching the Nevada Secretary of State site too. If more dilution is needed, Spooz will have to report an increase in A/S there. At the current share price it doesn't take long to max out the OS if they are selling shares to raise funds.
If no more dilution is forthcoming, it may be a signal that revenues are sufficient to meet their funding needs.
As always, time will tell.
Best,
Songbird

Hi, MC. Just because it's kind of quiet at the moment, doesn't mean nothing is going on at Spooz. I guess we have to wait until they reveal more information.
Yes, it certainly appears so:

Hi, Birdito,
This is the link to watch if you want to see if there is an increase in the A/S. At this point we are still at 5 billion.

Bobby, note this point from Tom Opper's resume:
* Led initiative to redesign core product (SpoozToolz) to meet market needs, be easy to support, and gain fast traction in the market
I found Tom Opper's objective interesting:
Objective: Launch initial product offering (SpoozToolz), gain revenue traction, build brand, expand globally, and initiate exit strategy
This is apparently Spooz's overall plan of action.
Here's a snapshot of what Tom Opper has been doing at Spooz:

Thanks, Mike. These 400m shares added to the OS since yesterday were not bought on the open market, apparently.
Thanks, GP.
I would agree that prominent and influential people would be unlikely to associate their names with Spooz if they felt the company was shady in any way.
Hi, GP
Just out of interest, did you talk to Donna Genett about Spooz? I often wonder how closely involved the members of the advisory panel are with the company.
Thanks!
