I was pretty sure that was the outcome, just nice to have someone else confirm that.
So released after the conferences to avoid distraction from their content, but before the L3 results which we trust will be positive and make most forget the restatement of their fiancial statements.

The Audit committee concluded that the Lind conversions should have been expensed at the time of the conversion of Lind Debt to Shares. This increased the reported 2021 and 2022 total losses. The method used had reported a smaller loss for those periods by treating the expense as something deferred to a future reporting period.
Because of this they have recalculated and restated 2021 and 2022 losses. This may reduce 2023 fiscal year losses due any Lind Conversions since those losses are now being reported in 2021 and 2022.
Any accountants have a better take? I do not know if there are any regulatory consequences; others can speculate on that.

In the current economic environment I think that an investment in a US Based mine that reflects ESG principles and whose product consists of commodities...alloy metals and REES...is probably a good deal more attractive ti GXII investors than a media company. Just have to let it play out!
43% of a $21B(and counting) mine and earning potential is a lot better then 100% uncertainty.
The current uncertainty is SH approval, which I think will happen.
We were looking at high blank financing wall with managment on the top trying to figure out how to get through. They found a door. The choice is whether to trust NioCorp Managment that going through that door is good for current shareholders, or, will be a good place to begin the next step/slog to actual production and profits.
I think it's the latter, a Rally Point and more delayed gratification rather than an immediate spike in share price. The long term goal is best articulated in the NioCorp Investor Presentation.
I will vote for approval because I do not want to be going through the same sets of debates again in another year or two. They need to get going while most of us are still alive.

We have (potential) financing, which should allow NioCorp to attact the remaining Debt financing or government loan guarantees or grants.
Mark will be attending 2 metals conferences, which I would say provide the Public Relations spending that Demolition Man (Hey DM!) wants to promote NioCorp.
Media will be present and any attendee not already aware of NioCorp will now be aware. Looking forward to any additional information that might be provided.
Additional exposure will result internally in firms that hold positions in GXII whose investment areas will need to evaluate NioCorp, its financial situation, and Business Plan as an investment and provide a recommendation to upper managment.
So....Buy additional shares of NIOBF or GXII? Sell and be satisfied with any current gains, or engage in a bit of sitzfleisch in anticipation of an investment gain in 2 to 3 years? While I could use the money now, I'll hang on for later gains.

I agree and was hoping for something this morning since I couldn't see Mark speaking at the REE Conference without some acknowledgement that NIOBF will include them in their suite of products. (13:44 CST and no announcement or email) Would a status announcement at the conference constitute "Material news"? Probably. I think Mark had some experience with shareholder lawsuits at M/P so not sure how soon to expect news.
We have news about financing which does not appear to be structured in favor of long term shareholders, but it at least contains the possibility of an actual start to the project. (Yes I read what you write Scooter!) So...the shares I purchased and hold are still substantially up, not selling those shares and attempting a Gicksee swap, and I 'll leave it at that. (Given the current financial landscape holding NioCorp mining shares might be a good place to be. )
A.O. L3 and NioCorp have a limited amount of core sample material (2,200 pounds?) so they are probably planned this out with 5 or 6 processing runs with analysis in between to see which produces the best results.
Given that all of Scott's later design planning is dependent on the results they want to get it right. My guess is that they are 3 or 4 runs along, that they have preliminary results. Hoping for some status announcement of those results tomorrow (Unless they update the status at the REE conference in LV next week. )

Search target minerals are REEs. (With the addition of some zirconium and hafnium.) Their mines will be surface mines with the advantage of local communities and infrastructure so lower development costs.
The low cost per share makes this an attractive long term hold.
NioCorp has a stated target mineral group of Niobium, Scandium, and Titanium. The Elk Creek deposit has REEs but has yet to release the results of their demonstration plant so it is assumed that they will have sufficient recoverable amounts to justify a partial redesign of their planned extraction facility. NIOBF has announced financing in the form of a Merger.

The Dow was down 500 points today, The Bank of England is having problems, the Situation in Eastern Europe, the GXII institutional shareholders will be looking for anything resembling a safe harbor for their investments. An essential alloy/minerals processor and producer in a stable jurisdiction with NioCorps credentials should look pretty attractive right now! The merger will encourage GXII Inst. S/H's analysts to take a closer look at NioCorp which should be all it takes!

There are 67 institutional holders listed for GXII. That means that there 67 Capital managment firms and LLCs that will now need to take a close look at this proposed merger and decide if they like NioCorp enough to go along with it.
Someone in these firms will actually need to spend time learning about NioCorp and sharing that information with others in the firm.
I see Goldman Sachs, Bank of America, Blackrock (dont care for blackrock much) among the larger names.
Before they may have just passed over it because it was a penny stock. Hoping this additional exposure is helpful in introducing NioCorp to the investment community.
I think that this is something very positive.Once investment companies and brokerages begin to cover the merged stock and purchase shares for inventory price should rise!

They need to begin promotion of the deal now; (October meetings)
Depending on what L3 and Scott find, they may need to update their processing flow design and probably need to have Rockwell automation rebid their equiptment and restate their previous Economic plan to present to the shareholders in their approval vote.
They have 5 months for their lawyers and translators working on obtaining regulatory approval in 3 different countries and one state, allowing time for adjustments to the legal documents, then they need to solicit shareholder approval from 2 groups of shareholders in 3 different countries, allowing, of course, time to review the terms of the deal and allow some shareholders to redeem out their shares. If shareholder approved then they need to process the reverse split and get Nasdaq review and uplisting, possibly with a new name and symbol. They need to do this with 2 major intervening holidays, year end accounting cycles, etc, and get it done before the 2 year SPAC deadline.
Lot of stuff on the table to get done before GXII drop dead date 2023 Q1.

What happens depends on what the Gicksie shareholders decide. Let's hope most of them go for it since NIOBF shares are actually up in a mostly down market and better to hold property in and rights to a valuable mineral in an inflationary setting. NioCorp shareholders have a say too, but at this point I do not anticipate 10 year NIOCORP shareholders saying no to pretty much any Equity and Debt package presented to them.

I think we have to assume they have confirmation and positive results for the REE extraction, or at least phase 2 of the extraction. I think that he will hold on to the results to release at the October conference. It looks like they have about 1/3 to 1/2 of the amount needed to get the mine going, so they probably have a commitment to raise more at a later time. I wonder how much the Vital Metals announcement affected the timing of this package!

What is interesting is that Search lists as one of its REE Refining partners, along with USA Rare Earths, is the Saskatchewan Research Council that has been funding this plant for Vital Metals. Search Mineras has been sending its magnetically separated product to Saskatoon for further processing and extraction.
Richard; Antler; Thanks for providing everyone with some pictures of progress on the site! At this point we are shareholders in a company that owns farmland...which is a good thing, but....it will be better when we are owners of an Alloy Metals extraction facility and associated Mine.
Looks like they are working in a grove of locust trees. (The one in my front yard is dropping its leaves right now.) The fact that someone apparently doing site prep is a very good sign! Unless they have some walnut or butternut among the trees I suppose that most of the wood will go for either pallets or get turned into wood pellets. (There is a wood pellet fuel manufacturer in Fremont, but thats a bit of a drive!)

Vancouver, B.C. September 16, 2022 – Search Minerals Inc. (TSXV: SMY | OTCQB: SHCMF) (“Search” or the “Company”), is pleased to provide an update on our 2022 exploration programs in Labrador, Canada.
Greg Andrews, President/CEO, comments: ” We have had a very busy exploration season so far this year. In addition to managing the exploration program, we expanded our exploration team and expanded our facilities and infrastructure in St. Lewis, Labrador. Search renovated its modern office and core shed facilities and built an additional storage shed to manage the increased drill core. We also purchased property in St. Lewis for our 2 – six-person trailers which are being utilized for our increased need for local accommodations.”
Andrews added; “We continue to work toward a feasibility study for the end of 2023, and the Deep Fox drill program should provide a measured resource category as well as expanded indicated and inferred resource for an updated mineral resource calculation expected in 2023.”
Deep Fox
The 2022 Deep Fox Exploration Program commenced in early June, following the mobilization of two diamond drilling rigs to St. Lewis, Labrador. The drill program has two main objectives: (i) further define and delineate the Deep Fox mineral resource, to update the mineral resource estimate suitable for a feasibility study, and (ii) collect the necessary geotechnical and hydrogeological data to facilitate an optimized mine planning and design process.
The first month of drilling was helicopter-supported, providing access to areas previously inaccessible due to the steep and rocky nature of the terrain. We have completed the Geotechnical and Hydrogeological drill program which utilized one of the drill rigs. The remainder of the drill program is being completed using the two track-mounted drills. The 2022 Deep Fox program is approximately 60% complete, with a total of 46 drill holes advanced to date. The remainder of the Deep Fox drilling program will focus on ensuring that the area within the currently proposed open pit has been adequately drilled, and that the mineral resource is aligned with the next phase of technical reporting. We are anticipating finishing the drill program by early November.
A summary of the 2 separate drilling initiatives are outlined below:
Mineral Resource Delineation Drilling
46 resource delineation drill holes completed to date (5,229 m);
All resource delineation drill holes have intersected mineralization;
3,437 lithogeochemical samples sent for assay - results pending; and
The drill program is anticipated to be complete by early-November.
Geotechnical and Hydrogeological Drilling
The geotechnical drilling program has been completed;
13 geotechnical drill holes completed (3,362m);
Two Vibrating Wire Piezometers (VWP) have been installed;
Packer tests were conducted in 6 of the geotechnical drill holes;
Samples have been collected for laboratory geophysical testing – results pending;
11 of 13 drill holes intersected mineralization and will contribute to the mineral resource; and
Assay samples have been collected from the mineralized zones.
Fox Meadow
Our exploration team will be carrying out a 200 m channel sampling program designed to extend the mineralized zone to the SE. We will review the possibility of a smaller drill program pending available personnel and funding.
Fox Valley
Exploration efforts in the Fox Valley area have consisted of the building of an access trail to the mineralized area, with the intention of conducting a preliminary assessment of surface mineralization. This trail is complete, exploration in this area will consist of test pitting and channel cutting, and is anticipated to be complete by the end of November.
Red Wine Complex
Our exploration team is planning a two-week helicopter-supported exploration program in the Red Wine area of central Labrador. Exploration will consist of prospecting, mapping, channel cutting, and detailed drone imagery on the Two Tom Lake, Mann #1, Narnia Hill and Merlot prospects. This preliminary program will prepare these REE mineralized zones for a more extensive exploration programs in 2023-2024.

Chico; Regarding an October surprise; I Can't say this is the reason but The fiscal year in the USA for the federal government starts Oct 1st. Its when they start to shovel money in to new projects. So, just a small data point.
Putz; Cracks in the earth. Here is a the mid continent rift, a rift valley that runs through the great lakes region and into the middle of the U.S. Its a Horst and Graben complex that is filed with debris and Loess and is only visible in Wisconsin Michigan, and Canada. It pretty close to Elk Creek, but is not geologically active.
There is also fault, the Humboldt fault, associated with the Nemaha Ridge (Under the Flint Hills in Kansas.)

he Nemaha Ridge (also called the Nemaha Uplift and the Nemaha Anticline[1]) is located in the Central United States. It is a buried structural zone associated with a granite high in the Pre-Cambrian basement that extends from approximately Omaha, Nebraska to Oklahoma City, Oklahoma. The ridge is associated with the seismically active Humboldt Fault zone. It is also associated with the Proterozoic Midcontinent Rift System, which extends into northern Kansas about fifty miles west of the Nemaha.[2]
Along the Nemaha Ridge is a series of faults referred to as the "Nemaha Fault Zone".[2][3] The long term uplift along the ridge has been attributed to isostatic uplift due to the anomalously thick crust adjacent to the Midcontinent Rift.[4]
Elk Creek is located on or near the northern end of this uplift.
