I am always learning about the market. It never ends. I am a value investor and the value here is what I am trying to find out. If a company were to offer $x for the whole business what would happen? The preferred would not be converted? How does the potential conversion play into the valuation of the company? I agree that a conversion event would not happen right away but the impact of the process would impact the common price quickly and ultimately to the extent of the conversion.
Convertible shares are exactly that. They are to convert to common. Voting for an increase of authorized common will happen because the preferred has the voting power.
This all has nothing to do with the penny stock fluctuations and an investors ability to profit in the short term. In the long run valuation does matter.
10,000,000,000 common shares to come to market is not a big deal to you?
Where do you get the 90 day intent to sell from? I do not believe they are restricted shares.
BTW I think Form 4 is a form filed after a sale.
With $1M in debt and the convertible preferred, how are you valuing the company?
The insiders have 1,000,000 preferred shares which can convert to common. That's 10,000,000,000 potential shares to dilute the common? Or am I reading this wrong?

Incorrect. The company sold for what the market valued them at. Unfortunately that turned out to be about .05 after the initial merger consideration and deferred merger consideration are paid. That means those who bought under .05 either made money or broke even. There was plenty of money to be made here when this traded under .03. Penny stocks are tough but when they bottom the upside is good. POWN bottomed around .01 which turned out quite well for those who bought it at the lows. Averaging down paid off this time.
Too bad only a Chinese company was interested in all of POW! but so be it. Stan's legacy will live on with asian owners.
merger done. no ticker and not trading. If you had shares they were cashed out and replaced with escrow shares for handling the deferred merger consideration.
Typically when a stock merger happens the stock is removed from your account when cash is paid. In this case where the entire merger consideration has not been paid, there appears to be a placeholder left in my accounts representing no value but same number of shares i held. My guess this is what will be needed to get the 'deferred merger consideration' in 12 months. I suggest to not remove those worthless shares. Someone is bound to see them in their account in a few months and ask their broker to remove them asthe show 0 value.
All paid out on the initial merger consideration. One last pay out of the Deferred Merger Consideration in year. I predict it will be .0031.
I have been in the habit of checking this forum regularly and it will be different not doing it.

Merger complete. Initial merger consideration is .04691/share and your shares will be cashed out by your broker. Possibility for another payout 'Deferred Merger Consideration' (12 months later?) of up to .008/share but most likely .004 or less.

Although it did not turn out how I expected, my timing was fortunate and I began buying 5/2014. My price target was .19 based on my experience with the IPLY spike back in the day. Unfortunately for us the POWN management team is really up there in years and they don't have the time to let the IP play out. Sure, they could have paid themselves less and did more shareholder friendly activities. In the end they want Stan Lee's legacy to continue and apparently the US companies are not interested in it outside of Marvel. Chinese to the rescue. Overall fairly sad IMO yet I can understand why POWN went with Camsing.
I think it may take a few days for cash to show up.
Finally it ends. Glad to get this over with not less than .045 and a chance for an additional .004 payout in 12 months.
this suggests the end is near .First sentence probably should translate to "In May 2017, Chengxing International signed a definitive agreement to acquire the POW! Entertainment company..."

Time is running out for this week being the end. It drags on and on.
Have have seen it before with other mergers where the company decides on technically less $ for reasons including the ability of the acquirer to complete the transaction, the plan they have for company going forward and them buying all of it.
This is for Marvel. Stan Lee Marvel is completely different than Stan Lee POW! Entertainment. Disney gets all they need of Stan Lee Marvel and could care less about Stan Lee POW! Entertainment. Thus POW! gets sold to a Chinese company for $11.5M with no superior offer coming in. ANy company wanting to pay more had since May to express interest.
this stock is so strange. The bidder was willing to pay .0395 but not .04. Considering the merger, my take is you are either in or out. Getting it at .04 could be 25% gain or 100% loss. not much in between.

You are right. Bidding is not the correct term. It is 'superior offer'. The company has been open to offers for years according to the proxy. Yet, nothing up to this point has come in that is superior to Camsing. No article that I have seen makes a case that POW! should be or could be sold for more. POW! has followed legal advice this entire time.
Where did this hoard of cash you mention come from? According to the proxy POW! borrowed money from Stan and Ricco to keep the doors open.

that trade for 4791 may be a signal that the payout will be .04791 per share. Or not.
Someone is throwing in the towel at .04. If payout is .05 that is a pretty good return.

Well, I think you are embarking on a costly experience. The court will look at this and point to the fact that the company has warned of BK and is out of money. money that is needed to bring any of this IP to profit. I don't think the court will want to reward someone for investing in such a speculative stock. And there is no law against running a company poorly.
And if they say the shares are worth the .05 you will have to pay the lawyer fees? I hope you let the board know how that works out for you.

Cheap is relative. Superior offer did not appear so they are the highest bidder. The entertainment industry has known about this $11.5M deal since May and another company could have stepped up. Nope. It is clear to me Stan's ideas are not worth much until cash can push them forward. Now that will happen with Camsing.
