This is not a "novice" business" CEO and board. All have experience in filing assets/debts.
There is no "ignorance" excuse.
No offense taken.
IRS will prevail.
Theses are seasoned businessmen concealing money and using Redg as their own private ATM.
I think all this lawyer/attorney talk has kept investors somewhat off track and confused.
My point has alays been ---
They will make more concentrated effort when they realize that we are not a group of "idiots", as they has chosen to treat us.
They are private citizens who , according to evidence, began with less than desirable intent.
Our discussions here are simply for information, showing there are more than "one way to skin cat".
From being involved with entities /business that could not be held accountable, in traditional sense, ---IRS will trump in end.
Benny and Board are the masters of their own fate at this point.

My route would be to get an investigation opened for something as simple as funneling Redg money through Bennys business account.
I can promise you I.R.S. (INTERNAL REVENU ) would "pierce vevil " of tax evasion in a heartbeat.
Benny opened that door for Redg investors when he purposely blocked us out of his monetary activities by going through his printing company.
I.R.S. "trumps" all of lawyer lingo.
And by the way most kids in middle school knows tax evasion, money laundering etc is illegal in all aspects of the corporate world.

The law you quote applies to corporations that have benn registered , traded etc, then fails.

As CEO, he had legal responsibility to establish a CORPORATE RED GIANT ENTERTAINMENT banking account.
Everything as CEO was to be monitored and approved /disapproved by board.
Board received funds directly/indirectly from Bennys printing business with full knowledge it was Redg money.
With boards experience nobody can call "ignorance " of dealings since all have worked in ip/entertainment business.
Their resumes and qualifications were used to support their value as Redg board members.
I do not think your legal precedent applies to this situation.
If there is nothing "shady" here , why hasn't Benny shown his printing ledgers/banking records?
If Redg goes into bankruptcy, common sense dictates that all board members would be held accountable.
Boards are there to keep CEO in check.
They are supposed to vote and be involved in decision making process.
The main thing that has been going on at Redg is additions of assets to Redg courtesy of the board.
All were involved and have profited at Redg investors expense, either directly or indirectly.

Well guess what, overseas dealing were made by David to his overseas locations.
I doubt that this will go into bankruptcy unless lawsuit-court ordered actions.
All of them will be held accountable in demise of Redg, Eventhough they say their pay was deferred, they still made gains at our expense.
There was absolutely zero reason for Benny to funnel conversion money through printing company.
It was to avoid transparency.
The properties that came from Issen s production company return to Issen in event of bankruptcy.
So, Redg bought a company that has zero value to pay creditors in event of bankruptcy.
Again casting doubt on Benny and the boards agenda in forming Redg.
Was it simply a front to unload the boards unwanted businesses?
The question of IPs owned by Redg has never been fully disclosed.
Agree , TESLA has a huge following even today.
Many of his inventions are now gaining him rightful recogntion.
The TESLA SCIENCE FOUNDATION is attempting to get TESLA into school curriculums.
I did my part by purchasing 10 of the $10.00 Marky intro books.
I still believe there will be a demand for any of his branded items.
In a lawsuit, Bennys assets would be frozen so he couldn't take the money and run.
When lawsuit is settled, no matter who wins, attorney fees , court cost, filing fees etc , get paid first.
So a lawsuit would only make what assets there may be, change hands-----definitely not to investors.
Lawsuits, SEC complaints would all take years.
Redg will "crash and burn" OR get a bounce that may bring more money.
We simply are not a "proven" product.
The main issue for all of us has been the "betrayal " of our trust.
His blatant lies which lured many into buying.
The precautionary posting by the company do not cover blatant lies.
It covers over optimistic projections
It has been a bad blind date and we are going to have to move on in my opinion.
If Redg files bankruptcy, then Bennys assets will be on the line since he channeled conversion funds through his printing company.

When Marky took on the role of introducing the GSL, he became part of Redg. Not working for Redg is correct.
To get exposure on his "coattails" is not a moral of ethical dilemma.
It's just good common sense.
I don't think the value of Comic Con is underestimated.
All the time that Redg is there on display, there are companies, agents, investors and varied advertisers there.
After 3 years, we are still "spinning" our wheels.
So, in my opinion, it has not proved productive.
Redg needs a "grass roots" movement to get this thing

When my grandson was in kindergarten, I had to go to school because of "Improper attire".
Got to office and you would have thought he had brought a playboy magazine.

In the beginning, these characters were not well received because of content -living in sewer with rats---.

So, I don't think it's completely correct to talk about content and marketability by this company's product in a negative manner.
Benny shot us all in the foot when he lied no doubt. Has he learned? Who knows.
Marky comic should have some type promo in it. T shirt would not be out of line.
Partner with a screen printer. Have deposit paid pre orders.
Markys followers could sky rocket this with stuff like that.
It just seems to me ( I may be over simplifying this) that this should not be as difficult as Benny has portrayed it.

I throughly agree about "when Benny knew of launch failure". It had to be a sizable time frame. Nobody does business the way Benny indicated---not knowing, verbal contracts---.
I personally was upset over the failure, but more upset over Benny setting there again talking to us like none had any sense.
I think September is the right time frame for him having info of failure because he started this POW FOLIO around that time.
Now my 2 cents to OBE---

They did not put a gun to my head---after all I am the adult authority figure in their lives.
You need to do as I did, assume responsibility, go look in a mirror,
you will definitely see whose fault it is.
To be down $54,00 shows me you not a dummy or you wouldn't have access to that type money , unless you mortgaged the "farm"

Summary ---Benny made all the verbal deals.
Confirmed by his judge me statement.
Surest belief comes from deals you make.
All of his former contacts have said
Sure Benny, we go way back, great idea , count me in.
He is the one who took those verbals .
If this is any way correct, he may pull this up someway to keep it floating.
All board members have pitched in.
That group are bound to know some people to sign ad deals with.
One thing that was "pumped" in regard to Benny was his work history.
Ground floor of PRICELINE. It was stated as though he helped build foundation that makes PRICELINE the success it became.
Worked at MARVEL. Is there anybody who has not heard of MARVEL?
If you don't follow MARVEL, there are so many commercials, everybody has probably at least heard of them.
How many people actually would go to the trouble of checking his resume?
What a lot of people have called confidence, is actually arrogance.
If Benny can get the ads with 50 to 1 with lesser known companies, then he better get out there and get them.
Instead of those 2 former models working for their husbands, they need them out there with samples of Redgs work.
Utilize your best assets.
I can see all types missed opportunities.
I probably need to clarify about filing a complaint against Redg.
In my work as an advocate, I learned that mist agencies want you to exhaust all avenues for "relief " prior to filing federally.
Just sending Redgs filings etc would do nothing for SEC.
My plan would be to start checking on all local levels where Redg may / may not be registered and doing business.
State by state.
It will take months and probably years to unravel this.
To the people hollering lawsuit, no lawyer would take this on a contingent fee (getting paid when suit is based on winning),
you would need a chunk of money to hire attorney because this is local, state and federal involved spread over mutiple states.
This is a intricate, time consuming process.
Contrary to what the general public perceive about all the high profile cases (Bernie Madoff was named). You are looking at years.
A lot of people, myself included, did not heed warning signs. The filings became a never ending re filings and amendments which after a few pages, most of us just didn't read carefully.
The travesty of the entire fiasco is the lives that have been impacted.
Much like a dominino effect.
Nobody can tell Benny anything, which would be o.K. if he were a made genius, but I think he is the only one who believes that now.
We were drawn in--by less than honorable means and our on compliancy.
I am probably older than some. I was raised in a time when your word meant something, which made me believe Benny was telling the truth. That was based on my experience with people lying on federal level.
Don't take any of this is advice. This is all based on my personal experience.

When the GSL was really getting "hyped/pumped " for take off, I e-mailed Benny trying to get info for a new comic shop. Did not seem to inspire excitement in Benny as it did me.

Micro beer brewing start up would literally come , set up in parking lot and advertiser their product.
That Damon ( shark tank) started his clothing empire selling at flea markets.
I don't understand why we didn't have "feet to pavement " selling this product.
I truly believe the ad failure was due to lack of name recognition of Redgs product.
This is where Benny should have reached out to other advertisers that may not have been as high profile as ones he tried to get.
5-10 small ads versus trying to get high profile ones.
The contents of books would have sold.
Bennys goal should to get books into readers hand.
He aimed too high and I know he said that, but he should have known better.
It was interesting and probably very revealing if we had some idea about the way artists, illustrators etc were actually contracted.
Was their pay based on success of GSL, or royalties when advertisers bought in?
With the way Benny has handled everything else, I am sure a lot of them were left "high and dry" too.
If someone can talk to people who were involved , maybe we can find out what if any IPS Redg owns.
I still believe Redg is much like a talent agency.
David scouts these people or they come through Comic Cons across U.S.
, leave their portfolio of work, Redg tries their work for appeal to consumers,
Then Redg may or may not get royalties depending on if Benny Redg CEO signs them or Benny , private citizen.
Or do the really talented ones go to Glasshouse?
After the failure of GSL launch, finding out for sure Benny is funneling money through his printing business,--nothing should surprise us.

I have been one to transfer thought to paper. My strong suit has always been verbal.
So, when Benny got money from conversions, he paid printing, he paid REDG expenses accounts, he paid Jenna, he rented to Redg ( where is active media story front) etc.
In business accounts it is no different that you or I getting checking.
It's simply called a business /commercial account.
All banks have them.
When you file income tax--same rules apply
What have you made--- attach with supporting evidence
What have you incurred in debt/expenses--attach with supporting evidence

I don't know a lot about bookkeeping, but I do know a CEO can't put money in any thing personal of his .
I guarantee Benny knows that too.
It makes it appear that his is diverting funds.
I am pretty sure that is criminal conduct.
