When the dilution stops and the potential of this JV is finally realized, this stock won't be at these levels. Still alot of ifs, and the stock price is reflecting those uncertainties. We are betting on this company succeeding, and others are betting on this company failing. Understand the risks, place your bets, and enjoy the ride.

Your not the only one! In general stock alerts are released when a group wants to sell and they need the buyers there so the pps doesn't collapse. One positive thing though, nearly 1/3 of the float was bought yesterday!! That is huge

I was only noting the potential of the olifant brand. I currently drink a brand called Russian Standard vodka. Why? Because it taste as good as Grey Goose and it is nearly half the price. All I was simply saying is, done right this brand could do well. One review I had it mentioned, put it at #2 under greygoose. From what I gathered their are alot of unhappy shareholders here, the management over promised and under delivered on numerous occasions. I have read about the potential china distribution, the Trump brand having the best launch of any vodka. I understand why many would be upset! However, in my case, I'm new to this stock. I recognize the past problems by management and at .02 I am certainly willing to give this guy a chance. From what I gather this guy has had much success in his life with marketing and sales. I think he may have tried to bite off more than he could chew with handling all aspects of the job. Now that he has a joint venture with a importer, producer and distributor. That leaves him one thing to do, SELL! Even coming from the PR, mexcor has the resources to produce as much product as we can sell! No more impediments. As for the marketing, he has HUGE celebrities backing his product. I have read on a website, as recently as Jan 2010 of clubs on the west coast offering "snoop approved" olifant vodka at 50$/bottle! That is cheap and when people realize(much like I did with Russian Standard) that you can have good vodka that won't taste like hairspray or break the bank, then why wouldn't you make the switch? I am unaware of the success or failures of the other brands the company has, but considering Vodka is the number 1 most consumed liquor in the world. I'd say they have a pretty good chance with their, "snoop approved" and Donald trump vodkas. Both of which have received good reviews. Trump grape flavored vodka being the BEST, and Olifant being named number two under grey goose at half the price(in certain reviews). There is alot of promise here, but like with any other business their pose risks, some didn't understand that and got burnt. We are on the ground floor @.02! of a potential huge turn around for the company. IMO this is almost like a BK play, they were headed that direction, and now may have a chance to come out of this profitable.

As of two days ago, the company was on the verge of going bankrupt imo, 41mil deficit, and no means to produce their products. This jv didn't just help prop the company up to be able to survive, it LAUNCHED them!
IMO most know what they have and won't be selling at these levels.
Just gonna throw this out there, the company on the verge of bankruptcy, 41mil in deficits. Who wouldn't short this? The question is, who would short this now? lol. IMO beginning of a squeeze, think someone alerted another board with a vkng type run, I don't doubt it!
Definitely looking good, that acquisition is right around the corner. Can't wait for the follow up pr stating, company has begun working with target companies distributors and retailers and plans to kick start production for a nationwide launch. But one thing at a time I suppose :)

piggyback registration rights
Definition
The rights of an investor to register and sell his/her unregistered stock in the event that the company conducts an offering.
Alot of grey here, the piggyback rights apply to the "registrable securities" it does not define them as the old companies common stock or the restricted stock given to the DIP lenders in return for the financing. IMO it is not clear enough to say that the commons are ok.
I believe the piggyback registration rights applies to the newly issued shares to the DIP lenders.
The New company will issue restricted stock to the DIP lenders in exchange for the DIP loan, when the company does an IPO for the newly founded company the DIP lenders can then register their securities. Also there is a statement in the filings, showing 100% of newly issued stock is going to the DIP lenders.

Ever try to email the company and ask what their current involvement with the ex ceo of the company is? Google links well and all, but leave alot of gaps in information. MMUH bought veridigm, which was an already public company. Just a reverse merger, and as part of the deal or for payment, MMUH may have assumed their debt. MMUH has owned this shell since February of 2009.

Well they do have an office in UK, all they need to do is import their products there. UK doesn't want to ban them, just put age limits and warning labels.(for now, lol) Today's PR was completely null due to the appeal. But considering the company only planned to have 10% of sales in the US, not really that big of a deal.
