Being in Orange County... my first response is to make a joke about Riverside County.
Seeing as how half the company's board lives there... maybe I'll hold off until I can cash in my millions.
But yes. Your point is fair enough. Buildings were cool though.
Courtesy of The Google.
I looked around the street view level... holy gravy I'm glad I don't live in Romania. That two lane "street" is really just an alley over here in the States.
I did spend the last two years or so away from the board out of frustration of the stalled progress. Which has thankfully been alleviated.
It's more of a "I don't want to take credit for someone else's DD if they already covered all of that and I just missed it." lololol
To recap... and again, I'm sorry if I'm late to the game on this one:

https://www.globenewswire.com/news-release/2017/11/14/1186080/0/en/PHIVITAE-Corporation-Partners-with-Lao-Company-to-Supply-Pharmaceutical-Products-and-Medical-Equipment.html
------------------------------------------
So as the Aug 28th, 2017 PR notes, Phivitae was formed to serve as the holding subsidiary for the healthcare division of PHI Group. A letter of intent was signed to acquire 80% of a 20-year old profitable European (Romanian) medical distribution company.
The question was "What's the name of the European company that we own 80% of?"
Started searching around. Kept finding the same articles over and over. Kept talking about how we intend to acquire 80% of a medical corporation. Articles like this:
------------------------------------------

------------------------------------------
More specifically, I kept seeing things like this (in the same link posted above).
------------------------------------------
------------------------------------------
Kept staring at it. Then it clicked. Romanian is capitalized because it's a proper noun. What if "Medical Corp" isn't capitalized due to a translation error? What if it's capitalized because "Medical Corp" is literally the name of the company?

It was never a secret. And it was never particularly hard to find. We just overlooked it. At least I did. I guess I really shouldn't speak for anyone else.
1,359,223 Euros in sales for 2019. Only 108,017 Euros in profit. I'll take it though.

And here are a couple of its web addresses:

What's the next puzzle?
Whelp. I'm an idiot.
Found the name of the European medical distribution company.
Same. I hope he hits it out of the park.
I'm happy you're around and that you stay on top of the numbers. Thats the real thankless position here. Lots of digging around all over the place and all of the background knowledge of what is likely going on.
Im hoping thats code for he bought back more than enough to drop us below 3B o/s, lol
Id ask what you think the buy back count is up to but Im sure youre getting tired of being asked that all time. Im hoping he has enough to get us into the 3b ballpark. I guess we'll find out soon enough!
30 it is! I'll pay the pennance and PHIL the quota!
3 years here. Closer to 4.
Sorry man. I did read your post. I kept mine to 3. And no bad jokes either! But 15 it is.
No no no... it wasn't anything near the level of you or SD or Facts or DJK or gem or KYCats or NYCB or so many more. I just looked in the direction DJK and SD pointed.
Although I'm thrilled you caught the rocket "surgeon" bit! XD
I think you have more than enough skills for both of us, lol... Theres so much more DD to do... it's like a Russian nesting doll.
.
That's alright. I like puzzles. Lol
Good questions.

Henry rarely does much specifically just for himself, regardless of what the bashers say. Someone else posted earlier that you can look at what he's giving himself and it's in no way an abuse of his CEO power. Not that that's what you're saying he's doing. My point is just I doubt that he would do something just to get his own personal stuff in the Lux fund.
I'm wondering if Phivitae and NWTL are using it as a joint venture until Phivitae spins off and absorbs it. Or if they're intentionally keeping it separate from everything else while it's undergoing testing to avoid incurring unintentional liability to the rest of the company. Compartmentalization.
Here's my DD on American Laser Healthcare Corp. I apologize if any of this has already been posted.
- Incorporated in Delaware in Sept 2011 as Amberwood Acquisition Corporation.
- In Feb 2012, the company changed it's name to BioLaser Technology Inc. In March 2012 it changed it's name again to American Laser Healthcare Corporation. That same year, it acquired a private Low Level Light Therapy (LLLT) company called Macbeam Inc. The company owned a patented device called the MB Bioenergy Light Therapy System (MB-System). It also has US FDA clearance through Amest Corporation who owns the FDA clearance with 510k registration K030275.
Here's that summary letter.
https://fda.report/PMN/K030275/3/K030275.pdf
In August 2017, it ceased operations as a tradable company. It shuttered it's website.

Interesting here to note...

and then this came out two weeks later...

Although when you search for the company and Fahman, it pops up all over the place. So... does this mean that we own the tech? Or maybe kinda sorta own the company itself?
Got this off the FDA website.
------------------------
------------------------
Which led to this. Owner number came back to two separate entities.
------------------------
------------------------
And in case you missed it in the last couple of images, here's your FEI. But it just goes back to the previous image when you search for it.

HopePHILly this hits big enough to where we won't need another PHIL
I see what you did there...
Date issued for APP divvy?
Gives me something to sleuth around for today.
Here's this too if it wasn't already posted. I didn't look through the SEC stuff yet. Still waking up.

Your crystal ball is going to a monster truck rally.
Nailed it.
Yes! We beat out the Lingerie Fighting Championships! Great work everyone!
For sure his best chance.
And you're right. He got very excited talking about the company and what he was working on in the last CC. Almost excited as when we saw your workstation! He had to catch himself a few times when he started getting close to things that weren't public.
Like you said, we don't have the figures yet. Which means none of us have all the details. I'm sure it will be made clear in time. But it is getting harder for me to not get over-excited and to maintain reasonable expectations with all the energy and possibilities floating around.
No, that one is mine. Lol
Well. I guess yours would be a pot of boiling water.
Me too! I first bought PHIL at .03 and .07!
If that's our superpower... I don't even want to think about our kryptonite.
Yup. Maybe this is his press release tour. Stirring up the bigger name interest.
This is what I've been tossing around in my head for a while now... ever since it was first brought up.
I think it would be near impossible for all of PHIL to uplist to a senior market based purely on Vinafilms revenues. There would need to be multiple sources of revenue that would allow the market cap to exceed the O/S by 3-4x.
- The projected O/S at one point for PHIL was going to be 3 billion after buy back was completed. Even if Henry got us to 1 billion shares... that would essentially mean that Vinafilms would be pulling in $3-4 billion in revenue. I can't imagine that Vina is worth that much just yet, let alone $9-12 billion. And I'm not going to speculate on "that which shall not be named" just to get us to a point where Vina will solo us into an uplist.
- The caveat being that the market cap and the actual company equity are not one and the same. The market cap is basically shareholder speculation on what the actual value of the company is. If the shareholders believe that the company is worth that much and are willing to buy shares at $3-4 a pop, then... ta da...
My theory... based on my own mental ramblings... is that it's more likely that APP will spin off and THAT subsidiary would be uplisted to NASDAQ, just like we were speculating APR would do when it gets its initial listing. We know Vinafilms will be/is part of APP. It would make sense to take their revenues, spin them off with a smaller O/S and uplist that company. We know that APP is going to spin off. We now know that shares are going to be offered as a special dividend to shareholders.
Yes, I know that he mentioned Vinafilms revenue would be enough to uplist and we all know he wants to uplist PHIL. But if he can spin off both APP and APR while PHIL maintains a controlling stake in both companies... and/or if he did that with even more companies... "by your powers combined..."
That's all. I'm probably way wrong. But that's where my head has been.
I hear ya... we'll find out for sure once we're current.

That will help. All of it is good. There are some cliffnotes towards the back from the last CC and more recent stuff. SD Hunter put a lot of effort into it.
* Public share buyback is not starting until debt is fully converted; I expect some disagree.
All I heard was you are much smarter than I am. A literal rocket surgeon. Were you at the one off of Bolsa Chica // Skylab? Or the one off of Seal Beach?
Makes sense though since PHIL is gonna blast off!
