Ich denke wenn die Finanzierung bekannt wird......dann wird man die Deals in einem anderen Licht sehen und eine Neubewertung wird stattfinden.

Ich denk im Endeffekt kommt das auf´ s gleiche raus. Ist die Finanzierung enttäuschend....dann bringen dich auch Deals nur schwer nach vorne.
Sollte aber spätestens mit dem Q-Bereicht bekannt werden das die Finanzierung super ist.....und dann auch noch ein Q-Gewinn von 300-500K auftaucht.......dann wird der Kurs Nachholbedarf haben und klettern (auf Basis von sicheren Fakten)
Wenn HRCT einen tollen Job machen sollte.....dann ist der kletternde Kurs nur eine Frage der Zeit ;)

Das ist sehr schwierig zu sagen. NOCH sind es nur Vereinbarungen und wir kennen noch nicht alle finanziellen Details. Deshalb sind die Ergebnisse aus diesen Deals nicht kalkulierbar.
Fakten sind:
Wir haben ca. 210 Mio. OS
Wir haben rd. $ 8,8 Mio. von der Geldquelle erhalten
Wir haben ca. $ 2,25 Mio. an Jahresgewinn (wenn wir evtl. ein Wachstum von 10% in 2007 erleben sollten ca. $ 2,475 Mio.)
Das wären dann ca. $ 560K an Jahresgewinn (Brutto). Wenn ich ganz wild rechne dann gehe ich jetzt mal aus von 6% an Sollzinsen für den „Kredit“. Das wären dann pro Quartal ca. $ 130K die vom Ergebnis abgehen....blieben ca. $ 430K. Lfd. Kosten von ca. 30% würden ein Quartalsergebnis von ca. $ 300K ergeben. Damit hätten wir einen theoretischen Jahresgewinn von $ 1,2 Mio. Bei rd. 210 Mio. OS hätte man ein KGV (wenn wir mal Gewinne haben sollten) von 17 bei einem Kurs von $ 0,10.
Sollte diese extrem (!!) spekulative Rechnung in irgend einer Form halbwegs hinhauen....dann hätten wir kurstechnisch noch etwas Luft nach oben. Da aber gewisse Faktoren völlig in der Luft hängen, ist es nicht sehr verwunderlich das die Anleger noch sehr vorsichtig sind !!!!
Wir brauchen also noch etwas mehr Details, evtl. sogar den ersten handfesten Quartalsbericht und dann sollte man im nächsten Schrift über „Trommeln“ den Anlegerkreis erweitern.

ich denke man kann es dem gebrannten HRCT-Anleger nicht verübeln das er misstrauisch ist.
Viele Versprechungen, große Umsätze aber null Gewinne bzw. sogar Verluste.
Sollte aktuell alles mit rechten Dingen zugehen, dann wird der Kurs anziehen sobald man das erste handfeste Quartalsergebnis hat. Wenn die ersten 300-500K Gewinn im Quartal schwarz auf weiß fixiert sind und die Geldquelle und deren Bedingungen bekannt und akzeptabel sind.
Wir warten also auf „trockene Tücher“ ;))

Ich mache das ja wie Hartcourt ;) Ich habe einen großen Geldgeber gefunden der mir die Mittel für den Kauf vorstreckt. Als Sicherheit dient mein Depot. Und die Rückzahlung erfolgt z.T. durch Ratenzahlung, Rasen mähen und Auto waschen ;)))

Schon richtig....allerdings glaube ich nicht das die Geschwindigkeit des Einkaufens etwas über die Qualität der Unternehmen aussagt. Die Zahlen dieser beiden Schulen waren in der Vergangenheit ganz OK......und da sie in einem Wachstumsmarkt tätig sind und in einem Segment was wesentlich leichter zu überschauen ist....hoffe ich dieses mal auf keine unangenehmen Überraschungen.
Aber ich gebe dir Recht......die Qualität der Schulen wird extrem wichtig sein !!

Ich hoffe das Dr. Hu sich im Vorfeld schon sehr genau mit den Firmen befasst hat. Außerdem gibt es doch eine Garantierklärung bzgl. der Umsätze und Gewinne. Und wenn Dr. Hu wirklich alles schwarz auf weiß fixiert hat wird der Deal schlimmstenfalls rückgängig gemacht.

Ich denke auch......wenn man sieht wie konsequent Dr. Hu in seinem Handeln ist....dann dürfte bei Erstellung des Businessplan auch berücksichtigt worden sein die Menge an Firmen die man im Zeitrahmen X verwursten kann. Dr. Hu macht sicherlich nicht den Fehler jetzt 3-6 Schulen zu übernehmen die er so nicht integrieren kann. Wenn er jetzt noch CT und HQ im alten Jahr los wird.....dann könnte das 1. Quartal in 2007 wirklich gut aussehen !

Die Beteiligung ist ja auch kleiner....und selbst wenn....$ 300K würden ebenfalls die "Kasse" vernichten ! Und ein bißchen Kleingeld sollte jedes Unternehmen in Reserve haben.
Ich glaube weiterhin das HRCT einen Geldgeber gefunden hat....wobei weiterhin unklar ist was er dafür haben will !
Aber wenn hier fremde Gelder fliessen sollten....und Carrie hatte davon gesprochen das nur Summen im Bereich $ 5-6 Mio. Sinn machen....dann hat man noch Geld übrig für 2-3 Übernahmen ;)))

NEWS! Hartcourt Announces Signing Memorandum of Understanding to Acquire 100% Equity Interest in China Princely Education Technology Development Company Limited

The Hartcourt Companies, Inc. (OTCBB: HRCT) (FRANKFURT: 900009) (the "Company") today announced that it has entered into a non-binding Memorandum of Understanding ("MOU") with China Princely Education Technology Development Company Limited ("China Princely") to acquire a 100% equity interest in China Princely. The transaction is expected to be completed before the end of the year and is subject to completion of due diligence by the Company and execution of the definitive agreement.
The proposed consideration to be paid by the Company for the acquisition is US$300,000 cash and 5,400,000 shares of the Company's restricted common stock, China Princely has agreed to guarantee its net revenue at not less than RMB 16 million (US$ 2 million) and profit after tax of not less than RMB 3.86 million (US$488 thousand) each year for the three years following closing (2007-2009).
Founded in December 2004 in Beijing, China Princely provides internet-based distance vocational education and technical training services, approved by the Central Institute of Vocational and Technical Education ("CIVTE") of the Ministry of Education ("MOE") of China. CIVTE also has granted to China Princely the authority to conduct vocational ability tests and to grant certificates to students, therefore making China Princely an authorized accrediting organization for China vocational education.
CIVTE is a department of the Ministry of Education. Established in 1990, CIVTE is a vocational education research and development institution at the national level. CIVTE's main responsibilities include researching the reform and development of China's vocational and technical education, providing advice to the Ministry of Education with respect to relevant policy determinations, providing information and consultation services to the various vocational education institutions nationwide and publishing relevant data and information regarding vocational education in China. CIVTE is the China representative of the UNISCO Technical and Vocational Education Projects.
China Princely owns 51% of Beijing Shiyan Foreign Language School ("BSFLS"). BSFLS has approximately 550 students, producing approximately RMB 7 million (US$880,000) revenue and approximately RMB2.5 million (US$316,400) in net profit in 2005. China Princely is launching BSFLS branch schools in other provinces in China.
Mr. Haisheng Zhou, founder and President of China Princely, who has a long track record in the China education industry by serving as a government official at the Ministry of Education and as an entrepreneur in creating China Princely stated, "I am excited about the business combination between China Princely and Hartcourt. Zugegeben.....die alten PR-Geschichten sind in die Hose gegangen....das muss aber nicht heißen das neue Aktionen ebenfalls verpuffen. Vielleicht ist man bei HRCT auch der Meinung das sich alles von alleine regelt ?
Oder wir müssen den Frick und den Förtsch heiß machen auf unsere Perle.....dann heißt das Kurziel aber „Dausend“ ;))

Aktuell siehst du das richtig.
Ich meine wenn die alten Subs weg sind....ein sauberes Filling rauskommt....mit xxxK Quartalsgewinn und dazu vielleicht (bis dahin) 1-2 weiteren Übernahmen. Dann sollte man Unternehmungen anstellen die HRCT bekannter machen. Die Werbetrommel muss gerührt werden, Investoren oder Analysten müssen eingeladen werden oder Börsenbriefe bzw. Magazine müssen kontaktiert werden. Keine Ahnung was da machbar ist !!! Aber man sollte dann in die Offensive gehen um halt neue Aktionäre zu gewinnen. China ist weiterhin für Investoren ein interessantes Pflaster......nur die müssen aufmerksam gemacht werden und man muss ihnen das bis dahin (hoffentliche) Potenzial vermitteln. Wenn HRCT dann auf halbwegs gesunden Füßen steht und mehr Volumen in die Aktie kommt......dann ist es auch nicht mehr möglich mit 150 Stck. den Kurs zu drücken.

Ich denke auch für ein abgerundetes Bild müssen die beiden alten Beteiligungen raus und wir müssen das erste Filling sehen in dem nur noch die Zahlen des neuen Business auftauchen. Natürlich spielt auch die Finanzierung eine Rolle. Wenn dort erkannt wird das wir unter dem Strich nicht unsere Seele verkaufen dann sollten wir aus dem gröbsten raus sein. Zusätzlich muss man sich Gedanken machen wie ab dem richtigen Zeitpunkt die Werbetrommel ausgepackt werden muss. Wir brauchen neue Shareholder und stärkeres Volumen um die Zockerei zu unterbinden.
Aber.....wir haben solange gewartet....da schaffe ich die nächsten Monate auch noch ;)))

Aber das positive ist doch, das sich im Kern etwas bewegt. Die Dinge entwickeln sich.....nur leider ist unser Schneeball noch sehr klein, rollt langsam und es bleibt noch wenig daran hängen. Auch wenn die nächsten Wochen noch die Zocker das Heft in der Hand halten, so bin ich doch guter Dinge das sich hier über kurz oder lang endlich wieder eine Chance entwickelt !!

Es haben in den letzten Monaten (oder schon Jahren) alte Teile der Bilanz gefehlt (Stichwort: Filling 03). Daher hatten wir auch lange die SEC (Börsenaufsicht) im Nacken :(
Wenn ich die Amis richtig verstehe (denn langsam verliere ich auch den Überblick) dann wurden die beiden letzten Teile nachgereicht die noch in dem Puzzle gefehlt hatten (es wurden in den letzten Wochen immer wieder Teilstücke abgegeben). HRCT dürfte jetzt mit den Fillings der Vergangenheit und der SEC im reinen sein ;)

Vermutlich fehlt noch etwas Vertrauen bzw. muss das Business Modell etwas länger und gleichbleibend erfolgreich laufen ehe wieder verstärkt in HRCT investiert wird.
Sprich: es müssen die alten Beteiligungen raus und es müssen vermutlich erst 2-3 erfolgreiche Übernahmen kommen ehe die Leute den Glauben haben das HRCT endgültig den Turnaround geschafft hat und diese Firma eine Zukunftsperspektive hat.
Mehr als arbeiten kann das neue Team nicht !!!! Aber die Geschwindigkeit ist schon sehr ordentlich !!!

Sobald man erkennen kann das die neue Ausrichtung Erfolg hat, finanzierbar ist und eine Zukunft hat....spätestens dann sollte der Kurs schon das laufen lernen. Kann sein das dies erst in 3-6 Monaten der Fall ist aber dann mit mehr Dynamik !!

Bzgl. 1 Deal: Das Management hatte angekündigt den 1.ten Deal voraussichtlich bis Ende des Jahres abzuschließen. Und da es bisher keinen Grund gibt dem neuen Team nicht zu vertrauen....will ich es ihnen einfach mal glauben ;)
Bzgl. anderer Deals: Man hatte von 2 Deals in 2007 gesprochen....meinte man damit das Kalenderjahr oder das Geschäftsjahr ??
Ich glaube um den „versprochenen Value“ in 2007 für HRCT und die Aktionäre zu erreichen muss irgendwann die Schlagzahl erhöht werden. Nehmen wir mal an es bleibt bei 1 Deal in 2006 und 2 Deals in 2007......und alles hätte eine ähnliche Größenordnung......dann wäre man bei ca. $ 1,5 Mio. Bruttogewinn und einer OS Anzahl von ca. 214 Mio. Selbst wenn wir unter dem Strich $ 1 Mio. hätten (abzgl. Kosten und evtl. Zinsen)......dann würden wir vermutlich ENDE 2007 bei einem ca. Kurs von $ 0,15 landen. Auf Sicht von 15 Monaten mir persönlich etwas zu wenig. Vielleicht täusche ich mich auch.....aber ich hoffe auf mehr Beteiligungen und mit stetiger Erhöhung der Umsätze bzw. der Gewinne bei diesen Übernahmen.
Möglich aber auch das für Dr. Hu der Turnaround erfolgreich war wenn wir ein solides Fundament haben und ein wenig konstantes „grün“ dabei ist.

Moin zusammen,
um unserer lieben Ente den Tag zu versauen (LOL) möchte ich nun die Behauptung aufstellen das wir dieses Jahr noch eine Übernahme sehen werden. Dr. Hu und sein Team sind schneller als gehofft. Sie haben bisher alles eingehalten was sie angekündigt hatte. Auch wenn die Thematik „Filling“ eher zum Pflichtprogramm gehört hat, so war doch die erste Übernahme mehr als schnell !!! Und nachdem man nun eine bereits relativ lange Zeit in das neue Business investiert hat und mit mehreren Kandidaten wohl schon gesprochen hat, denke ich das die nächsten 3 Monate nicht nur damit „vertrödelt“ werden den Deal „save“ zu bekommen. In dem Bestreben schnellstmöglich den Turnaround zu schaffen um HRCT auf stabile Füße zu bekommen, glaube ich das wir noch eine Übernahme in diesem Jahr erleben werden. Die Selektion der ersten Kandidaten dürfte erledigt sein und wenn ich davon ausgehe das Mr. Hu einen Weg gefunden hat die Finanzierung der Deals zu schaffen (Deals müssen kommen....so oder so......egal ob billig oder der Biß in den sauren (teuren) Apfel fällig wird), kann es also nicht mehr all zu lange dauern bis der nächste Schritt kommt !!

War gestern eh kein berauschender Handel. Aber man hat wieder gesehen was mit 200 Stck. bzw. 124 (!!) Stck. möglich ist....LOL. Na wenigstens retten wir uns seit einigen Tagen ebenfalls mit geringen Stückzahlen ins meist grüne.

Ich denke bei einem Verkauf der alten „Subs“ hätte es eine PR geben müssen. Aber ich bin trotzdem guter Dinge das sie das hinbekommen. Bei dem Geldgeber bin ich auf deiner Seite. Ich denke bei den Shareholder-Meetings in NY und SF war für Hu bereits klar wie die Finanzierung laufen soll. Die neue Mannschaft macht auf mich nicht den Eindruck planlos zu handeln. Jeder Zug scheint 100% durchkalkuliert zu sein. Außerdem sind die Jungens bei HRCT ja alles andere als unerfahren was das Thema „Finanzen“ angeht. Und wie Hu ja schon sagte....die größten Hindernisse liegen hinter uns und der Turnaround wäre schon zur Hälfte vollzogen ;)

ich erwarte keine Wunder.......und bzgl. des Kurs sage ich ja das aus meiner Sicht HRCT derzeit fair bewertet ist. Natürlich ist immer bei HRCT das Risiko gegeben wieder etwas abzuschmieren. Allerdings ist mein Vertrauen in das neue Management doch mittlerweile relativ hoch. Bisher scheint ihr Plan bzgl. der Umsetzung voll aufzugehen. Sicherlich ist die Finanzierung und CT bzw. HQ noch eine unbekannte Komponente. Aber ich traue Mr. Hu durchaus zu die alten Beteiligungen entweder günstig abzuschreiben oder sogar etwas Cash dafür zu bekommen.
Bzgl. des KGV (wo sicherlich erst die Konten glatt sein müssen und der erste Buchgewinn erscheinen sollte) ist es immer eine Frage in welchem Sektor eine Firma tätig ist, wie dort die Wachstum- bzw. Gewinnaussichten sind und von welchem Level man startet.
HRCT ist derzeit ganz unten. Die Chancen das Gesamtbild positiv zu verändern sind in meinen Augen gegeben. Dazu die Aussicht innerhalb der nächsten 6-12 Monate 2 weitere Übernahmen zu erleben.
Und wenn ich mal Mr. Hu zitieren darf:

Ich sehe das ähnlich. Mittelfristig gesehen müssen wir noch ein paar Altlasten mit uns rumschleppen....aber das neue Business bietet uns mit etwas Glück und Geschick alle Möglichkeiten. Eine Beteiligung die im 20% Bereich wächst (hoffentlich langfristig) verdoppelt den Wert der Fa. in knapp 4 Jahren. Und wenn die angestrebten neuen Beteiligungen in 2007 kommen dann geht sogar alles noch viel schneller. Natürlich kommen dazu unsichere Faktoren die alles beschleunigen oder verlangsamen können......aber unter´m Strich bin ich sehr zufrieden damit wie es läuft !!!!!!!!!

Was ist für dich starker Wachstum ??
Die neue Schule hatte wohl von 2005-2006 ein Wachstum von 20%. Was nicht unbedingt heißen soll das diese Zahl jährlich erreicht wird !! Das neue Management will sich ja nur mit wachstumsstarken und profitablen Firmen aus dem neuen Business eindecken. Und angeblich soll dieser Business-Bereich in den nächsten Jahren sehr gut wachsen. Von daher halte ich ein KGV (wenn denn das G mal erreicht wird) von 30 für nicht zu hoch. Wenn die entsprechende Phantasie wieder kommen sollte und man im Schnitt evtl. ein Wachstum von 15-20% erreicht, dann halte ich ein etwas höheres KGV für realistisch.

Vertan.......wenn es 2005 ca. 950K waren......und 2006 ca. 1140K......dann ist das eine Steigerung von 20%. Werden diese 20% auch 2007 geschafft.....dann landen wir bei ca. 697K für HRCT in 2007.

Ich meine gelesen zu haben das die neue Schule 2006 rd. $ 1,14 Mio. an Gewinn bringt.
Das wären grob gerechnet 500K für HRCT. Bleibt eine Steigerungsrate von ca. 12,8% (2005-2006) dann würde man 2007 (das steht ja vor der Tür) auf ca. 655K für HRCT kommen. Allerdings geht da ja noch einiges für Kosten runter.
Daher bin ich ganz grob von 500K ausgegangen.

BTW: Ich rechne immer auf Jahresbasis....natürlich können wir die Gewinne erst verbuchen wenn das Ding "save" ist und dann auch nur anteilig nach Besitzzeitraum.

Das ist mir auch schon aufgefallen. Aber besser immer im ASK schließen als im BID ;)
Ist aber schon komisch !! Aber die 7 Cent werden hoffentlich halten bis weitere Rahmenbedingungen bekannt werden. Ganz grob gerechnet sind wir mit $ 0,073 fair bewertet. Bei ca. 500K Jahresgewinn und einer OS Menge von ca. 205 Mio. hätten wir ein KGV von 30.
Jetzt muss möglichst schnell etwas mit CT und HQ passieren. Wenn diese Anteile aus den Büchern verschwinden kann man anfangen sauber zu rechnen. Bei den 500K gehen ja noch einige Kosten runter. Und wenn diese Altlasten erledigt sind könnte auch wieder etwas Euphorie in die Aktie kommen.

Bei den alten Deals ging auch immer erst eine Absichtserklärung raus. Aber natürlich kann alles noch den Bach runter gehen solange nicht alles "save" ist.
Aber die bisherigen Taten des Management lassen mich schwer hoffen.

Schon richtig......aber es wurde von $ 2 Mio. in Cash gesprochen und von 5,5 Mio. Shares.
Wenn es einen Geldgeber für die $ 2 Mio. gibt dann wird dieser mit Sicherheit eine Gegenleistung verlangen. Aber ich kann mir nicht vorstellen das Hu den einfachen Weg geht und sich das Geld über große Mengen OS oder anderer Optionen geholt hat. Das würde die Firma nicht sonderlich weiterbringen. Hu muss versuchen den Wert der Firma ohne verhältnismäßig große Ausgaben zu erhöhen. Wie er das konkret anstellt ist mir allerdings nicht klar.....vielleicht gibt uns das Management hierüber demnächst einige Infos ? Jedenfalls möchte man bereits 2007 den Wert der Firma in Verbindung mit dem Aktienkurs in eine neue Richtung bringen. Das kann aber nicht funktionieren wenn man bis 2007 3-4 Firmen übernimmt für die man 60 Mio. OS hinblättert.
Ich hoffe das Management enttäuscht mich nicht in dieser Richtung ;)

If it was an investor……..there must be more than only $ 2 million in the pipeline.
And if it was a banker….he trust in the Business plan from HRCT. If the money is used successfully, it will be easier to get more next time.
It seems that Dr. Hu has found a “financier”.
