ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
Operating Agreement
On July 24, 2006, NeoMedia Technologies, Inc. ("NeoMedia") signed a an operating agreement with Shang Fang Wei Ye Technology Development Limited Company ("Shang Fang"), a subsidiary of Beijing Sino-U.S. Jinche Yingyang Auto Technological Services Ltd., to introduce and market NeoMedia's patented qode(R) (www.qode.com) direct-to-Web technology in key markets in Asia.
Under the operating agreement, NeoMedia's primary role will be as the main interface to mobile operators, with the company primarily responsible for demonstrating environments as well as developing demonstration products for mobile systems, service network environment enablers, and mobile application solutions and services. Shang Fang's primary role will be to provide an interface with various Asian governments as well as to identify and help negotiate with potential commercial partners of qode(R) in that part of the world.

"I cannot provide a specific timetable, but it could happen very soon," Wang Xudong, minister of information industry, told reporters at the ITU Telecom World 2006 being held in Hong Kong.
Wang reiterated a commitment to enable operators to offer 3G services during the 2008 Olympic Games in Beijing, saying it is "well-founded and feasible."
3G services enable video calls, faster data downloading speed and mobile Internet access.

The report, titled "digital life," noted that the hitting of 100-million mark was a significant milestone and illustrated that the cell phone technology is approaching maturity.
The evolution from the second to third generation mobile networks will turn out to be a jump like from analogue to digital, said the report.

China's direct marketing sector is expected to reach 6 billion yuan (750 million U.S. dollars) to make up 3 percent to 5 percent of the advertising industry's total turnover this year, said Zhou Keren, chairman of China's Commercial Advertising Association.
New social trends and technologies are remaking the marketing landscape and the development of so-called precision marketing is gaining momentum, Zhou told the 2006 Precision Marketing Forum held in Beijing recently.

China patents don't see light due to funds woe

SHANGHAI, Dec. 2 -- Most of China's patents are stuck at the research stage and are not ready for commercial use due to a lack of funding and policy support, a government report said yesterday.
Only a tenth of the country's patents are applied in large scale industrial production, the National Development and Reform Commission, China's top planning body, said in the report which is based on a survey of 1,000 Chinese self-developed patents.
It said 30 percent of them are for trial use and another 30 percent are in laboratories.
For patents that are already commercialized, more than half are funded privately while venture capital provides funding for a tiny 2.3 percent, the report said, citing lack of support from the capital market.
In mature markets, well-developed funding chains ranging from seed capital, angel investment to venture capital investment and bank loans are available to fund patent industrialization at different stages.
But the fledging Chinese capital market has limited access to funding, especially for medium- and small-size start-ups.
"We still don't have such a good financial environment to support the industrial conversion for patents," the commission said. "We have to accelerate the pace of financial innovation."
The report also found most patents are independently developed by universities or research institutions. Only 0.3 percent of them are co-created by companies and research institutions, an avenue thought easier for commercial application.
To solve this, the commission said China should create a better patent transfer system between research institutions and companies to make it convenient and fast to industrialize a certain patent.
The commission said the policy support for patent industrialization is not enough. China doesn't have a standard to value the importance of a patent owned by a high-tech company, and this makes it difficult to decide which firm should be granted preferential policies.
The government said earlier it wants to make China one of the world's most innovation-oriented countries by 2020.

LONDON — When Richard Branson found himself outmaneuvered by cable television group British Sky Broadcasting in the battle for control of Britain's largest mass audience broadcaster two weeks ago, his reaction was to lash out at the "threat to democracy" posed by Rupert Murdoch.
Media executives usually miss no opportunity to argue about the News Corp. chairman's influence, but the reaction this time was different. Despite Branson's attempts to provoke a review of Murdoch's "concentration of power," the focus was instead on the growing media muscle of his son, James.
Three weeks ago the BSkyB chief executive caught an evening flight for a conference in Barcelona with Jeremy Darroch, his finance director, and Andrew Griffith, his head of corporate finance.
It was over cheeseburgers at midnight that he began talking to his brokers at Morgan Stanley about the plan for an audacious strike on ITV,(IMO: most of the time the talk like this turned out to be a killer plan), the broadcaster that had been put in play by an approach a few days before by NTL, Branson's cable company and BSkyB's chief rival in pay-television.
By Nov. 17, Murdoch had acquired a 17.9% stake in ITV and a decisive say over who would control the company. It soon became clear that the move had all but dashed NTL's hopes of gaining that control. BSkyB paid such a high price for its stake — 940 million pounds ($1.78 billion) — that NTL was not expected to make a better offer.
The move caught analysts, investors and media executives off guard, not least because Murdoch had casually told the Barcelona conference that he didn't see "much of an impact" from NTL's approach to ITV.
"One of the most interesting things about this story is that three or four days before he'd been very blase and derisive about NTL's move," said Peter Bazalgette, chief creative director of Endemol, the producer of "Deal or No Deal."
"What does it say about him that within three or four days he did a complete U-turn? Did he change his mind? It means he reacted very, very quickly, which has all the hallmarks of his dad."
The investment, widely described as a spoiling tactic, almost exactly mirrored his father's own move a few weeks before on the shares of John Fairfax, a rival Australian publisher.
But people close to the company say Rupert Murdoch, BSkyB's chairman, became involved only late in the day. He was briefed on a Wednesday evening before Lord Rothschild, the senior independent director, convened a board meeting at 5 p.m. Thursday to approve the strategy.
"The chairman," as his son calls him, joined in by phone from Australia.
The ITV investment was unexpected in more ways than one, according to one media analyst.
James Murdoch's new-media credentials, earned while overseeing News Corp.'s first stab at an Internet strategy in the late 1990s, at first marked him out as a geek. But as the media, telecommunications and technology industries have converged, they have been taken more seriously by rivals and analysts.
The confidence of his sweeping analysis of technology shifts and changing consumer behavior, coupled with his ability to rattle off details about the minutiae of set-top box architecture, has kept his geek image alive.
The day before his Barcelona trip, for example, he warned the Interactive Advertising Bureau that advertisers were not grasping the opportunity of new technology by treating the Internet as a separate marketplace. "This view ignores the real revolution that is approaching, which is about the connectedness of all media," he said.
It is a theory that he has spent much of this year trying to put into practice at BSkyB, with the launch of a video download service, its entry into the broadband market, and a series of deals to get BSkyB content onto mobile phones.
The payback remains uncertain and BSkyB's shares have underperformed the market by 17% in two years, but its chief executive is unshaken on the long-term vision.
"TV networks, publishers, movie studios, music companies and even Internet companies are all trying to figure out how they fit into a media marketplace that is a lot more sophisticated than it used to be and a lot more disobedient," he said.
His move on ITV, both sophisticated and disobedient, suggests that James Murdoch is positioning himself well for that future.

Hi, elliot1234, I think you already know the answer, but from what the news announced, it is a "very good" news, I think I forgot to mention AutoMart is a state authorised auto shops and they do all the maintenance works for the state autos.
What about the DMV RECORDS, LICENCE PLATES, etc. all the 3 insurance cos. are owned almost by the state govn't. Actually I was surprised they can get the contracts with these cos. so soon if u don't have the perfect connections. Well this is really a good start for Neom, hopefully they keep the deals coming. Well, dlethe01, we are now talking 2 different demographical countries even they are neighbors, first we may need to understand their govn't policys and what kind of MO's they are playing. DOCOMO may want to come to play with Neom only if only Neom play a good show in Europe and prove the eligibility of what they own, then we have a good chance because their citizen already get used to the code, while in china, we need a good propaganda or "show" to promote the new stuff, it's much harder to be soldiers on the front line esp. when u don't have enough ammo. Doing business in China is totally different than ours, in US or Europe. Don't forget China is still a communist country but with "Open Market" policy. The situation(s) over there are very "delicate" & "complicated". A "small" comer could get burn and buried. So the proper connection(s) are needed before you could go any further. Even though the MOT, NOK, HP, and others are still hook-up with the state cos. to do the business. But once getting the things going, built-up the relationship, everything should be fine.
Like I said before, most of the chinese cos. are looking for the long term, I mean Long..Long...Term.

But in IMO, for the present situations, Automart is brought on by Cornell's connection, within the Automart there is another co.(you can find the name from the previous PS) who get the cybercentury on board ( or you can say D&S Consulting Co.) and within the cybercentury, there is GBQ social networking. So we can see the picture now ( but NOT the whole picture yet). If Neom or their connections are properly routed with one of the Mobile Carrier, e.g.China Mobile (Don't froget the D&S consulting Co. is doing business with C.M.), then the market would be much faster/greater than in Europe even though Europe comes into the play much earlier. Just read the today's posted msg. from Business Week about China, 1/4 of the China Mobile's revenue is from SMS. You know this is all total of speculation, but it's not far from the reality. It depends how the CEO execute his plans (for us). Either he plays hard ball or not, I think the AutoMart plays an important role between Neom and China market. JMHO

Mobile operators will need to be leaner and explore a range of offerings—including ads on phones—some leading experts say

Mobile operators such as Vodafone (VOD) have long been content to fly solo as they make the costly push beyond voice calling into data. Many European carriers reckoned they didn't need to form partnerships to make good on upwards of $100 billion spent on the government-issued licenses needed for delivering advanced wireless services such as Internet access.
They may be singing a different tune, judging from a spate of recent announcements. Vodafone, for example, announced on Nov. 14 that it was forming a partnership with Yahoo! (YHOO) to put advertisements on mobile phones. Then, on Nov. 16, Hutchison Whampoa's British wireless operator 3 unveiled its X-Series, which bundles wireless broadband applications including Google (GOOG) and eBay (EBAY) for a flat fee, an effort aimed at encouraging customer adoption of data services
(see BusinessWeek.com, 11/21/06, "Skype and Sling Hitch a Ride").
BusinessWeek.com spoke with some of the industry's leading thinkers about the evolving business models for cellular operators. Edited excerpts follow:
John Delaney, principal analyst, Consumer Research, of London-based consultancy Ovum
There is a trend in mobile telecoms for less of operators' revenues to be coming from the end users, and it's a fundamental shift in the business. Traditionally, it's been about driving traffic onto your network and then charging the end users for that traffic. The Internet changes all that. Pretty much everything that's on the Internet is not paid for by end users, but they've got to be paid for by somebody, and that's usually an advertiser.
Hutchison's 3 is an interesting operator because in many ways it's at the leading edge of the encroachment of that Internet business model into mobile telecoms. Mobile telecoms in Western Europe and some other markets is now essentially a commodity business. So operators have to start offering their customers new services [including some] not traditionally associated with telecoms, like search, TV, and so forth.
But they have been trying unsuccessfully to fund these services in the traditional way, by getting end users to pay for them. The idea of paying a subscription per month to use a particular service, for example, is proving fairly unpopular with users.
So we're now seeing operators starting to move toward the Internet model: not charging users—or not charging them so much—for the Internet and to try and interest advertisers to use the mobile phone as a site for advertising. That's been difficult in the past for a number of reasons. First, because it's been difficult to get much in the way of advertising on the phone; and second, because phones have been used primarily for voice communications, getting advertising in there is always very intrusive.…
[The advertising model] is completely new for mobile, and the potential is huge just when you think of the numbers involved in terms of worldwide subscribers. And there's interoperability between the phones, unlike the instant messaging services on the Internet, which are closed communities. So that's an enormous audience for advertising.
Not only that, but operators have a lot of data about what their users are doing. Those characteristics by themselves are enough to make advertisers salivate at the potential. The key is finding a way to unlock that potential without alienating the user. If it can be done, the potential is just phenomenal. It would dwarf TV and the Internet as a medium for advertising.

I have long thought that the sort of walled-garden approach from operators is unlikely to succeed. In particular, I have huge doubts that operators should get directly involved in content, for the most part. There's this fear of what is rather crudely referred to as becoming a "dumb pipe," and my view is there is far too much of a polar distinction of being a full content service provider or dumb pipe.
I think there is a much more realistic, obtainable, and potentially profitable "smart pipe" middle ground, where the operator is providing not just connectivity and access but other services around that. Those may be services they provide to the end user, such as guarantees of a particular quality of bandwidth or speed, or services provided to third parties in terms of location and billing support and various other program interfaces.
In terms of business models, clearly the various levels of advertising support…seem to be gaining a lot of currency. Clearly, there is an awful lot that still needs to be done, though, in making sure that the user experience is acceptable.
I don't see mobile advertising in the short run making a huge contribution—it won't grow as fast as, say, Google has in terms of the PC-based Web simply because Google took a relatively understood format and just tweaked it. Here, it may be back to square one.
And while clearly the upside is that it's got a lot of creative people, all the creativity in the world doesn't solve things like designing handset user interfaces. People always underestimate how difficult it is to get software to work on a good range of mobile phones, whereas most software will work on most PCs and virtually all Web browsers.

If you remove [short messaging] from data, data accounts for 2%-3% of operators' revenues. So, even if data explodes dramatically, it will never be able to compensate for the revenue [that] voice is generating today. More and more operators in Europe are offering flat-rate calls on your mobile phone. In the U.S., you have the buckets with 1,000 or 2,000 minutes.
The profit for the operators is that you can't use the minutes, so from that perspective the future of the mobile operator is simple: He will be lean. For an operator, it's about driving down his costs, ensuring his fixed costs are very low, scaling down his business, reducing subsidies, outsourcing a good part of his business; he will not develop mobile services like you do today.
I see the future mobile-operator business model as more like a supermarket. What is a supermarket? A logistic point, with a cash register and a customer base. All those products are put into the supermarket; they do the marketing so there's traffic into the store. You go into the store, pick up a product, and then you go to the cashier and you pay for it. Then the supermarket shares the revenue with the supplier.
The winning business model in the future is not the one that Vodafone is using. It's not the one that 3 is using. If you look across Europe, the most successful operators are the ones focused on driving down fixed costs, ensuring customers are paying as much as possible flat rate and then having some product on top of that they can add some extra revenue on. And those services, they will not buy them in the future, they will get them from the service providers on a pure revenue-sharing model.

China Mobile chief executive officer Wang Jianzhou is clear on the role he wants cell phones to play in the lives of his subscribers. "We want to make the mobile phone a Swiss Army knife that can do anything for you," Wang said in a recent interview with BusinessWeek editors.
His company is well on the way to reaching that aim. China Mobile (CHL), the world's biggest mobile-phone operator, has a subscriber base of some 300 million—roughly the equivalent of the U.S. population. Those subscribers have sent some 255 billion short messages so far this year, and they're serial music downloaders.
Little wonder non-calling services already make up almost one-quarter of China's Mobile's total revenue. By contrast, data makes up only about 13% of service sales at Cingular Wireless, the top U.S. wireless service provider.
Convergence of Features
The idea that the mobile phone should be a one-stop shop of digital services is universally shared in Asia. The region's universe of wireless-handset subscribers is approaching 900 million, and markets such as Japan, South Korea, Australia, Taiwan, and Hong Kong offer the bleeding edge in mobile calling, applications, and services. There's also a convergence of features among cell phones, personal digital assistants, cameras, MP3 players, and high-speed wireless networks that's turning mobile phones into all-purpose digital devices.
Telecom giants across the region are encouraging the trend, hoping to boost sales of the higher-margin non-voice services and applications. Global handset makers are doing their part, too. Nokia (NOK), Motorola (MOT), Samsung Electronics (SSNGY), and Japan's NTT DoCoMo want to position their gadgets as a must-have, multi-faceted digital appliances for those on the go.

ss9173, I mean M.C. comes to Neom as a New COO. from 12S. Actually, if Neom has been funded with some VC or other resources(may be SBB loan if possible, private placement, etc.), a lot of issues could be solved way before C. May be C.F. and others are a little more conservative at that time and still looking for the way to put their GEM into the market. Then when Matin C. came well equipped with all need-to-know in MM., C.F., C.J. and the board of directors start to wake up and pursue their plans.
If C.F. and the board of directors are willing to share with their patents, everything should be "Fine" right now. Well sometimes that's what you will get invloved when running a business esp. with the patents issues. Since we get into a co. with patents, named a few cos. like this: PTSC, IDCC, AMPX, I am sure there are a tons of other cos. like this. Some of these cos. are exactly the same as Neom when they were still infants, esp. IDCC, when they tried to fight with QCOM when they were traded only betwn. $2-$4 range.(w/Less O/S), their situation was exactly the same as Neom right now(excluded O/S issue.). So, Dr.Mike, don't worry, Just have a little more faith and patience. Good things will come.
Just think about all the possibilites Neom will bring in the coming year, someone whoever agree/against (always with "MOTIVE") will be relax/regret.....PICK YOUR CHOICE.(Don't forget there is always "RISK".)

Among all three cos. said above, Alltrust will be a major player and there is a lot of potential for Neom to play in china. Like EDOQ asked last time about the RISK with these cos.(sorry I missed your Q. and thanks for someone to answer your Q.) Well, actually "LIFE" is always full of risks, right? One way or another, just depends how you see it and handle it. Sometimes we have to go easy on ourselves and enjoy it while u can and may be spend more time w/your family while others cannot.
Always starting a co. is much easier than running a co.
For those yrs. Neom has been trying to make their patents work
but with limited resources (funding, talents), at the same time they don't want to give up their control of what they believe in.
Not until the new C00 comes onboard, change the strategy, finding their way out, making connections, M&A, etc. You cannot expand the co. with the same limited resources without sacrifice.
I can see that Neom is more aggressive now and they have almost everything line-up. Now it is the turning point for Neom, either make it or break it. JMHO

As I see it the pps for Neom now, neom is looking for the base and continue to consolidate at this level until the major contract/promo announced which it will be on Dec.08.06.
Regarding the contracts from china, we won't see the revenue until '07, probably 2 Q.(probably take 6 mos. into effect). But if we have more contracts coming, the pps will take off to some point (Don't forget the pps now is oversold big time by somebody, and someone is quietly collecting someone's shares).
The Wall St. firms won't touch the penny stks. by their co. policy not until we get out of the OTC.
Back to the china deal, sometimes we have to understand the human nature. Remember the Qode will be promoted on the SuperGirl show, this is a very good one, esp. with the VIP program because over there in china, the "FACE" IS ONE OF THEIR PRIORITY before everything. That's why I mentioned in my last msg. the "RIGHT CONNECTIONS" WITH THE "RIGHT PEOPLE" WITH THE "RIGHT BUSINESS". Also the chinese government now enforce the anti-corruption statewide, business become more legitimate.
Actually to my surprise Qode program takes less than one year to put their first foot to the chinese circle. Once the Qode program starts and the public knows about it, there will be no "Stop", because everyone wants to "jump" on board. It's different than in US. Here we want to see and wait for the result. Over there in china, when they see the potential, they do it first to be the first one in the market. For example, the most recent IPO and the real estate. Just 2 different philosophy doing business.
So far, CF executes his plan accordingly and sometimes we have to appreciate someone spent those yrs. trying to make his dreams come true. Say, how many people having their dreams but still a dream, right? JMHO.

From what I see so far for Neomedia, this is the most important step to get involved with the public in china. Don't underestimate those directors with the Alltrust, they are mostly stated owned and public listed cos., they have their own customers too, the monthly electric bills, etc. can also be billed by using the "Qode" and make their payments. The paper work the company save, means money, and the stamps the public save, also means money, all will be charged by using the "Qode"
