Pink Lady - I made a mistake. There were only 25 million shares issued for "Consulting Services". Do you honestly believe that Remo has any regard whatsoever for the shareholders?
Pink Lady - The 500 million shares that Remo issued to himself and the 45 million that he issued for "Consulting Services" are all Common Shares. Are you under the impression that they can not be sold into the float?
If you are a new investor here don't believe all the cr*p that is shoveled on this message board. You need only to read back over the news releases for the past year, and you will see the "true" value of this company. I especially liked the June 8, 2011 news release regarding the 22.5 million up front payment from BullnBear Group.
EJo - some of the history of Rebel that begins Feb 25, 2007 - long before any association with ADHC. In my opinion this has been too poorly managed to be a scam. I don't believe that Earnest is sharp enough for that role.

Mo - my worst fear about this whole deal is that Rebel has walked and this was a rinse so Remo can start with another clean slate. I am leaning towards that not being the case, but I am a little confused why he would opt for such a drastic Outstanding Share Reduction unless he intends to reduce Authorized Shares also. The last vocal group who took over the message board got the price above .001, but you could see we were going to sink back again to the same range as before they arrived.

EboJr - I was amazed that with over 300,000,000 shares traded that we held .0003 at the close. At .30 per share if Rebel is a legitimate revenue generating company, we will attract more investors and less flippers.
EboJr - As it stands at this point in time at .0003 per share Rebel has an evaluation of approx $300,000. Rebel Networks has been a Cloud Hosting Provider since 2004 so they are not a start up. I have never seen their financials but I am betting that this company either already has or will shortly exceed that evaluation.

I agree with you "mo 1". Most people will not see this as extraordinary news. I am hoping for two events. The first being financials that show that Rebel is generating revenue. The second and more significant event in my opinion is the news release where Rebel has signed a well known company on as a client. Even if our contracted service to this large well known player is a minor one, I think that a lot of investors will still take notice.
How about "no guys in a room". I am surprised that these guys could figure out that you have to turn the door knob to get into the room.
My God! If there was a military conflict between China and USA, I hardly think the share price of Tytan would be our greatest concern.

Can anyone here versed in Legalese explain in layman's terms the details involving the acquisition of Rogue Paper? I have read it twenty times, but am unable to clearly understand the details. Thanks.
Item 1.01 Entry into a Material Definitive Agreement.
On October 23, 2011, (the “Effective Date”) East Coast Diversified Corporation (the “Company”) entered into a Share Exchange Agreement (the “Share Exchange Agreement”) with Rogue Paper, Inc., a California corporation (Rogue Paper) and certain shareholders of Rogue Paper (the “Rogue Paper Shareholders”).
Pursuant to the Share Exchange Agreement, the Company shall acquire fifty-one percent (51%) of the issued and outstanding shares of common stock of Rogue Paper (the “Rogue Paper Shares”) in exchange for two million five hundred thousand (2,500,000) shares of the Company’s Series A convertible preferred stock, par value $0.001 per share (the “Preferred Shares”). No sooner than twelve months from the Effective Date, the Preferred Shares shall be convertible, at the option of the holder of such shares, into an aggregate of fifty million shares of the Company’s common stock, par value $0.001 per share.
Beginning sixth months from the Effective Date, both the Company and holders of the Preferred Shares shall have the option to redeem any portion of such holders Preferred Shares, for cash, at a price of sixty cents ($0.60) per share. Commencing twenty-four (24) months from the Effective Date, the holders of the remaining, unsold shares of Rogue Paper common stock may require the Company to redeem such shares, for cash, at a price of three cents ($0.03) per share.
Furthermore, the Company shall purchase up to one million dollars ($1,000,000) of additional shares of Rogue Paper common stock, in intervals to be determined, over the course of the next twelve months.
I may be crucified for saying this, but I believe the "Organic Growth News Release" issued a while back. I do not necessarily believe we will be rolling in the Healthcare Dollars, I see the success of Rebel as a specialized behind the scenes provider that may be contracted by companies like Practice Fusion to provide software or hardware infrastructure. My big worry is debt and where will the cash come from to fund growth.
Remo had his shortcomings in regards to running ADHC, but at least he personally loaned his company money when it was needed. I am thrilled that Rebel is the flagship of our company now, but I do have concerns. Does Rebel bring with it any form of toxic debt? We are already almost maxed out on our Authorized Shares, so you know what that could mean.
It is my opinion that it will be a while before we see the kind of shareholder value that we all are expecting.

It looks as though the hierarchy of the company has not changed. Ernest Remo as CEO is still in charge. Domenic Macchione as President and COO will be responsible for the day to day operations.

Humility is good for the soul. How did those extra decimal places get in there? I am fairly new to the Pinks, and have been watching this one for months before buying in. I am just happy that at least Rebel is not a start up and has been surviving as a self sufficient business entity before ADHC came along.
