I thought that YA was forbidden to assume control of the company (majority shares - voting rights). What was THAT deal?

How can company management or the board enter into an additional funding agreement, against the consent of ALL of the other shareholders, and against the best interest of us shareholders? Especially when it has been very clear NOBODY wanted continued dealings with this company!

How is it possible that any agreements the company has made with YA has given YA the opportunity to have TOTAL control over every move we make - for their manipulated gain. Not just gain, but massive wealth!

These things alone... against the best interests of ALL shareholders except YA...
sets this entire thing up for a MAJOR law suit. Huge conflicts of interst and huge corruption going on. A majority stakeholder in a company blatantly siphoning huge amounts of cash out of the company, drafting their own terms, and suffocating all shareholders in the meantime.
I'd like to hear more from your perspective.
Are they throwing around the idea of a reverse split?
Are they stating that a reduction in par is better than a reverse split?
If they reduced the par from .01 to .001
Then instead of having a float of around 5.5 billion,
it will more like a float of around 50 billion (or some disgustingly ridiculous number)
It may be time to get one of those law firms to start looking into the possibility, just in case their services are needed. It wouldn't hurt for them to analyze all of the financials and company dealings since the early days. Then, if their services are needed, they'd be well prepared and many steps ahead from the get go.
Afterall, if the apple falls off the tree, they'd be there, ready and waiting to pick it up. It could be a huge pay day for one of these law firms.
We all know YA could care less about NEOM shareholders. They are out to make a killing, plain and simple.
Why would we continue taking loans from YA?
Does Iain have any concern for us, or are his hands tied?
Or is Iain dealing with the devil for his own personal gain, at the death of us shareholders?
The question is: Anyone see this development as just another fund infusion, or does this development inject cancer into all of our investments?
Proposed to go from .01 to .0001, but that requires a change in the charter, something that can only be done at a shareholders meeting. So par remains at .01 for the moment.

Exactly what is happening with Iain's employment contract?
Was it expiring? If so, was it renewed? Or will it be renewed?
In other words, YA can convert everything they possible can...
This keeps the PPS at around .012 .....
They accumulate billions of OS shares ....
They accumulate 54% ownership of the company ....
They can SELL their 54% of the company to a MSFT or such ....
And ONLY their 54% (shares) at say .40 per share ....
They make a filthy profit ...
And literally us common folk see nothing but ....
The PPS staying at .012 with our original shares we own.

Just because they are a creditor, does not mean they are entitled to receive information before its released to the public. Of course, they would know EVERYTHING going on, seeing that they are INDEED set up with their representative at the headquarters.

Agreed, that just because they sell on spikes after a PR, means nothing. If YA converted into shares, because they knew of upcoming NEWS (inside info), so they COULD sell on the upcoming spike, now that's ILLEGAL.
How do we know Iain is looking out for us and our best interests? Is it even possible that he is? How can we ASSURE that he does now and in the future?

I'd believe that they'd want to see the PPS skyrocket at that point.
The only way to convict on trading to manipulate a stock price, would be in the hands of a jury and its perspective.
And if that practice was brought before a court and a jury, I think all of the deep, dark details would emerge... and the jury would without a doubt find them guilty.
Fraud exists all throughout every financial exchange.. throughout the entire financial market. Anyone thinking that the amount of fraud going on with YA could only be minimal is grossly underestimating. In microcap / pennyland, where there IS NO microscope (normally) for players to operate under, there's a hell of alot more opportunity to get away with fraud. We all know that.
Although they are deliberately manipulating the pps and writing up ridiculous terms to the financing, are they doing anything illegal?
Doing things that sabotage shareholders and the company in the future would bring about a class action...
but are they doing anything ILLEGAL now?
Potential shareholder disaster? Is there any potential for neomedia shareholders, at this point, to be wiped out by YA actions?
Regardless if its legal or not, can they manipulate things to wipe us all out - even though Neomedia and YA have been under the microscope for so long?

Yorkville Advisors Sued... Is it also a potential for criminal charges to be filed, and possible jail time for YA executives?
This whole episode will hopefully act as a sliver of protection for Neomedia shareholders, as I can't possible imagine the yorkville advisors will try to do ANYTHING inappropriate and against the law from this point.

At bargain basement prices, the NEOM toll bridge is worth one billion minimum. 4 billion ain't so far fetched.
Look at some of the rinkdink applications that have sold for much more money than this.
When Hell Freezes Over is when ya could take over the portfolio of patents. Maybe a year ago, two years ago... that may have been a possibility, not now. Either you're delusional or you're fatally pessimistic.
The question is: when is the date when we finally eliminate ALL the debt, or at least ALL of the convertibles are actually converted, allowing the pps to go up (them not having any shares to convert and sell)
Revenues will be steadily increasing over 2010, and then will be pouring in by 2011.

"Just to set the record straight, the last monthly financing occurred on August 14th (2 months ago) after 5 consecutive months of monthly financing. Have we finally seen an end to the drip financing and has NEOM weaned themselves from additional YA financing? A huge milestone if this is the case.
I also would note that all of the debentures now carry a maturity date of July 2010.

If YA converts one share beyond 50 percent of the 5 billion authorized, they will lose control of the company. We know that they convert and sell into the market. So what you see in the float with a 90 day rearview mirror is what Yorkville has converted and sold into the market.
The only way they could convert more than 2.5 billion is if the last 4.9 percent they convert beyond 49 percent of the authorized shares will be held in their account and not sold to the general public.
So if Yorkville decided not to want to lose control of the company and to wait for the ultimate pay day which is a buyout of NeoMedia we will see the outstanding shares stop increasing.
If Yorkville does this then the maximum shares you could see in the float would be around 2,700,000,000. That would only happen if Yorkville converted preferred and held them. This way there would be about 54 percent of the shares issued.
If you want to see the shareprice take off, then you can have YA make a public announcement that they intend on holding all remaining shares until a buyout.
The one wildcard that exists are the warrants. NeoMedia can force conversion of the warrants (.075 and .10). So Yorkville has to put the number and amount of warrants into their calculus as to how many shares to convert. I think that we have just about reached that point. If Yorkville converts any more from where we are now then they will have lost 50 percent control of the company. Why do I say this? NeoMedia can force the conversioin of the warrants into stock and retire them into treasury. This way the shares are issued but held by the company to vote. But those are less shares that Yorkville can own and vote.
IF they reach the 2.49B OS number, then what?
Have we entered into any other financing with YA since mid summer, or have we thankfully stayed away from the devil for a while now?
If we are DONE with new financing, then how long will it take for these pigs to finish with converting, and to get the heck out of dodge?

YA Convert / Dump - How many more conversions are they capable of, and when do we anticipate an end to their conversion/dump pattern?

It was one thing back in 2004 when it was just a dream and a vision.... BUT now that the ecosystem is basically set in stone and everyone knows we control the bridge, and the mobile marketers are ready to pounce on this opportunity... and we have some PIGS screwing around with the pps.

What do we anticipate in 4q revenue?

As it stands now, I believe Neomedia is worth well over a billion, just in massive potential alone.

we'd have a OS count of 5billion. Worst case scenerio, sell the company for a billion, and more or less, each share is worth .20
Can people live with that scenerio?
But, good news is, there's no reason to sell, when this company can stir a value of multi billions of dollars at the least. Time will allow the pps to head much further north from .20
Mobile marketing through the cell phone 2d code applications is COMING, and it is coming BIGTIME. IT's only a matter of time for the big revenue to start saturating NEOM's pockets.
The only thing keeping this pps down is the present lack of income (which will soon be resolved in 2010)

YA ... and their selling of their converted shares. Eventually, they will sell themselves to nothing... and we'll be on our own. Although the helped NEOM survive, they sucked and sucked as much blood as they could, almost reaching unprecidented levels of greed. I'll be glad to see them gone for good.

Value would be based on percentages of the pps or on the actual worth and projected worth of the company or IP.... The answer is Not the pps.
A sale would not happen, based a pps of .013
Someone like Apple or Microsoft would step in, say this company is going to generate 'this' amount of revenue annually for the next decade or so, and they would determine what they want to pay for the opportunity. It wouldn't be any less than a billion from my perspective.
They not only would own the IP, and pocket ALL of the royalties involved for a decade+ , but they would own a full fledged service provider, producing the scanning software and hardware in house, and ready to grab a big slice of the campaigns for themselves.
Worst case scenerio for the shareholders, the OS would max out around 5 billion. Therefore, with basic mathematics applied, each share would be worth around .20
What do you believe is a fair and reasonable selling price for both the buyer and the shareholders? How much would each of our NEOM shares be worth after considering sale price?

By the grace of God, everyone will be paying Neomedia.
Neomedia and scanbuy are not the only companies with the equipment and technology, utilizing the indirect method.
There are numerous companies out there will their own version, mostly substandard. Scanbuy just happens to be one of the better producers of this technology. Neomedia is the leader in the producation, the pioneer.
These other companies will probabaly not end up making much on their equipment and scanning software.
Every industry has TONS of players at every level. There will be others out there playing the game, but anyone using the indirect method WILL be paying. The more the merrier.
