IDGreen Corp: On September 25, 2017 the company IDGlobal Corp. entered into an agreement of merger and plan of reorganization, by and among IDGlobal Corp., a Colorado Corporation (“Company”), IDGreen Corp., a Colorado corporation (“Holdco”) and a direct, totally held subsidiary of the Company, and Global Green Systems, Inc. a Colorado Corporation (“Merger-Sub”), and a direct, totally held subsidiary of Holdco. (As of this date 6/13/2018 the Company has not completed and/or finalized this restructuring).
On December 15, 2017, Encounter Technologies, Inc., a Colorado corporation (US.ENTI.PK) purchased 71,000,000.00 shares of Series A Preferred Stock in IDGlobal Corp. a/k/a IDGreen Corp., a Colorado corporation from Sebastien C. DuFort in exchange for the issuance to Mr. DuFort of 7,100,000,000.00 pre-reversal shares of ENTI's common stock.
As the direct result of the acquisition being reported on this form, ENTI controls IDGC. The Reporting Person will file a Schedule 13D to reflect this transaction within the period required by the Commission's rules and regulations. (This transaction was rescinded April 2, 2018).
On February 6, 2018, the company IDGlobal Corp., a Colorado Corporation (IDGC.PK) entered into an Asset Purchase Agreement with an existing quality packaging company. (As of June 19, 2018 this transaction is still under a due diligence period).
Farallon, Inc.: DESCRIPTION OF BUSINESS
The consolidated financial statements include the accounts of ID Global
Corporation (the “Company”). The Company was initially formed and organized as Radon Uranium, Inc. a domestic, for-profit corporation in the State of Idaho on October 28, 1954. (Idaho Secretary of State File No. C27450). On April 7, 2006, the Company entered into a merger agreement; whereby, it was redomesticated to the State of Nevada (Nevada Secretary of State Entity No. E0149092006-7). On August 11, 2016, The Company entered into a merger agreement, whereby, it was redomesticated to the State of Colorado.
The Company has a wholly-owned subsidiary Fluid Solutions Group, Inc. ("Fluid"), which was incorporated in Nevada on July 26, 2013. Fluid Solutions Group, Inc. or “FSG” did a Conversion and Redomicile from Nevada to Colorado on July 25, 2017 and filed with the state of Colorado September 14, 2017 and changed its name to Farallon, Inc. The new Farallon, Inc. updated its Articles of Incorporation on September 14, 2017 and changed its focus within the performancebased consulting business of IDGC to specialize in the curation, completion, and launch of consumer and industrial products. Farallon, Inc. will continue to operate as a wholly-owned subsidiary of IDGLOBAL Corp. The company also has a Series A Preferred Class of shares (voting stock) and a Series B Preferred Class of shares (designed for acquisitions). ID Global Corporation (IDGC) is an emerging growth company under the JOBS Act of 2012 and, as a diversified holding company, will focus on emerging and middle-market domestic and international investment opportunities. IDGC is evaluating the acquisition of interests, joint ventures, and licensing agreements with qualified companies within the consumer and industrial products industries.
