Friedman/MWIP is a SCAM! This guy has pulled this before if you read back through documented history on this stock. HE announces the spinoff and DOES NOTHING just to pump the stock! I think it is finally catching up to him......Average down - GET OUT.....

Friedman bought some time by saying in the last PR; "The acquisition will be subject to satisfactory due diligence, completion of definitive agreements and for 800 Commerce to complete its spin-off from the parent company MediSwipe Inc. as consideration for the acquisition." Also,
"complete the S-1 filings with the new consolidated financials from our auditing firm ". Takes a week or two.......

Totally correct cashmoney...And once the cycle starts it is almost impossible to reverse. It takes a TON OF TIME to reverse.
This is the difference in stocks that succeed and the ones that do not.
First, NOT dumb questions UncleJimbo. Second, I think it really depends on what is in the S1. This company has a good future with the products and services they are engaging in with 800. I know because I was in IT banking for over 10 years and know the kind of revenues they can generate with the card swipe technology.
I will sell some but hold positions in both if it is to my advantage for the future income.
Just an assumption - Probably NEVER WILL file the S1! The guy just needed the money from the pumped PPS......Remember that he wanted to see the PPS at .03? Just an observation, and sorry to say, but I think the guy that said "this is nothing but a pump and dump" was right! Still hoping NOT! Forever the optimist......

This dip will last only as long as the MM's want it to. They have been using this stock as a money making machine for a couple of months now. Take a look a the chart. With all the news this stock should be WELL OVER what the current PPS is, but somehow it continually slips back......Wonder Why?

Totally RIGHT! But that CEO tried to get a larger bang for his buck by releasing the news as he did, but it backfired. HE DOES NOT UNDERSTAND INVESTOR SENTIMENT.....If you give a date and miss it intentionally, investors are going to be pissed off! He needs to hire someone that understands penny stock investing sentiment!

RIGHT ON with that CEO! Currently people are just watching and WAITING which is why the PPS is not moving north......People do not know WHICH WAY that CEO is going to go next!
Because Friedman knows that MWIP is going nowhere. Take a look at how the fed is treating CA pot shops...Friedman is changing the business model to one that will make tons of money. The company products for 800 is really needed by small business's.
Here is what I found on pricing spin-off stock:
After a spinoff, you own stock in two different companies. If it is a tax-free spinoff (also called a Section 368 reorganization), you have to allocate the cost basis you had in the original parent company to the two stocks you now own--the parent and the new spinoff.
To illustrate, assume the following:
You owned 100 shares of XYZ Corp which you purchased on 7/1/2004 at $50 per share for a total cost of $5,000.00. On 7/1/2006, XYZ Corp spun off shares their subsidiary ABC Company to all of their shareholders at a rate of 1 share of ABC for every share of XYZ. You received 100 shares of ABC Company. XYZ announce on their website under the "Investor Relations" tab that the allocation of cost basis to be assigned to the shares of ABC was 7% of your cost basis for XYZ. This was determined by the relative market values of the trading prices for ABC and XYZ after the shares started trading independently.
Your cost basis for 100 shares of ABC is therefore 7% of $5,000.00, or $350.00 with an acquisition date for holding period purposes of 7/1/2004 (not the date of the actual spinoff.)
Your adjusted cost basis for 100 shares of XYZ becomes the remainder, $4,650.00, after deducting the cost allocation for ABC from your original purchase price for XZY. Your acquisition date remains as 7/1/2004.
You can calculate the percentages yourself if the company does not publish the spinoff allocation data. You can also audit the percentages that the company is reporting. You just need to know the spinoff distribution ratio and the stock market prices for the first day that the parent and spinoff stocks trade separately (the day after the distribution.) You can look up the trading ranges for that day using historical stock price resources such as BIG CHARTS. (Hint: When you use the historical stock price function at Big Charts, if the stock is no longer actively trading under the stock symbol, you can try using the CUSIP number. If that does not work, ask your broker to look up the CUSIP on Bloomberg, Interactive Data, or other databases available to broker/dealers. Large libraries also can provide this information from their archives of stock listings in daily newspapers. ) We have also had good luck finding historical prices at GOOGLE FINANCE.
Be careful to use the stock market trading prices for the day AFTER the spinoff. This is different from the first day of trading for the spinoff stock. Spinoff stocks usually start trading a few days or weeks before the actual distribution date on what is called a "when issued" basis. This gives the market a chance to look at the fundamentals of the stock and allows price discovery to occur in an orderly manner before the actual distribution date.
You are allowed to use the opening price, the average price, or the closing price on the first day of separate trading. Most people use the closing price.
Once you have the market prices, you simply use the following formulas to determine your allocation percentages:
Spinoff stock price per share x Spinoff distribution ratio = Spinoff equivalent market price
Parent stock price per share + Spinoff equivalent market price = Combined market price
Spinoff equivalent market price divided by Combined market price = Spinoff allocation %
Parent stock price per share divided by Combined market price = Parent allocation %
Spinoff allocation percent plus Parent allocation percent should always add to 100%
Friedman is trying VERY hard to raise the PPS on MWIP which is, I think, why he is releaseing these press releases before filing. He needs the value of MWIP higher to set the price of the spinoff at a higher value. Don't be surprised if in the future MWIP goes by by.......

800 Commerce is a spin off, not a buy...And yes, he has no money to speak of....So the only divy that investors will see is stock in the new spin off. Hope I am dead wrong though.
TOTALLY CORRECT stemcell! Now we have to wait for the next "pump" to get rid of this POS! That CEO needs a brain transplant and even then I do not think it would help.....
MWIP - Buy releasing the news the way he is the CEO is trying to get the PPS as high as he can before he announces the divy....
I just hope the divy is worth the wait and/or holding some of this stock.....
Like you, I came for the divy. However, if this CEO keeps going I will keep buying and HOLD a large amount of shares. This market he is in is MAJOR and will produce MAJOR income in the future and hopefully more dividents..........
