EMFP Private Placement.
On February 1, 2007, Emergency Filtration Products, Inc. (the “Company”) completed the sale of 1,460,565 shares of its restricted common stock in a private placement with accredited investors for aggregate proceeds of $750,000. The price per shares was $0.5135 which represents a discount of 35% to the closing market price of $0.79 for the Company’s common stock as quoted on the NASDAQ OTC Bulletin Board on the date of the investment. The discount was offered based on the restricted nature of the stock issued. The shares were issued in reliance on the exemption from registration and prospectus delivery requirements set forth in Section 3(b) and/or Section 4(2) of the Securities Act of 1933, as amended, and the regulations promulgated thereunder.
Item 8.01 Other Events
In connection with the above private placement, the Company announced an agreement with an accredited investor to invest up to an additional $900,000 in two tranches payable on or before March 1, 2007 and May 1, 2007, respectively. Per the agreement, the aggregate 1,752,678 shares will be issued as the funds are received at $0.5135 per share, the same price per share as the original investment.

In October 2005 when UPDA made it's spectacular run to 1.00 the market cap was $23 million on 23 mln shares o/s.
Now the market cap is $34 mil at a price of .12 and 283 million shares (and counting).
273 million shares of that is in the float, which means almost all of those shares were just dumped into the market.
Yes, the market cap may keep rising but unfortunately the share price has little chance of serious appreciation.
The preferreds convert into over 2 Billion additional shares.
The A/S is 2 Billion shares. I wonder how long before they get there and have an R/S?

I don't know about AURC, but a gold mine I visited once did a "pour" every other Thursday. The one I saw was about 800 ounces. It was always delivered to Handy and Harmon the same day.
I rec'd restricted shares in ISCR. They show as no value in my account until they are un-restricted. ISCR was never reduced in price to reflect the dividend.
HMGP hasn't spiked yet. Until it does, the current move won't end.
That is correct. However, the co could opt to pay a stock dividend in only restricted shares. In that cased the price would not be lowered on the ex-date.

On the ex-date, the price will be reduced about .01 from the previous days close but will show no change. Day before ex-date close at .13 would show as .12 is unchanged on the ex-date, not down .01.
The stock was never reduced in price to reflect the dividend. Therefore the record date is in the future IF there is to be a div.
It won't be the first or last time a dividend date was changed or cxld.
Eventually we'll get clarification from the co. Until then, it's not worth discussing imho.

We don't even know if there will be a stock dividend. For all we know, they decided to cancel the stock divy and announce a cash divy instead as soon as increased production and revenues make it feasible.
It's all idle speculation until officially announced along with an ex-date and pay date.
The bigger news here is actual production and revenues have started.
This is the beginning of many exciting weeks ahead for us imo.

Doubloon, things to keep in mind:
1. Stabilized production rates will usually be 1/2 of test rates.
2. The Net Revenue Interest (NRI) will generally be 80% of the Working Interest (WI). A 30% WI will be a 24% NRI. Always use NRI when calculating revenues. I see some of WL.V earned interest is in the 21% area. That will probably be an NRI of about 17%.
Sometimes the NRI will be much higher than the WI until the investment is recouped. ie; WI 30% and NRI of 40% on first $1 million revenue and the NRI of 24% after that.
I like to contact the IR person of oil/gas co's and get the exact NRI % when possible if I can't find it in the filings or PR's.

What is the pricing? Any hedges? All at spot price?
If no hedges and spot avg is $7.00 per mcf then 9.0 MMcf per day would be $63,000 per day gross revenue.
(9,000 Mcf x 7 = 63,000).
Multiply that by # days per quarter/year to get revenue per Q or Year.
Profits will depend on $ spent to find current reserves.

Q4 est. Guidance of 55 to 57 MMcfe/d given on 1/17/07. Recent production stated as being 70% gas and 30% oil.
55 to 57 MMcfe/d x 92 days = 5060 to 5244 MMcfe for the qtr.
I come up with approx 3600 MMcf gas and 260,000 bbls oil for Q4/06.
1800 MMcf gas hedged at 8.00/180,000 bbls oil hedged at 60.00
900 MMcf gas hedged at 7.00.
Net of hedges and quality adjustments I expect oil pricing to avg 56.00 bbl and gas 7.40 Mcf.
3600 Mcf @ 7.40 = 26.6 mil
260,000 bbls @ 56 = 14.6 mil
Total oil and gas revenues = $41.2 mil
Lease op expense = 8 mil
DD&A = 16
G&A = 2.5
Accretion = 1.2
Total operating expenses = $27.7 mil
Operating income = 13.5 mil
Net interest expense = 3.7
Pre-tax income = 9.8
Tax @ 35% = 3.4
Income before Spar LLC = 6.4
Medusa spar income = .3
Net Income = $6.7 million
EPS basic = .32
EPS diluted = .31
Basic shares used = 20.8 mln
Diluted shares = 21.5 mln.
Analyst concensus estimates as of today 1/29/07 = .27 EPS and 40.25 mil revenue.

It doesn't matter until an ex-date has been set. Those that buy now will still get the divy most likely. Those that sell now will most likely not get it. What happens is that the stock trades past the record date and before the pay date with "due bills" attached. There is no certainty until an ex-date has been officially established.
It is just idle speculation until then.

I'm not sure how much is left. The PR's continue to say they are still fulfilling the 25 mil order, so there is probably a little bit left to fulfill. I would guess not a lot looking at the revenue trend.
There is nothing to say they won't get another large order from the gov't in the future...it just can't be counted on before the fact.

A profitable pinky is very rare, regardless of the last half drop-off. The news hasn't hit the business wire yet, so a nice little pop might happen next week when it does.
The nagging question is what will the next 6-12 months look like without the gov't contract left to fulfill?
I would tend to take partial profits if a quick double occurs above the recent lows, or about .028+ area.

Some of the buying may have been those that didn't want to miss the divy and/or MM's not wanting to be short the divy.
IMO since an official ex-date was not announced yet, there is a chance it will be after today.
We won't know for sure until it's made official, so it is a waste of time speculating about it in the meantime imho.

You spend a day looking for an email address to an investment company. At the same time people are saying "buyout", one + one = two. I would think an investment company would have lots of customers, and might think Aurus would be the perfect addition to one of them to help cover their investment. Lets see, we are over invested in this piece of crap, but if they by Aurus for next to nothing, our butt is covered and we might even get rich. Nothing personal Aurus stock holders, its just business.
I vote for one PR a week updating current production and revenues and any share repurchases that were done. All other new info can be PR'd as needed in a timely manner. If they close a big deal on a friday, why wait til tuesday to PR it?

The easy explanation would be there is a large bid and offer. ie: .07 bid for 500k and .08 offer 500k. 50k for sale goes off at .07...1k to buy goes off at .08 or vice versa.
Sometimes after a large % move in a short time a vacuum gets created. XYZ goes from .05 to .10 in 1 day. The next day a small sell could take it down several pennies whereas it would take substantial buying to power higher.
As far as MM games go, I'm a little out of the loop. I'm sure they happen. I know in the old days they would call each other on the phone and tell each other to drop their bids or raise their offerings. A form of collusion to make the spread as big as possible. As a floor specialist I couldn't get away with diddly if I wanted to keep my license.
I updated my last post. What people don't realize is that a new Russian miner is very unknown and hard to verify for most folks. The big money is not here reading 2C's research. But if just one "name" investor/fund dicovered AURC through their own DD, the floodgates of interest would open.
I don't know where anyone gets the idea that 2C wants a buyout. Pala is an investment fund that buys stakes in gold co's. The idea is to interest them in buying a chunk of the co...not the whole co. imo.
If a fund like Pala bought a 10 to 20% stake in AURC, what do you think the pps would do?
