Hawkshaw...re SSPX shares...We still own ~3.5 million shares. The filing of 1/20/04 in which Wave was going to sell ~750K shares was NEVER acted upon. Had they sold the ~750K shares...it would have left us with 2.75 million...FWIW.

IAMSAM...re SFLK...there was a tremendous amount of buying pressure at the end of the day....volume was north of 800K. This could simply be end of the quarter window dressing...or could be something more significant. Either way...the higher SFLK goes....the higher our share value becomes at the time of the merger. If the disconnect continues....then it would be a wise move to purchase additional SSPX shares!

N4....re HJ...This old dog maybe barking up the wrong tree...but here goes:
Does everyone remember Anthony from the old Silicon Investor days? Remember his bold comments ...I think he made a comment something like...you Wavoids have no idea as to what is about to hit you. A few days later...we had the famous or infamous Claugus article in Barrons. According to HJ...we all will know that he made the correct decision to sell in five days....well five days puts us on Monday....and what comes out over the weekend....Barrons. Like I said...I'm probably so far off base here that nobody should take this seriously. It does bring up an interesting point however...the naked short rule goes into effect on 4/1/04...which is next thursday. I think that we have something like 4.5 million shares that are still short. Is someone attempting to orchestrate a mass sell off in order to cover? Given the contents of the 10K...I have no problem with increasing the number of shares I own if a sell off does take place!

IAMSAM...re mergers price...Right from the initial announcement...the price never seemed right to me given that there were north of 50 million shares outstanding after the last round of funding....the correct value of the merger is ~104 million dollars....not the 45 million that was originally stated.

IAMSAM...I would actually purchase additional shares of SSPX.....instead of SFLK. If SFLK holds its current valuation...it would translate into a discounted SSPX stock. Personally, I'm more impressed with SSPX as a stand alone vs SFLK. Having said this...the combination could become very interesting.

Kitesurf...re Wave benefit...Wave will benefit from the potential larger market in which to distribute their SSPX holdings(3.5 million SSPX shares) into. Currently SFLK has three institutions that have some sort of relationship with their company...SSPX has very little as far as institutional support. Secondly, SFLk is trading at the low end of its 12 month range...it allows for POTENTIAL upside for Wave in a few months...when they will need to raise additional funds.

CMF/Paul...re SFLK...I saw the merger announcement at roughly 14:30 PST...and manage to get on the CC (last question). I had about 5 minutes of DD under my belt...hey what can I say...I believe in doing my DD before getting on a CC Anyhow...I asked about their cash on hand....the CEO responded that at the end of the Last year...they had between 7-8 million in cash and have subsequently raised another 9 million. Combined this with SSPXs cash of between 8-10 million...it provides the new company with ~20 million in cash. SFLK is burning through ~2-2.5 million/quarter and producing 1.5 million over the past 9 months or so. SSPX on the other hand is burining ~ 1 million/month but generating little over 1 million/month. Besides having access to each others client base and potentially being a one place shop regarding some of the large govt. contractors....I'm not sure I follow the logic of merging at this time. I think it will benefit Wave...but I'm not sure about the individual SSPX shareholder.....FWIW

D&0...Personally, I have very little doubts that they will eventually sell their services. My only concern at this time revolves around having enough cash on hands to get us to the point in which our revenue guidance improves. I think that the shave our market cap has received since the CC is WAAAYYY over done! Has it been on a large volume...NO! I think we have seen the retail holders begin to capitulate....No individual can blame these people for selling....it's been a long and frustrating road to this point. I think that people need to look at what type of environment needs to be in place BEFORE Wave can generate significant revenues. Then they need to ask themselves....Is this environment being created? If the answer is NO...then they should sell. If they feel the answer is YES...then they should hang on to the shares they have.

If Waves basic service did not have anything to offer to the OEMs clients...then why include it on their hardware? Spin...Just out of curiosity...You seem to be discounting any possibility that Wave could ride the coat tails of NSMs Super I/O chip into mass deployment. I'm curious as to your thoughts regarding this NSM development. Granted that none of the NSM SUper I/O chips with TPM functions has been deployed yet (that we know about) With an average cost of ~1 dollar it would seem like a no brainer for the OEMs. Part of the wave model has been contingent upon mass TPM deployment...it would seem as though this new chip from NSM offers Wave that path.

Wave had "working capital" of 12.4 million as of 12/31/03....I had mistaken that for cash. I believe that they had ~8+ million in cash and the rest in securities...FWIW

1) Cash as of 12/31/03....12.4 million
2) Cash received from SSPX sales in Jan. 2004...1,797,000
3) Cash totals...That would mean that Wave had ~14.2 million dollars to work with not including the burn for Q1...you do the math...how long can we go? Don't forget that we ALSO own ~3.5 million shares of SSPX.
BTW...You weren't the ONLY one of us who guessed "Spot on" with the revenue forcast from Q4/03

Shrinkydink...re TPM/Wave...No...all TPMs do not come Wave enabled...however...Waves software is compatable with EVERY TPM deployed irrespective if the semiconductor is Atmel/Infineon/NSM etc...We need deployment of TPMs to ensure the rollout of Trusted Computing. This is the environment in which Wave will thrive. IMHO

Good evening Yaya...re CC...As I have said on other occasions...In order for Waves business model to have any chance...we needed a firm commitment from the industry to deploy TPMs on a broad scope. I think that we are witnessing the "early stages" of the inclusion of TPMs onto the PC/Laptop environment. If you go back to the article in which the security manager from IBM states in no uncertain terms...that every IBM platform except for the cheapest models will be TPM enabled by the end of 2004. Combine this with HPs decision last year to offer TPMs...and Dells upcoming decision...it is clear that the adoption curve that Steven was talking about has ALREADY started to take shape. Add to the mix our Toshiba find and we can start to appreciate that this move is indeed a global adoption.
My biggest concern has always been whether or not we will have enough cash on hand to get us through 2004. I will admit that I thought we would have to raise additional cash by May...but it's beginning to sound like we could put off the next round until the fall. This potential delay will enable us to potentially benefit from the june/july rollout of the OEMs latest products.

We receive a larger fee from NSM than we do from INTC on what amounts to a HIGH VOLUME PLATFORM.
