I think there is a bit of confusion on insider share count:
Steve VandeVrede: still owns 1,759,500 series B preferred stock, convertible to 9,473,721 common.
His sell of 100,000 common shares represents about 1% of his holdings.
The VandeVrede's (Ken, Steve, Mike) all own about the same amount (1,759,500 series B preferred stock, convertible to 9,473,721 common)
On sec form 4, everyone needs to look at table 2. It shows the remaining amount of preferred and common shares (convertible from preferred).
To put this into perspective: say you own 500,000 common shares and sell 5,000 (which represents 1% of your holdings). Would you consider that dumping?
Remember: they are not taking a salary and it's tax time.

County approves medical marijuana ordinance

Medical marijuana dispensaries will soon be a reality in southern Nevada. During a zoning meeting Wednesday, Clark County commissioners passed an ordinance approving those dispensaries in a 4-2 vote.
A few changes were made to the original plan, though.
About 4,000 Nevadans are in possession of medical marijuana cards. Later this week or early next week, those interested in opening dispensaries should be able to fill out applications to do so.
The original plan was to allow for 10 dispensaries and an unlimited number of cultivation facilities in the county. On Wednesday, commissioners decided it will be determined on a case-by-case basis if a dispensary will be allowed to open in a particular location.
Commissioners also removed boundary restrictions between dispensaries and residential areas.
Cultivation facilities will only be allowed to operate in industrial areas.
Commissioner Chris Giunchigliani said she would rather see big-box stores that grow and sell marijuana, making the purchase of medical marijuana less expensive and more convenient for patients.
"Then you have to go buy production from somebody else. You're raising cost for someone to get their medicine. You have to be sensitive to some of the outcomes of policy decision," Giunchigliani said.
Commissioner Steve Sisolak said each cultivation facility will create about 200 jobs.
An application for a marijuana dispensary will cost about $5,000. The county will accept applications from April 16 until May 2.
Commissioners will review applications during a meeting on May 5.

Responsible medical marijuana legislation allowing dispensaries was passed by the Nevada Legislature to create a healthier and stronger Nevada. However, current proposed regulations before the state’s Board of Health would require that the marijuana growing inside not be observed from outside the building, almost eliminating the usefulness of greenhouses.
The intent behind this provision is likely to create literal blinders for the community. That may be appropriate in some circumstances, but requiring that even the ceilings be opaque is neither an efficient nor sustainable way to run this industry.
As an agricultural company looking to enter the medical marijuana market, Terra Tech’s goal is to cultivate our products in a responsible and sustainable way, but regulations need to grant us the flexibility to do that. This includes, most importantly, being able to use as much natural light as possible. Opaque ceilings would require a greater need for energy-consuming artificial lighting, which puts greater pressure on the environment due to the electrical power these lights would require. Environmental sustainability must be accounted for during the crafting of these regulations.
These additional regulations would increase cultivation centers’ expenses, thereby increasing the price for patients who need this medication, which is not covered by insurance. Before adopting the draft regulations, we urge the Board of Health to consider a technical amendment clarifying that greenhouses may have clear glass ceilings.

Indiana Hemp and CBD-only Bill Now Goes Before Governor Pence:
“Our farmers will be able to grow more money per acre than before; our companies have to pay less shipping and all the new companies that will blossom from hemp textiles is going to be ground breaking,” said Levin. “The first person with a machine that makes thread from hemp clearly wins here in Indiana, as do the fuel producers and animal feed companies. We have by default a very gourmet natural hemp seed here in Indiana — big fat and juicy fill with all sorts of good omega 3s.”
Levin says Governor Pence will undoubtedly pass this measure into law, “Like a greased chimp… this bill has been greased from the top,” he said.

Indiana: Lawmakers Approve Legislation Reclassifying Hemp As An Agricultural Commodity

House and Senate lawmakers have signed off on legislation, Senate Bill 357, to reclassify and regulate industrial hemp.
Members of the Senate had initially approved the legislation by a vote of 48 to zero. House members then voted 93 to 4 in favor of a slightly amended version of the measure. Lawmakers in both chambers agreed last week on a final version of the bill — sending it to Republican Gov. Mike Pence, who must either sign the measure into law or veto it.
As passed, the measure reclassifies cannabis possessing less than 0.3 percent THC as an industrial crop. It also seeks to establish licensing requirements and regulations governing the production of and commerce in hemp, as well as for the scientific study of the crop. The proposal mandates state regulators to seek federal waivers by no later than January 1, 2015 so that officials can begin the process of licensing applicants to cultivate the crop.
According to the U.S. Congressional Resource Service, the United States is the only developed nation that fails to cultivate industrial hemp as an economic crop. However, in February, members of Congress for the first time approved language in the omnibus federal Farm Bill allowing for the cultivation industrial hemp in agricultural pilot programs in states that already permit the growth and cultivation of the plant. Ten states — California, Colorado, Kentucky, Maine, Montana, North Dakota, Oregon, Vermont, Washington, and West Virginia — have enacted legislation reclassifying hemp as an agricultural commodity under state law.

What's the latest on Nevada? There was a "Medical Marijuana Stakeholders Meeting" held on 2/19/14 & 2/24/14 by Nevada's Department of Health, as well as a public hearing to consider amendments to Chapter 453A of Nevada Administrative Code on 3/14/14. Were any of your Team members in attendance? What are current SEC regulations on public companies reporting profits from Medical Marijuana sales? Is Nevada the first state where Medical Marijuana dispensaries can operate as for-profit? Can you share any other names of members on your Nevada & Northeast "Medical Marijuana Teams"? What challenges (if any) have you encountered in Nevada?

IEAM appears to be "bankruptcy claw back". They are suing everyone who was ever issued stock including Yale University, The Methodist Church, Computershare, Baker & McKenzie LLP (the world’s second-largest law firm by number of lawyers), and Tabor Academy. It looks as if Derek, working in the financial services sector for over 10 years, before moving into the MJ space, did some work for them at some point between 2003-2009. This case has nothing to do with Terra Tech.
