PR About BOD Meeting to DISCUSS Share Buyback
... results in pop for management to sell preferred shares into the float, and IF ( a big IF, too) they issue another PR saying they'll be buying back a quantity of shares (probably 1/2 of the amount of preferreds they just sold) at a higher level, y'all jump in with both feet, get hung harder and pump the PPS up more while the owners sell more of their preferred into the pop.
All this right before they vote themselves some more preferred shares in anticipation of nailing you with the PR about closing a deal with a company consisting of AIR.
Rinse and repeat.
But hey what do I know ... prove me wrong and BUY MORE SHARES!

Please, allow me to summarize and comment on your post.
1) I had understood that part of the problem with keeping the clinic open was a difficulty in collecting the minuscule revenues generated there. But now they have an income stream generated by collecting for other companies?
Makes perfect sense to me.
Let's see, the service BEDA is now providing is what? Let me guess ... one that is akin to making copies of the past-due notices BEDA received from the suppliers & vendors they did business with at the shuttered clinic & then changing the headings so they can forward them to another companies clients.
I definitely need more clarification on that one.
2a) TMH is selling their golden-goose for BEDA stock?
An imaging company that doesn't have any clinics open, no imaging equipment, judgements against them from here to east-jesus ... WOW, just how desperate is TMH?
2b) You say TMH is being ran out of a home?
Likely it is in a nice neighborhood that undoubtedly doesn't let you park your ice cream truck on the front lawn.
I've been by there & there aren't any - let alone an appreciable number of - mobile health vehicles (vans, trucks or whatever) visible at the home/business.
Therefore, one must assume TMH has been paying to store them someplace for all this lowly time since they last occupied a normal 'real' place of business.
Exactly where and what are these mobile health vehicle that BEDA covets so? THAT would have been a good questions to ask Graham.
Actually, paying to store them would make sense and maybe even explain why TMH was short of funds required to pay the State of Texas.
Remember, this entity is not in good standing as it has not satisfied all franchise tax requirements.
We aren't talking about some big State tax on corporate income here (Texas doesn't have one), just a relatively small franchise tax.
Sounds like TMH was bringing home the really big bucks, huh?
2c) It's really to bad BEDA isn't buying the business located at TMH's last working address, because they DO have vans in their parking lot which look are ready to go.
They also have people inside at THAT address who could handle the imaging.
In fact, they could start the worlds first full-color mobile imaging service!
Be forewarned though, the technology might be a little rough.
You see, the only way the occupants of the building could accomplish this revolutionary imaging feat would be by using Crayons and Big Chief tablets.
Since they are little kids - who surely color outside of the lines - there might not be a big call for the service. Darn!
Actually, the Alpha Montessori School looks like it has been there for quit a while.
Makes me wonder how long it has been since TMH has actively done anything with that 'savior' business they own.
If you like, call the school and ask how long since TMH left ... I'd hate to think their mobile health vehicle are so old that they run on leaded gas ... that might not be very good for BEDA.

3) Of course there is no dilution, you have to actually have a business before you need money to run it.
Besides, it would wiser to wait until after ANOTHER reverse split when off-the-shelf shares should bring more per.
We know BEDA isn't a stranger to reverse splits or issuing more shares ... seems they did this kind of stuff around a year ago.
Instead of asking about dilution, the hard question would have been: since the OS have stayed the same but the trading shares have increased considerably, who is selling the preferred on every upward movement of PPS? AND Why would they even consider doing so at these prices with the moon about to be hung?
4) Don't you think that is kind of a dumb question to ask a megalomaniac? Obviously, he thinks he is a god of some sort, otherwise he would have closed up shop many times over during his past, miserable existence.
Besides, nobody on this board cares about profits.
Everybody know that nobody plans to hold for the long term.
At this point, people are asking themselves if they can possibly get out of this without losing too much skin or, at best, catch a pop, dump their positions, and call it a lucky break.
5) Excuses, excuses, excuses ... first it was the hurricane, then collections, then the building was messing up the equipment, then medicare changes & I'm sure there was at least one poltergeist.
It's always the fault of somebody or something else. It's never managements short-comings.

Back to the equipment comment, am I right in assuming that whatever they did with the equipment left a finance company looking for $600K from BEDA?
As I may be misunderstanding this, feel free to request Graham shed some light on the $600K issue since it does reflect heavily on his management-style.
Plus, it might help investors get a feel for the professionalism of the person at the helm of BEDA.
Heck, I always like to know if there is a trustworthy, honest individual issuing the PRs that my investment decisions are partially based on.
6) In reality, there are many clinics and imaging services in the Houston area which are going concerns. Although he turned out PR after PR that suggested they could and did compete profitably, BEDA was an ultimate failure.
It was Graham and not the field of work that failed. Don't you wish he was man enough to admit it?

7) LOL. Company has nothing in the way of competent management, nothing in the way of 'good will' left with client or suppliers, nothing in the way of a competitive edge ... they couldn't even keep a small clinic open.

It really was NICE of BEDA (under no obligation whatsoever) to finally let their shareholders know they had closed their ONLY clinic.
One can only spectulate whether that news would have been readily shared had it not been discovered and shared a week before by a nervous shareholder.
Seems I remember that shareholder contacting Herb that same day and being told BEDA had no intentionds of re-opening any clinics.
Obviously, that statement doesn't help BEDAs image, but it must have helped many people in their decision to sell.

In early November, there came a press release stating BEDA was combining it's imaging services under a new division (what's that? a drawer in a file cabinet in Herbs garage ... pull a handle, it's open? ... close a clinic, it's not? ... boy, that was quick), and there was major selling into the release ... OS didn't increase, but did trading shares?
This same pattern was happening before and after, so who sold?
Was it employees on their way out the door?
Was it the folks from Diagnos who took stock for their paper company?
Was it management lining their pockets before a possible BK?
Best I can tell, BEDA has judgements galore, plus their bank should be worried.
Funny how that same PR indicated they'd likely close with TMH by the end of November.
I don't doubt that a PR to that effect was already written, ready for release.
Problem is that within days a concerned Shareholder happened upon a closed clinic with busy movers.
BEDA gave that PR a rest and let memories fade some before they tried to hoodwink a new crop of suckers with a PR to sell into.
Again, this board has stated they have verified that the OS has not increased, but the trading shares have.

If you own shares in companies they give this designation to, you can only hold or sell your shares, you can't buy any more shares ... no averaging down, no adding during a rally, and the best part is a large number of potential investors (all of Scottrades) get frozen out of play which makes it easy for the MM to control.

Ask Scottrade how many of these restricted stocks use NITE as their MM.
They won't tell you & they won't even give you a list of restricted companies.
Likely, you'll be told that so many companies are added weekly that they stopped publishing it on their user site & you'll need to call a branch office to inquire whether a company you are researching is on the list.
Your short-squeeze of NITE is a pipedream, but if NITE can make a buck letting BEDA run, you guys can sell each other air all month long.

Just because the information was only recently made available here (even though TV knew it all along & played y'all for his 'groups' gains), doesn't mean BEDA has been getting a pass on their BS.

Before you drink the kool-aide ask Graham what imaging revenue streams are active today, and where they are located.
Ask him how the acquisition of Texas Mobile Health is to be funded ... stock swap, cash, combination or what?
Obviously, if they are taking stock like his other deals, you are looking at another paper company ... pure fantasy stuff, again.
Ask him how many vehicles are involved and ask to be given a specific breakdown on the year, make, model, mileage, equipment and conversion features of the vehicles involved so you can ballpark the worth of this acquisition.
Ask him how they plan to get their referrals back, now that their imaging clients have been using other services for the past months.
Ask him why they put out a PR saying that Reliant was doing so well, when, in fact, the Kirby locale housing all their services was obviously a loser & heading towards closure... he must have realized there was hurricane-related troubles long before the positive PR was released.
Ask him why there was so much time spent on numerous attempted acquisitions, when his imaging service obviously needed a bigger effort.
If he gives you a song-and-dance about the Kirby facility becoming unproductive because of storm damage, then ask him why they didn't just break the lease & move ... afterall, they stiffed everybody else (banks, suppliers, equipment financers, etc) so why be loyal to a landlord with a bad building.
Ask him how much of the money raised from selling into last years pump went into his pockets in the form of salaries & bonuses for 2009.
Ask him Ask him where & when the imaging machines and other critical items from the clinic can be viewed for verification that the equipment still exists.
Ask him why the company debt was allowed to turn into multiple judgements.
Ask him why, after all these years, there are no audited financials to look at.
Ask him if any company officers from BEDA were themselves, or had relatives involved in any aspect with any of the companies BEDA acquired or tried to acquire.
Call Graham and ask him for the address of ANY clinic, van, truck or person doing imaging, seeing patients or in any way producing an income stream for BEDA (other than a collection agency working on bad debit) and I'll drive over there today.
I have no concern for you or your money, these pukes got to me and I'm here to expose BEDA before Graham & Herb line their pockets again.

I have pics of their 'new' (joke) corporate headquarters, which, when I visited, didn't even have their name on the letter-tack board by the elevators ... their shared receptionist had never seen them at the offices and it took her 10 minutes to find anybody that even had a corporate phone number ... which was, best I could tell, Herb Pratts cell phone number ... 713-822-1340.
The othe 'corporate' number sounded like Grahams cell number, they may have changed the recording by now, since they are probably 'set up' to take your money now, but I know what I heard when I called 281-235-5775.
The reason everybody bailed a couple months ago was because of the proof I emailed them & the resulting PPS decline is researchable to the minute. Smarter folks than you guys have jumped ship at considerable losses, and they sure didn't buy back ... even at a fraction of a penny & even though they knew suckers could be had after the next big story/press release ... just way too risky, what with the Texas Attorney General being asked to investigate Herb & Graham.

Up front, let me say that I no longer hold any stock in BEDA, nor do I intend on buying a plugged-nickles worth..
Don't assume this is going to be sugar-coated, because it certainly is not, but read to the end or suffer the consequences.
Where to begin?
Since this post should have a material effect on the PPS, would the last person to leave please turn out the lights?
Even with huge volume, the number of Outstanding Shares has not changed, only the float as restricted shares have been turned into trading shares.
Who was it that sold? Former employees? Well, it couldn't be current employees - unless you count the management - because who else is left? Their clinic is CLOSED, so I guess that answer be ... NOBODY?
But why would management sell at these levels?
Unless they are just lining their pockets before the BK.
And why didn't they sell some of the billions of Authorized Shares a few months back when the PPS was much higher?
They could have used the proceeds to pay back judgements from JPM Chase: $160k, First Bank: ?, suppliers/vendors: $130k, and an equipment finance company: $600K (they sold the equipment ... so, why not sell some stock to pay for it).
Speaking of equipment, how can they elude to re-opening a clinic if equipment has been sold?
The clinic on Kirby Rd, which housed Lumar Imaging, Diagnosis & Reliant, which we know is closed, was located in a strip center ... miles away from - not inside - the huge, world famous Texas Medical Center complex in Houston.
Their new rent-a-suite (BEDA world headquarters), complete with shared receptionist & conference room, at 710 N. Post Oak Rd, Suite 400 Houston, TX 77024 is even father away ... much farther.
The supposed consolidating over the past months that everybody keeps referring to was nothing more than nobody willing to buy after EVERYBODY sold out when it was discovered that BEDA had shuttered its only location producing receivables.
No, I doubt that BEDAs most recently acquired - but now closed - medical diagnostic imaging centers were really centers at all because in these parts, a center implies a hitching post big enough for more than one horse.
In my opinion, what they did get were companies about to die in exchange for near worthless stock ... not what I'd call a growing concern of much interest.
As the entire float could have recently been had for well under $150K, rumors of any interest from G.E. is just crazy.
Why would any company want BEDA when the only 'blue sky' they purport to have is a list of referring physicians that they abandoned when they closed their clinic.
A list G.E. could easily duplicate from available medical directories, and do so without the new baggage the closure must have caused.
And anybody who thinks this stock is worth having because of an inevitable short-squeeze of the MM, doesn't know NITE very well.
Heck, they'll likely just start a massive FTD and your brokerages will certainly put BEDA on a 'No Buy, Sell Only' list, then you'll all be stuck, but good.
At this point in time I ask, has BEDA truly positioned themselves well?
If acquiring Texas Mobile Health - an entity that is not in good standing with the State because it has not satisfied simple franchise tax requirements - which has an unlisted phone number and a house address listed as it's official address with the State of Texas, then I'd have to say yes.

Just to clue y'all in here about BEDA
I suspect almost all the shares you overpaid for over this past week were owned by those among us who were once employeed at the 'now closed' clinic.
We were shocked that the closure was discovered before it was announced by Graham b/c the share price went down so fast before we could sell.
I really should have sold back when it magically went up so high, but I didn't know the clinic jobs were ending.
I guess the writting was on the wall but peons like me, right?
Anyways, thank you for helping out & good luck b/c I can tell you the imaging business has many players here and the customers are all gone now.
I'm sorry if everybody that worked on Kirby did not get to sell yet, but y'all heed the warning before the owners dump their shares too.
