Look at Spiffy like you would look at a genius child in high school :) Meaning to say right now all those that are quick to shout 'show me the beef' right now should rather be investing with Microsoft and Apple to be honest..we are at the prior of graduation day stage, when we are growing, learning and preparing to become 'a big shot'.

The funny little app called What's app commanded a USD 9 billion!! Valuation after they made their way on to people's devices WITHOUT even a meaningful revenue source at the time. Why?? Because same as with facebook and many others, penetration of devices is KEY. Once devices or people are 'hooked' to Glassware the world will be ours!!
Just look at Google, Facebook or What's app or Twitter, etc etc...
I am not saying dont look at financials, I am just saying, look at the above examples, the 'drugdealer' who gets people 'hooked' even for free, as they did, first, will end up the RICHEST on the block!
All the aforementioned companies (Google, Facebook or What's app or Twitter, etc etc... ), have only ONE thing in common, they recognised the importance in value appreciation that wide penetration on devices has over quick and early profits! A co-incidence? Hardly!

Unless you work in education you might not know it, but Microsoft and Apple have a SERIOUS AND GROWING Chromebook problem. According to data from Futuresource Consulting, Chromebook adoption has grown from less than 1% of all devices shipped within the education market in 2012 to MORE THAN 25% of shipments in Q4 2013. Earlier this month, Google announced that Chesterfield County Public Schools, one of the one hundred largest school systems in the US, was buying 32,000 Dell Chromebooks, one for each of its middle and high school students.
What is driving this change, and what does it mean for Windows in education?
Chesterfield County Public Schools (CCPS) has published a report, Comparing Mobile Computing Devices in the Context of Teaching and Learning, that explains both why it is implementing a one laptop per student program, and why it has selected Chromebook as its platform of choice. The move to one laptop per student is in part driven by the Virginia Department of Education, which has recently adopted a policy requiring online testing for all state-administered exams. At the same time, CCPS has recognized that it cannot adequately prepare students for college and careers with only limited access to computers and the Internet. Virginia and CCPS are early movers in what is called an INEVITABLE TREND that will require MUCH GREATER DEMAND for computers in education.
CCPS COMPARED SIX DIFFERENT DEVICES before selecting Chromebook as its ideal educational computing platform. Alongside the Dell Chromebook, CCPS looked at a conventional Windows 7 laptop also provided by Dell, as well as four different tablets: an iPad Mini, an Amazon Fire, a Google Nexus 7, and a 10-inch Windows 8 Professional tablet. Notably absent from the list was an Apple MacBook; however, given the cost differential between the cheapest MacBook and a comparable Windows laptop, it is easy to understand why it was not considered. Even if the MacBook had been selected as the best platform, it would have been very difficult to justify the additional cost.
The four tablets were rejected in large part due to shortcomings that directly hampered student education. Lack of an integrated physical keyboard is a major drawback shared by all tablets. Touchscreens aren’t viable for extended use, and it’s hard to image a typical Bluetooth keyboard withstanding the rigors of high school. Screen size and browser compatibility also contributed to the decision not to pursue tablets (Apple’s decision not to offer support for Flash was highlighted as a problem, as were difficulties with Internet Explorer on Windows 8). CCPS also UNCOVERED TECHNICAL CHALLENGES with network integration and application deployment that would have required additional enterprise mobility management software and significant changes to the CCPS network to address.
The introduction of an additional 32,000 devices increases the overall number of devices under CCPS control to about 50,000. Supporting a network larger than that of most large enterprises with the resources available to a school system is a major challenge. As a consequence, the final decision to select Chromebooks was just as much about EASE OF ADMINISTRATION as it was about price.
Happily, the transition to Chromebooks will NOT mean that CCPS students have to ABANDON their “legacy” Windows applications. Running Windows applications on non-Windows endpoints is nothing new. Solutions such as Citrix XenApp and Microsoft’s native RDS implementations are robust, mature platforms; however, the skills needed to support the operation of scale are still at a premium. Taking on the complexity of managing a large Citrix XenApp environment was not something that CCPS wanted to have to address. At the same time, it wanted to ensure that any hosted Windows applications could be EASILY INTEGRATED into its own application portal. To overcome the challenges, CCPS HAS PARTNERED WITH ONTARIO–BASED SPHERE 3D, DEVELOPERS OF GLASSWARE 2.0, TO PROVIDE WINDOWS APPLICATION HOSTING SERVICES. Sphere 3D provides Glassware 2.0 as an appliance-based hosting platform for installation either within a customer’s data center or as a cloud hosting solution offered by service providers. Sphere 3D company V3 Systems was one of the PIONEERS of HIGH-PERFORMANCE VDI appliances, so it is to be expected that it KNOWS how to make this approach work.
As ever, there is a significant degree of risk to working with a new entrant to the market. However, an initial review of Glassware suggests that it is BOTH STABLE AND PERFORMS WELL. At the same time, Sphere 3D looks to be LARGE ENOUGH to be able TO SUPPORT a growing customer base and diverse enough (Sphere 3D recently acquired Overland Storage) not to suffer the same fate that befell some of the early VDI innovators. In many respects, GLASSWARE TODAY LOOKS VERY MUCH LIKE KAVIZA BEFORE ITS ACQUISITION BY CITRIX in 2011. Glassware is a simple, scale-out, do-one-job-well HOSTING PLATFROM DEVELOPED FROM A CLEAN SHEET without the encumbrances of needing to integrate with a larger product suite, arriving at a point during which its target markets are seeing RAPID GROWTH.
There is A LOT TO BE SAID FOR Glassware’s approach to Windows application delivery. Glassware is HIGHLY OPTIMISED for ease of administration, taking as few as six clicks to package and deploy a Windows application. It is too soon to say whether this approach will provide Sphere 3D with any long-term advantage. Many service providers today already run in-house developed management interfaces to streamline operations, while Citrix has recently entered the field with Workspace Services. However, in order to complete in this specific market, Citrix will have to go beyond delivering a toolkit and provide customers with finished sets of optimized administration products and dramatically cut the cost of licensing.
As more school districts follow Virginia’s lead in adopting online testing for state exams and in acknowledging the need for greater access to computers within schools, it is inevitable that low-cost, easy to manage Chromebooks will continue to gain market share. At the same time, while Windows applications may now be considered “legacy” in some education environments, they will not go away overnight. Hybrid environments combining Chrome OS apps with Windows apps will become INCREASINGLY IMPORTANT for education organizations in particular, and in the longer term for a larger number of enterprise organizations. So far, the choices available to school district IT staff attempting to address this need have been limited to engaging in managed services agreements, or having to deal with the complexity of enterprise applications designed for organizations with larger and in some cases more highly skilled IT teams. By providing a LOW-OVERHEAD WINDOWS APPLICATION HOSTING SERVICE as an adjunct to its Chromebook-led desktop strategy, CCPS is showing that it can afford to KEEP WINDOWS APPLICATIONS LONGER WITHOUT LETTING THE TAIL WAG THE DOG.

As others also noted here, that puts it at anytime from Monday to Wednesday. Given, however, that PT and his management team surely are watching the stock price fall same as we are, I would guess, logically, that they are trying it as quickly as possible now...
The uplisting's primary benefit for us will be the increased exposure and ability to attract a much wider range of institutional and private investors, analyst and press coverage etc. The resulting increase in volume will lead to much greater price stability.
Its no co-incidence that the shorts chose exactly these days after reading that interview from PT (from last weekend) that it will be 7-10 days until uplisting, or does anyone here REALLY believe its co-incidence of this attack happening exactly when we/they got to know they have a confirmed few more days left before uplisting ?? Personally, I wish PT (with all due respect and gratitude) would have left the shorts guessing and thinking that it could be any day this week...
What resulted was basic human nature at its best, they saw a window of opportunity for them and grabbed it!

Gaming and its funny in this context to say "by the way" is a GIANT market.
Imagine being able to free users from console AND compatibility issues AND being able to potentially charge gamers for their game/software usage. The age old problem the gaming industry has since its beginning is that "light" gamers find $60 for a game very expensive, while "heavy" gamers pay the same amount for playing the same game for literally hundreds of hours! Now IMAGINE gamers could run these games without a specific console from anywhere AND the gaming industry being able to charge each customer group as per their usage... the gaming industry would truly be turned upside down!!
I agree. There definitely should be a high concentration in holdings from some early holders as well as HTFBS subscribers for whom Spiffy has become a 'conviction buy' and 'core holding'. In fact, for these I see the question whether or not Spiffy will make a very significant change to their lifestyles/ wealth NOT WHETHER Spiffy will succeed, but more so IF THEY will have the discipline to not start to unload too early, wanting to start trading the tops thereby potentially being left behind as Spiffy develops its immense potential.
Think about it for a second: Many millions of people in the history of the stock markey have held shares of stocks at some point in time that have over time become ten baggers, yet only a tiny little percentage of them had the foresight, conviction and discipline (yes, one needs all three!!) to hold on to the winners and profit BIG time.
Don't let some gains make you sell Spiffy too early. Train yourself already to think as BIG as the management of Spiffy. Don't be happy with small gains... in fact, those who will have the most foresight, conviction and discipline among us here, will determine who of us will really hit it BIG...

The Corel partnership and development has simply in economic prospects been overtaken by the much bigger partnerships that Sphere has so quickly and exceeding! everybody's expectations developed...DELL...Novarad..other deals in the pipeline, a credibility and potential growing literally by the day!
Without doubt, some want to serve their agenda by focussing on the Corel deal that was made when Sphere was a much smaller company in terms of market cap, credibility and potential, knowing very well that the priorities of Sphere have completely changed by now. Think BIG!! Sphere BIG!!
As shareholders we have to think entrepeneurial, like our management is. Ask yourself, would you really want Sphere and its management, engineers and sales force to rather focus on Corel OR to dedicate their time as they have shown us that they actively are on the partnerships with DELL, Novarad and presenting and working with other key players that can and will put Sphere even further on the landscape of the giant and growing world virtualisation opportunities?
Come on everybody (including the shorts;)) you know why Sphere is not focussing on Corel right now, let's not forget to apply a tiny little bit of common business sense here... just to make it more interesting

I very much agree and suspected the same (that the short was trying to make it look like the market did not believe the merger will go through or that Sphere would re-open much lower). He dug his hole deeper an spent a lot of money to create that impression on Friday. Most probably the short was hoping ANY would re-open on Friday, but the fact that it didn't forced him to keep digging his hole further throughout the WHOLE day, that surely must have hurt!
Actually your analysis perfectly explains why also several of my own buy orders on Friday as well were filled NEARLY TEN CENTS below my bid, and that every time for a few thousand shares!! Which real seller in his right mind decides to fill buyers well below their bid, intentionally leaving money on the table?? You seem to not make up your mind, you seem to be believing in a declining share price, but at the same time (as a short) arguing Sphere overpaid grossly when its share price rises tenfold...hmmm somebody has a slight crack in his logic
AMAZING MOVE!! Here is why:
With this acquisition, among others we achieve (this management is truly clever!):
1. Immediately becoming an entity with substantial revenues: No longer can anyone look at Spiffy as a small revenue company. In this field investors and analysts generally are happy to apply price to sales ratios, and with this we immediately move into a completely different league in that regard! Just imagine the price to sales ratios of VMWare and the like start to get applied to us as we grow now! Booooyah!!
2. As it says: "Sphere 3D and Overland have been working in tandem to develop an integrated application virtualization and data storage platform, as well as a virtual desktop infrastructure (VDI) solutions, which are already installed at select strategic customers and partners." AND NOW not only as Peter eloquently stated will Sphere benefit from a truly global infrastucture and clientle BUT ALSO no more conflict of interests between Overland and Sphere! They will be one now with ONE combined strategy and goal!
3. Institutional ownership: ESPECIALLY given the uplisting soon, this is VERY powerful in that Sphere will with this move immediately gain a significantly higher institutional ownership! The institutional owners in Overland make up well over 65%!! With them now directly in Sphere the credibility of Sphere in the eyes of everybody (institutinal or private) will be MUCH stronger. Just look at the names of the professioal NY investment firms that now happily agreed to receive Sphere's stock! I saw a listing of the house of the head of Cyrus in NY listed at US$ 26 million on the web (yes checked the guy out in detail, fascinating successful fellow). If that guy is happy to receive Sphere stock and his buddies at the other firms too, you can bet that I, and many others from here, will be very happy, tight sleeping guys too!!

TWO FACTS:
1) In this sector as we all know we are talking about potential that guides the valuation, not current revenues or profits. I mean anybody not understanding this simple fact and not having any understanding of technology stocks quite frankly would be well advised to just not be here. Those that understand the basics know the market cap is tiny compared to any market potential one could possibly refer to.
2) To gain new investors via increased exposure is going to be a walk in the park for this management. Moreover, it has active shareholders happy to spread the word. :) As to more buying, with every step of increased credibility, the risk of holding Sphere stock decreases,mwhile the potential increases. So, take me as a mere example, as the risk decreases, i feel happier to hold more and more, even at higher prices. Its all about risk reward with stock holdings and that is getting more attractive just btw...

I agree a low buyout offer is always unfavourable, the only thing I meant which highly speaks against a low buyout strategy that they (controlling the supermajority (>75%) of the votes) obviously must have voted in favour of the reverse stock split. Now, if they wanted it to take private at a very cheap price, then they wouldnt have voted that way as a delisting notice would have put significant downward pressure on the stock price as people generally fear to hold illequid stocks. They could have made then, almost automatically a buyout offer once it was delisted for only a mere fraction of a dollar!
So all to say, I hope/think they have other plans for OVRL.
Also, lets not forget, public companies are a great way to acquire companies, as they can buy private companies with their stock, and that at a relatively good price as the shareholders of the acquired company, who received stock in the public company, have (after the lock up period) the opportunity to cash out if they want. We get a good price and the shareholders of the acquired company get liquidity...everybody wins..

Quick considerations:
- Having a publicly listed company is very valuable as an acquisition vehicle. Also, due to the current losses, its tax credits make it a nice vehicle for acquisitions.
- When the share price becomes "too low" it becomes an interesting acquisition target, true. However, the ('NY investment fund club led by Cyrus') already owns (with options exercisable over the next 60 days, over 80%, with management it will be over 85%. So to take it private and have a non-public company just to get the last 15%? Hmmmm..also the reverse stock split indicates they do not want it to just get delisted. It would habeen easy to cheaply by out minority shateholders then..
I am in it, as 1) the expectations right now are close to nil, so any good news could be a great surprise 2) the investment fund club thats in OVRL (most likely close friends as all within a few blocks of each other in NY, co-incidence?;)) usually knows VERY well what they do, look at the profiles of the main funds in it. OVRL has a VERY, VERY high institutional ownership for a public company and these guys are not quiet bystanders who 1) just invest for no reason and 2) won't push management...
What do u think?
Would have to look it up, by now their ownership value in shares of Phere should amount to well above 10% of their market cap.
On another note, while the stock price keeps declining, over 80% of shares are owned by Cyrus Capital, Marathon Capital and the Clinton Group. All highly specialised investors. Plus another five percent by directors and executives. I sure hope/think they know what they are doing to turn this ship around.

Any shareholder or prospective shareholder should/must do this 1 minute quick homework exercise, which I posted in response to somebody on SA saying that no legitimate company would copy press releases from previous companies...
Dear Doug81, you are VERY right. No legitimate company would copy press releases from any other company, and your post is SPOT ON as PERFECT EXAMPLE of how the short misleads readers intentionally:
1) the ONLY thing they copied was THE LEGAL DISCLAIMER; having been in the finance industry for many years I can reassure you that standard things like legal disclaimers are not everytime drafted from scratch but copy pasted, from a another document. Only the standard legal DISCLAIMER was copied, albeit once even not very carefully. Super simple and happens at the best of firms, its the simple DISCLAIMER!
2) please google: Biosign Dell. See the press release where they announced that Biosign will be utilising Dell's equipment. NO partnership, NO collaboration, clearly only being a CLIENT of Dell, intending to use their equipment. Please google it. How is that the same as INTEGRATING technology into a MAJOR product of Dell?? One means NOTHING (anybody can become a client/customer of Dell tomorrow morning), the other one means EVERYTHING!! Please read the press releases the short is referring to via this simple google exercise...and see if they have in any way have a similar meaning!
PLEASE either prove above wrong (I invite you too) or kindly conclude that the short tried with his allegations to intentionally mislead you.
Now would any legitimate short need to do that??
