CanWest Petroleum Announces Closing of Flow-Through Share Offering

CALGARY, ALBERTA--(MARKET WIRE)--Jul 6, 2006 -- CanWest
Petroleum Corporation (OTC BB:CWPC.OB - News) announces the
closing of the private placement of common shares issued on a flow-through basis announced on June 13, 2006.
A total of 5,668,100 common shares were issued on a flow-
through basis at a price of C$6.60 per share for gross
proceeds of C$37,409,460
The proceeds will be used to incur Canadian Exploration
Expenses on resource delineation and other exploration work
being undertaken by CanWest Petroleum's subsidiary, Oilsands
Quest Inc., on Oilsands Quest's permit lands in Saskatchewan.
The private placement was completed through a syndicate of agents led by TD Securities Inc. and including CIBC World Markets Inc., J.F. Mackie & Company Ltd. and Peters & Co. Limited.
CanWest Petroleum owns a 59.5 percent interest, on a fully diluted basis, in Oilsands Quest. On June 12, 2006, CanWest Petroleum and Oilsands Quest jointly announced that the companies have entered into an agreement that provides for the combination of the two companies; this transaction is expected to be completed on August 14, 2006.

Common Shares Will Be Automatic With The Exchange Date Effective June 15, 2006 -

Pearl Asian Mining Industries, Inc. (OTC: PAIM) announced that the exchange date will be effective June 15, 2006, for the company to buy back approximately 27,000,000,000 or 90% of its issued and outstanding common shares using a convertible debenture.
After a lengthy meeting with NASDAQ, DTC and our transfer agent, it had been confirmed that there is no X-Date or record date for this buy-back exchange.
Pearl Asian Mining Industries had announced last month that the record date for this action was June 1, 2006. However, no record date is required. The exchange date is going to be automatic for all shareholders holding common shares through DTC with the exchange date to be June 15, 2006.
The Shareholders holding through DTC will not have to do anything in this exchange, as this will be a mandatory exchange and automatically done through the same process. A stop transfer will be placed on shares outstanding on June 15, 2006, regarding shareholders that fail to surrender 90% of their common shares for exchange on June 15, 2006. The stop transfer will not be released until those shares are surrendered in exchange for the CDs.
The buy back rate is that for every common share surrendered, Pearl Asian will pay $0.001, the par value of the common shares in the form of convertible debentures, when held to the maturity of 5 years. The CD is to be paid on the 5th year without interest. The debentures can be converted back to common shares at a fixed rate of $0.01 per share at any time on or before maturity, upon surrender of the CD to the company or its transfer agent.
As an example, a shareholder owning 1,000,000 common shares will keep 100,000 common shares and receive a CD with a face value of $900 due and payable in 5 years without interest. In this example, any time during the 5 years, the holder will be entitled to convert that CD to 90,000 common shares.

The company is taking this calculated risk, going into long-term debt for the first time beginning June 15, 2006. Gold futures closed Wednesday at their highest levels
in a month as news that North Korea tested at least
seven missiles created safe-haven demand for
the precious metals.
August contracts rose $13.70, or 2.2%, to close
at $629.70 on the New York Mercantile Exchange after
peaking at $631.90.
The contract hasn't traded or closed at levels this
high since June 7.
"The rockets' red glare was more than just lyrics
yesterday as the belligerent firing of missiles by
North Korea spooked investors," said Kevin Kerr,
editor of Global Resources Trader.
"The markets are going to be walking on eggshells
until the response form the West is clear,"
he said.
Gold's safe-haven status in the wake of the missile
tests only embellished the strength it's enjoyed
over the last week, Kerr noted.
"Gold's more vocal detractors of late are being
muted by the realization that that the yellow metal
is a true 'flight to quality' instrument and that's
piled on top of the recent strength we have seen
in gold anyway after the FOMC announcement"
last week, he said.
As Americans observed the July 4 holiday,
North Korea launched at least six missiles,
including a Taepodong-2 long-range ballistic
missile thought to be capable of delivering a
nuclear warhead as far Alaska or Hawaii,
according to reports.
Japanese Foreign Minister Taro Aso said Wednesday
Japan may impose economic sanctions on North Korea,
potentially including a ban of financial transactions
and a ban on North Korean ships from sailing to
Japan's ports, according to reports.
The Security Council held an emergency meeting
Wednesday, but no draft resolution was introduced,
according to the Associated Press.
"In the meantime, those that doubted gold's strength
are getting yet another lesson of how worldwide
geopolitical uncertainty can drive investors into
the yellow metal in a heartbeat, and the big loser
at least for now is the dollar and yen," said Kerr.
In other world news, Iran and the European Union
had been scheduled to meet Wednesday in Brussels
to discuss incentives aimed at halting Tehran's
nuclear activities.
But the meeting was suddenly postponed to Thursday,
with a further meeting on tap for July 11, according
to a Reuters report.
The news sent crude to a front-month, closing record
of $75.19.
Other metals were higher -
September palladium closed up $4.20 at $327.70 an ounce
and October platinum finished at $1,248.60 an ounce,
up $6.90.
September copper rose 4.9 cents to end at $3.404 a pound.
On the supply side, inventories of copper fell 271 short
tons to 7,903 as of late Friday, according to Nymex,
which was closed on Monday and Tuesday.
Gold inventories were unchanged at 8.03 million troy
ounces, while silver inventories were at 102.3 million
troy ounces, down 535,050 troy ounces.

Base metals were higher, with copper, nickel and zinc -
leading the advancers, underpinned by falling inventory -
levels and with the market still convinced the Fed. -
Reserve is nearing the end of its rate hike cycle.
At 2.12 pm, LME Copper for 3-month delivery was at
7,425.00 usd a tonne against 7,410.00 usd yesterday -
while Nickel traded at 22,950.00 usd from 22, 550.00 usd -
and Zinc at 3,360.00 usd against 3,320.00.
"Markets seem to be lifting out of the Fed's interest -
rate 'shadow', allowing bulls some measure of a run -
here," said Edward Meir, analyst at Man Financial.
Base metals reached all-time records in May,
supported by historically low inventory levels
and strong demand, but a sell-off soon ensued,
prompted by fears continued interest rate rises
by the Fed would crimp growth and demand.
Those fears began receding last week, however,
after investors took the latest policy statement
from the Fed as indicating the end of the rate
hike cycle is near.
Meir added that Fed moves aside, "declining metal
stock levels, especially on nickel, copper and zinc,
seem to be reasserting themselves as market factors".
Prices firmed in quiet trade yesterday, underpinned
by strong fundamentals and gains in oil,
but with the market lacking firm direction
with US players absent on account of
the Independence Day holiday.
"The return of US players and possibly
additional fund money could boost prices later today
enabling the market to test overhead resistance,"
said UBS Investment Bank analyst Robin Bhar.

Gold and silver futures rose Wednesday, with some of -
the encouragement coming from news that North Korea -
had test fired missiles.
August Gold settled up $13.70 to $629.70 a troy ounce -
on the New York Mercantile Exchange.
September Silver added 49.5 cents to $11.415 an ounce.
August Gold hit its high for the day of $632.50 -
in overnight screen trading, helped by technical -
considerations and safe-haven buying.
RBC Global Markets, Mr. Gero commented that Gold -
"has a lot going for it."
"Everywhere you look, you are seeing geopolitical tensions," said.
"Of course, the latest that the media features is the North
Korea missile tests.
But with general geopolitical tensions in different parts
of the globe, I'm not surprised to see a lot of short
covering going on."
Gero also cited as supportive news reports that -
the governor of the United Arab Emirates' -
central bank has been quoted as saying the country -
could add more gold reserves.
"Russia, South Africa and Argentina had already said -
they had intentions to add gold to foreign-exchange
holdings," said Gero.
He commented that investor demand appears to be
"more than meeting" producer selling.
Stephen Platt, analyst with Archer Financial Services,
noted that Gold rose on the Chicago Board of
Trade's electronic platform Monday, and
Comex on Wednesday was catching up with that move.
The metal was helped already on Monday by strength -
in currencies against the dollar, anticipation of -
some kind of developments with North Korea, as well -
as the ongoing concern about Iran's nuclear program,
said Platt.
Energy markets were also firmer overseas, he added.
"All of that combined to make for some pretty good buying
in rather thin conditions," said the analyst.
October platinum added $6.90 to $1,248.60 an ounce,
while September palladium climbed $4.20 to $327.70.
The most-active September copper contract rose 4.90 cents

Gold and silver futures rose Wednesday, with some of -
the encouragement coming from news that North Korea -
had test fired missiles.
August Gold settled up $13.70 to $629.70 a troy ounce -
on the New York Mercantile Exchange.
September Silver added 49.5 cents to $11.415 an ounce.
August Gold hit its high for the day of $632.50 -
in overnight screen trading, helped by technical -
considerations and safe-haven buying.
RBC Global Markets, Mr. Gero commented that Gold -
"has a lot going for it."
"Everywhere you look, you are seeing geopolitical tensions," said.
"Of course, the latest that the media features is the North
Korea missile tests.
But with general geopolitical tensions in different parts
of the globe, I'm not surprised to see a lot of short
covering going on."
Gero also cited as supportive news reports that -
the governor of the United Arab Emirates' -
central bank has been quoted as saying the country -
could add more gold reserves.
"Russia, South Africa and Argentina had already said -
they had intentions to add gold to foreign-exchange
holdings," said Gero.
He commented that investor demand appears to be
"more than meeting" producer selling.
Stephen Platt, analyst with Archer Financial Services,
noted that Gold rose on the Chicago Board of
Trade's electronic platform Monday, and
Comex on Wednesday was catching up with that move.
The metal was helped already on Monday by strength -
in currencies against the dollar, anticipation of -
some kind of developments with North Korea, as well -
as the ongoing concern about Iran's nuclear program,
said Platt.
Energy markets were also firmer overseas, he added.
"All of that combined to make for some pretty good buying
in rather thin conditions," said the analyst.
October platinum added $6.90 to $1,248.60 an ounce,
while September palladium climbed $4.20 to $327.70.
The most-active September copper contract rose 4.90 cents
to settle at $3.4040 per pound.

his mother to support his five siblings.

he descends down a wobbly ladder to light dynamite fuses
and help still drill for minerals after 500 years of
exploitation.
For the perilous work that had destroyed his father's lungs
and has cost Marco half a finger on his left hand,
he earns $25 a week.
Lucas and Marco are among thousands of youngsters working
in Bolivia's southwestern mining belt, where privation and
a stagnant economy trap families in a cycle of danger

to the same.
Vulnerable to rockslides, floods, noxious gases and dust,
suffocation, and explosions, youngsters who work in mining
and quarrying are among the most endangered in the world,
according to the International Labor Organization, which
this month launched a campaign focused on eliminating
mining as one of the most insidious forms of
child labor.
In Bolivia, South America's poorest country, child labor
is prohibited by law, but economic need compels 24 percent
of children under 16 to work outside the home, according
to a study by the Atlanta-based charity CARE.
The government estimates that as many as 120,000 children
work in and around life-threatening conditions in small-scale mining.
Officials acknowledge they have no alternatives to offer
families who send children to work.
Schools are often so bad that parents don't see education
as a ticket out.

Mining has been the lifeblood of this city of 140,000
since silver was discovered here in the mid-1500s.
The extinct volcano that dwarfs the city was so abundant
in minerals that Spanish colonizers dubbed it Cerro Rico
(Rich Mountain).
Potosi soon became the richest city in the Americas,
its bounty underwriting the Spanish conquest of
the New World.
But over the centuries, historians say, overwork and
disease claimed the lives of hundreds of thousands,
perhaps millions, of indigenous people and slaves from
Africa who were forced to work in the mines, and
Cerro Rico came to be known as
the 'mountain that eats men."
The adage still holds true, with the average male miner
dying by age 45 of black lung disease or silicosis,
if an accident hasn't already killed him --
20 years shy of the ordinary Bolivian's lifespan.
Female miners, who work outside the mine shafts sifting
through tailings, die on average by 53.
Conditions have worsened since private cooperatives
and the state-owned mining corporation in the 1980s,
which sped the disappearance of well-paid state mining
jobs and benefits.
A few dozen private cooperatives now operate hundreds of
poorly regulated mine shafts where conditions are
reminiscent of centuries past.
Miners often work without masks, protective equipment,
air hoses, water, or carts to haul rocks.
Mineral brokers set low 'take-it-or-leave-it" prices,
taking advantage of the weak cooperatives.
Miners say they need their sons to help them
light more dynamite, drill more holes, and retrieve
more minerals to make the low-paid work worthwhile.
Only when something goes terribly wrong do the costs
outweigh the short-term benefits for families.
A typical day
By 8 a.m., Lucas has burrowed into the crawl space
from which he tosses promising rocks out to their

Marco took this reporter into Colquechaquita Mine

cocaine, for energy and to stave off hunger, eating

OVERNIGHT ACTION:
Chinese gold was sharply higher this morning off follow up
from the US action Friday.
OUTSIDE MARKET DEVELOPMENTS:
Evidence of strong economic activity in Japan overnight spurs
gold and silver higher in the wake of the stellar gains made
late last Friday in a host of other commodity markets.
In general, the equity markets are higher this morning and that is probably because of the initial jump start provided by the Tankan survey.
With the US ISM Manufacturing Index and US Construction Spending both expected to be marginally higher this morning, it would seem that the impact from the economic numbers will be generally positive this morning.
Energy prices are minimally higher in international cash market action (the energy futures markets are closed today) and therefore the positive tilt from the oil market last week probably remains in place at the beginning of the new week.
With the Dollar mostly unchanged and the platinum market also showing a very strong bid in Globex action, the outside market influence for the precious metals this morning appears to be supportive.
SILVER:
SILVER MARKET FUNDAMENTALS:
With the platinum market showing upward progression overnight and international copper market action recently managing a run up in prices, we suspect that the physical demand side players in silver are cheered.
In the overnight action the silver market is seeing a very supportive early tilt from the gold market and that might allow the silver market to pick up where it left off last week.
The direction of the US equity market will continue to be important to silver, as the silver market hasn't totally discounted the fear of slowing seen for most of June.
However, with that Japanese Tankan survey overnight coming in strong, it is clear that the trade has carried the macro economic optimism from last week, forward into the new week.
In fact, with the Dow finishing the 1st half of the year with a minimal +.4% gain and the S&P actually losing ground over the first two quarters, the metals would seem to be very attractive to the fund managers.
The September silver seems to have a critical pivot point around $11.17 but really solid support might not be seen until the $11.00 level.
Initial resistance is seen at $11.31 and the bias in the market to start the week is mostly positive.
If the US economic numbers manage to promote a view of ongoing growth and tensions in the Middle East remain high, we suspect that the trade will attempt to push silver prices up.
However, the June 27th Commitment of Traders with Options report showed the Silver Non-Commercial position to be net long 16,102 contracts, with the Non-reportable position also net long 19,792 contracts for a combined spec and fund long position of 35,000 contracts.
On the other hand, with the silver market up $1.13 cents since the COT report mark off date, the COT positioning certainly understates the spec and fund long positioning into the opening this morning.
However, as long as US economic numbers are generally positive, we suspect that September silver will be able to respect the prior close of $10.92.

COMEX SILVER (SEP) 07/05/2006:
Momentum studies are rising from mid-range, which could accelerate a move higher if resistance levels are penetrated.
The cross over and close above the 18-day moving average indicates the intermediate-term trend has turned up.
The gap upmove on the day session chart is a bullish indicator for trend.
There could be more upside follow through since the market closed above the 2nd swing resistance.
The near-term upside objective is at 1139.3.
The next area of resistance is around 1116.5 and 1139.3, while 1st support hits today at 1067.5 and below there at 1041.3.

One of the most important investment principles
discovered is this:
Smaller investors have the greatest advantage of all,
because they can grow their money the quickest;
but big money grows the slowest.
In other words, acorns can grow into big oak trees,
but big trees cannot grow to the moon.
For example, you can buy a soda for 50 cents, and sell it
later that same day for $1.00 on a hot day, and make 100%
in a single day! But the next day, you’d have to sell
2 sodas, then 4, 8, 16, 32, 64, 128, etc.
But that kind of work might not be enough to pay the rent,
and that kind of growth is unsustainable. Within a week,
you have a job that’s too much for you, and you have to
give up some of your gains to hire workers or buy vending
machines to keep selling soda. Or, the season will change,
and you can’t sell any soda if it’s not a hot day.
Or, you’ll have to get a permit to sell that much soda.
Or, you’d fill the needs of the market, and not be able to
increase sales day after day. Or, competitors will show up,
and you’ll sell less.
The former generation of investment advisors will typically
tell you what I consider to be half-truths when it comes
to compounding your money. They will say that if you save
$10,000 by age 18, and never again add to your savings,
and if you are able to compound it at 10% per year,
than you can retire as a millionaire by age 65.
This is true, factually true. You can grow 100 fold in a
lifetime, at 10% per year.
But what good is a million dollars if there is hyperinflation,
and a loaf of bread costs $10,000 in 40 years?
The real truth is that you not only have to earn 10% per year,
but you have to earn 10% more than inflation each year!
If inflation is roaring along at 7% in consumer goods, you
need to earn 17% per year! And if they are creating new
money at a rate of about 15% per year (which is close),
then you need to grow 25% per year! Or, if years of prior
inflation show up all at once, you may have to do better
than 50% to 100% per year!
Furthermore, it is terribly misleading if you end up thinking
that you should grow at no more than 10% per year, if 100%
to 1000% is more realistic for you!
Fortunately, if you are a small investor, you can grow your
wealth by 100% per year, or better! (After all that’s merely
a doubling, or a 2 fold return.)

Large investors, on the other hand, have great difficulty
growing so fast, or outperforming the market. You can prove

year, then you’d own more gold than has been mined in the
history of the world, over 6 billion ounces, which is
obviously impossible.
If you grew your ounce of gold at 2% per year, over 6000
years, you’d own all the atoms in the universe, all of it
would be gold, and all of it would belong to you.
Clearly, that kind of growth rate, 2%, is impossible—for
the largest money to achieve over long periods of time.
In fact, the largest money cannot even grow more than ¼ of
1% per year. And if it does, then it must have corresponding
years of losses to make up for it, just like a mature oak
tree cannot compound its way to grow to the moon.
This math proves, beyond a shadow of a doubt, that it is
impossible for “the rich to grow richer, and the poor to
grow poorer”. In actual fact (and even a casual look at
history shows this to be true) the poor grow rich fastest,
and the rich have to always struggle, just to maintain their
wealth. And more often it seems, people who inherit wealth
squander it. As it is, the USA seems to be squandering its
wealth, too, neglecting to invest in gold and silver
(and possibly even secretly dumping the Treasury's gold),
whereas India and China, the poorest nations on earth,
are making the best investment decisions; to buy gold
and silver!
It’s been said that people on welfare live better than kings
who lived hundreds of years ago. Today, people have more
food choices, faster transportation, cleaner living, longer
lives, better entertainment, more conveniences, better homes,
better access to information, (and who knows what else is
better!) than ever before in the history of mankind.

Wall Street tends to put the smartest money managers
in charge of the most wealth;
but brains cannot overcome the natural fact of life -
that small things grow faster -
and big things grow slowest, or die.
And i suppose that very few of them truly understand
the effect of size on growth rates.
In fact, do you know what some of the supposed “geniuses” do?
They weight a portfolio based on the market cap of the
companies they hold!
So, the larger the market cap of the companies they pick,
the more they will invest, which is exactly backwards -
of how it should be done!
They should, instead, invest the most money in the things -
that have the greatest potential to move up in value!
They should, instead, invest the most money in the smaller -
companies, and in smaller markets, such as gold and silver!
Sometimes, there is one organization in charge of managing -
over $211 billion dollars, such as with CalPERS -
the retirement fund of California State employees.
But putting one entity in charge of too much wealth -
is as bad as price fixing or central planning -
and the free market will outperform large central planning -
every time.
(The free market outperforms because people who are
responsible for their own wealth are far more productive -
than wasteful and inefficient central planning.)
So, one of the untrue myths of Wall Street is -
“you can’t beat the market”.
But in fact, you should expect to significantly outperform -
the market, because you are not as large as, and certainly
not larger than, the market!
Your greatest edge is your small size.
So, the biggest reason that bonds are going down in value -
is that the bond market is too big! $30 trillion?
And the biggest reason why silver is going up in value -
is because the silver market is so small! $1-5 billion?
