Yes they are under a time crunch, logic has it they wouldn't spend $150k on an Audit if they were not going to submit it! I think Small Caps have more lea way in this regard, can be late but not more than 3 times in one year or "K" period, which they have not been from what I have read. I expect we will see something soon!

It's all good, Companies are late all the time! What does make sense though is if the new acquisition which was a private Company, having two years of records that did not comply with SEC accounting requirements and more work needed to be done than normal or what was expected to complete! I am sure we will see them soon!
Just spoke to the Company and they are working hard on completing the filings. JD Field Services two year audit and consolidated Q are almost complete but will be late. I can imagine it is allot of work to get these into compliance which it sounds like they are close. I am not worrying!

Canadian oil prices are now just $18 below the price of U.S. crude thanks to a series of new U.S. pipelines, The Wall Street Journal reported this morning.
This means the Keystone XL Pipeline is already obsolete.
"Higher oil prices in Canada ... are a sign that oil-sands crude is finding its way to the U.S. even without the approval of the controversial Keystone XL pipeline," Journal reporters Nicole Friedman and Chester Dawson said. "The resurgence in Canadian oil prices and energy stocks is further confirmation that the transportation problems that have prevented both Canada and the U.S. from enjoying the full benefits of the energy boom are easing."
Until recently, crude from Canada's booming tar sands was getting trapped in the Midwest, preventing it from getting to the Gulf where it could be exported at market prices.
But in January, engineers switched on the Seaway Pipeline, which connects the major crude delivery hub in Cushing, Okla., with Gulf refineries. And rail now transports 550,000 barrels of Canadian crude, when five years ago barely 1,000 barrels were processed.

March 26 2014 -Entry into a Material Definitive Agreement
On March 21, 2014, the Company signed an addendum to their Purchase and Sale Agreement with JD Field Services (dated on February 24, 2014), whereby the Company changed certain provisions within the PSA. The original PSA left a 6 month "unwinding" provision should NAS not be able to achieve its benchmarks in uplifting and repayment of JD debt in the course of 270 days. We have amended this position to the following:
? NAS shall pay or assume all outstanding debt of JD Field Services. Payment on debt held by JD Field Services where the Sellers have executed personal guarantees shall be given priority over other non-priority debts, and payments on such personally guaranteed debt will be accelerated if NAS or JD Field Services profits are sufficient to do so.
? Each Seller of JD Field Services shall receive six percent (6%) of the outstanding common stock of NAS, constituting approximately six percent (6%) each of the total equity of NAS, but not requiring any fractional shares, or approximately fifty-nine million (59,000,000) shares each.
We, at Stock Market Media Group, feel NAS, Inc. has a very interesting story that should grow increasingly more interesting with its planned future acquisitions and with the exploding interest in the US Oil and Gas industry only gaining more and more steam.

Tom Sego reported directly to Tim Cook for Apple. He managed 6 different divisions with Apple including Premium Reseller Program stores outside of the US. Tom was responsible for expanding an experimental program from 300 stores to 2600 stores in 24 months, accounting for a large amount of Apple's growth during that period.

The way I understand the acquisition structure, they issue a small amount of shares to the Owners, and a sellers note, in the case of JD, this was to pay off their debt post up listing and Secondary Offering with no conversion feature, where the debt/sellers note will be paid. With increase in value through assets and revenues added to NAS, this increases the overall share value by multiples of 15 to 20 times, while having very little affect on dilution vs value. This is a very ingenious plan put together by an awesome B of D's. Their Bio's are rock solid with very diverse backgrounds. Wish more pennies where like this one, these guys are going places and are proving to think outside of the norm penny stock world.
