But why would he RS before merging in a new company? Companies have their own intentions. They may want a different SS than Tad employs.

We don't know a lot of things but to complete Phase 1 will not take a year. We don't know if Jim will try to raise funds. When they get their participants, a lot of things. But the trial should be short. I can't imagine analysis and approval to move forward should take very long. So I am throwing 3-5 months. Could be 3 months per trial. It certainly won't be a year.
Timeline. The protocol for the therapy is a 45 day protocol. The Phase 1 trial will not take a year to run. Not even close. The experiment runs for 45 days while participants get scored based on multiple factors. Will take a little time for data analysis and IRB review and will require approvals by the FDA and CDSCO to move next stage. 3-5 months max, if not faster.

That is not how clinical trials work. Clinical trials take some time and we havent gotten to that point. He stated he aims to get clinical trials started sometime before end of the year.

There would be no leg to stand on at that point. Even after everything that has already progressed, this would solidify anyone thinking this is a scam.
Just get that contract done and most everyone at this point should believe this is going to happen. There is no jerking this around. This is serious. And all he will need after that is the subsidiary.

Could be is we see some random OS increase and another filing indicating certain people were given shares and sold, or the alike. So, they better tread lightly because if it is, SEC should be all over it. Otherwise, we just wait for the next merger.
I agree that it shines a bad light. But a company is a company. If they merge and this is successful, people shouldn't be scared to jump in anymore. But I understand anyones hesitancy after 3 failed attempts. No one is under the illusion this will RS. Any smart company will want to do a RS. The SS is large but not overwhelming depending on the merger type. I just dont think it is in the best interest of Tad to actuate a RS prior to a merging candidate. The merging candidate may have their own wants and needs with the shell and see it because they can restructure it to where they see fit. If you RS now, many merging candidates may walk away because it doesn't fit their bill.
So, I just do not see your argument for that point, personally. That is just my logic.
I have played this in my head many times. When I first spoke to him, he was ready to break the industry. Midway through, he was talking about the industry, PRs came out and nothing happened and he started to change. A certain poster started opening the mind to Merck buying blocks and if things don't work out they would IPO. Then a certain poster went silent, Rick on LinkedIn went silent. Always stated Tad was a good lawyer but needed to clean up something that was quick (3 months ago)
Past couple weeks it was FINRA and he said FINRA wasn't budging. He didn't want to wait anymore. But at the same point, said Tad had another company, someone not playing the long game, more suited for this. Which I found an interesting statement. Why would he say that? Anyway. I don't know exactly the real case but I think Rick just got tired, maybe cold feet. And was possibly looking for a way out. Just a theory.
Funny theories. Do you have Rick saying this? I have Rick tooting a completely different story. Whatever happened behind the scenes, no lawsuit is happening that is for sure.

Do you know what those charts represent? Charts should be based on human behavior and risk vs. Reward. These are things that can't know the future. So, when a lot of news is coming out that should send this, why isn't anyone buying? Do they know the future? Is the chart look like crap so they don't touch it? What indications tell them the deal isn't going through? How do they see the future.
Just because something fails doesn't mean there aren't sinister players involved.
Thats all fine and dandy but that isn't a clear answer as to knowing why something is going to fail or not
