I decided to email the bankruptcy lawyer working with the BCS/EFFC case.

I seem to recall seeing something similar to this before, but I believe the old CFO is out of the picture now. If I were that guy, I would have put in my initial hire contract that if I were to leave under certain negative terms (layoff, fired), then all of my restricted shares immediately vest and become available to sell as common stock.
I'm wondering if the people who are now not working for EFFC, namely the CFO are now executing their common stock sales within the X day window following termination.
You never know, it could be as many as the 24 million shares that were cancelled. If there's decent revenue, adding 24 million shares to the float really isn't that big of a deal, but still!

you know, what strikes me interesting about posts such as this is that I almost want to believe you. Unfortunately, I look at the way in which the complaint is put together about Mr. Snake oil and come to conclusion myself that If you really had concern that you were being defrauded/fooled, you would have (a) stopped being involved after your earlier posts that you hadn't bought at .20/.50 and (b) put together a more thorough analysis of your mistrust.
I would tend to believe someone in saying that they visited and didn't trust someone if they actually structured a well-written, thoughtful analysis of what happened, rather than just what appears to be emotional name calling.
If you actually did visit, could you please give us some additonal details of the visit, when it happened, how you set it up, what your purpose was, and some of the topics that were actually discussed along with who else was present and anyone else you met while on site? Well thought-out analysis of a meeting would be very helpful as I do not believe I will personally be able to travel up there to see for myself.

Being responsible for a Financial Institution's DNS for a time, I look back at our 300+ domain portfolio that we kept. Basically we had typo-squatting domains, and domains that were even slightly related to an offering, or product we had going at the time.
When the domains didn't serve any purpose any more, we either directed them back to our main site, let them expire, or sent them nowhere. It all depended on if we wanted it to look like the service was still being offered.
In this case, I would suspect that all of these domains in some form relate either to the current company or any of the past initiatives that are either still paying him money, still have business cards for, or in some form are part of the global company underneith ECN Holdings. With domains being as little as $5/year to maintain, why not keep them around, but direct them to the site where people can still find and contact you... possibly to see if you are still in business and what you're doing now.
My analysis of R. Hauppe without talking to him is he's a Tech-Head who probably registered a bunch of domains as it mattered to him. I personally own 15 domains I think and 5-7 of them redirect back to my main site because I didn't feel like letting the domain lapse.
Additionally - due to his certifications in the security field, he has obviously realized that Apache running PHP and PERL are much safer to put on the internet than MS based products and they are much easier to develop on and script on. Have you ever tried to port PERL code on Windows? If you do anything other than .asp, you're skreewed, iMHO.
Additionally, the connection behind 69.70.20.245 appears to not be your average 'cable modem', but partial-T1 business internet with a dedicated ISP doled out by this Videotron.ca company which appears to offer everything from residential DSL to very high speed ATM, etc.
Additionally, it just occured to me that this 'capital raise' consisted of 18% of the available shares.
There's nothing to indicate if this was a single purchaser. It could have been 6 entities each purchasing 3% as well as it could have been 1 entity buying 18%.
I'm not sure they need to disclose the share purchaser.
In doing some research, I came across the following detail related to scaled disclosure requirements for smaller reporting companies. I am unsure if this applies directly to transactions such as 5M share purchase, or if this only applies to the financial statement(s) disclosures, but it's interesting nonetheless. I believe item #3 in the below URL applies to EFFC.

3. Scaled Disclosure Requirements for Smaller Reporting Companies
The final rules adopted by the SEC: (i) replace the current "small business issuer" category with a new expanded category of "smaller reporting companies" having less than $75 million in public equity float or, if a company does not have a calculable public equity float, revenues of less than $50 million in the last fiscal year; (ii) expand eligibility for the SEC's scaled disclosure and reporting requirements for smaller companies by allowing the newly defined category of smaller reporting companies to use the scaled disclosure requirements; (iii) move 12 non-financial scaled disclosure item requirements from Regulation S-B into Regulation S-K (the scaled disclosure requirements will only be available to smaller reporting companies); (iv) move the scaled financial statement requirements in Item 310 of Regulation S-B into new Article 8 of Regulation S-X, and amend these requirements to provide a scaled disclosure option for smaller reporting companies, requiring two years of balance sheet data instead of one year; (v) permit smaller reporting companies to elect to comply with scaled financial disclosure and non-financial disclosure on an item-by-item or "a la carte" basis; (vi) eliminate the SEC's current "SB" forms, but allow a phase-out period for current small business issuers transitioning to smaller reporting company status and (vii) permit foreign companies to qualify as smaller reporting companies if they choose to file on domestic company forms and provide financial statements prepared in accordance with US GAAP. The effective date for these rules will be 30 days after their publication in the Federal Register. The text of the final rule release is not yet available.

honestly, the only reason that I took this gamble, is that I had it to 'lose' from some AAPL/IOC/CFC gains along with some options that I cashed in. Seemed like a good idea at the time.
One this is absolutely right, I should have gone to canada, and honestly, maybe should still go! At least, since I'm in AZ, I should take a trip over to Argo.

that means, they are raising it by selling restricted, not impacting the float! whoo hoo!
a while ago posted that someone showed up with some old stock certificates. If there were valid stock certificates that needed to be turned in, those certificates would actually add to the OS w/o the company being able to do anything about it. If this stock certificate was for about 14M shares, it would explain the shares to be cancelled.

I'm long 210,000 shares now, I averaged down at .09 and .10 from .36 so now I'm at least feeling better about the situation than I was. LOL. The big question is should I sell and then re-buy so that I can get a capital loss for 2007 and then take the long term gains in 2008!
