I think that it will be driven by certain events that they are waiting on; I don’t think that they will have call just to have a call; they will have a call to announce something that is my take on it. I’m not sure that even they know yet.
What is the target outcome here? Well that depends, the ideal target outcome for us to live happily ever after would be for them to sell the Perkinamine to Large system suppliers and create next generation devices to drive the market and become larger than IBM, Intel and Google.
Yeh right.
Then we have reality, IMO what will happen is that as soon they have enough data on Perkinamine that is repeatable, verifiable and predictable AND that information is in the hands of MORE than one fortune 500 (that will lose market share to new devices) then the takeover games will begin. How long that will be is anyone’s guess, we’ve been waiting years for it to happen. They are very close now, but as Buzzy points out we have been very close a number of times. In the past though it would take them weeks to make a batch then send it to a university to characterize then they’d put it in their testing pipeline wait for a few more months only to have them request a tweak. By the time the next batch was made and sent off to a university, or Photon X, or Teng, blah blah blah. Honestly I guess that it would be hard for any Fortune 500 to take us serious with those lengthy delays. Finally they now have the ability to produce a batch and test it the next day in a controlled environment within the same building by the same people. It is very small, very fast and very complex, for example The Perkinamine NR the All optical variety does it’s thing in a fempto second. Hard to comprehend a femtosecond is to a second what a second is to 31 million years. 31 Million years ago was before the internet or global warming and 4 foot penguins ruled New Zealand. Oh wait Nebraska was a desert then, um, hmmm,
The best way to try and value this is to think of biotech drug that is in final testing with the potential to cure multiple ailments like aspirin and have as many uses as Gore-Tex. In fact there are so many uses that for years they had trouble focusing on one specific use and consequently ended up being spread too thin. It appears that the Admiral is correcting that, they are much more focused and IMO companies that don’t step up now will be pushed to the side until one does.
How to value it, who the heck knows, a single use is proly worth 5 bucks a share, others 20 bucks not sure if you add them up or just how that works, do they sell licensing for a single use to multiple companies or license one variety to a single company, I Dunno
IMO soon enough the games will begin Joe Miller (Former Corning SVP) and Fred Leonberger (former JDSU cat) have PLENTY of experience in this area, it is not their first time around the block, I’m sure they flew in a corporate jet numerous time to sit across the table from small companies like this and they of all people understand the potential and how to value this technology so IMO we are in good hands.
IMO when the conference call happens we’ll know more. Typically this company does very little in the way of Investor Relations, I’m curious how did you find out about them?
The ones that Walter is referring to were a 25% sweetener at $1.25. So if you put up $100k you would get 100k restricted shares (could not sell for 1 year) and a warrant for 25k shares at $1.25. IMO most of the money was put in by Longs insuring that the company had money to operate back in the day. Honestly, it is a hassle, not an easy thing to do you need a letter of opinion from an attorney, etc., most that hold warrants are LONG term hold kind of investors, not folks that jump in and out of them market on a whim, so I wouldn't worry about that. Funny after the stock breaks a dollar it looks good, a week ago, not so much. Many investors that do not understand how they work get jealous, speaking from experience I can tell you that rarely do they work out but when they do it is very nice and that is the reason investors like them. It is kind of like backing up your craps betts with the odds bet behind the chips.
Then we have managements shares, I think that if we go north of 2 bucks we’ll see some of those guys exercise. There are many variations out there. This is not what LPC has, LPC is getting them at the street value average 5 day’s blah blah blah closing price. They got their sweetener (restricted shares, 50k I think) up front.
Since you brought it up I think that if we can hit and sustain the $1.50 to $2.00 range there are enough warrants out there to bring in 1 Million possibly 2 Million additional dollars into the coffers.
Lol yes I was reading it and thinking wow ol Trotts has this down and he is far and away better at this than my ish, and then I clicked on the Steve C. blog.
IMO a lot has changed since then Zelibor, Miller and Leonberger are contributing their talents, we now have a source of funding, we are moving towards becomming a device company and driving the market rather than waiting on others, they have finally cleaned up the perkinamineNR to 98.9% pure crystals, they have a nice lab, an onsite state of the art testing facility and can now do in week that which took 3 or 4 months, down to just a couple Universities with which they are working with and it appears that they now have the ability to make “quality thin films” which will open up the door to numerous other devices. They finally found someone with equipment fast enough to measure the Perk NR’s (all-optic) femtosecond response time. They’ve invented Perk Indigo which I think caused the LSS to change the device to use Perk Indigo (electro-optic) which caused additional delay.
I’m not sure which will happen first, a contract from (seemingly) out of blue, a contract with the LSS, a contract on the military intelligence side, an announcement of a merger/acquisition, something slipping out from a group like OPSIS, a device, a new employee or CTO Engineer type….. When the dominos start falling they will happen in quick succession as everyone will need to try and lock up a supply of the next generation material for their devices and do not want to be left behind. Immediately following some decent news I wouldn’t be surprised to see a company like Google or the LSS make a play for us and just take it all and become the master of the Optical Computing Universe. Folks it all comes down the almighty Dollar and inventions like this do not remain in the hands of the small time investors for long. I've been looking at the patents out there and there a ton of device patents but they are all missing the material to make them work.
We have some of the best gray matter and skilled businessman guiding this for us, they are not impressed by private jets or landing them on carriers, no doubt that going forward it will be very interesting.
I’ll like to thank you yoyo’s that ran up the price because I’m going to buy more tomorrow and thanks to the run up I’ll be getting less now. Still thinking that we will know more by Valentine ’s Day, we’ll see, I was obviously off on my merger by the end of the year prediction but if you think about it may be for a good reason ;).
I know we aren't a Delaware corp but it is probably the same. I'd say less than 20%, hopefully less than 10% but it depends on the value the other company can bring to the table. More than 20 we need to vote on it. Off the cuff I don't know the answers to the other questions.
i. Statutory Merger: Stock for Stock
1. Two corporations start as separate legal entities with separate owners. One corporation merges into the other, leaving the corporation being merged into as the sole survivor; or the two corporations can merge into a new corporation formed in the transaction.
2. Del. Gen. Corp. L. § 251 – governs if both parties are Delaware corporations
a. § 251(a) – Authorizes both firms to engage in the transaction
b. § 251(b) – Requires that the board of directors of both firms pass a resolution approving an “Agreement of Merger” and a statement “declaring its advisability.” The agreement states the terms and conditions of the merger and may amend the certificate of incorporation of the survivor.
c. § 251(c) – Requires both constituent corporations to submit the agreement to a shareholder vote. A majority of all the outstanding shares “entitled to vote” must ratify the agreement.
d. § 251(f) – The shareholders of the surviving firm do not have a right to vote on the merger if the rights, preferences, and privileges of their shares survive the merger and if their shares are not diluted by more than a specified amount.
i. The 20 percent rule – The general rule is that the surviving shareholders must hold at least 83 percent of the voting shares, which means that the surviving corporation cannot issue more than 20 percent new stock in the merger.
e. § 251(g) – No shareholder voting is required in specified reorganizations of holding companies or in specified creations of holding company structure, since the transaction does not modify the rights and preferences of the corporation shareholders (holding company exception).
3. Del. Gen. Corp. L. § 253 – (short-form merger) Permits the merger of the subsidiary into the parent (an upstream merger) solely on a resolution of the parent’s board of directors when the parent corporation holds over 90 percent of each class of the subsidiary’s voting stock. The shareholders of neither the subsidiary nor the parent have a right to vote on the transaction (parent-90 percent sub exception).
Sr. V.P. Operationis Resigned on Monday, 8K documenting said resignation was sent via an 8-K after the Bell on Friday.

It is becoming more and more obvious that Gigs E.O. Polymer is flawed, No Market acceptance, apparently it is too fragile and too unstable, Which IMO is the reason that the founders sold all ownership and basically gave the molecule away to a company that was a formed by taking the assets of another company (and not the liabilities) in one of the largest B.kruptcies in History. What comes around goes around.
It is hard to believe how long things like this can drag on, revenues are heading south, Endwave shareholders were given shares that were worked up to an unrealistic value on VERY low volume. As soon as it clicks there won’t be enough demand to absorb the volume and it will be like trying to catch a falling knife as it plummets. Now we know why they've already approved another reverse split of between 1 for 3 and 1 for 5. If you factor in the 8 for 1 reverse split they’ve already suffered the stock is 22 cents, a far cry from its high of almost $70 (adjusted for split) in October of 2006.
Stay tuned.
Sell Gig at $1.70 Buy LWLG at .90, let's see how I do.
Buz I’d be surprised if they/we still are working with them, if they are I don’t think Photon-X will be in the mix much longer, I think this technology will be kept in the lower 48 if you know what I mean. I haven’t a clue what plan B is but as long as there isn’t a major problem with our ish a merger will happen it is just a matter of time. Oh that reminds me, When that Electro Optic fortune 500 polymer scientist guy found out that Leonberger was on board he said something to the effect that he had enough pull to pretty much put together a deal on his own and could probably contact the guy that is in charge of the 50 states to arrange for funding (if need be). When the Polymer scientist dude went home and came back, I won’t get specific, but when I told them someone from the Peoples Republic was interested in doing a deal with Lightwave there was an immediate response of “No Thank You”. That should tell us what we need to know, they didn’t even ask for his name or anything. He tried to contact me a few times but I haven’t returned the emails.
Guys Who Knows, Honestly I’m not freaking out anymore, we are doing exactly what was stated had to happen a few years ago to move this company forward, Honest Injun, that 3 years has just burned us all out, PERIOD.
OK now I know where you are coming from, I had the same experience and lost between $300k to 500k on various companies, but it was my decision to invest in them and I lost money, it happens, those comapies had to stand on their own. The odds of a startup succeeding are probably 99 to 1.
By now you guys know that if I have a question I try to get the answer the best that I can and Before anyone freaks out let me tell you that in February of 2009 I went to UCMT sat down with Mike to discuss sales of Lightwave, he was open and honest. He called across to Teresa and she printed out the spreadsheet with the history of their sales and handed it to me. I went through it with Mike and discussed the sales. As information we briefly discussed this on the Yahoo board. As info the first sales took place in March of 2007 that is about 3 years after they hit the street so it is not like they crushed the company out of the box which is never a good thing for an investor on an IPO
Revisionist history is what it is, but what I saw was that there is no way the Goetzs, Fred, Andrewi.e. Lightwave could have survived without them, did they give up a lot of shares to UCMT yes, the good thing is that the UCMT company itself does not currently hold very many shares but I’d bet that Mike, his acquaintances, and his family still hold upwards of 5 Millions shares. If they haven’t sold them in 8 years then we shouldn’t drag Lightwave History through the mud. Now if you want to talk about those other companies, I’d agree they were bad investments.
I hope this helps. Someday the entire story behind Lightwave will be written and there will be quite a few chapters on the initial startup during the first 5 years.
Trying to be honest and above board, I cannot fault someone for selling shares that they were paid with for services and cash that was outlayed 3 years prior. There is bad blood between many here but you can bet that when Fred took a turn for the worse some of his friends cared enough to visit him.
Bob did you sit beside me at the shareholders meeting?
Oh and just so everyone knows, 80% shoot probably 90% of the heavy hitters (probably not Leonberger)that you see working for lightwave Shoot, even the new lab,,,, (same complex 3 years prior), were a direct result of UCMT's efforts. I'd bet that 80% Cash for the first 5 to 7 years came from UCMT's efforts.
Did I loose a boat load of cash with them, You Bet but it does not change what I saw.
I've gotta run
Yep Bob there were quite a few mistakes from hype made back in the day but it appears that What Fred told Mike and what Mike told us was right.
No I missed the initial buy by a couple weeks; I was turned down by Mike and was told they were sold out, I thought it was 17 cents but I could be wrong, all I know is that I missed it. 14 years ago, let me think, they did the reverse merger in 2004 so if you were here 14 years ago that would put you at Aberdeen with the Goetzs or an investor in Eastern Idaho Internet Service, Inc. But yep buying shares in 2009 at a quarter was most definitely a no brainer. You see when you tell the truth you don’t have to remember what you said. So what is it, Eastern Idaho, Aberdeen or a bad memory? You have to know about the MoPed thing, Lol. Oh wait a minute are you the guy Mr. Goetz used to car pool with, if so then you may have done something with the Goetzs back in the day. I have an old shareholders list around here somewhere so I could look it up. Give me an idea of how many shares you owned say 5, 6, or 7 years ago I’ll figure it out.
Is this Bob C.?

Reds I think they are still just trying this and trying that, sounds like the film is thin enough for now but remember after the film is created the Perk is put into a solvent and added onto the film and spun (like art on the boardwalk), heated and poled to align etc. then cooled to lock in. The loading, the amount of Perk that they can suspend (solubility) the amount of voltage applied, the temperature, how the electrodes are attached, the type and thickness of metal electrodes can ALL be changed a hundred ways from Sunday that is why we NOW need an engineer. It is all science that (using Perkinamine) has NEVER been done before, it could take another hour or another few months. Remember folks Michelson is working with Perkinamine IndigoTM on the “electro-optic activity” for the microelectronics customer.
Perkinamine NR is the Third Order Light controlling light, All Optic Femtosecond Material as long as we have consistent material every time the variables will be much easier to control. I’m not ever sure that 99% is enough but at least they have a shot now.
At 99% this is what they have.
Remember that the molecules below would fit inside of this - - - -O

I’m not sure what the maximum loading is but it is probably less than 40%.
As for those that want them to predict that the magic number for a widget is an 18.5% loading when what they were working with in the past was Perk that was too dirty to be consistent is asking for something that they cannot honestly tell us.
I’ll make up a number 24.2% spun at 3,000 rpm for 18.5 seconds and poled at 140C for 7 minutes and cooled will leave you with a drive voltage of .8 Volts and 220 pm/V, while 32% spun at 2,000 RPM for 25 seconds poled blah, blah, blah 180 pm/V.
Guys it is kinda sorta like the light bulb, Edison knew it worked but he had to figure out why it wouldn’t last. I have NO doubt that we have met the numbers but if we give them 2 different batches that are supposed to perform the same and they perform differently then “Houston we have a problem”. I think this is what happened with the AZ testing, just a guess but IMO that is what happened.
We will get there but yelling, bitching and moaning isn’t going to change anything. You simply do not get the kind of interest that we have in this material from something that is not promising. I do however agree with Buzzy that there are only 2 Board members that put real money into this so perhaps bitching is in order but let’s not build up those that bought at a quarter cause that my friends was a no brainer. It would be nice to see a program where some of the key employees bought a thousand shares a month, every month, shoot do it in an IRA.
Again it appears that we have achieved a major hurdle on the chemistry side now we can move forward on the engineering side, when it happens (and the combo is right) there won’t be any time to pick it up on the cheap, but shoot I’ve said that for 8 years now so what in the world do I know?
Enough babbling, I just read Z’s letter again yesterday so I thought I’d break it down.
IMO some of you know what you are talking about and some don’t 20/20 hind sight vision, form 4’s, Lol….. I’m not sure of the timing on a PR but the end of the year just happened, W-2’s, 1099’s etc. and I’m sure that audits of both companies are in order before a deal can be finalized. Most payroll services just spit out the W-2’s with JM handling the money I’d hope that our books will be off to the CPA in short order. I guess that it also depends if our potential target has 100% clean books, in compliance, is a corporation and if so a C or an S, how many shareholders, options blah blah blah, because remember that “private” companies do not have to comply with the rules for a public company. After all we do not want to inherit an issue that gets corrected in public, if there are any issues they need to be corrected now rather than later.
As for Toms performance as the CEO, he is doing what he said he would do and moving the company forward in a much more focused approach, remember, we have An Admiral, A former V.P. Dupont, Former Senior V.P. Corning, former CFO, former CTO’s and a CPA. All are very opinionated, very knowledgeable and are used to giving marching orders not taking them. One question that I have is that I’d like to know if Z plans on doing any Dog N Pony shows to investors to attract outside investors, if so how many he plans on doing this year.
IMO as for digging up dirt and dragging folks through it by posting it is not the wisest thing to do but if you think it will help them have at it, honestly I do not see it as doing anything but somehow making one feel better because they trash talked another, but I guess that is life now days, talk bad about someone so that you can feel better about yourself.
As for the share price it is what it is, I plan on picking up more next week and I know of few that will be loading up this week. Like I said the timing of a merger is hard to predict.
I wonder when we'll break through that $3.33 number?
X Out
You guys keep beating them up and posting as much negative stuff as possible, I’ll be buying more in 2 weeks so that will help me out. Oh and I’m sure that it will help with our ACTIVE negotiations.
And I hope that you can see why I don’t post anything anymore because after a few months shareholders decide that it is in their best interest to send emails to try and contact private outside parties to trip them up so that they can post that parties response publicly.
Never in my wildest dreams did I think that it would take 8 years but I’m not going to shoot myself in the foot to make my wallet stop hurting.
X Out
I haven’t added anything because I don’t know what to say, I hate to bum everybody out, and I’m sorry for thinking that they’d be able to get their act together by the end of the year on an M&A. Honestly I thought for sure they’d have completed a partnership by now but obviously they haven’t. From day one, even back in the Goetz’s days they ALWAYS take months to years to do things that one would think should take weeks or months at best, but as Fred used to say, “that’s science”. Fred was not a business person, The one bit of good news that made me feel better was that Leonberger is going to work directly with the board and looking back at his time at JDSU that was one of the things that he did for them AND did it well. I’d say he’s heading for a spot on the board. When a merger happens it looks like we’ll get a new CTO. You have to love the government; we cannot give you clearance unless you have a contract and cannot give a contract unless you have clearance, Lol. SSDD
And I know, I KNOW they always say that it is not our fault it is whoever, (always the other side) as my Father used to say, “Excuses are Like A Holes, Everybody has one” but IMO I think that all of wisdom (that comes with age) that the board posses and because time passes differently as we age, it causes them to contemplate the next move for weeks or worse yet a month (until the next board meeting) or someone gets back from wherever, again instead of days, I don’t know if they ever had it but it appears that a sense of urgency is JUST NOT HERE. IMO something that could be worked out in a month ends up taking 6 months to a year. Who the F knows in 8 years they cannot even convince a fortune 500 with Billions of dollars in their R&D budget or the government to put up $100k honestly who knows what they have.
One of the investors sent me a link on the IKD-1-50 or whatever it is called, linking it to Dalton. Dalton is U of W, if there is a device involving any U of W technology that opens up an entirely different can of worms. Not saying it does, just saying IF.
Again 3 years of wandering around has worn us out, I think that we are finally where should have been 3 years ago but we’ve all wasted 3 years of our lives and compensated many for not doing what should have been done during that time.
We’ve watched as 100’s of Billions have gone to Pie In The Sky crap and we cannot get F'ing Dime,
Yeh Right.
I’m cautiously optimistic that my February predictions will come true, but HOW MANY TIMES HAVE WE BEEN LET DOWN, shoot 90% of the guys here that are now retired would not have tolerated this kind of performance during their careers.
X Out
Again I base this on nothing but my feelings.
Heck no I don’t have any input; I rarely contact them, I may have sent them 3 emails in all of 2012, furthermore they are not allowed to tell us anything and one could read their responses as the glass is half full or half empty. Whatever I post are things that I find out on my own on the internet or other investors tell me, many are hunches, some are common sense, 90% of time I wrong with my timing, but looking back quite a few times I’ve been right. When Fred first did his thing, before I put up any money before they went public, I grilled him and double checked everything I could, he could break it down to things I could understand, that is where I came from and why I believed in this science so much.
To answer your question though, what I really think is that in the end we’ll get bought out, we won’t have to worry about the proper exit time it will just happen.
Common sense also tells me that there are many reasons for a delay with a merger, it could be problems with the Perk, not problems, but something they haven’t figured out yet or perhaps they nailed it and don’t want to move forward giving away half of the company if the Chip maker is going to buy us out or announce a deal that would change our leverage in a merger. It could be that others are trying to play hard ball, it could be legalese, it could be someone getting divorced, it could be a lot of things.
Whatever, I get tired of trying to figure out.
Hey if it stays down I can load up on more (for the kids) next year.

Perhaps Buzzy or Cears could shed some light on it
Yes I’m still saying buy all that you can below a buck.
Gates back in the day Fred was very protective of the lab, so much so that he wasn’t receptive to outsiders trying to improve on what he made. Years ago when his health went, it was so fast that there wasn’t time to document everything that he discovered, yes Andrew and Mom helped out everyone stepped up, this is all water over the dam now but I’m certain that caused delays in the back ground. As information I didn’t know it at the time, I found out over a year later. Some time when we meet in person I’ll explain it this is not the kind of thing that is for a public BB. Hippa stuff ya know. I wouldn’t worry about the Goetzs, they wouldn’t do anything to hurt this and they have enough legal talent to protect all concerned.
Hey the shares are for sale at whatever price the sellers are willing to take, right now they want less than a buck, I say gather them up. Numerous reasons for the folks selling but it is NOT me.
Well since we are bussifying the crew I’ll add my 2 cents, yes IMO the 3 years delay has worn out our patience. Truth be known Z was in the running back in the day but as I understand it we didn’t have sufficient capital on hand so he didn’t really fight for the job and Smitty ended up installing JM, then the Fred thing happened. When Smitty became COB I gave him the resume of Bob Petcavich and asked him to consider a change, he said that if a move needed to be made he’d make it. Well it never happened; honestly I’m not sure if they ever even contacted him and Smitty resigned.
It is what is, Fred is no longer capable of influencing events so we are kind of stuck here. BUT They are finally doing what (Hal said) had to happen 3.5 years ago, Engineer, New Lab, etc. So yes Z was here but he wasn’t in charge so honestly we are diluted with a 3 year delay and in reality at a period 6 months after Hal split, , (apparently Zero presentation skills put us into a holding pattern). To JM and Smitty’s defense though the Fred thing had to hurt, they did however establish a relationship with LPC which is providing the funds to move forward. Again we are finally doing what should have been done years ago, I AND many others did everything we could to help, we tried to put her back on the road but it kept going back in the ditch, honestly I think that they are doing the right thing now, but,,,, UH I’ve said that for SO many years now and IMO I’ve lost whatever little credibility I had.
It is what it is and will happen when it happens, I was just looking at my videos from an Alaskan trip in 2005 (I think) I can remember riding a mountain bike down the hill thinking that when I got back to the lower 48 I/we’d here something from either Dupont or IBM, LOL,,,, WTF WAS I THINKING?
Happy New Year Guys
The shareholders meeting was 4 months ago, I know that it feels like 4 years but the fact is it was 4 months. Finally (with the IBM announcement) things are heating up in this market and IF we truly have something that should bode well for Lightwave. IMO we have the talent that we need to find an “in” somewhere in this market. If they don’t make an announcement by the end of the year I’m sure there is a good reason behind it so I’m not going to get myself all worked up. It is the end of the year anyone selling now and not waiting on the next move is probably selling to take advantage of the current Capital Gains rate because selling at loss now would only save 15% and I guess a few may be playing the short side because of the uncertainty. Anyone selling now and planning to buy back in next year would either have to wait a year or could get hammered if we are bought out in less than a year. Not much we can do about the share price so why freak out. Honestly I thought that they would have announced some sort of agreement by now because you know that they are working it. Again IMO this IBM announcement will bring attention to our cause. Whatever guys I’m not going to jones over it. And hey who is to say that IBM isn’t the LSS and hence a delay in a merger, or if they nailed the purity and properly applied the Perk for the LSS doing a deal now would be shooting ourselves in the foot, just saying anything is possible and with the Admiral at the helm don’t expect a slip up in his communications because he knows that loose lips sinks ships.
No more clues, please keep your findings to yourself, because some on here do not know when to stop and call and email folks that they shouldn't.

I’ve been following this company since they first invented the material at that time there was less than 50 investors with very little professional talent now there are thousands of investors and talent out the wazoo, as information the family that invented it only lives a couple miles away, Health issues dealt them a blow that they will not be recovering from and prior Admiral Zelibor joining they could not follow a cohesive path forward. Now they have a leader, a source of funding and with Miller leaving Corning about a year ago and Leonberger from JDSU lending his talent I think that you will see very soon why all of the talent has signed up oh and much of the talent has joined for stock only.
Photons replacing Electrons, No heat is generated to cool (expensive), Photons do not interfere with each other so computing can be performed in a parallel fashion, all of this using a dye in plastic.
Fast, Cheap and stable.
Oh as information the bashers on the yahoo board are from a company called Lumera, about 8 years ago I studied both, at the time Lumera/Gig Optix was valued at $50 or $60 bucks a share now it is less than 2. I told everyone to run but apparently the ones that didn't HATE ME. Lol, whatever.
Speaking of Belushi, Lol tell me Hochberg doesn't look like him.
"would like to build one of those types of modulators"
Yup. Very familiar with Dalton and Jens work especially from the Lumera days, this has nothing to do with them.
If you stumble across it PLEASE Don't Post it, let this play out as I'm sure they have planned, else Z will have Greenlee pummel me at the next SHM.
This is striclty an assumption on my part but I'm 90% sure I (and others) have figured it out.

If you look hard enough it is out there and since some of you are freaking out I’ll give you a hint of what I’ve found on the net. IMO this is NOT our stuff but eventually the trail will lead you there. I do not think they would appreciate us speculating so I won’t put it in black and white.

If my hunch is correct I’m saying that Perk smokes that by a factor of 5 or 6.
Running some rough cash numbers and we should have almost a full year’s worth of cash on hand, I have no doubt they are working on a Modulator and an SLM, not a clue on the status of the LSS. It is what it is; I’m still expecting an announcement by the end of the year with the big picture potential making much more sense to us and the world in February and on into March. Either way I won’t be selling if she goes up or down, Honestly though I’ve preached that for so many years that sometimes I wonder if my thoughts are affected by the Lead Paint on the wooden blocks that my Mom used to give me in the playpen.

I was just out snooping around and I came across this old Baltimore article about Z
http://articles.baltimoresun.com/2001-11-03/news/0111030046_1_carl-vinson-commander-air-war
Yup I’ve slowed down on my posting because it appears that the things we were all asking for, (for years) are now happening (Engineer, Clean it up and Test it) and unlike a squirrel trying to cross the road we are now proceeding in a logical manner, slow but logical. I guess money was the issue. As for a deal, who knows when but we’ll get there. I have several lines of thought on what is holding up an announcement of the agreement but I’ll keep them to myself, not worried, either we have it or we don’t but at least with a testing facility now in place they will hammer it out and we'll know soon enough. Gone are the days are running to Tengs, to Photon X, to Dup, U of D/A/Bama, CUNY,Balt. Etc., breaking this, breaking that, blah blah blah,,,,,

Now it is $1.60, Lol. According to some they just dropped the earning forecast for 2012 almost 60% to a Nickel and lowered the 2013 forecast by 50%. The kicker is that they waited until the end of November 2012 to deliver the news. Seeing the foundation and the trouble that they had in Federal court when they formed the company it doesn’t surprise me. I’m sure the insiders selling earlier had nothing to do with this.
Good Luck with this one.
Easy Now Guys, This will play out, things are going on, Z said he is working on a merger I believe him. The lab is working on applying the material. We need to understand that if we are are merging then the books will have to be audited. When is the easiest and cheapest time to audit the books? When companies merge, document are filed that contain pretty much all of the information in a year end report. Why do things twice? Again this is just my opinion.
As long as we don’t close below a buck every 5 days or so On days when we don’t have singe trade below a buck for an entire day, IMO they are going to the well. Remember that some mergers have cash requirements, so let’s not shoot ourselves in the foot here guys.
Again this is based on nothing except common sense.
I'm not going to get into on here, to many people on here go too far in contacting outsiders or don't get it, or whatever, but as for you,,,, IMO you have already stumbled across it, you "get it" again I could be wrong but all my research points in that direction.
First a merger will kick us up a notch, then IMO around Valentine's day we will be shifting into the next higher gear.
Like I said I don't expect the next Q/K (whatever) to be the same as this one, IMO merger docs will be used to update it then during the first quarter there will be additional investor pressure. But what the heck do I know, I've been dealing with this for 8 years now so who REALLY knows.
F2 one would hope that they have been spending their time consummating a deal and preparing the mountains of paperwork, audits, financial agreements, personnel agreements etc. that happens in the process of an M & A. I still say that sooner more so than later and certainly by the end the year. That being said the reports for this quarter and the first quarter of next year will be more than interesting to read. IMO we and the world will understand the big picture much better just after Valentine’s Day. As always I could be wrong, things are beginning to play out as we had all thought they would 3 years ago.

Well I read through the Q a few times and this is my take on it, “we have opened a new lab”. Honestly That is about all that I got out of it. As soon as read something that looked interesting I’d look back at the June 30th Q and it was already in there. While I was doing that I couldn’t help but think about my annual trek to the cabin about 10 of us would take the ATV’s a few toys and as much ammo as we could muster up for a long weekend, we’d set off an adventure into the mountains drink quite a few cold ones and shoot the cans when we were done. It would snow overnight and we’d set off on a new adventure in the morning and even though we did the exact same route most of the guys would tell me how they liked these trails better even though in reality they were the same trails that we rode the day before. Bottom line is that there did not appear to be anything new in that Q (or I missed it). Honestly I think that we are in the valley of transformation to under promise and over deliver, hard to explain but once we get past the under promise part and they start delivering, and telling us what they were working on things will get exciting again. Until then we just wait. I agree though that none of em bought stock and if there was truly insider information that prevented them from buying it those events did not come to fruition, so what the F ever. They certainly didn’t need to spend much time on the Q so I wonder what else they have been up to while the lab guys do their thing?
And Yes Joe I hope and Pray that Joe Miller is engaged, Joe did say 15 months ago that they needed to get a new lab and testing facility before they could move into the fast lane, so now with this Q I guess that we can finally check that off. It just seems/feels like such a long Frickin Time.

Thanks for the clarification invers I didn’t realize that info came from Z, I thought that you were just interpreting the release, good to know, honestly I haven’t been bird dogging this like I used to because I’m not that worried, it looks like Tom is a Say What I’ll do and Do what I say kind of guy. Either we have it or we don’t. I would like to see a few Dog n Pony shows to an investor group or two though because a higher share price couldn’t hurt going forward. Perhaps now is not the time?
Here is a link to the Tangible Future Web site referring to Merger and Acquisition Value Creation, back in the Day Hal (Prior CEO) had some interaction with them. It is an interesting Read and I HIGHLY recommend it, go through the entire web site.
http://www.tangiblefuture.com/merger-acquisition.html
Yes Gates that SPIE conference is interesting.
Just a lil of my 2 cents worth, I don’t remember the shares (I think they were 17 cents or something like that) trading prior to the reverse merger for more than a buck so I’m not sure that I agree with the statement made by Bob. I missed getting my check to UCMT by a week and was shut out so I didn’t get any of them. If what Bob says was true and the shares were valued at over a buck prior to going public then a 20k investment would have been worth a 100k, not a bad return over a couple months. I waited for it to go public and wasn’t privy to any private trades so I could be wrong. Also as for the going private thing, what the heck are you guys talking about? One of our cards is that we are already public and can tap the LPC line going forward. As for posting who I think the merger will be with, I’m looking local, I’m not going to post who because it could muddy the water and could slow it down. I haven’t a clue when the merger will occur but I think sooner rather than later and certainly by the end of the year, Oh something I stumbled across last night, that just after Valentines day an event that is unrelated to the merger is going to happen which is going to open a lot of eyes to Lightwave. But hey I’ve been wrong so many times in the past about the speed of this that I could be wrong again. I’m sure that Bob will agree that the original investors thoughts that this was going to take off 8 years ago, then 7 years ago, then 3 years ago. It finally looks like the team is NOW in place, it is just a shame that it has taken this long because yep, we suffered dilution, that’s life though. 98% purity sounds good but I’m not sure what they need, back in the day I invested in a company called Accelapure, they promised that they could clean up the original Perk but it was so dirty that it fouled their equipment. They went belly up I think some of their equipment ended up at Lightwave.
Guys we’ve invested in a technology and now have the team to move it forward. Gig (Lumera) was first, obviously their technology was/is flawed, Fred called it from Day One and it looked to me like they did everything they could to try and squash Lightwaves technology. If anyone has been watching “The Men Who Built America” (available on on demand now) it reminds me of Thomas Edison’s D.C. current Vs. Westinghouse’s A.C. current, while D.C. Current worked, it was not practical for the masses. Folks we’ve got the A.C., now we have the team and finally a plan to move us forward.
As info inverse, in order to keep the lines down, states affected by the hurricane like DE, NJ, NY, I think that it is best if O voters do not vote until tomorrow ;).
Long as Ever,

Oh one of the moderators needs should remove the strictly political threads.
Scaling up our material?
Hurricane was a piece of cake here, nothing compared to F2’s Tornado year ago, I didn’t loose a single tree, But I’ve been without commercial power for a few days, tree down on the wires on the road, I think they may start work on it tomorrow. Threw a couple logs on to heat up the joint and Luckily I grabbed 40 gallons of gas before the hurricane so I’m fine. I just unplugged the fridge and ran a line up to the office after I got a text from a fellow investor. Whatever...
Z chooses his words carefully I didn’t see any comments on this, “I am happy to report that we are making outstanding progress toward consistent and reproducible performance - - - - > and scaling up of our materials”.
"We are in constant communication with this customer and are moving in a deliberate manner to ensure successful results; - - - -> we only get one try at coating the devices." I’d bet that was what we were told but after 2 years of working with them, I’d be willing to bet that we will get more than one shot at it.
I just saw a janitorial position open up at the park where the lab is located,,,, Hmmm,,, Lol.

Poling is where the molecules are all lined up so they don’t cancel each other out. The molecules have a north pole (donor) and a south pole (Acceptor)the bridge is in the middle. If the poles are not aligned the performance suffers.
Reds,In essence yes a transistor is a switch, the words are kind of, sort of interchangeable, but that doesn’t mean that the switch that they are working on is for an optical computers transistor there are many other uses/needs for an optical switch to change/modify the signal which in turn helps direct it to where it needs to go. I’m not even close to being qualified in this area but as I understand it, that in the end the reason why optical computing will be so much faster (in some areas not all) is that when you combine it/filter it through an array of SLM’s (which is what Turpin is working on) and because photons do not interfere with each other numerous comparisons can be performed simultaneously.
Again I am not qualified, not even close to discussing the engineering behind an optical computer; the information above is just my understanding of how one would work. That would be a good question to ask Greenlee or as Buzzy points out Hochberg and Prather could wander down the street and answer it.
We don't need money now but I guess it couldn't hurt, although I'd rather do it at 2 Bucks. Who knows?
Not sure about the 5 days I couldn’t find a reference except that we cannot go back to the well for 5 days after selling shares to them and that the transfer agent has to deliver the shares in 5 days.
“The Company may deliver multiple Regular Purchase Notices to the Investor so long as at least five (5) Business Days have passed since the most recent Regular Purchase was completed.”
“the failure for any reason by the Transfer Agent to issue Purchase Shares to the Investor within five (5) Business Days after the applicable Purchase Date which the Investor is entitled to receive“
“Purchase Price” means the lower of the (A) the lowest Sale Price of the Common Stock on the Purchase Date and (B) the arithmetic average of the three (3) lowest Closing Sale Prices for the Common Stock during the twelve (12) consecutive Business Days ending on the Business Day immediately preceding such Purchase Date (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction).
As info here are the closing prices for the last 15 days or so.

I could be wrong, but I couldn’t find it, example if we went to the well 2 days ago the shares would be sold at .85 ish but IMO it has to be above the floor price that would then set the bar at 12 days above the floor price of 1 Dollar.
“Purchase Price Floor. The Company and the Investor shall not effect any sales and purchases under this Agreement on any Purchase Date where the Purchase Price for any purchases of Purchase Shares would be less than the Floor Price. "Floor Price" means $1.00, which shall be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction.”
IMO 12 Days (I guess?)
