LMAO. He might as well jump to a 500-1 and dump all the billions on shareholders right away. He already bent us over with this so he might as well make it less painful with 1 major dump.
It is going to drop either way.
IMO
Its early, just wait.
New Proxy Statement. 1-200 Reverse split now and an increase in the authorized shares of blank check preferred stock from 20,000,000 to 100,000,000 shares of blank check preferred stock.
Damn...0002. Well we knew this was coming. Even after the RS, at 2 cents, I see this thing plummeting back to sub pennies in no time. Sorry to those that lost some of their money and then sorry again those that will lose the rest after the reverse split later.
Glad I never averaged down. Wasted enough on this turd. There are better buys out there then this.
IMO
No. I bet he changes it to 200-1. He still has a few days. At 100-1 it wont stay over a penny very long and back to where we are now.
He has made so many amendments lately, what's 1 more.
South, it will never get that high. We probably will open at 4 cents, go to 7-8 cents, then back down to a penny within a month.
A fluff PR will come out for sure after this as well as a Money TV shot to drag in new sheeple's. Unless there is some sort of merger or a major major development, back to sub penny after that.
IMO
Heck... anything is possible. SEC could shut it down tomorrow for all we know. I guess it depends on if they are doing anything at all or just sitting around watching Youtube.
I had a stock once that did a R.S, then added millions and millions of shares, driving the price down. 2 months later, and with the price at it lowest, filed for bankruptcy and left it as an empty shell company.
Talk about P.O share holders. That CEO really screwed the shareholders (took the last of their money) and he got off clean. Same thing could happen here as this seems more likely.
IMO
Yep, Elvis has hit the road. Guess he went to the casino to roll the dice on this stock.
I believe people are just waiting to see what Wayne does after the Reverse Split. Those that bought at the higher levels have no choice but to wait or sell now at a loss.
IMO
LOL. They agree to disagree. Sounds like the lawyers got their HUTA's and cant figure out whither the company is coming or going.
Here is what will happen eventually. See second link.

Monster Arts farce enters final act
I haven’t been keeping up with Monster Arts (APPZ) much lately. It’s a crappy OTC stock with weak internal controls — most likely a total fraud. I did skim APPZ’s most recent 10-Q, however. Same miniscule revenues. Same bloated SG&A expense. Same toxic financing mix (APPZ has issued even more shady convertible debt in 2014 — not that it came as any surprise).
One thing I did find interesting was this gem from the MD&A section:
Management is concerned that the Company may not have sufficient funds to meet its financial obligations for the next twelve months. Management believes the Company can generate sufficient cash reserves to keep the Company operational through the fourth quarter. Management will need to obtain outside funding to keep the Company operational beyond the third quarter. There are no assurances that management will be able to secure outside funding. Management anticipates that the Company will need to spend a minimum of $30,000 over the next twelve months to pay for audit and legal fees to keep the company fully reporting. Failure to secure additional funding can result in the company being fully reporting, but not operational. The Company will require additional funds to build its business infrastructure. In the event the Company requires additional funds, the Company will have to seek loans or equity placements to cover such cash needs. There are no assurances additional capital will be available to the Company on acceptable terms.
If the Company falls short of capital to keep the Company fully reporting, our officers/directors have agreed to donate funds to the operations of the Company, in order to keep it fully reporting for the next twelve (12) months. No agreement exists that our officers/directors will continue to donate funds to the operations of the Company for the next twelve months; therefore, there is no guarantee that they will continue to do so in the future.
Seems this farce may be entering its final act.

That wont happen. There will be no major announcement. It will be the same Fluff PRs.
It will tank below 01 over the month it needs to hold the 01 price.
On today MoneyTV, Wayne says he is doing this to help shareholders sell their certs? Well, almost all brokers dont take OB certs, not just those below a penny. Even if you find one that does, the fees are not worth the cost of the cert at this price.
His MoneyTV also just scared a bunch of new investors since he mentioned RS and people are bailing today. Nothing new talking about MIA (which BTW is just a reskinned app that use to be called "My Insurance Attendant".
He better increase the RS to a 200-1 at the rate were falling, if he wants to get this thing to 10 cents and hold it within a penny for a month. It will fall fast after the RS.
IMO
People should read this 10Q.

I read that one. It is ugly.
Tons of people were paid in shares. Its just ridiculous.

Monster Arts Files for Reverse Split in Effort to List as OTCQB
PK:APPZ
08/13/2014 [ACCESSWIRE]
San Clemente, CA / ACCESSWIRE / August 13, 2014 / Monster Arts, Inc (OTCQB: APPZ), a leading app developer and mobile advertising/content distribution platform company, announced today that it has filed for a Reverse Split of its stock trading under the ticker symbol APPZ.
Beginning in 2014, OTC Markets enacted certain rules pertaining to the OTCQB trading platform. Companies attempting to list on the OTCQB are required to meet certain eligibility standards. To be eligible, a company must be current in their reporting requirements under the Securities Exchange Act of 1934 and meet a minimum bid test of $0.01. Therefore, this has provided the basis, among other factors, for the decision by the Board of Directors of Monster Arts Inc. to effect a reverse stock split. The Board of Directors believes there is greater opportunity for APPZ for its potential growth and transparency to ensure that the investing public has access for trading over-the-counter shares of common stock of APPZ on the OTCQB marketplace forum.
For more information about the new OTCQB Requirements, please view: http://www.otcmarkets.com/learn/otcqb
Yesterday, Monster Art's filed a 14C with the SEC with the intention of reverse splitting the outstanding and issued shares in a ratio of 100:1. The 14C can be viewed here by clicking:
http://www.otcmarkets.com/edgar/GetFilingHtml?FilingID=10143579
"Many brokerage firms do not trade stocks that trade for less than a penny. After many calls to us, asking for a solution to this problem, we believe that it is in the best interests of APPZ and its shareholders to effect a reverse split without a simultaneous dilution event," commented Wayne Irving CEO.

Looks like you called it SS. Reverse split on the way. Hope people listened or else they are going to be bagholderslike the rest of us.
I predict dumpola as people bail before the R.S.
Oh and since Wayne still cant pay the bills, expect shares to be given out as payment to continue and he will increase the OS immediatly to maintain control and screw the shareholder.
IMO
Rinse and Repeat people.... Rinse and Repeat
So now were renaming apps and giving them away for free. Mia? How can they make money with free apps?
Iconosys had this app a while ago. It was called "my roadside assistant" and they charged 1.99 at least for it.
It is now just a reskinned app and put out with a fluff PR. No money coming in here from this app.

I believe that wont happen for a while yet. We need to let those billion of shares hit the market and the price go way down into .ooo territory before it happens.
Iconosys website down? So is Monster Arts site.
I guess the web builder wouldn't take shares for cash.

I did. They settled for 15,750,816 shares. That gives them the right of partial ownership and voting power, at least until they dump these for the cash.

It smells all right. I think we stepped in it. Its all over the bottom of your shoes.
Wayne is listed as CFO/Corporate Secretary? What happened to Ms. Tisha A. Lawton who had this position?
Don't forget the additional 9347239 shares that also went to Wayne directly and indirectly.
IMO
Up, I totally agree. He should focus here and get rid of the rest. To many pots on the stove allows for some to bubble over eventually.
Why would you pay shares to a company that has no involvement with Monster Arts? Starting a company in shares seems to be the mode here. If the company needs the money, they will have to sell those, thus more dillution for us and no benefit from this new company.
IMO
Pump those forms out. Forms 3 and 4.

Monster Arts to build its "Ye!!o"(tm) Suite of Brain Teasers, Mind Challenge, and Brain Exercise Games and Utilities for Intelligent Living Inc.
Leading app design company to utilize its years of gaming and lifestyle app development experience in building a new suite of tantalizing "brain games" for Lumosity competitor.
Orange County, CA and Miami, FL / ACCESSWIRE / July 1, 2014 / Monster Arts, Inc. (APPZ), a leading mobile marketing and app technology innovator, announces its engagement to develop a series of 'brain games' under the title "YE!!O"(tm) for its joint venture partner, Intelligent Living, Inc. (ILIV).
Following on the heels of Intelligent Living's subsidiary Social420.com's recent successful release of the brain challenge game, titled: Pot Sweeper(tm) (a challenge game based on the ever popular Mine Sweeper game usually installed with Microsoft Windows operating systems), Intelligent Living, along with development partner Monster Arts, plan to release the YE!!O line of challenge games, which are centric to math and memory training, as well as cognitive reasoning, decision making, and responsive reasoning, and which serve the overall purpose of providing users such as students with tools for sharpening their "brain power" and related cognitive skills through the use of fun mobile apps on their smartphones and tablets.
For centuries, humans have been fascinated with the exercises of finding words, uncovering those hard-to-find 'needles in a hay-stack', sorting out number sequences, arranging things and identifying patterns, solving riddles, and making sense of collections or groups of objects that may be hard to notice or distinguish. The significance of developing and honing these skills cannot be minimized. Indeed, some of these processes are so important that they figure prominently in the SAT's, LSAT's, ASVAB, DLAB, and other standardized tests or exams that are used to measure a person's mental acumen and skill sets for purposes of admission to college, post-graduate programs, military job placement, and by prospective employers. And on the lighter side of things, brain game exposure can benefit those users who just want to have more fun and be more effective and efficient with spare time hobbies and pursuits, such as crosswords, find-a-word games, Sudoku and similar activities. Not to mention, these types of activities have long been known to help our brains maneuver the effects aging has on our brains.
The first game that is under development, self-titled "Ye!!o", provides players with opportunities to challenge and "exercise" their brain faculties in the areas of speed, memory, and attention to details. In its conceptualization of this new game and related products, Monster Arts will draw on a wide range of present and past examples (thousands of years of game playing, no doubt!) to design puzzles, brain teasers and challenge games that users can conveniently enjoy wherever they may be … whether on a car trip, airplane flight, train ride, in a waiting room, or perhaps when looking just to relax and have a little bit of mind-enhancing fun.
Commented Monster Arts CEO and founder Wayne Irving, "I am personally jazzed up for this project, as well as for the rollout of our larger joint venture with Intelligent Living. A guiding principal for Monster Arts' app design work has been, and will continue to be, creatively drawing on real world experiences and historical precedent to make products that people will want (and love) to use, on a daily or continual basis. If playing these games can also enhance brain functioning and overall quality of life, we think that would be even more rewarding."

Monster Arts Adds Three More Titles to Max Apps Catalog of Apps
Kansas City, KS / ACCESSWIRE / June 26, 2014 / Monster Arts, Inc. (APPZ) is pleased today to announce the addition of three more arcade style casual / challenge games to the growing catalog of games for client Max Apps LLC of Kansas City, Kansas.
The three titles are based on the age old fun in pinball and have links to similar branding complementary games already launched for the Max Apps/Andy Ross efforts.
New Titles Launched today for Google Play/iTunes/Nook/Kindle are:
- Zombie Nashville Pinball
- River Runner Pinball
- Cold Dead Hand Pinball
Each of which are similarly themed to their complementary game counterpart and are available free of charge for download and come with 11 free Andy Ross Ringtones, a $10+ value. The games come with links inside them to purchase additional exclusive ringtones, links to Andy Ross albums, and other games developed under the Max Apps / Monster Arts agreement.
"Work is underway to add these games as a value add inside the full paid versions of the games; River Runner, Cold Dead Hand, and Zombie Slasher Nashville," Commented Thomas Mead, Lead Technologist for Monster Arts. "We hope to have this integration done in the near future along with more titles we are developing for this awesome partnership".
A title announced in a previous press release, Monster Arts is nearing completion of the very fun and challenging game Andy Ross' Prairie Hunter, where the player sits with Andy on the northern plains, hunting prairie dogs, with a long range rifle, and scope.
The act of hunting Prairie dogs is a form of pest control in many of our northern states. Prairie dogs (genus Cynomys) are burrowing rodents native to the grasslands of North America. The five different species of prairie dogs are: black-tailed, white-tailed, Gunnison's, Utah, and Mexican prairie dogs. They are a type of ground squirrel, found in the United States, Canada and Mexico. In the US, they range primarily to the west of the Mississippi River, though they have also been introduced in a few eastern locales. They are herbivorous. They are known to live in large colonies or prairie dog towns, and have the power, in their numbers, to cause significant damage to farm and croplands. For this reason, the long range, marksmanship sport of Prairie Dog Hunting is so popular that there are hunting resorts and lodges in many states that cater directly to the sport of prairie dog hunting.

Humm, S8 is interesting. I don't see how employees will want to buy at .01 when the stock is nowhere near that yet. Add fees and restrictions and it does not sound like a good deal at all.
More dilution to the bucket.
Diane Dalmy is still listed too. I thought she was removed as Monster Arts attorney.
IMO
I2...Thats the old profile. They do much more than that now.
Most of what they do is in the IBOX. People can start their Due Diligence there.
Well, we will have to wait and see how this works out. Just telling us an app is coming out is not really earth shattering news for this stock.
Now if Andy Ross comes out on his TV program and mentions the app plus "Monster Arts", and dilution stops or at least do a 100M a day in volume, we could see some real progress in the price movement.

100 to 1 is being generous. If there is no income coming in, it is back to business as usual after that. It just screws the shareholders then we go back down again.
There are too many boats in the water now. The original plan has sunken and is down there with the Titanic. Which one is the real boat? Until Wayne at least issues a PR about which direction the company is headed, there is not a whole lot we can do but watch the stock drop.
IMO
Its an ugly 10Q. There just diluting like our govt prints money. I see us going lower as these guys try to sell their shares.
I am not sure how they can sell them though. No one wants to take OB certs so they may be hosed too.

As we continue to focus on driving further efficiencies into our business operations, we expect our revenues, margins and prospects for profitability and net positive cash flow to continue to improve. In addition, as we focus on high growth opportunities in adjacent markets – such as such as our collaborations with Mind Solutions(VOIS), among others, we remain particularly excited about the early success we are seeing in our strategic partnerships with other companies, in terms of projects involving the development of Smartphone apps and profit sharing arrangements with regard to the revenues generated from the sales or utilization of those apps.”

Monster Arts To Build FanPic(tm) Social Media Platform, Partners With ProMedia and EngageBuilder for Load-Ready Back End
Orange County, CA / ACCESSWIRE / May 14, 2014 / Monster Arts, Inc. (APPZ) a leading mobile marketing and app technology innovator is pleased today to announce its engagement with ProMedia Software, Inc. in connection with the design and development of FanPic(tm), a new "FanPic App" and a companion website and social media platform, "FanPic.com". Under the terms of the parties' joint venture and revenue sharing arrangement, Monster Arts will provide app development, branding and concept, and ProMedia Software (ProMedia) will provide some of its EngageBuilder(tm) intellectual property, website development services, database development services, and server-farm setup and design consulting services. ProMedia is the company that built the backend and mobile friendly website system for Travel America Visitor Guide, another Monster Arts property.
This collaboration comes on the heels of ProMedia Software winning the Los Angeles Latino Chamber of Commerce Startup of the Year award for 2014. The companies expect to launch the new app and website sometime during the next quarter.
The FanPic(tm) app and related social media platform will function much like the much publicized and highly successful Instagram product, but with a particular focus on event and celebrity-oriented news and event information. Fans and followers of tradeshows, events, athletes, entertainers, actors, musicians and other celebrities will be able to stay intimately in touch, or some might say, "in the know" regarding the quotes, views, interests and activities of some of their favorite stars, all with the convenience of this handy Smartphone/Smart Device app, not to mention the benefits associated with being interconnected in real time with other diehards fans and enthusiasts.
FanPic(tm) is based on some of the licensed technologies that were showcased in the Motorola Booth at CTIA Convention in Orlando, FL a few years back, formerly called "PhotoWith(tm)", where photo manipulation, editing, adding filters, and the like are presented in a unique and organized fashion with enhanced sharing capabilities.
Commented Wayne Irving, CEO of Monster Arts, "After more offers to buy the url fanpic.com than I can count, I knew we had something here and can tell you that we couldn't be more excited about our new partnership with ProMedia. ProMedia knows the how to build robust products with a keen focus on backend development, load planning, profile management, inside out, and this is a perfect complement to what our company brings to the table in terms of app development and concept expertise, particularly with respect to mobile devices. And we see the new FanPic platform as being the ultimate combination of Twitter and Instagram-type social media concepts, with a cool twist. We think this will be huge!"
The FanPic app will be available on iPhone and Android devices, and is estimated to be released in September of this year. The mobile friendly website will be located at: www.fanpic.com.
