The maximum allowable time for a CPC to complete a Qualifying Transaction once it has released an "Agreement in Principle" is 75 days. The minimum is 7 days. It is recommended that:
The Exchange recommends that a pre-filing conference, as contemplated by Policy 2.7 – Pre-Filing Conferences, be held by a CPC particularly where the Agreement In Principle or proposed Qualifying Transaction may involve unique or unusual circumstances.
In short: all your ducks are in a row. The CPC simultaneously releases the "Agreement in Principle" and files with SEDAR.
If shareholder approval is required, additional filings are made. IMO shareholder approval will not be required as Hess kept himself at "arm's lenght" by not being appointed to RCC's board.JMHO
The exchange then approves the transaction and authorizes the release of the "Final Exchange Bulletin".

Phase 2 - The Qualifying Transaction
Announcing the acquisition:
Within 24 months, the CPC identifies an appropriate business as its "qualifying transaction" and issues a news release to announce that it has entered an agreement in principle to acquire the business.
The CPC prepares a draft filing statement or information circular providing prospectus-level disclosure on the business that is to be acquired.
TSX Venture reviews the disclosure document and evaluates the business to ensure it meets minimum listing requirements.
Closing the deal:
As shareholder approval is typically not required, the filing statement is posted on SEDAR for at least seven business days, after which the qualifying transaction closes and the business is acquired.
Additional components of the deal often include the following: name change and private placement coinciding with the closing of the qualifying transaction.
The .P from the ticker symbol is removed and the company now trades as a regular TSX Venture listed company.

As a shareholder, I'm pleased that Business Week has recently updated their website to reflect progress made. And about BILLIONS of RCCH shares out there but one MM can't fill an order for 2.5 million shares ??? Now it is not MM inventory but investors bought up 10 BILLION shares so it is the investors fault that the MM's must split up a 2.5 million share buy of RCCH because it is too LARGE. In your prior post you wrote, "The TSX Corporate Finance Manual is VERY Specific about these types of deals. Unfortunately RCC has not EVEN completed any substantive negotiations with a CPC Shell that require an announcment. So any TSX listing is MONTHS away ... if ever. jmo "

It is a FACTUAL CONCLUSION that it is possible to complete a Qualifying Transaction in 7 days from the date that the exchange "approves" the "Agreement in Principle" (which has been under review by the exchange), the PR is released, simultaneously, proper filings are made with Sedar, 7 days later the "Final Exchange Bulletin" is released, (with exchange approval)."

In short: all your ducks are in a row. The CPC simultaneously releases the "Agreement in Principle" and files with SEDAR.
If shareholder approval is required, additional filings are made. IMO shareholder approval will not be required as Hess kept himself at "arm's lenght" by not being appointed to RCC's board.JMHO
The exchange then approves the transaction and authorizes the release of the "Final Exchange Bulletin". "

Yes. My previous post provided both the bid and ask. Recently, ARCA showed up with a 10M bid. Then ARCA in addition to the 10M bid offered 3.2M on ask, which has since been dropped to a 2.5M ask. The 10M bid still remains. Not long ago, this was a "no bid" stock, and therefore I asked TM to add this stock in the I-box above and be entered into the contest. With 7 market makers now on the bid and relatively low volume, it certainly is interesting. Sorry for any confusion.

I need some direction for a project idea, I am a professor at MSU Billings. I also have 90 acres with well water and pretty good wind and sun. Next, compose a business plan that includes an executive summary, an environmental mission statement, a vision statement, a brief history of the stakeholders detailing their desire to be sustainable, a strategic plan, evidence of financing, and a 24 month cash flow statement. Then partner with an organization that has received grant funding. Be prepared to show that you can leverage resources by getting manufacturers to donate or provide deep discounts on materials for your pilot project since it will enjoy widespread industry attention. In addition, apply for a portion of Congress’ $6.2B weatherization plan that is part of the President’s economic recovery package.
Finally, use natural synergies and incentives to put motivated people in the field. For example with renewable wind, to generate electricity for sale to the grid it must average more than 15 mph. "Try to do the math the right way. Lets say RCCH has a value of only $15 Billion dollars and the shares are maxed out at 10 billion as some speculate (both of which I think are ridiculous but just an example). $15 Billion dollars divided by 10 billion shares = $1.50 of straight val(u)e times a market multiplier of 10x = $15.00 dollars. Ridiculously low example IMO but just wanted to give an example..."
