Proxy statement process and other stuff.
This is how I understand the Proxy statement process. After the proxy statement is filed which could be any day now. The SEC should respond in around 1 week and inform GAMZ if they will do a full review of the filing or not. If a full review is required then the deal maybe done the end of August if a full review isn't required because they are already fully reporting then the deal maybe done the middle of August.
Ferris prior experiences:
Ferris has done virtual reality experiences for the likes of Pepsi and Sports Illustrated for Kids. These experiences are still in use and have been updated from time to time. This IMO is a good source of recurring revenue for Ferris and could lead to other deals with these companies since they already are using their old products. I believe two experiences were done for Sports Illustrated Be-the-Ball is one here is a link that describes it.

They will have new products next year in all their theme park locations using the new 360-degree technology. Will have two new products at each theme park location. They should put all the production Netgamelink systems they have in Ferris high traffic theme park locations this month so they can really be tested well. They have access to every Six flags park but will only enter a park if they can secure a good location.

It's been awhile since I have communicated with you, so I thought it appropriate to advise you what we've been doing since our last press release.
Essentially, it's as simple as: we're diligently proceeding on consummation of the Ferris merger.
From the perspective of both GameCom's and Ferris' managements, it's a "done deal" for all practical purposes. Ferris has moved its Dallas-area satellite sales office into GameCom's headquarters, and we're finalizing plans to move all of the combined company's operations to Phoenix, including GameCom operational personnel. Steve Haag is already on his second out-of-town trip regarding Ferris' theme park operations.
As you can see, we are in fact proceeding with combining the two companies.
However, the proxy statement process has been a bit daunting. Essentially, we have to get our accountants to combine the companies' audited financial statements backward in proforma manner, so that the proxy statement will reflect how the operations would have looked if the companies had already been combined.
I am hopeful of having a draft of the proxy statement any day now from our securities counsel, and we should have the proforma financials by the end of the week. I'm hoping for filing by the middle of next week, and then we'll be awaiting any SEC review and comments. I expect that we'll get the proxy statement out by the end of the month, and I'm very hopeful that the merger will be completed by the middle of August, so that the 2nd quarter 10-Q will be for the combined company.
We have been hard at work on business opportunities as well. Bob and I, and the current boards of directors of the two companies, have interviewed several IR/PR firms, and we're hopeful of a decision as soon as the end of this week. We'll probably hold up on any further news releases, including one I know you're going to like, until we've retained an IR/PR firm, and then let the "pros" handle the releases.
All in all, this has been a very productive, although admittedly quiet, couple of months for GameCom/Ferris.

We recently signed a 2-year licensing agreement with Ferris Productions, Inc., the current leader in the virtual reality market. This means some very exciting things for us, including the future distribution of our games in multiple formats including arcade cabinets and console games for Playstation 2, Dreamcast and Microsoft's X-Box.
Low Earth Orbit games will be distributed through the Ferris systems in a wide variety of venues including theme parks, resorts, casino hotels such as Circus Circus, The Luxor, family entertainment centers such as Busch Gardens and Six Flags, tourist destinations, arcades such as Tilt Arcade, cyber cafes, theaters, and sports bars.
In order to better suit the platforms we're developing for, we have switched to Monolith's LithTech game engine. The LithTech engine presents us with robust technology as well as the flexibility to design a wide variety of entertainment software applications in an easy modular format. It has been used to create games such as KISS: Psycho Circus from Gathering of Developers, Sanity and the upcoming No One Lives Forever, both from Fox Interactive and the upcoming Legends of Might and Magic, from 3D0.
This new engine will enable to us to continue making quality games in significantly less time than the industry standard. We can still take a game from design to completion in as little as 2 months, whereas the normal production time can range from 12 months to 5 years. Due to the reusability of LithTech's technology, we can salvage the programming code from one game and incorporate it into others.
There are many other companies, in addition to Ferris, that are interested in working with us in the future as well, such as Konami, Sega, Global VR and Greystone just to name a few. This next step in our evolution is sure to be a great adventure, and a fantastic success!

Thanks Dennis - I am currently in Padre Island, Corpus Christi Texas. I will be headed home tomorrow morning. I caught the Titan news story here. Could not believe those people had to travel down a 250 foot latter. Yes, that is my location and is actually only a few miles from Gamecom Headquarters. It appears that the price will stay in this range until the merger is complete or some more major news is announced. I have only talked to two Ferris employees so far Lance Loesberg and Steve Wooley and have been very impressed with their knowledge and commitment to the company. Steve has been with Ferris for about 9 years and loves the company. He said they have always listened to his suggestions on how to improve their products. Ferris doesn't get much promotion of their zones from Six Flags. Steve told me he would try to get radio spots from local DJ buy offerring them free game play for air time during rush hour so he could plug the zone locations. He said some of the DJ's probably can't be trusted to deliver. I hear ETPI's CEO is a former DJ I will leave it at that:) He also said he has one of his employee's holding signs up and walking up and down the park to get visitors in. The employee was also doing flips until he injured his leg somehow. All the employees at the location I visited really appear to love their jobs. Here is something interesting Ferris tried to do a simulator ride a while back at the park and it didn't go over well because since the ride moves it had to be inspected everyday and Six flags needed to hire their own employees just to push the button. Around 8 dollars an hour just to push a button didn't make sense to Steve. There is a lot of politics going on at the park where rides are concerned. I think Ferris will stick to their simulations through their headsets so they don't have to deal with all that red tape.

Arch - I got sick at Fiesta Texas going on this ride where your in a pool ball and spin around real fast. I even got sicker when I rode the big roller coasters with my 6 year old. He was to small to go on the really big ones but he did go on two that went backwards and forwards in loops and upside down. I guess I would have been just as sick looking at the GAMZ stock price go up and down LOL.

I went to Fiesta Texas Tuesday and met Steve Wooley regional manager of 6 Theme Park locations. He explained all the virtual reality products to me and I tried out most of their products. Steve was very knowledgeable of all of Ferris’ operations. Ferris has two virtual reality zones at this location. The first zone I saw had an awesome location attached to a pizzeria. This location was always crowded due to the flow of customers from the pizzeria. The prices ranged from 3 to 5 dollars per experience. All Ferris products are easy to upgrade. There were also monitors above all the products so customers can view the action. Here is a description of all the products at this location.
1. VR sensory theater – My whole family tried this product and the kids loved the racecar VR experience. They have a few experiences in this 3-seat theater such as traveling underwater and through the mountains where you sense different smells such as pine and the ocean etc. The price here is 3 dollars per experience.

2. The Universal VR unit - There are two of them at this location. This system allows players to put on a headset and fight each other as Jedi knights of course my son kept beating me.

My observations of this location. I was amazed at the constant stream of visitors. I dropped by the location about four time’s thoughout the day and always saw at least a few customers. During my first visit all the machines were occupied. The VR systems have been around for awhile so the VR technology isn’t the greatest however they still do a great business. The VR Theater will be upgraded to use the new 360-degree photorealisim technology probably when Ferris’ finishes shooting the Red Barron and US skiing projects. Ferris should also be coming out with new products soon so they can stay on the cutting edge in the virtual reality market. Ok on to the second zone. This location doesn’t have the traffic that the other location has but there was a steady stream of visitors that seemed to love the Cyberpods. There were some Crane prize machines outside to help draw people to the location. The air conditioning also helped.

I went to Fiesta Texas yesterday and met Steve Wooley regional manager of 6 Theme Park locations. He explained all the virtual reality products to me and I tried out most of their products. Steve was very knowledgeable of all of Ferris’ operations. Ferris has two virtual reality zones at this location. The first zone I saw had an awesome location attached to a pizzeria. This location was always crowded due to the flow of customers from the pizzeria. The prices ranged from 3 to 5 dollars per experience. All Ferris products are easy to upgrade. There were also monitors above all the products so customers can view the action. Here is a description of all the products at this location.
1. VR sensory theater – My whole family tried this product and the kids loved the racecar VR experience. They have a few experiences in this 3-seat theater such as traveling underwater and through the mountains where you sense different smells such as pine and the ocean etc. The price here is 3 dollars per experience.
2. The Universal VR unit - There are two of them at this location. This system allows players to put on a headset and fight each other as Jedi knights of course my son kept beating me.
3. The Third experience they had is called Combatica where you stand in a circle and your kicks and punchers are registered by a camera and cause the fighter on the screen to react. My six-year-old was able to do some amazing moves on this machine.
4. The Forth experience is called Virtuality were you are a virtual boxer. There are two units so you can box a friend. This game is funny to watch since these kids are punching like crazy you need to be careful not to come close to them since they can’t see you and may knock you out.
5. The Last experience is called Universal experience system. There are two units where you can sit down and play a first person shooter game.
My observations of this location. I was amazed at the constant stream of visitors. I dropped by the location about four time’s thoughout the day and always saw at least a few customers. During my first visit all the machines were occupied. The VR systems have been around for awhile so the VR technology isn’t the greatest however they still do a great business. The VR Theater will be upgraded to use the new 360-degree photorealisim technology probably when Ferris’ finishes shooting the Red Barron and US skiing projects. Ferris should also be coming out with new products soon so they can stay on the cutting edge in the virtual reality market. Ok on to the second zone. This location doesn’t have the traffic that the other location has but there was a steady stream of visits that seemed to love the Cyberpods. The were some Crane prize machines outside to help draw people to the location. The air conditioning also helped.

2. Two Universal PC’s that had Star Wars on them. They were .50 cents a game. In my opinion Ferris will probably replace all the Universal Arcade systems with Netgamelink systems because their technology is far superior then anything out there in the industry. If you can integrate the awesome graphics the Netgamelink system can produce and add a Virtual reality headset the system should blow people away. Don’t know what is involved in doing this but it seems doable.
3. There were four Cyberpods that were in use frequently. The graphics on these systems were pretty good and the game was Unreal Tournament, which is a great game. People came out of the units giving each other high fives it was pretty cool.
4. There were two Global VR Vortek products there that also got some play.
5. There were two Universal VR units there as well.
This location had a lot of space where Netgamelink systems will probably be placed. I told Steve all the awesome details of the Netgamelink system and he was looking forward to seeing the production model. The last one he saw didn’t have the integrated joystick control panel.
I think we all will be pleasantly surprised when we see the revenue numbers these zones produce.

Dennis - I plan on calling Lance Loesberg VP of Sales and Business development for Ferris Monday so he can inform Ferris' Management at the Fiesta Texas VR Zones that I will be coming there Tuesday. The MM manipulation on GAMZ is unreal. I can't believe these crooked actions by the MM's to keep the price down because of their naked short positions are allowed to continue. I hope the PR firm that Kelly hires can do something to cause the MM's to make an honest market for GAMZ.
