Plaintiffs, who own land within three miles of disposal wells operated by the Defendants, claim that fracking
fluids and other oilfield wastes are migrating horizontally under their properties after being injected into
vertical disposal wells. Plaintiffs claim that Defendants profit from disposal, but do not compensate
Plaintiffs for such permanent trespass. The action is for trespass, theft of property, unjust enrichment, and
replevin. Plaintiffs also assert that Defendants have engaged in abnormally dangerous and ultra hazardous
activities and are strictly liable without regard to fault for damages proximately caused by injection of wastes
into the lands of the Plaintiffs. On November 15, 2013, the court granted the defendants’ motion to dismiss
except for the trespass and unjust enrichment claims. The court adopted its reasoning in Hill v. Southwestern
Energy Co., 2013 WL 5423847 (Sep. 26, 2013), and stated that – if it is shown that defendants are using the
subsurface storage capacity of plaintiffs' property permanently – Arkansas would recognize a claim either
for trespass or unjust enrichment. A jury trial is currently scheduled for September 8, 2015.

I think you should ask what actions they are taking to enhance shareholder value.
Saying it and presenting at conferences isn't enough.
I guess the biggest question is why?
Why do they feel the market values PEIX at such such a discount to peers? Even AMTX was commanding a healthy premium even while trading on OTC & with heavier debt load.
How about the shelf? Why so large? Because the other one expired is not a valid reason.
Why such a large recent secondary with only stated purpose being to pay $500k in debt?
Why proposing such an large amount of shares for insider incentives?
Presenting at conferences to spread word about stock being undervalued and to boost institutional ownership but why no insider buying?
Why no actions to address warrants in accretive manner? Stock trades heavy due to warrants (& corresponding short interest), could they do something to address the warrant overhang. Maybe see if he has any ideas...I'd like to hear what he has to say. Hint: What was REX doing when they felt shares were undervalued?
Maybe if he lets it go past some of those questions you can move on to the easy ones.

I wouldn't waste your time with non-cash derivative expenses- Neil warned everyone they would be significant. Anyone completely blind-sided didn't do enough homework.
In summary: why?
TEXC- it's over $10 million in shares, not 10 million shares.
Without crunching the numbers, I suppose this equity will give Bob May's investing group a majority and likely nip any activism in the bud.
He seems to be a straight shooter in the past but they're sitting on a load of cash from the MBES sale so why finance this way?
The expected EBITDA as % of revenue for the acquisition is impressive but seems pretty steep.
Not a huge fan of the conflict of interest here coming on the heels of some activism.

PEIX: Nice west coast premium likely to remain a 2014 theme with lack of imports from Brazil (& Canada being largest export market). Rail car shortages related to Bakken/Alberta drilling will be a lingering theme for a while.
