I’m not sure who the current major shareholders are. It’s kind of nice for the major shareholder and directors to offer $0.00125 a share and value the company at $125,000. Night Culture purchased Full Access in fiscal year 2014 for $590,000. Shouldn’t NGHT worth minimum $590,000? No Value for Dallas Venue. No Value for Houston Venue. No value for 2 festivals.

After RS only 50 shares remaining. Will be nice to know the final out come. Full Access owner received $300K cash plus $290K in shares.

Easy way to get rich with so-call RS. It's the smartest and easiest way to get rich. Purchase a OTC company that is dying for nothing. Change the company name. Start running a business. Issues more shares. Run the company some more. Offer a RS and claim it's the best for the company. Take out the smaller share holder and go private. I wonder did any large shareholder acquired shares to accumulate to 2MM shares before this news was released. Smart way to get rich. Just my opinion. Open for discussion.

NightCulture, Inc. Approves Reverse Stock Split in Going Private Transaction
HOUSTON, Feb. 07, 2018 (GLOBE NEWSWIRE) -- NightCulture, Inc. (OTC Capital Markets:NGHT) announced today that its board of directors and controlling shareholders have approved a 1-for-2,000,000 reverse split of the company’s common stock. The record, and effective date of the proposed reverse stock split is February 23, 2018.

On the record date, the share holdings of all holders of less than 2,000,000 shares of common stock will be automatically terminated and, in lieu of receiving fractional shares, those shareholders will be entitled to receive a cash payment in the amount of $0.00125 per pre-reverse split share of common stock held by such shareholders.

Following the reverse split, the company’s stock is expected to be removed from trading on the OTC Markets.

The company will provide instructions to its shareholders regarding the procedure to surrender shares and receive cash payments for their shares.
