True. Though I believe that Verizon, whether factual or not, believes they are behind in this space and from what I have read are being more aggressive.
But they are not the only player here and companies with an existing platform no matter how virgin will be a target in the near future.
That being said, I hope for more time in development. Right now a BO would be chump change compared to a year or so more time in service.

Don't know if I would consider it "insider" information but information they have.
Companies such as Ignition have individuals in place that their only job is to evaluate a potential company without bias. Something very difficult for a vested trader to do. They have networks in every sector to advance specialized knowledge into this equation. For this reason when I evaluate plays one of the first things I do is see who is there with me. If I see big fish, odds are better I'm on the right path. If I am there by myself, chances are good I am the meal.
OTTV has more than one big fish swimming around. Still doesn't mean OTTV is not the meal but one thing is certain, with big fish come scraps and that is what I specialize in.
Agreed smart traders will not listen to feeble attempts to sway their own DD and common sense.

Semantics. Dilution is simply the finance vehicle available to most OTC companies.
Companies such as Ignition are themselves in business to make money. Financing speculative companies is risky so the cost of capital will be inline with the risk involved.
The assumption that "there are many, many more shares coming" is pure conjecture and a pointless argument at this time.

WRONG PERIOD. It is a line of credit using shares as collateral to repay the loan and interest. You can dress it up in a pig suit however you please. The terms here are far more agreeable than your standard catch phrase "toxic financing".

What Viva is using can still be a patented or patent pending product they are licenced to use.
Really that information is readily available if you have the patent information and want to do a little DD on who holds it. Bet you find it is held separate of the public company so in the event of issues the technology is secure.
Just throwing it out there as it is common practice but frankly I didn't even bother researching it with OTTV because of no relevance.
If they were a tech or biotech company could see the effort. But for Viva whatever they could patent for this sector would be easily circumvented by one of several means.
Why is this S1 even a topic of discussion?
First it is old news finally made official.
Second I would guess many of you have a line of credit or at least are familiar with the concept, which this is really all this is. All credit is secured by collateral in one form or another.
There should be absolutely no confusion that your investment in any company becomes their collateral until you sell.
In the business world it is a show of strength and stability being able to obtain a line of credit. This move will have benefits even if it is never used.
Finally, if your complaint is worry over whether or not OTTV will use the funds appropriately, I suggest you sell. Investing in something you don't belive in is a fools game.
OTTV was a buyout/merger play for me from the start. That is why I only sold enough shares when it popped up a little to be free here.
I have accumulated on a couple dips but my position size was planned from the start.
Personally I dont want to see it happen soon.
Longer it takes the more I'll make.

Why the assumption traders here are not trading traditional markets daily,? I do, well not daily anymore because I am retired but when not fishing.
The OTC is the equivalent of online gambling for me, with much better odds.
If you buy lottery tickets or go to a casino and drop say 5k in a year chances are you would now have nothing. In OTTV and many others here you would at least have something left after the year. Moreover, if you did some basic DD you would have considerably more than 5k with OTTV.
So I am not sure who think your preaching too but they are likely not here. The investors in OTTV trade much like I do already and the inexperienced traders would probably see their 5k disappear faster than in any casino day trading 5 to 10 cent spreads.
Your advice is truly pointless here unfortunately.

Patience and knowledge is always the key to investing no matter whether you are waiting seconds or years. More money has been lost due to timing than ever lost to any other reason.
OTTV will see success for it's investors and with this sectors ability to make leaps and bounds, it will be with little to no notice.
In addition, we have some new options for a Viva type start up that they are already exploring.

Only thing that keeps me saying never say never is I have seen a Platypus.
Most frustrating in researching any of this is the fact you would not expect this kind of conduct from qualified management, which by first appearance they have.
Years ago I realized my DD was severely lacking in one key aspect, psychology. Psychology of those in the stock, psychology of those in the company, psychology of competitors, etc. I found this was not an anomaly but more a denominator. It is why some companies fail when they should succeed and others succeed when they should fail. This is even more pronouced in the OTC marketplace where many times it is all there is.
Digital Brand had more going for it than many other "shells" yet came up wanting. Due to what appears to be intentional counter productive negligence.
Ironically, it now appears an equal sum of energy is being directed in the opposite direction.

I respect your knowledge here and research which the validity is easily supported by a quick check of revocation history's.
Yet the one question I have that has not been well addressed, is simply why?
Why waste this time, effort and resources (that supposedly Digital Brand does not have) on a seemingly losing battle?
From counsel's point of view, why push forward with no profit or even bragging rights to be gained?
Why even attempt a super 10k if there is such a thing?
Why push forward when all but a handful has left Digital for dead?
Assuredly this is not all because of Dollar Time and his pleasing personality.
So why move forward at all when it would be much easier to walk away as most have done?
Well there is the fact considering a "100% revocation" record. Every record is eventually broken if for no other reason than nothing continues forever and this has been a long run.
While I know nothing about this law firm, I do know that in light of some revelation, good attorney's can present a case that will make you believe water is not wet and the sky is no longer blue, factual or not.
All this being said, I do not believe we will witness a miracle here but I did however purchase a seat at the table just in case. Considering I have bottles of whiskey that cost more than my stake here I have little to loose.

Still trying to figure out what the uproar is about. Anyone who is surprised by the accounting is obviously asleep at the wheel. Actually it is better than I would have suspected. Anyone attempting to dissect this balance sheet is wasting their time.
It is comical how every board on ihub has the same discussion about the verbiage in these filings. For companies that prepare financials the software is already loaded with the legalise so desclaimers read the same. Read some of the NASDAQ filings, the wording is the same yet nobody freaks out about the going concern statement there.
OTTV is fine now and will continue to be fine in the future. Personally I don't see it Viva lasting through 2018 without getting swallowed up by a bigger fish.

I believe this company has been structured to entice this type of investment or merge.
If you study others who successfully build companies for the purpose of acquisition you wil find striking similarities.
Obviously my personal opinion but this is why I started accumulating again under .002. I don't believe it will see much more time under that point and the potential to make big moves grows with every passing day.

I wouldn't expect significant growth until this time 2018. But I also don't believe Viva will last that long without getting snatched up.

Anyone who lost on this play it is thier own fault. OTTV is one of the easiest plays I have seen in the OTC marketplace. But if you bought in the .003's you will see that again shortly.
