Yea, I was wondering this as well - it states the company merged with shutterstock, but dissolved into insight Entities - If I'm interpreting this correctly, this would mean both oringer and shutterstock have been indemnified by Insight Entities.
Also, I don't believe anyone posting on twitter is under oath to tell the truth - if he were asked these questions in a courtroom, perhaps he would plea the 5th? I really don't know, and don't think it should be considered relevant at the current point in time, simply because there is not enough information, yet.
Regardless of connection, we know that both shutterstock and pixel mags use SaaS and DaaS monetization models, they are still not very different from each other.
---------------
What we have are legal sec and nsos filings, that paint a pretty detailed picture of an actual company with revenues, that's planning to go public by means of Reverse Merger into a shell company.
We also have reason to believe Vert Capital invests $2mil-$25mil in growing companies between $10-200 million with a max EBITDA of 25 million
As per 8-k, the previous owner/CEO, Leonard Caprino, has been compensated. The officers have been swapped, and the financials are being audited. There is unconfirmed evidence of 30 million revenue in 2014, and 48 million revenue in 2015. How accurate these numbers are, is up for debate.

Great trading day! GLTA

Zinio revenue in 2015 was in the ballpark of $9.9 million..Also, I believe Pixelmags distributes to the Zinio platform, as well
http://blog.pixelmags.com/2014/05/20/distribution_as_a_service/
Says Oringer's been indemnified... Also appears that Insight Entities was the one to dissolve Pixel Holdings, and not Shutterstock.
Thanks for the confirmation! Interesting........

I Agree! Pixelmags has deals with Apple, Google, and Amazon. They are leaders in their market, which is projected to grow past 35 billion by 2020.

Their competition is Zinio, which had an estimated annual revenue of $9.9 million in 2015, significantly lower than Pixelmags' $48 million - but we won't know the official Pixelmags revenues until their financials are released.

We think tomorrow is d-day. Radio silence until RM NEWS.. we have good reason to believe that news will be released on Monday - IMO, Pixelmags will take the required steps, and do so in a way that will benefit their company/growth the most
Also - why does the filing have to come in the morning? It could also be released intra-day.....
Not saying this wont fluctuate, but i think theres more to it, all IMHO

5.3 Post-Closing SEC Filings. Not later than four (4) Business Days following the Closing Date, Solaris shall file with the SEC (a) a Form 8-K Interim Report disclosing this Agreement and the transactions contemplated hereby, and include therein, audited financial statements for Pixel for the two fiscal years ended December 31, 2015 and quarterly financial statements for the two fiscal quarters ending March 31, 2016 and March 31, 2015.
Art35's post - still looking for his other post with more concise information - this is a pretty good outline, IMO:
IMO, it doesn't make sense for Pixelmags uplist with SPCL ticker. Wouldn't they lose potential investors by doing that? Just thinking out loud...

Guess we didn't stop there, though - we found the Bloomberg updates, as well as the connection between Vistapoint advisors, VC2/vert capital, and Insight entities - along with pixel hodlings and shutterstock!!!!

SPCL/Pixelmags is S-a-a-S...they use distribution-as-a-service - are you aware the market is projected to grow PAST 35 BILLION by 2020?
How about SFOR products? What are they selling?
Where are you getting your information?
