Deep Field Technologies to Merge with Chinese Auto Service Company; Sino-US AutoMart is Largest Auto Repair Joint Venture in Beijing

MATAWAN, N.J., Jan 19, 2006 (BUSINESS WIRE) -- Deep Field Technologies, Inc. (DPFD, Trade) announced today that it has entered into a definitive agreement to merge with Beijing Sino-US Jinche Yingang Auto Technological Services Ltd. ("AutoMart"), the premier automobile after service company in Beijing, China. AutoMart is a China based joint venture recently formed between Beijing Silver Harbor Car Service Center and Mayflower Auto Group, LLC. The closing is subject to the completion of certain financing commitments for the post-merger Company and the approval of the government of China. It is anticipated that this transaction will close in the first quarter 2006. The merged company will continue to trade on the OTC Bulletin.
AutoMart was established in August, 2005,and invested by Chinese Party and American Party AutoMart is the first auto service joint venture created since China entered the World Trade Organization. AutoMart focuses on automobile after-sales services, including maintenance and repairs, insurance, parts sales, interior furnishings, care products, tires, and windshields.
Based on statistics issued by the municipal government of Beijing, there are currently about 2.3 million vehicles in the city of Beijing. The anticipated rapid increase of privately-owned vehicles, coupled with Beijing's preparation for the 2008 Olympics, has dramatically increased the demand for quality automobile maintenance services.
Mr. Pang Guisan, Chairman and President of AutoMart, stated, "We currently have 30 auto centers in Beijing, six of which are large centers. We expect to have 60 in Beijing by the first quarter of 2006. We are planning to set up more than 3,000 chain and franchise stores in major cities throughout China over the next five years. We anticipate that AutoMart will have sales in excess of $1.2 billion by 2011."
Previously, Mr. Pang served as a top government leader, overseeing thousands of state-owned companies. Mr. Pang was part of one of the first groups of government officials who left government for the private sector in 1980. Since then, Mr. Pang has successively served as a high ranking official at major corporations and served as the Deputy Chairman of the China Vehicle Association, and the Deputy Chairman of the Vehicle Service Association of China.
Jerry Mahoney, Chairman of Deep Field Technologies, further explained, "We are currently negotiating the financing required to enable Mr. Pang to aggressively expand AutoMart, and to make it the absolute dominant auto care company in all of China."
Mark Meller, CEO of Deep Field, stated, "Under the terms of the transaction, Auto Mart shareholders will hold 85% of the merged company, with the present shareholders of Deep Field Technologies retaining 15% of the merged company. China has approximately 80 million automobiles, and is growing rapidly. Curious, that Moderators are even allowing this discussion. Politics, Religion and Football are way off topic and can only lead to rankerous debate that does not serve the purpose of the board. Now if old Ezekiel had prophesied concerning the PPs for NEOM, I would say it would be OK to quote from the Old Testiment.
As this is being allowed (The throwing about Old Testement prophesies) my practice has always been to try to keep proper context.
1. Who was speaking? (Ezekiel)
2. To whom was he speaking? (the contemporary Isrealites)
3. That is who the message was meant for.

Congrats to those who hung in there today. Most of us have been through this before, and are always amused that some must fret themselves to death over the shake outs. I think we will be rewareded...
I am wondering though, if without a PR this afternoon or tomorrow am, if we do not see a repeat shake tomorrow, with another opportunity to buy for those wanting to take advantage of these wonderful PPS's.

Definitions.... Longs
Long
This is a tough one, as the reason for holding a stock is in the hopes that you can sell some or all of it in the future at a profit. Most would say that when you have sold your position, you are no longer a "Long". So this becomes a matter of degrees. For one to say that they are long on a particular stock is pertinent only to that individuals tolerance levels, and personal goals, which without a doubt will differ widely from other investors.
True Long
Probably is no such animal, but some may look at other's tolerance levels, and personal goals and feel that that person is not a true long. Another issue that some may feel would relegate one to the position of not being "Long" would be ones who trade in and out with either a small portion or with all their position in an effort to improve their number of shares. I think there is also the issue of "Believing in the Company" that comes into play with some's definition of a "True Long" Kind of like a "True Believer" in a church setting. Kind of hard to put your finger on that one as well.
So if one uses the term of "True Long" it suggests that there are indeed others out there that are not True Longs, and indeed must therefore take on the "False Long" moniker.
False, in this situation implies that a lie is perpetrated. Pretty harsh implications! Remember... all of us will one-day sell all or a good portion of this stock. It is all a matter of degrees. Some may swing in and out to improve their position.
I guess for me the only time I would say that the term of "False Long" could be applied properly and would be accepted by most as being a fair label would be when one states that he/she is long, but indeed does not even hold share in the stock. This would indeed be a "False Long" that everyone would agree that having such a negative description would be appropriate. The problem is... it is impossible to determine if it is true when someone states that they hold a position in a stock.
Long- Subject to interpretaion
True Long- Not neeeded
False Long- Cant be determined
Hopefully we can put such terms to rest.

Correct bodreaux... But NEOMS Word Registry is not search.
Enter a word in the Go Window, I guess then it would go to a server handleing the words, and point to the proper URL on another server.
Aol's keywords that I speak of is similar to NEOM's word registry in that it provides a shortcut to a URL. Not a search.
But maybe they would not be infringing if all is on one server. Now you did it. My head is hurting.
Am I way off on what I am saying?

Another similar issue to the Nokia "Word Registry" is AOL's keywords they have used for years. All fine until the cell phone come along. Now someone accesses their AOL, enters a keyword, and shazam. They are now infringing on the NEOM Patents.
Have brought this up before, but no response.
Am I looking at this wrong?

Let's suppose like the other two previous suits, that Scanbuy will also be a "Settlement". Who knows, negotiations may already be in play. Look how the Virgin Settlement fell out. I mean right up until we heard about the settlement, the board was talking about "Treble Damages" and such.
If and when a settlement with Scanbuy happens, then we will have a licensee of the technology that has been effective in getting exposure.

I wish I could make it to the shareholders meeting.
Based on all the news that is soon to be released possibly prior to the meeting or shortly thereafter, it should make for a very exciting and enlightening meeting. I know a I can trust in a good number of you to ask the important questions and to provide a detailed report with some of that keen insight that can only be garnered by "being there" and seeing their faces and expressions. But be careful... as there will be some that will be going to "meet some people here to get our differences out in the open." That sounds a little ominous. I suggest you all use the buddy system... LOL...

First and not so important. Friedtoad is not Penny. Much to Juvinile. Penny also did a little more research. For The Toad to claim that Beacon was a pumper supporter shows evidence that the Toad does not read past post. Combined with the fact that the Toad continues to rant on the MS Google Speculations when sufficient replies from several posters explain that position, but the Toad continues with the same drivel. That alone is grounds for removal from the board.
I suspect the Toad is a Juvenile and is probably home schooled as he/she has lots of daytime hours to post on the internet.
He/she seeks only one thing. Attention to fill the aweful void in his/her life. The Toad gets attention here each time we respond to it. I am guilty of the same, but will not any longer.
