Dude...you only owe taxes on capital gains. Your taxes are based on what you sell it for... If you don't sell it, you are not taxed. If you sell it for less than $250k, your taxes are based on that lesser amount.
If you will not be changing your financial position prior to May 20, you can now. Or , you can wait till the 20th. Up to you...in the end, the # of shares you will be eligible for is based on your cash investment as of May 20th. I suggest calling into the CC if you can...much info to be had and you can get any addl questions answered...
You don't lose your commons...the amount of $ you have invested on May 20th is used to determine how many pref shares you will be eligible to receive. You will get them in addition to holding on to the commons you currently own.

The minimum investment amount required to allow for the registration and conversion of more than 1 preferred class D share has not been determined at this point. The $10k was just used as an example on ths CC. Before the company can determine this amount they need to know how many preferred class D shares will be out there (which is partially based on how many common share holders actually apply for them.) Once the number has been determined, approximately 20-25% will be allowed for initial conversion. Everyone will be able to convert at least one initially. Based on the remaining number of shares, the determination will be made as to who may register and convert more. This will be a sliding scale based on your investment as of May 13th.

Additionally, an initial investment of more $, "may" make you eligible for more than one preferred share that you may initially register, convert to commons and sell. What those thresholds are have not been determined as it is dependent upon the number if actual preferred shares that get issued. Further...Of those 4 shares you are entitled to (in this example), you will be able to initially register and convert one of them for sale. The conversion rate is 1 preferred class D share = 100,000 common shares.
It is calculated on you initial dollar investment. Had nothing to do with the current value of # of shares you own. If you bought $10 of shares today...and held them until May 13th, you would be eligible for 4 preferred class D shares. $10 / 2.5 = 4
Pitman, that statement is 100% inaccurate. But...to further confirm my understanding "I" emailed the company directly this morning...and it was confirmed, once again, other than $2.50, there IS NO MINIMUM REQUIREMENT to be eligible for the preferred class D shares. Not $250.00, not $500.00... It's your total investment as of May 13...divided by 2.5. That will give you the number of preferred class D shares you would be eligible for.
I can't even begin to speculate what the PPS may be after the 6 mth waiting period between your first registered share being converted to commons and the ability to register/convert another (which would also make you ineligible for any dividends in the future)... I am just focusing my attention on the preferred shares we are privy to and the potential that awaits anyone who registers/converts and sells when that time comes. I have attended multiple conference calls with Jay and he has been nothing but professional, helpful and informative. If you still have questions or concerns I highly recommend simply to contact him and ask. : )

Mindless, you will not be able to register and convert all of your preferred shares at once. Based on your investment, you will only be able to convert 1 or 2, (maybe a couple more if you have invested a lot.) The rest will need to be held for at least 6 mths (see rule 144.) after 6 mths, others will be able to be converted...how many is based yet again on outside factors. Something to keep in mind, if you do register and convert more to sell, you will no longer be eligible to collect a dividend on your remaining preferred shares.

That's entirely incorrect Pitman. You are once again misleading and offering false information.
It's not based on # of shares held on May 13. It's based on how much $ you have invested...and there really isn't a minimum other than at least $2.50. (I confirmed this on the conf call.) If you invested $10...divide that by $2.50....this gives you 4. You would be eligible for 4 preferred shares.
If you were on the conf call Pitman, you would know what you could do after the initial preferred share was registered and converted. There are addl benefits moving forward with the remaining pref shares.
