From annual report;
Reason for the HUGE loss;
As of May 12, 2011, all outstanding 750,000 shares of Series A Preferred stock were converted by vote of the holders of a majority of those shares into approximately 95.1 million shares of common stock. Of these converted shares of common stock, approximately 55 million (58%) are held by affiliates, employees and control persons of the Company, and approximately 24 million more (25%) are subject to a two-year hold back from the date of issuance (which occurred between July 2010 and March 2011). In both cases, the resale of these common shares (83% of the total) is restricted, either pursuant to Rule 144 of the Securities Act of 1933 (“Rule 144”), or by additional contractual provisions. No additional consideration was paid by the shareholders and the Company did not offer any inducement in connection with this conversion.
Other Income (Expenses). For the year ended December 31, 2011, the Company recognized a non-cash loss attributable to an increase in derivative liabilities from warrants of ($35,089) and a non-cash loss from derivative liability convertibility feature of the Series A Preferred stock of ($19,771,086). Conversely, for the year ended December 31, 2010, the Company recognized non-cash income attributable to a decrease in derivative liabilities from warrants of $106,616 and non-cash income from Series A Preferred stock of $333,681. The Company converted and retired the Series A Preferred stock in May 2011, and therefore, will not incur derivative expenses or income from this source in the future. Derivative liabilities are calculated and are significantly affected by volatility of the Company’s stock price. In 2010 we also recognized a loss of $159,050 pursuant to converting debt into common stock.

Hey Everyone!
Regrettably, I must announce that Cyclone Power and I are going to terminate our collaboration on the Land Speed Record attempt for steam powered vehicles. We have different objectives and timetables for the project. I wish them luck with all their future pursuits.
I want to again Thank every one for all your support and interest-tis a shame that things have turned out the way they have.
Nevertheless, the Project will go on...with a different steam plant and a few other changes.
I appreciate your continued support.

Answers to some of the questions are coming shortly. I'm interested in using the WHE at my place of employment to reduce electricity costs. Here is part of an email I recently received back from Cyclone;
"We are forming a Consortium of key industry leaders to develop a larger waste heat engine – WHE II (30hp to 60hp – 25kW to 50kW) and a Mark X (1,500 hp & up to 1 megW). These engines will be the ultimate answer to generation as they run on all fuels (including waste heat and solar) and meet all emissions. The waste heat engines increase existing engine efficiencies by about 5% (higher if the Mark type of engines are used) and are a great intermediate answer until our large engines go into production. This Consortium group shares in exclusive use and licensing revenues after a 3 yr development period.
Our current line of engines will be rolled into production starting with the WHE engine mid-year 2012 with delivery fall of 2012. Our S2 and Mark V high temp / high pressure / high efficiency engines will be in production in mid-year 2013 with delivery fall of 2013. Pricing will be set upon each engine completing long term durability testing. The WHE pricing will be released in early summer 2012.
Please let me know if this information has answered your questions or if you have an interest in the development consortium."
Happy New Year to all! Please fasten seat belts for 2012. One way or another this is going to be a telling year for Cyclone. My bet is up, up and up....
Nothing ventured nothing gained. I agree that cyclone is largely an R&D company at this point. I just happen to believe there is more substance behind the name than you do. Only time will tell.
I just love your 'can do' attitude! Left up to you we would still be in the horse and buggy days. I applaud the work the cyclone team is putting into all their engines. The LSR car is a small part of what this company is about in my opinion.
I assumed this was the plan all along. Cyclone provides the Waste Heat Engine and their partner Phoenix Power along with Clean Burn provides the waste heat with their product. Someone please correct me if this is not correct.
Go Harry!

The first plans for the LSR where to run a double heat exchanger using 21"wheels The avalibility of the 21"wheels were a problem. so we had to use 23" diameter wheels. there are only so many made each year. We have a fixed gear ratio so we are running at a slightly longer cutoff for the needed torque for the larger diameter tires. When we did some draw bar tests on the car it showed that it would be better to run the standard engine for the first runs as it showed that we could do the record with out the additional heat exchanger. The pressure will be at 2500psi for these tests and 2500rpm. of course the pressure will be increased as well as an additional heatexchanger at a later date.
Now about the dyno tests ...we run dyno tests for a lot of reasons not just to see how fast it will go...,. be patient... The last time I was pushed about this data on the dyno was on our MK2 engine. It as it was over 30% efficiency . Not much said after that. Chuk still needs your support there are still things to do plus the travel expences. Those of you that have seen the LSR car know that it is the real thing and can appreciate the effort that it takes. Don't just sit on the side lines and be judgemental , be part of the team.

Hi Guys
A little up date on the LSR.
It was only eight mounths ago that we were able to get our hands on Chuk's frame. He did an exellent job on it. Because of this we desided to add more than just the engine. When it came in we had to measure it up and create a drawing for the porpose of fitting a lot of the equipment and the design of the body. The high and low pressure pump had to be driven electric rather than by the engine and many other things not found on a normal car. Early on Chuck was hauling the chassie back and fourth as there was a lot of work to do. As things on our side progressed Chuk did a lot of work on the car here and we were able to lend him a hand on it. I am not disipointed in the car as the workmanship is exellent. It has to be safe and you can not take short cuts. Because we did not make Bonniville on the first go around it does not disturb me near as much as traveling 2500 miles to get there and having a problem. There are so many systems that are not necessarily engine related that can give a problem. Testing is an absolute neccesity. Jim can tell you what can happen when people push things before they are ready. A special trailer was put together as well as a tow vehicle. Money still has to be raised. It is getting very close. I have put in a lot of my own weekends and money as I have faith in Chuk and the engine and the project. I think the extra effort suppllied by Cyclone probably speeded up the project by at least a year or two. This project is not the only thing we are working on as we still have our day job. We have a number of paying customers that come first. We have two Dynos, only one is large enough for the MK5. I think a full story of this would be real cool as It is a lot of work and a lot fun.
I donot know how long it took for the Rocket , but we have spent far less time on this than the the other cars. Jim is the only other one that can tell you what an undertaking it is. We still need team members

Heavy Steamer-
No, we haven't done any testing at the Space Center and we've also missed the World Finals at Bonneville, but Harry and his crew are working out the engine details.
I'm pretty disappointed that things haven't worked out as planned-and I'm sure that all of you on the TEAM-who have supported and stood behind us all this time are just as disappointed as I am, but it's a real relief that now we're not so pushed-we have plenty of time to get the loose ends wrapped up-get our testing done, and be really prepared for Bonneville next year.
So, I'm getting caught up on all my "stuff"....things I've neglected while spending so much time on the Streamliner, and looking forward to getting the vehicle running, so we can get out on the track and have some FUN!

Just a WAG but I think we will be trading on the OTCBB to start fourth quarter and then they will start to release some PRs. Just IMHO.

HI Friends and team members of the LSR project
I for one am not at all disapointed in moving the venue to the space center. My first obligation is to Cyclone and we have more contracts coming in. We canot anounce some of them until the press releases are aproved. I for one was not thirlled to go to the arm pit as Jim called it. to me camping out is a Holliday Inn. It even cost $20,000.00 to do the 5,000mile round trip. The Britts worked on their car for ten years and did not go to the flats. I of course would have to go however loosing two weeks from my day job was not a good idea considering the work coming in. The NASA facilities have been opened up for this purpose and new car records have already been set there. Running a new technology there would be great. It is only three and a half hours away and we can also test there. The main thing is we can get the press and all our friends and supporters there. Running near where the Stanleys ran and fuel made from local orange peels is fun .The plan is still to go to Bonniville in October. but donot be diapointed if the record comes before this. Our intent is not just one record but to continue the climb. Go Chuk Go!

From their annual report;
"In April 2011, the Company also received a purchase order for multiple Mark V engines from Raytheon Company, a contract worth $400,000 to the Company. Management believes that this purchase order will constitute one of multiple contracts that the Company could receive from Raytheon over the next few years worth several million dollars in the aggregate."
Congrats all. If we soon move off the pink sheets and jump to another exchange we should continue the upward trend. The last info I heard from the company newsletter to shareholders were they were working on it. Anyone with any info other than sometime hopefully this year?
NEWS
Pompano Beach, FL, Nov. 3, 2010. Cyclone Power Technologies (Pink Sheets: CYPW) has received approval from PECO, the electric utility in southeastern Pennsylvania, to complete installation of Cyclone's initial waste heat power generator at the Hatboro, PA facility of its customer, Bent Glass Design.
Cyclone's waste heat power generator - comprised of its scalable Waste Heat Engine (the WHE-25), proprietary heat exchangers and electric generating equipment - required approval from PECO to connect to the electric grid. When operating, Cyclone's waste energy recovery system will convert over 500,000 BTUs of exhaust heat from Bent Glass' furnaces into power that can off-set peak electricity usage and corresponding demand charges at the facility.
"Approval from PECO is significant not only because it allows us to complete our first waste heat recovery project, but also because it sets a precedent for how other utilities around the country may view small-scale industrial waste heat projects," stated Christopher Nelson, Managing Director of Cyclone's WHE division. "Grid tying these scalable systems is a new concept for the utilities, who we believe must view such projects as great opportunities to meet renewable portfolio standards and expand their support of clean, alternative power supplies, similar to wind and solar."
PECO will still need to review and test certain safety disconnect procedures in the final system and install a new power meter at Bent Glass prior to going live, which is expected to occur later this month, subject to the scheduling of the utility.

Ball8, just some info about Pink Sheets
A lot of due diligence, a lot of patience and a pinch of luck!
While the lack of comprehensive information may make it difficult to find good stocks on the Pink Sheets, there are many advantages to picking your stocks investment from here:
• It’s cheap – Have you ever heard of a stock that’s trading for as low as $0.0001? Yes, that’s right, we didn’t over add zeros here. It’s ridiculously cheap but true. For you, this means that you can easily buy more shares, and if you happen to buy into a good company then you’re on your way to earning a lot from your investment.
•
Many of the companies have huge growth potential – Most startup companies choose to trade on here because they are too small to comply with the reporting requirements of the SEC. Microsoft started here, and so did many of the companies that you see on the big boards right now. The startup companies, over time, will expand and grow, and then graduate to the major stock exchanges. If you own a stock that is in a staple or high demand industry and has a unique product and you hold on to that stock for the next decade, you’ll probably be a rich investor years from now.
•
Stocks can appreciate very quickly – Some stocks rise by as much as 6000% gain. Depending on the company’s market demand and its ability to meet that and future demand, its stock prices may zoom at a speed that will be dictated by how the market – and the investors – respond. It takes a very keen eye to be able to discover jewels from the thousands of companies from the Pink Sheets, but it is possible to make huge money if you know which ones to pick.
While there are advantages, there are also disadvantages.
•
Stocks can depreciate just as quickly as they can appreciate – Bad news has a way of affecting stock prices, and if an industry suffers a setback or crisis, it is inevitable the companies in that industry will be affected.
•
Some stocks can go without any activity for long periods – This is called being thinly traded, where stock prices stay flat for a long time. If there is not much activity within the company and in the industry, or if the industry itself is in a slump, then there won’t be much activity on the company’s stocks.
Have faith!
and patience. A lot of work involved to get this done and to keep working on the engines. Gettin their ducks in a row!
"We knew from the beginning that this audit would consume time and money, but we made the commitment to you, our shareholders, because we knew it was the right thing for our company’s future. We believe that this audit constitutes a critical first step towards Cyclone becoming a fully reporting registrant under the federal securities laws and, ultimately, moving our common stock to a national exchange. That is our intention and we will continue to work towards that goal in 2010."

WASHINGTON – The Obama administration is setting tough gas mileage standards for new cars and trucks, spurring the next generation of fuel-sipping gas-electric hybrids, efficient engines and electric cars.
The heads of the Transportation Department and the Environmental Protection Agency on Thursday were signing final rules requiring 2016 model-year vehicles to meet fuel efficiency targets of 35.5 miles per gallon combined for cars and trucks, an increase of nearly 10 mpg over current standards set by the National Highway Traffic Safety Administration.
The EPA, which received the power to regulate carbon dioxide emissions in a 2007 Supreme Court ruling, will set a tailpipe emissions standard of 250 grams (8.75 ounces) of carbon dioxide per mile for vehicles sold in 2016, or the equivalent of what would be emitted by vehicles meeting the mileage standard. The EPA is issuing its first rules ever on vehicle greenhouse gas emissions..................
Maybe Harry can put a huge neon sign on top of his building with an arrow pointing to it. 'FORD,CHEVY,CHRYSLER LOOK HERE !!!!'
Only last minute buyer will save Hummer brand
Who would like to see a cyclone engine in the Hummer? Taken from Cyclone's website "A 350/lb Cyclone Engine of 38-cu/inch displacement develops over 850ft/lbs of starting torque (which is more than necessary to eliminate the transmission). Transpose the decimal to 380 cu/inches and you will appreciate the implications of this technology when a manufacturer scales the Cyclone to a size suitable for heavy road transport. The starting torque of the Cyclone Engine is higher than an electric motor of comparable size, but similar in respect that neither requires a transmission, just a simple forward neutral and reverse lever is required". Any fuel, all fuel vehicle that can go anywhere pulling anything. I'll take two. Sorry for dreaming out loud.
I like the idea. I think you still need your core focus, but something high profile could really help. There is a white paper that was published on the Cyclone website where they talk about the need to have partners with deep pockets when it comes to automotive uses for their engine. Doing something like the land speed record could put Cyclone out there where that "partner" might take notice. I'm all for it.
VistaViewer
I understand what you are saying but it always does not turn out that way. A while back I was researching a company Composite Technology (CPTC) that makes a composite type electrical cable able to carry nearly twice the ampacity as what we use today. While I am not endorsing this company, they have made similiar ageements with the Chinese as partners and have actually gotten the Chinese to adopt their technology sooner than we here in the states. The electrical industry as well as the automotive and other industries here in the states are very slow to accept change no matter how much sense it makes. Cyclone still must be very careful to protect its intellectual property, but if done right this could be huge in getting their engine out there in the real world and showing everyone what it can do. Still a positive to this point for me.
Thanks ragsisme
I still haven't found anything either. Still overall a positive. I'm optimistic about it until proven otherwise.
Great Wall
Alternative Power Systems Ltd.
I'm not having any luck digging up any info on Great Wall
Alternative Power Systems Ltd.. Does anyone else here have a website or anything else that can help me out. I would like to find out a little more who we may be dealing with. Curious. Thanks! Love the news and POTENTIAL.
Thank you Buenijo
There is just so many different avenues for this engine it will be exciting to see how it plays out. Worth the risk in my opinion to throw some 'mad' money at and see what happens in a few years.
Thanks for the info...
Hi all,
I completely agree with this taking awhile. It is definitely a marathon and not a sprint. Great time to accumulate during these dips. But if everything I've read about and could find out about Cyclone is true, then this engine holds huge potential in so many different aspects. I was actually thinking about contacting the company and finding out if the company I work for could become a beta site for the WHE. We have 6 good size furnaces that the exhaust heat at this time is just going out the stack. Big savings if we could even run our lighting from the WHE. I do have one question. Does anyone have a rough idea how fuel efficient the engine is say if it was used for automotive purposes? I understand all the other advantages about very little it any toxic exhaust and no transmission, oil pump, etc.. Just wondering how the fuel mileage would compare. Any ideas?
